TheFacebookcompanyisnowMeta.We’veupdatedourPlatformTermstoreflectthenewnameonFebruary8,2022.Whileourcompanynamehaschanged,wearecontinuingtoofferthesameproducts,includingtheFacebookappfromMeta.OurDataPolicyandTermsofServiceremainineffect,andthisnamechangedoesnotaffecthowweuseorsharedata.LearnmoreaboutMetaandourvisionforthemetaverse. TheseMetaPlatformTermsandtheDeveloperPoliciesoriginallywentintoeffectonAugust31,2020.TheyreplacedthelegacyFacebookPlatformPolicyandthelegacyInstagramPlatformPolicy,aswellastheSupplementalTermsforExtendedPlatformProductsandtheTechnologyProviderAmendmenttotheprecedingSupplementalTerms.Learnmore. MetaPlatformTerms 1.Introduction a.OurPlatformisthesetofAPIs,SDKs,tools,plugins,code,technology,content,andservicesthatenablesothers,includingappdevelopersandwebsiteoperators,todevelopfunctionality,retrievedatafromMetaandanyotherMetaProducts,orprovidedatatous. b.TousePlatform(includingtoProcessanyPlatformData),youagreetothesePlatformTerms(“Terms”),aswellasallotherapplicabletermsandpolicies.ThismayincludetheMetaTermsofService,theInstagramTermsofUse,theMetaCommercialTerms,theBusinessToolsTerms,andanyMetaProducttermsthatareapplicable. c.YoumustalsocomplywiththeapplicablerequirementsinourDeveloperPoliciesandthosemadeavailableonourDeveloperSite,includinginourDocumentationcollectively,the“DeveloperDocs”) 2.IntellectualPropertyRights a.OurLicensetoYou.SubjecttoyourcompliancewiththeseTermsandallotherapplicabletermsandpolicies,wegrantyoualimited,non-exclusive,non-sublicensable(excepttoServiceProvidersasdescribedbelow),non-transferable,non-assignablelicensetouse,access,andintegratewithPlatform,butonlytotheextentpermittedintheseTermsandallotherapplicabletermsandpolicies.Youwillnotsell,transfer,orsublicensePlatformtoanyone.Exceptasexpresslylicensedherein,youwillnotuse,access,integratewith,modify,translate,createderivativeworksof,reverseengineer,orotherwiseexploitPlatformoranyaspectthereof.TheMetaCompaniesreserveallrights,title,andinterest(includingtherighttoenforceanysuchrights)notexpresslygrantedintheseTerms. b.YourLicensetoUsi.YourContent: 1.Yougrantusanon-exclusive,transferable,sublicensable,royalty-free,worldwidelicenseto:host,use,distribute,modify,run,copy,publiclyperformordisplay,translate,andcreatederivativeworksofanyinformation,data,andothercontentmadeavailablebyyouoronyourbehalf(includingbyyourServiceProvidersorthroughyourApp)inconnectionwithPlatform(collectively,“YourContent”)foranybusinesspurposeinconnectionwithoperating,providing,orimprovingPlatformoranyotherMetaProduct.ThislicenseremainsineffectevenifyoustopusingPlatform.Withoutlimitation,yourlicensetousincludes:therighttoincorporateYourContentintootherpartsofMetaProducts,therighttoattributethesourceofYourContentusingyourname,trademarks,orlogos;therighttouseYourContentforpromotionalpurposes,andtherighttoanalyzeYourContent(includingtomakesureyou’recomplyingwiththeseTermsandallotherapplicabletermsandpolicies). 2.IfyouusetheMetaBusinessToolstosendusBusinessToolData,ouruseofthatdataisgovernedbytheBusinessToolsTermsratherthantheforegoinglicenseforYourContent. 3.IfyouownedYourContentbeforeprovidingittous,youwillcontinueowningitafterprovidingittous,subjecttoanyrightsgrantedintheseTermsoranyotherapplicabletermsorpoliciesandanyaccessyouprovidetoothersbysharingitviaPlatform. ii.YourApp: 1.Yougrantusanon-exclusive,transferable,sublicensable,royalty-free,worldwidelicenseto:host,use,distribute,modify,run,copy,publiclyperformordisplay,translate,andcreatederivativeworksofyourAppforanybusinesspurposeinconnectionwithoperating,providing,orimprovingPlatform.ThislicenseremainsineffectevenifyoustopusingPlatform.Withoutlimitation,theforegoinglicenseincludestherighttoframeorlinktoyourApp,toplacecontent(includingads)aroundyourApp,andtoanalyzeyourApp(includingtoassessyourcompliancewiththeseTermsandallotherapplicabletermsandpolicies). 2.Asbetweentheparties,inconnectionwithPlatform,wewon’tbesubjecttoanytermsorpoliciesassociatedwithyourApporYourContent(evenifweclickortapagreement).ThosetermsandpoliciesareconsiderednullandvoidandarerejectedandexcludedfromtheseTerms. 3.NothingintheseTermswillbeinterpretedasarepresentationoragreementthatwewillnotdeveloporhavenotdevelopedapps,products,features,orservicesthataresimilartoyourApporcompetewithyourApp. iii.YourName,Trademarks,andLogos: Yougrantusanon-exclusive,transferable,sublicensable,royalty-free,worldwidelicensetouseyourname,trademarks,andlogosfordistribution,marketing,andpromotionalpurposes,inconnectionwithyouruseofMetaProducts,inallformatsandmedia.ThislicenseremainsineffectforexistingmaterialsandinstancesevenifyoustopusingPlatform. c.ProtectingtheRightsofOthers i.YouwillnotprovideorpromotecontentinyourAppthatinfringesuponorotherwiseviolatestherightsofanypersonorthirdparty. ii.Youwillobtain(andrepresentandwarrantthatyouownorhavesecured)allrightsnecessaryfromallapplicablerightsholdersto(1)grantthelicenses,rights,andpermissionsintheseTerms(includingthoseinSection2.b(“YourLicensetoUs”));(2)display,distribute,anddeliverallinformation,data,andothercontentinyourApp;and(3)otherwiseoperateyourApp.Thisincludessatisfyingalllicensing,reporting,andpayoutobligationstothirdparties. iii.IfyourAppcontainscontentsubmittedorprovidedbyyourUsersorotherthirdparties,youmusthaveanappropriatenoticeandtakedownprocessandotherwisecomplywithallapplicablelawsandregulationstorespondtonoticesofclaimedinfringement.Withoutlimitingthatcompliance,intheUnitedStates,youmustcomplywithallrequirementsoftheDigitalMillenniumCopyrightAct. 3.DataUse a.ProhibitedPractices.Youwillnotperform,orfacilitateorsupportothersinperforming,anyofthefollowingprohibitedpractices(collectively,“ProhibitedPractices”): i.ProcessingPlatformDatatodiscriminateorencouragediscriminationagainstpeoplebasedonpersonalattributesincludingrace,ethnicity,color,nationalorigin,religion,age,sex,sexualorientation,genderidentity,familystatus,disability,medicalorgeneticcondition,oranyothercategoriesprohibitedbyapplicablelaw,regulation,orMetapolicy. ii.ProcessingPlatformDatatomakeeligibilitydeterminationsaboutpeople,includingforhousing,employment,insurance,educationopportunities,credit,governmentbenefits,orimmigrationstatus.Byeligibilitydeterminations,wemeandeterminingwhethertoprovide,deny,ortakeawayaparticularbenefit(forexample,housingorscholarships)aswellasdeterminingthetermsunderwhichthebenefitwillbeprovided,denied,ortakenaway. iii.ProcessingPlatformDatatoperform,facilitate,orprovidetoolsforsurveillance.SurveillanceincludestheProcessingofPlatformDataaboutpeople,groups,oreventsforlawenforcementornationalsecuritypurposes. iv.Selling,licensing,orpurchasingPlatformData. v.PlacingPlatformDataon,orotherwisemakingPlatformDataavailableto,asearchengineordirectorywithoutourpriorexpresswrittenconsent. vi.Attemptingtodecode,circumvent,re-identify,de-anonymize,unscramble,unencrypt,orreversehash,orreverse-engineerPlatformDatathatisprovidedtoyou. vii.ChangingyourApp’scorefunctionalityordataProcessingsothatUserswouldviewitasanunfamiliarordifferentApp,ormateriallychangingthescopeofProcessingofpreviouslycollectedPlatformData,unlessineachcaseyoufirstre-submityourAppandreceiveourapprovalthroughAppReview. viii.ProcessingfriendlistsfromFacebooktoestablishsocialconnectionsinyourAppunlesseachpersoninthatconnectionhasgrantedyouaccesstothatinformationforthatpurpose. b.AdditionalTermsforRestrictedPlatformData i.YouwillnotrequestRestrictedPlatformDataunlessitisnecessarytomeaningfullyimprovethequalityoftheapplicableUser'sexperienceinthespecificproductorserviceforwhichtheUsersharedthedata. ii.ItmustbecleartotheUserwhyyouarerequestingtheirRestrictedPlatformDatainordertoimprovethequalityoftheirexperience. iii.Forclarity,yourProcessingofRestrictedPlatformDatamustcomplywiththeapplicableDeveloperDocsandotherprovisionsoftheseTerms(includingtheProhibitedPractices). c.SharingPlatformData.YoumayonlysharePlatformDataincompliancewiththeseTerms(includingSections3.a(“ProhibitedPractices”),3.b(“AdditionalTermsforRestrictedPlatformData”),4(“PrivacyPolicy”),and5(“ServiceProvidersandTechProviders”)),applicablelawandregulations,andallotherapplicabletermsandpolicies,andonlyinthefollowingcircumstances: i.WithrespecttoPlatformDatacollectedasaTechProvider,solelyasdescribedbelowinSection5.b(“TechProviders”); ii.WithrespecttoPlatformDatanotcollectedasaTechProvider, 1.whenrequiredunderapplicablelaworregulation(youmustretainproofoftheapplicablelegalorregulatoryrequirementorrequestandprovideittousifweaskforit); 2.withyourServiceProvider; 3.whenaUserexpresslydirectsyoutosharethedatawithathirdparty(youmustretainproofoftheUser’sexpressdirectionandprovideittousifweaskforit);or 4.solelywithrespecttoPlatformDatathatisnotRestrictedPlatformData,withotherthirdparties,solongas: a.youfirstcontractuallyprohibitthemfromusingthePlatformDatainawaythatwouldviolatetheseTermsoranyotherapplicabletermsorpolicies(youmustretainproofofthecontractualprohibitionandprovideittousifweaskforit);and b.youensurethatanysuchthirdpartiescomplywiththeseTermsandallotherapplicabletermsandpoliciesasiftheywereinyourplace,andyouareresponsiblefortheiractsandomissions,includingtheirnoncompliance. d.Retention,Deletion,andAccessibilityofPlatformData i.UnlessrequiredtokeepPlatformDataunderapplicablelaworregulation,youmust(andmustmakereasonableeffortstoensureyourServiceProviders)dothefollowing: 1.MakereasonableeffortstokeepPlatformDatauptodate,includingPlatformDatathathasbeenmodifiedordeleted.YoumustupdatePlatformDatapromptlyafterreceivingarequestfromusortheUsertodoso.YoumustgiveUsersaneasilyaccessibleandclearlymarkedwaytoaskfortheirPlatformDatatobemodifiedordeleted. 2.DeleteallPlatformDataassoonasreasonablypossibleinthefollowingcases: a.WhenretainingthePlatformDataisnolongernecessaryforalegitimatebusinesspurposethatisconsistentwiththeseTermsandallotherapplicabletermsandpolicies; b.WhenyoustopoperatingtheproductorservicethroughwhichthePlatformDatawasacquired; c.WhenwerequestyoudeletethePlatformDatafortheprotectionofUsers(whichwewilldetermineatoursolediscretion); d.WhenaUserrequeststheirPlatformDatabedeletedornolongerhasanaccountwithyou(unlessthePlatformDatahasbeenaggregated,obscured,orde-identifiedsothatitcannotbeassociatedwithaparticularUser,browser,ordevice),orforTechProviders,whenaUserortheClientrequeststheirPlatformDatabedeletedortheClientnolongerhasanaccountwithyou; e.Whenrequiredbyapplicablelaworregulations;or f.AsrequiredunderSection7(“ComplianceReviewRightsandSuspensionandTerminationoftheseTerms”). ii.IfyouarerequiredtokeepPlatformDataunderapplicablelaworregulation,youmustretainproofoftheapplicablelegalorregulatoryrequirementorrequestandprovideitifweaskforit. iii.IfyouhavereceivedPlatformDatainerror,youmustimmediatelyreportthistous,deletethatPlatformData,andprovideproofofdeletionifweaskforit. e.ExceptionstoRestrictions.Theaboveprovisionsofthissection(Section3.a-d)donotapplytocertainPlatformDataasdescribedhere. 4.PrivacyPolicy a.IfyouusePlatformtoProcessPlatformData,youwillprovideandcomplywithapubliclyavailableandeasilyaccessibleprivacypolicy. b.ThispolicymustcomplywithapplicablelawandregulationsandmustaccuratelyandclearlyexplainwhatdatayouareProcessing,howyouareProcessingit,thepurposesforwhichyouareProcessingit,andhowUsersmayrequestdeletionofthatdata. c.YoumayonlyProcessPlatformDataasclearlydescribedinyourprivacypolicyandinaccordancewithallapplicablelawandregulations,theseTerms,andallotherapplicabletermsandpolicies. d.Yourprivacypolicywillnotsupersede,modify,orbeinconsistentwiththeseTermsoranyotherapplicabletermsorpolicies. e.YoumustretainallofyourprivacypoliciesineffectwhileusingPlatformandprovidethemtousifweaskforthem. f.YouwillmaintainpubliclyavailablelinkstoyourprivacypoliciesintheprivacypolicyfieldinthesettingsofyourAppDashboard,aswellasinanyAppStorethatallowsyoutodoso,ifapplicable,andensurethelinksremaincurrentanduptodate. 5.ServiceProvidersandTechProviders a.ServiceProviders i.YouwillnotuseaServiceProviderinconnectionwithyouruseofPlatformorProcessingofPlatformDataunlesssuchServiceProviderfirstagreesinwritingtodothefollowing: 1.UsePlatformandProcessPlatformDatasolelyforyouandatyourdirectioninordertoprovideservicesyourequestedinamannerthatisconsistentwiththeseTerms,allotherapplicabletermsandpolicies,andyourprivacypolicy,andfornootherindividualorentityandfornootherpurpose,includingfortheServiceProvider’sownpurposes;and 2.IntheeventtheServiceProviderengagesanotherServiceProvider(“Sub-ServiceProvider”)inordertoprovidetheservicesrequested,ensuretheServiceProviderrequirestheSub-ServiceProviderinwritingtocomplywiththeaboverequirements. ii.YoumustensurethatanyServiceProviderandSub-ServiceProvidercomplieswiththeseTermsandallotherapplicabletermsandpoliciesasiftheywereinyourplace,andyouareresponsiblefortheiractsandomissions,includingtheirnoncompliance. iii.WhenyouceaseusingaServiceProviderorSub-ServiceProvider,youmustensuretheyimmediatelyceaseusingPlatformandProcessingPlatformDataandpromptlydeleteallPlatformDataintheirpossessionorcontrol. iv.Uponourrequest,youmustprovidealistofyourServiceProvidersandSub-ServiceProvidersincludingup-to-datecontactinformationforeach,thetypesandvolumeofPlatformDatashared,andproofofwrittenagreementswithyourServiceProviderstodemonstratecompliancewiththisSection. v.WemayprohibityouruseofanyServiceProviderorSub-ServiceProviderinconnectionwithyouruseofPlatformorProcessingofPlatformDataifwebelievethat(1)theyhaveviolatedtheseTermsorotherapplicabletermsorpoliciesor(2)theyarenegativelyimpactingPlatform,otherMetaProducts,PlatformData,orpeoplewhouseMetaProducts,andwillprovidenoticetoyouifwedo.Promptlyuponsuchnotice,youmuststopusingthatServiceProviderorSub-ServiceProviderinconnectionwithyouruseofPlatformorProcessingofPlatformData. vi.WemayrequirethatyourServiceProvidersorSub-ServiceProvidersagreetotheseTermsorotherapplicabletermsorpoliciesinordertoaccessMetaProducts,Platform,orPlatformData. b.TechProviders i.IfyouareaTechProvider,youmustcomplywiththeotherprovisionsoftheseTerms,aswellastheprovisionsinthissectionwithrespecttoyouruseofPlatformandProcessingofPlatformDataasaTechProvider.Ifthetermsconflict,thetermsthataremorerestrictiveonyouormoreprotectiveofusapply. ii.You,asaTechProvider,understandandagreetothefollowing: 1.YouwillonlyusePlatformandProcessPlatformDataonbehalfofandatthedirectionofyourClientonwhosebehalfyouaccessittohelpsuchClienttousePlatformorProcessPlatformDatainaccordancewiththeseTermsandallotherapplicabletermsandpolicies(“Client’sPurpose”),andnotforyourownpurposesoranotherClient’sorentity’spurposes(forexample,youwillnotProcessPlatformDatatobuildoraugmentuserprofilesforyourownpurposesoranotherClient’spurposes); 2.YouwillensurethatPlatformDatayoumaintainonbehalfofoneClientismaintainedseparatelyfromthatofotherClients; 3.Youwillmaintainanup-to-datelistofyourClientsandtheircontactinformationandprovideittousifweaskforit; 4.YouwillonlysharePlatformDataincompliancewiththeseTerms(includingSections3a(“ProhibitedPractices”),3b(“AdditionalTermsforRestrictedPlatformData”),and5a(“ServiceProviders”)),applicablelawandregulations,andallotherapplicabletermsandpolicies,andonlyinthefollowingcircumstances: a.withyourapplicableClient,solongasyoufirstcontractuallyprohibitsuchClientfromProcessingPlatformDatainawaythatwouldviolatetheseTermsoranyotherapplicabletermsorpolicies; b.totheextentrequiredunderapplicablelaworregulation(youmustretainproofoftheapplicablelegalorregulatoryrequirementorrequestandprovideittousifweaskforit); c.withyourServiceProvidersolelytotheextentnecessaryforyourapplicableClient’sPurpose;or d.withyourClient’sserviceprovidersolelytotheextentnecessaryforsuchClient’sPurposeandwhensuchClientexpresslydirectsyoutosharethedatawithsuchserviceprovider(youmustretainproofoftheClient’sexpressdirectionandprovideittousifweaskforit); 5.WemayrequirethatyourClientsagreetotheseTermsorotherapplicabletermsorpoliciesinordertoaccessMetaProducts,Platform,orPlatformDatathroughyourApp. 6.YouwillpromptlyterminateaClient’suseofourMetaProducts,Platform,orPlatformDatathroughyourAppifwerequestitbecausewebelievethattheClient(a)hasviolatedtheseTermsorotherapplicabletermsorpoliciesor(b)isnegativelyimpactingPlatform,otherMetaProducts,PlatformData,orpeoplewhouseMetaProducts. 6.DataSecurity a.DataSecurityRequirements i.Youmustalwayshaveineffectandmaintainadministrative,physical,andtechnicalsafeguardsthatdothefollowing: 1.MeetorexceedindustrystandardsgiventhesensitivityofthePlatformData; 2.Complywithapplicablelawandregulations,includingdatasecurityandprivacylaws,rules,andregulations;and 3.Aredesignedtopreventanyunauthorized(includinginviolationoftheseTermsoranyotherapplicabletermsorpolicies)Processing(including,fortheavoidanceofdoubt,access,destruction,loss,alteration,disclosure,distribution,orcompromise)ofPlatformData. ii.YoumusthaveapubliclyavailablewayforpeopletoreportsecurityvulnerabilitiesinyourApptoyou,andyoumustpromptlyaddressidentifieddeficiencies. iii.Youmustnotsolicit,collect,store,cache,proxy,oruseFacebookorInstagramlogincredentialsofotherUsers. iv.YoumustnottransferorshareuserIDsoryouraccesstokenandsecretkey,exceptwithaServiceProviderwhohelpsyoubuild,run,oroperateyourApp. b.IncidentReporting i.Ifanyofthefollowingincidentshappen,youmustpromptly,andnolaterthan24hoursafteryoubecomeawareoftheincident,notifyusandprovideuswithinformationwerequestregarding: 1.Anyunauthorized(includinginviolationoftheseTermsoranyotherapplicabletermsorpolicies)Processing(including,fortheavoidanceofdoubt,access,destruction,loss,alteration,disclosure,distributionorcompromise)ofPlatformData;or 2.Anyincidentsthatarereasonablylikelytocompromisethesecurity,confidentiality,orintegrityofyourITSystemsoryourServiceProvider’sorSub-ServiceProvider’sITSystems. ii.Youmustimmediatelybeginremediationoftheincidentandreasonablycooperatewithus,includingbyinformingusinreasonabledetailoftheimpactoftheincidentuponPlatformDataandcorrectiveactionsbeingtaken,andkeepingusupdatedaboutyourcompliancewithanynotificationorotherrequirementsunderapplicablelawsandregulations. 7.ComplianceReviewRightsandSuspensionandTerminationoftheseTerms a.AppReview.WemayrequirethatyousubmityourAppforourrevieworapproval(“AppReview”).WhetherornotyourApp(includingitsaccesstoanyPlatformData)isapproved(whichwillbeinoursolediscretion),youwillensurethatyourAppiscompliantwiththeseTermsandallotherapplicabletermsandpolicies,andwemayreviewyourAppforsuchcompliancefromtimetotime,inoursolediscretion.Youwillcooperatewithourreviewsandprovideanyinformationwerequest.WemayverifyinformationyouprovidetousduringanysuchreviewsorotherwiseinyourAppdashboard,whichyouwillupdatetokeepitcompleteandaccurate. b.RegularMonitoring.We,orthird-partyprofessionalsworkingatourdirection(includingauditors,attorneys,consultants,and/orcomputerforensicsanalysts)(collectively,“Third-PartyAuditors”),mayconductregularmonitoringofyourAppanditsaccesstoPlatformandProcessingofPlatformDatausingtechnicalandoperationalmeasures. c.AuditingRights i.WeorThird-PartyAuditorsmayconductanAudit,nomorethanonceacalendaryearunlessthereisaNecessaryCondition,toensurethatyourandyourApp’sProcessingofPlatformDataisandhasbeenincompliancewiththeseTermsandallotherapplicabletermsandpolicies. ii.Auditswillbeconductedduringnormalbusinesshoursafterprovidingyouwithatleast10businessdays’writtennotice(emailwillsuffice),unlesswedetermineinoursolediscretionaNecessaryConditionrequiresmoreimmediateaccess. iii.YouwillcooperatewiththeAudits,includingby(1)providingallnecessaryphysicalandremoteaccesstoyourITSystemsandRecords,and(2)providinginformationandassistanceasreasonablyrequested(includingmakingyourpersonnelwhoareknowledgeableaboutyouroryourApp’sProcessingofPlatformDataavailableforourquestioning). iv.YouwillalsousecommerciallyreasonableeffortstogetpermissionandcooperationfromyourServiceProvidersforustoconductsuchAuditswithrespecttotheirITSystems,Records,andapplicablepersonnel. v.Youwillremedyanynon-compliancerevealedbyanAuditassoonasreasonablypracticable(aswedeterminebasedonthefactsandcircumstances),afterwhichwemayconductfollow-upAuditstoensureproperremediationofthenon-compliance. vi.IfanAuditrevealsanynon-compliancebyyouoryourServiceProvider(s)thenyouwillreimburseusforallofourreasonablecostsandexpensesassociatedwithconductingtheAuditandanyrelatedfollow-upAudits. vii.AftertheseTermshaveended,ourAuditrightsunderthisSectionwillsurviveuntil1yearafterthelaterofwhenyouaffirmativelydemonstratethatyouhavestoppedProcessingallPlatformDataandallembodimentsthereofthatareinyourandyourServiceProviders’possessionorcontrolhavebeendeleted.Fortheavoidanceofdoubt,nothinginthisSectionlimitsanyotherrightsorremedieswemayhavebylaw,inequity,orundertheseTermsorotherapplicabletermsorpolicies. d.Certifications.Fromtimetotime,wemayrequest(inwritingorthroughyourAppdashboard,Platform,oranyMetaProduct)information,certifications,andattestationsrelatingtoyouruseofPlatformorProcessingofPlatformData,whichyouwillprovidetousintherequestedtimeframeandform.Thismayincludecertifying:(i)yourcompliancewiththeseTermsandallotherapplicabletermsandpolicies,and(ii)thepurposeoruseforthePlatformDatayouhaverequestedorhaveaccessto,andthateachsuchpurposeorusecomplieswiththeseTermsandallotherapplicabletermsandpolicies.Allsuchcertificationsandattestationsmustbeprovidedbyanauthorizedrepresentativeofyours. e.SuspensionandTermination i.WemaytakeenforcementactionagainstyouandyourAppifwebelieve,inoursolediscretion,that: 1.Youhavenottimelyrespondedtoourrequestsrelatedtomonitoringorauditing; 2.YouoryourApphasviolatedormayhaveviolatedtheseTermsoranyotherapplicabletermsorpoliciesorisnegativelyimpactingPlatform,otherMetaProducts,PlatformData,orpeoplewhouseMetaProducts; 3.Itisneededtocomplywithapplicablelawsorregulationsorotherwiserequiredorrequestedbyacourtorderorgovernmentalauthority;or 4.ItisneededtoprotecttheMetaCompaniesfromlegalorregulatoryliability. ii.Wemaytakeenforcementactionatanytime,includingwhileweinvestigateyourApp,withorwithoutnoticetoyou.Enforcementcanbebothautomatedandmanual.ItcanincludesuspendingorremovingyourApp,removingyouraccessandyourApp’saccesstoPlatform,requiringthatyoustopProcessinganddeletePlatformData,terminatingouragreementswithyou,oranyotheractionthatweconsidertobeappropriate,includingterminatingotheragreementswithyouoryourabilitytouseMetaProducts. iii.WemaysuspendorendyourApp’saccesstoanyPlatformAPIs,permissions,orfeaturesthatyourApphasnotusedoraccessedwithina90-dayperiodwithorwithoutnoticetoyou. 8.Notice AfteryouagreetotheseTerms,anywrittennotice,request,orcommunicationsfromustoyoumaybeprovidedviaemailormail(forexample,totheemailaddressormailingaddressinyourAppaccountwithus)orvianotificationswithintheMetaProducts(forexample,inyouraccountwithus).Youwillkeepyourcontactinformationcurrent,includingname,businessname,andemail. 9.Indemnification Inadditiontoandwithoutlimitingthescopeofthe“Indemnification”SectioninourMetaCommercialTermsifanyonebringsaclaim,causeofaction,ordisputeagainsttheMetaCompaniesrelatedtoyouruseofPlatform,yourProcessingofPlatformData,YourContent,oryourApp,nameorlogo,productsorservices,oractionsinconnectionwithPlatform,youwillindemnifyandholdtheMetaCompaniesharmlessfromandagainstalldamages,losses,andexpensesofanykind(includingreasonablelegalfeesandcosts)relatedtoanysuchclaim,causeofaction,ordispute. 10.InternationalTransfers ThissectionshallapplytotheextentthatyourProcessingofPlatformDataincludespersonaldatacontrolledbyMetaPlatformsIrelandLimited(“MetaIrelandData”)andthetransferofsuchMetaIrelandDatatoaterritoryoutsideoftheEuropeanEconomicAreathat,atthetimeofsuchtransfer,doesnothaveapositiveadequacydecisionfromtheEuropeanCommissionunderArticle45ofRegulation(EU)2016/679(eachan“EEADataTransfer”). WheneverthereisanEEADataTransfer,youruseofMetaIrelandDataissubjecttoyourcompliancewiththeClausesinsofarastheyrelatetocontrollertocontrollertransfers(ModuleOne).Ineachcase,youagreethatforthepurposesofSectionIV,Clauses17and18intheClauses,Option1andOption(b)shallapplyrespectivelyandtheMemberStateshallbeIreland.NothinginthisSection10(Internationaltransfers)isintendedtovaryormodifytheClauses.ForthepurposesoftheAppendixtotheClauses,thefollowingwillapply: a.ForthepurposesofAnnexI(A)totheClauses,MetaPlatformsIrelandLimitedisthe"dataexporter"andyouarethe"dataimporter"asdefinedintheClauses. b.ForthepurposesofAnnexI(B)totheClauses: i.“Categoriesofdatasubjects”aretheUserswhovisit,access,use,orotherwiseinteractwiththeAppandtheproductsandservicesofMetaPlatformsIrelandLimited; ii."Categoriesofpersonaldata"areMetaIrelandData,whichincludesprofileinformation,photosandvideos,locationinformation,communicationsbetweenUsers,informationaboutuseoftheAppandotherproductsandservices,paymentinformation,deviceinformation,informationaboutvisitstothird-partywebsitesorAppsthatusea"like"or"comment"buttonorotherserviceintegration,informationfromthird-partypartnersortheMetaCompanies,orasotherwisesetforthintheDataPolicy; iii."Sensitivedata"ispersonaldataaboutaperson'sracialorethnicorigin,politicalopinions,religiousorphilosophicalbeliefs,trade-unionmembership,geneticdata,biometricdataforthepurposeofuniquelyidentifyinganaturalperson,dataconcerninghealthordataconcerninganaturalperson'ssexlifeorsexualorientation,criminalconvictionsorallegedcommissionofanoffence; iv."Frequencyofthetransfer"isonacontinuousbasistotheextentrequiredtofulfilthepurposeoutlinedinSection10(b)(v)below; v.Natureandpurposeofthedatatransfer(s)"istheprovisionoftheAppandotherproductsandservicesbyyoutoUserspursuanttotheapplicabletermsandconditionsandPrivacyPolicyofyouand/oryourClient;and vi."Periodforwhichpersonaldatawillberetained"isassetoutinSection3(d)(i)(2)unlessapplicablelawsrequiretheMetaIrelandDataberetainedforalongerperiod,inwhichcaseyoushallonlyretainsuchMetaIrelandDatafortheperiodrequiredbysuchapplicablelawsandsubjectalwaystoSection10(d). c.ForthepurposesofAnnexI(C)totheClauses,thecompetentsupervisoryauthoritywillbetheDataProtectionCommissioninIreland;and d.ForthepurposesofAnnexIItotheClauses,youwillimplementandmaintainthetechnicalandorganisationalsecuritymeasuressetoutinSection6(“DataSecurity”)andsuchothermeasuresaswemayrequirefromtimetotime. 11.General a.InaccordancewithourTermsofService,youwillnottransferanyofyourrightsorobligationsundertheseTermstoanyoneelsewithoutourpriorwrittenconsent.Transferringcanincludeassignment,acquisition,merger,changeofcontrol,orotherformsoftransfer.Anyunpermittedtransferwillbeconsiderednullandvoid.Foranypermittedtransfer,youcancontinuetoProcessPlatformDataonlyforyourAppsubjecttotheseTermsandonlyafteryoure-submityourAppandreceiveourapprovalthroughourAppReviewprocess. b.Youalsomustcomplywithallapplicablelawsandregulations(includingtheChildren’sOnlinePrivacyProtectionAct(“COPPA”)andtheVideoPrivacyProtectionAct(“VPPA”)). c.IfthereisanyconflictbetweentheseTermsandanyotherapplicableonlineterms,thetermsthataremorerestrictiveonyouandyourAppormoreprotectiveofusapply.IfyouhavepreviouslyagreedtoourSupplementalTermsforExtendedPlatformProductsand/orourTechnologyProviderAmendmenttoSupplementalTermsforExtendedPlatformProducts,theseTermsherebysupersedeandreplacethem. d.WereservetherighttoamendtheseTermsatanytime.YourcontinueduseoforaccesstoPlatformafteranysuchamendmentwillconstituteyourbindingagreementtotheseTermsasamended. e.Wemaychange,suspend,ordiscontinuetheavailabilityofPlatformatanytime.Inaddition,wemayimposelimitsoncertainfeaturesandservicesorrestrictyouraccesstopartsorallofourAPIsorwebsiteswithoutnoticeorliability. f.IfweelecttoprovideyouwithsupportormodificationsforPlatform,wemaydiscontinueeitheratanytimewithoutnoticetoyou. g.WedonotguaranteethatPlatformwillalwaysbefree. h.WecanissueapressreleaseorotherwisemakepublicstatementsordisclosuresdescribingourrelationshipwithyouoryouruseofPlatform. i.WhentheseTermshaveended,allrightsgrantedtoyouundertheseTermswillimmediatelystopandyouwillimmediatelystopusingPlatform.ThefollowingSectionswillremainineffectaftertheseTermshaveended:Section2.b,Section2.c,Section3,Section4,Section5,Section6,Section7,Section9,Section10,Section11,andSection12. 12.Glossary a.“App”meansanytechnicalintegrationwithPlatformortowhichwehaveassignedanAppidentificationnumber.Anycode,APIs,SDKs,tools,plugins,bots,websites,applications,specifications,andothertechnologymadeavailablebyyouoronyourbehalfinconnectionwithPlatformisconsideredpartofyourApp. b.“Audit”meansareview,inspection,orauditofyourandyourServiceProviders’ITSystemsorRecords. c.“Clauses”meansthestandardcontractualclausesannexedtoEuropeanCommissionDecision(EU)2021/914. d.“Client”meanstheUserofaTechProvider’sApp. e.“Developer”meansthepersonorentitythatcreatesoroperatesanApp. f.“DeveloperDocs”hasthemeaninggiveninSection1.c(“Introduction”). g.“ITSystems”meansinformationtechnologysystems(realandvirtual),networks,technologies,andfacilities(includingphysicalandremoteaccesstodatacentersandcloudfacilities)thatProcessPlatformData. h.“NecessaryCondition”meansanyofthefollowing: i.itisrequiredbyapplicablelaw,rule,orregulationorotherwiserequiredorrequestedbyacourtorderorgovernmentalauthority;
