1.AcknowledgementofAbility/AuthoritytoAgree;AgreementtoTermsofUse. Byaccessingand/orusinganypartofthePlatformorPlatformFunctionality/Services,youaffirmthatyouareovereighteen(18)yearsoldandyouacknowledgeandagreethat,byaccessingand/orusinganypartofthePlatformorPlatformFunctionality/Services,youareenteringintoalegallybindingagreement/contractwithRamboll,individuallyandonbehalfofallotherpersonsandentitiesforwhom/whichyouactorpurporttoact,including,withoutlimitation,youremployer(s),whichagreement/contractconsistsofalltermsandconditionssetforthintheseTermsofUse(including,withoutlimitation,thosestatedundersection16belowregardingmodification/terminationwithoutfurthernoticeandthoseincorporatedbyreferenceherein),andthatyouunderstandandagreethatyouandallpersonsandentitiesforwhom/whichyouactorpurporttoactmustcomplywiththemandarelegallyboundthereby.   If/totheextentthatyouaccessand/oruse,orpurporttoaccessand/oruse,anypartofthePlatformorPlatformFunctionality/Servicesonbehalfofoneormoreotherpersonsorentities,including,withoutlimitation,youremployer(s),then,byaccessingand/orusinganypartofthePlatformorPlatformFunctionality/Services,youaffirmthatyouareauthorizedtodosoandotherwisetoactonbehalfofsuchotherperson(s)andentity(ies),totheeffectthatsuchotherperson(s)andentity(ies)areenteringintoalegalagreement/contractwithRambollconsistingofalltermsandconditionssetforthintheseTermsofUse(including,againandwithoutlimitation,thoseincorporatedbyreferenceherein). Asaresult,forexample,ifyouaccessand/oruseanypartofthePlatformorPlatformFunctionality/Servicesaspartofyouremployment,theperson(s)andentity(ies)bywhichyouareemployedalsoshallberesponsibleforyourandtheircompliancewiththeseTermsofUse,andsuchperson(s)andentity(ies)bywhichyouareemployedalsoshallassumeandundertaketheperformanceofallobligationssetforthintheseTermsofUse;and,inturn,Rambollalsowillpursueclaimsbasedonyourandtheirnon-compliancewiththeseTermsofUse,andotherwiseenforceitsrightshereunder,againstsuchperson(s)andentity(ies)bywhichyouareemployed. Anyandallreferencesto“you”hereinbelowshallrefercollectivelyandinterchangeablytoyou,individually/personally,andtoeachsuchotherpersonandentity.  Totheextentnotprohibitedunderapplicablelaw(whichphrase,asusedintheseTermsofUse,includesanyandallapplicableinternational,national,state,localorequivalentstatutes,regulations,ordinances,commonlaw,andotherformsoflaws,withoutexclusion),youherebywaiveanyrightyoumayhavetorequestorrequireamoreformalsignature(electronic,non-electronicorotherwise)orthedeliveryorretentionofahardcopyagreement/contractorotherrecordwhatsoever. IfyoudonotagreetoboundbytheentiretyoftheseTermsofUse,youmaynotaccessoruseanypartofthePlatformorPlatformFunctionality/Services.    2.ConflictsBetween/AmongAgreements.IntheeventofanunequivocalconflictbetweentheseTermsofUseandaseparatewrittenagreementbetween/amongyouandRambollthatexpresslyandunequivocallyisintendedbythepartiestomodify/supersedetheseTermsofUseorotherwisegovernyouruseandaccesstothePlatformorPlatformFunctionality/Services,thetermsandconditionsofthelattershallcontrol. 3.THISSECTIONINTENTIONALLYISLEFTBLANK–CONTIUNETONEXTSECTION. 4.RighttoAccess/UsethePlatformandPlatformFunctionality/Services. SubjecttotheentiretyoftheseTermsofUse(including,withoutlimitation,theAccess/UseRestrictionsatsection4belowandtheOwnershipRightsatsection5below),Rambollgrantstoyoualimited,non-exclusive,non-transferable,non-sublicensable,revocablelicensetoaccess/usecertainpartsofthePlatformandPlatformFunctionality/Services. Rambollwillassign/providetoyou,foryouruseonly,ausernameandpasswordand/orotherlog-incredentialsthroughtheuseofwhichyouwillbeabletoaccess/usecertainpartsofthePlatformandPlatformFunctionality/Services. Youshallnotattemptanyaccessto/useofanypartofthePlatformorPlatformFunctionality/Servicesbeyondthat/thoseclearlyandunequivocallyauthorizedandintendedbyRamboll. Youshallnotpermitorotherwiseenableanyotherpersonorentitytouseyourusernameorpasswordinordertoaccess/useanypartofthePlatformorPlatformFunctionality/Services,orforanyotherpurpose.    5.Access/UseRestrictions;ProtectionofthePlatform,thePlatformFunctionality/Services,RambollanditsAffiliates. Withoutinanywayexpandingtheforegoing,andwithoutlimitinganyotherlimitation/restrictiononyouraccessto/useofthePlatformandPlatformFunctionality/Services,youmaynotandshallnot: (i)license,sublicense,sell,resell,rent,lease,transfer,assign,distribute,timeshareorotherwisecommerciallyexploitormakethePlatformorPlatformFunctionality/Servicesavailabletoanythirdparty,exceptif/asotherwiseexpresslysetforthintheseTermsofUse;(ii)usethePlatformorPlatformFunctionality/Servicestoharass,threatenorcausedamageorinjurytoanypersonorproperty;(iii)usethePlatformorPlatformFunctionality/Servicestopublish,sendorstoreanymaterialthatisinfringing,false,defamatory,obsceneorotherwiseillegalortortiousorthatviolatesanyprivacyrights;(iv)sendorstoremaliciouscode;(v)interferewithordisrupttheintegrityorperformanceofthePlatformorPlatformFunctionality/Services; (vi)attempttogain,foryourselforathirdparty,unauthorizedaccesstoand/oruseofanypartofthePlatformorPlatformFunctionality/Services,orthePlatform’sorPlatformFunctionality/Services’relatedsystemsornetworks;(vii)performordiscloseanybenchmarking,availabilityorperformancetestingofthePlatformorPlatformFunctionality/Services;(viii)uploadordistribute,inanyway,anyfilesthatcontainaVirus(asdefinedbelow),“worm,”“Trojanhorse,”corruptedfile,oranyothersimilarprogramsoftwarethatmaydamagetheoperationofRamboll’soranother’sdevice(s)ornetwork(s);or(ix)useanydevice,softwareorroutineto,ortoattemptto,orotherwiseattemptto,interferewiththeproperfunctioningofthePlatformorPlatformFunctionality/Services. Youshallnotreverseengineer,decompileordisassemblethePlatformorPlatformFunctionality/Services,orotherwiseattempttodiscoverorcopythesourcecodeforthePlatform,thePlatformFunctionality/Servicesoranycomponentsthereof,norshallyoupermitorotherwiseenableanythirdpartytodoso. YoumaynotreproduceorcopythePlatformorPlatformFunctionality/Services,inwholeorinpart. YouagreethatyoushallnotuseorpermittobeusedthePlatformorPlatformFunctionality/Servicesinanytimecriticalormissioncriticalorlegalfunctionorusage. Anyandallaccessto/useofthePlatformand/oranyPlatformFunctionality/Servicesbyyouoranyotherpersonorentity(otherthanRamboll)isforinformationalpurposesonlyandsubjecttoapplicablelaw. Youshallnotremovealterorobscureproprietaryortrademarknoticesonanyscreens,dataorreportsgeneratedbyorthroughthePlatformorPlatformFunctionality/Services. Inadditiontotheforgoingrestrictions,youacknowledgeandagreethatyouareobligatedtomakecommerciallyreasonableeffortstoavoidintroducingintothePlatform,thePlatformFunctionality/ServicesandRamboll’sotherdevices,networksandsystemssoftwarecodedesignedorknowntodisrupt,damageorinterferewithdevices,networks,systems,software,data,etc.(a“Virus“). Sucheffortsshallinclude,ataminimumandwithoutlimitation,theuseofcommerciallyreasonableVirusprotection,firewallandsecuritysoftware,andRambollreservestherighttodemandthatyouprovideproofofsameinaformreasonablyacceptabletoRambollandtherighttoterminateyouraccessto/useofthePlatformandPlatformFunctionality/Servicesabsentsuchproof. YouacknowledgeandagreethatRambollhasnotandshallnotbedeemedtohaveassumedanydutyorobligationtoanythirdparty,including,totheextentapplicable,butwithoutlimitation,anyofyouremployers,subsidiaries,parentcompaniesorotheraffiliates,anyofyourortheirshareholders,partners,members,directors,officers,personnel,creditorsorclients/customers,oranythird-partybeneficiary. Norightsaregrantedtoyouortoanythirdpartyotherthanif/asexpresslysetforthintheseTermsofUseorotherwiseagreedtoinawritingexecutedbyRamboll. YOUAGREETOINDEMNIFY,DEFENDANDHOLDHARMLESSRAMBOLLANDALLRAMBOLLAFFILIATESFOR/FROMANYANDALLLOSSESSARISINGFROMORRELATEDTOYOURGRANTINGACCESSTO/USEOFTHEPLATFORMORPLATFORMFUNCTIONALITY/SERVICESTOTHIRDPARTIES,INTENTIONALLYORUNINTENTIONALLY,INCLUDINGTHROUGHTHEUNAUTHORIZEDUSEOFYOURLOG-INCREDENTIALSORARISINGFROMORRELATEDTOYOURACCESSING/USINGTHEPLATFORMORPLATFORMFUNCTIONALITY/SERVICESCONTRARYTOORBEYONDYOURRIGHTSHEREUNDER,OROTHERWISEARISINGFROMORRELATINGTOYOURUSE/ACCESSOF/TOTHEPLATFORMAND/ORPLATFORMFUNCTTIONALITY/SERVICES. 6.OwnershipRights.Subjectonlytotheverylimitedrightsexpresslygrantedtoyouabove,Ramboll,and,totheextentapplicable,itsthird-partylicensors(whichmayinclude,withoutlimitation,Ramboll’sAffiliates),reserve(s)allownership,intellectualpropertyandotherrights,titleandinterestinandtothePlatformandPlatformFunctionality/Services,including,butnotlimitedto,anyprocessorsoftwarecomprisingelementsofthePlatformorPlatformFunctionality/Services(e.g.sourcecode),derivativeworksthereof,relatedworkproduct,algorithms,documentation,licensedmaterials,aswellasanythingelsedevelopedordeliveredbyoronbehalfofRamboll. Inaddition,unlessexpresslystatedotherwiseinawrittenagreementexecutedbyRamboll,RambollshallownallrightstoanyresultantdatageneratedbyyouraccesstooruseofthePlatformorPlatformFunctionality/Services. Withoutlimitingtheforegoing,Rambollshallhavearoyalty-free,worldwide,transferable,sublicensable,irrevocable,perpetuallicensetouseorincorporateintothePlatformorPlatformFunctionality/Servicesanysuggestions,enhancementrequests,recommendationsorotherfeedbackprovidedbyyourelatingtothePlatformorPlatformFunctionality/Services. 7.Access/UseAsIsandWithoutWarranty.ANYANDALLRIGHTSTOACCESSORUSEOFTHEPLATFORMORPLATFORMFUNCTIONALITY/SERVICESTHATRAMBOLLGRANTSTOYOUHEREUNDERARE“ASIS.” NEITHERRAMBOLL,NOR,TOTHEEXTENTAPPLICABLE,ITSTHIRD-PARTYLICENSORS,MAKEANYREPRESENTATIONORWARRANTYWHATSOEVER,EXPRESSORIMPLIED,REGARDINGTHEPLATFORMORPLATFORMFUNCTIONALITY/SERVICES(ORYOURACCESSTHERETOORUSETHEREOF),OROTHERWISE,INCLUDING,WITHOUTLIMITATION,ANYWARRANTYOFDESIGN,FITNESSFORPURPOSE,MERCHANTABILITY,NONINFRINGEMENT,TITLE,ORANYWARRANTYORSTATUTORYRIGHTSTHATMAY,ORMAYBEALLEGEDTO,ARISEFROMACOURSEOFDEALING,COURSEOFPERFORMANCEORINDUSTRY/TRADEUSAGE,AND,FURTHER,RAMBOLLEXPRESSLYDISCLAIMSANYANDALLSUCHWARRANTIESORSTATUTORYRIGHTSTOTHEEXTENTPERMISSABLEUNDERAPPLICABLELAW. Bywayofexample,butwithoutlimitation,RambolldoesNOTrepresentorwarrantthat: dataorotherinformationrelatedtothePlatformorPlatformFunctionality/Services(whethergenerated/providedbyRamboll,youorathirdparty)isaccurate;thePlatformorPlatformFunctionality/Serviceswillmeetyourrequirements;thePlatformorPlatformFunctionality/Servicesmaybeaccessedorusedwith/incombinationwithanyparticularcomputer/deviceornetworkhardware,software,system,etc.(whetherthatofRamboll,youorathirdparty);oryouraccesstooruseofthePlatformorPlatformFunctionality/Serviceswillbeuninterruptedorfreefromthird-partyhackingorothersimilarthird-partyconductintendedtodisruptaccesstoand/oruseofthePlatformorPlatformFunctionality/Servicesand/ortogainunauthorizedaccesstothePlatformorotherplatforms/systems. Inturn,andwithoutinanywaylimitinganyotherlimitationonRamboll’s,Ramboll’sAffiliates’or,totheextentapplicable,itsthird-partylicensors’(which,again,mayincludeitsAffiliates)liability,youacknowledgeandagreethatneitherRamboll,norRamboll’sAffiliates’,nor,totheextentapplicable,itsthird-partylicensors,shallbeheldliableorotherwiseareresponsibleinconnectionwithanyoftheforegoing. Youfurtheracknowledgeandagreethattheinternetisnotanerrorfreenetworkandthattheinternetandanyportionthereof,and,inturn,thePlatformandPlatformFunctionality/Services,maybecomewhollyorpartiallyinaccessible,inoperable,unusableand/orotherwisefailatanytime,andthatintendedinternettransmissions/transactionsmaynotbeabletobecompletedand/ormaycontainerrorsoromissions,andyouacknowledgethatneitherRamboll,norRamboll’sAffiliates,nor,totheextentapplicable,itsthird-partylicensors,shallbeliableorotherwiseresponsibleforsame.   AlthoughRamboll,atitssolediscretion,mayelecttomakeupdatesand/orfixestothePlatformorPlatformFunctionality/Services,youacknowledgeandagreethatRambollhasnoobligationwhatsoevertodoso. 8.THISSECTIONINTENTIONALLYISLEFTBLANK–CONTIUNETONEXTSECTION.       9.LimitationofLiability. EXCEPTTOTHEEXTENTPROHIBITEDUNDERAPPLICABLELAW,NEITHERRAMBOLLNORRAMBOLL’SAFFILIATESSHALLBELIABLEOROTHERWISERESPONSIBLETOYOUORANYTHIRDPARTYFORANYDAMAGE/LOSSRESULTINGDIRECTLYORINDIRECTLYFROMOROTHERWISERELATEDTOTHEPLATFORMORPLATFORMFUNCTIONALITY/SERVICES(INCLUDING,WITHOUTLIMITATON,YOURACCESSORUSETHEREOFORINABILITYTOACCESSORUSESAME,ORTHEPERFORMANCEORNON-PERFORMANCETHEREOF),INCLUDING,FOREXAMPLE,BUTWITHOUTLIMITINGTHEFOREGOING,ANYSPECIAL,INDIRECT,INCIDENTAL,CONSEQUENTIAL,PUNITIVEOREXEMPLARYDAMAGESBASEDONCLAIMSRELATEDTOTHEPLATFORMORTHEPLATFORMFUNCTIONALITY/SERVICES,REGARDLESSOFTHETHEORYOFLIABILITY,EVENIFRAMBOLLHASBEENEXPRESSLYADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES,ORFORANYLOSSOFREVENUES,LOSSOFPROFITS,LOSSOFBUSINESS,LOSSOFDATAORINFRINGEMENTARISINGFROMORRELATINGTOYOURACCESSTOORUSEOF,ORINABILITYTOACCESSORUSE,THEPLATFORMORPLATFORMFUNCTIONALITY/SERVICES,ORTHEPERFORMANCEORNONPERFORMANCETHEREOF.   IFYOUOBJECTTOANYPROVISIONOFTHESETERMSOFUSEORANYSUBSEQUENTMODIFICATIONSHERETO,ORBECOMEDISSATISFIEDWITHTHEPLATFORMORPLATFORMFUNCTIONALITY/SERVICESINANYWAY,YOURONLYRECOURSEISTODISCONTINUEACCESSTO/USEOFTHEPLATFORMANDPLATFORMFUNCTIONALITY/SERVICES. TOTHEEXTENTTHEFOREGOINGLIMITATIONSONLIABILITY,ORANYOTHERLIMITATIONONLIABILITYSETFORTHINTHESETERMSOFUSE,AREHELDBYACOURTOROTHERTRIBUNALOFCOMPETENTJURISIDCTIONTOBEUNENFORCEABLEASWRITTEN,THEN,INACCORDANCEWITHPARAGRAPH20HEREINBELOW,THEYSHALLBEENFORCEABLEANDENFORCEDTOTHEMAXIMUMEXTENTPERMITTEDBYAPPLICABLELAW,AND,TOTHEEXTENTPERMITTEDUNDERAPPLICABLELAW,INNOEVENTSHALLRAMBOLL’SAND/ORRAMBOLL’SAFFILIATES’AGGREGATE/TOTALLIABILITYTOYOUINRELATIONTOTHEPLATFORMORPLATFORMFUNCTIONALITY/SERVICES(INCLUDING,WITHOUTLIMITATION,YOURACCESSORUSETHEREOFORINABILITYTOACCESSORUSESAME,ORTHEPERFORMANCEORNON-PERFORMANCETHEREOF)EXCEEDEUR500.00ORANEQUIVALENTAMOUNTINANOTHERCURRENCY. 10.ForceMajeure.WithoutinanywaylimitingtheremaininglimitationsonRamboll’sandRamboll’sAffiliates’liabilityandresponsibilitysetforthherein,neitherRamboll,norRamboll’sAffiliatesshallbeliableinanywaybecauseofanydelayorfailureinperformanceduetocircumstancesorcausesbeyonditscontrol,whichshallbedeemedtoinclude,withoutlimitation,strike,lockout,embargo,epidemicorotheroutbreakofdisease,riot,war,actofterrorism,flood,fire,actofGod/nature,accident,failureorbreakdownofcomponentsnecessaryforcompletion,Client,subcontractororsupplierdelayornon-performance,inabilitytoobtainorshortagesinlabor,materials,protectivegear,othersupplies,ormanufacturingfacilities,compliancewithanylaw,orcircumstancesorconditionswhichinthediscretionofRambollmayposeamaterialrisktothehealthorsafetyoftheemployeesofRamboll,itsAffiliatesoritssubcontractors.   11.ReportingRequirements.Youmayberequiredbylawtoreportinformationderivedfromyouraccessto/useofthePlatformorPlatformFunctionality/Servicestocertainagenciesand/orothers. Rambollisnotresponsibleforadvisingyouaboutyourreportingobligations,andyouagreethatyoushallberesponsibleforallsuchreporting. TotheextentRambollhasanindependentdutytoreport,itmayendeavor,butisnotobligated,toprovideyouwithadvancenoticebeforedoingso.   12.RambollUse/DisclosureofPlatform/PlatformFunctionality/ServicesAccess/UsageInformation;Platform/PlatformFunctionality/ServicesMonitoring. Rambolland/orpersons/entitiesactingonRamboll’sbehalfmaycollectstatisticaland/orotherdata/informationrelatedtoyouraccesstoand/oruseofthePlatformorPlatformFunctionality/Services(“UsageData”)consistentwiththeprivacydisclosures/noticeswithinthePlatformPrivacyPolicyandtheseTermsofUse. WithoutlimitingRamboll’suseofdata/informationinaccordancewiththePlatformPrivacyPolicy,youexpresslyandspecificallyacknowledgeandagreethatRambollmayutilizeanddiscloseallfullyanonymizedUsageData(whetherreceivedinde-identifiedformorsorenderedbyRamboll)regardingthePlatformorPlatformFunctionality/ServicesforanypurposesinconnectionwithRamboll’sbusiness,including,butnotlimitedto,productdevelopment,benchmarking,operations,marketingandresearchandanalyticalpurposes. AsbetweenyouandRamboll,RambollshallownallintellectualpropertyrightsinanythingcreatedbyRambollutilizingUsageData. Inaddition,RambollreservestherighttootherwisemonitorthePlatformandPlatformFunctionality/ServicestofacilitateoperationofthePlatformandPlatformFunctionality/Services,tohelpresolveservicerequests,todetectandaddressthreatstothefunctionality,security,integrityandavailabilityofthePlatformand/orPlatformFunctionality/Services,aswellasanycontent,dataorapplicationsonorrelatedtothePlatformand/orPlatformFunctionality/Services,tovalidateyourcompliancewiththeseTermsofUse,andtodetectandaddressillegalorimproperactsormisuse. YouagreethatRamboll’smonitoringofthePlatformand/orPlatformFunctionality/Services(includingyourusage)doesnotimposeanyobligationorresponsibilityonRambolltomonitoryouroranythirdparty’susageofthePlatformand/orPlatformFunctionality/Services,orotherwise. 13.DataPrivacy.Excepttotheextentotherwisepermittedunderapplicablelaw,RambollwillprocessyourpersonaldataonlyasdescribedinthePlatformPrivacyPolicyandintheseTermsofUse. Youagree,representandwarrantthatyouwilllimityourdisclosuretoRambollofinformationthatis,orthatyouconsidertobe,yourorathirdparty’spersonaldata/informationtotheminimumextentnecessaryforRambolltoprovideyouwithaccesstoand/oruseofthePlatformandPlatformFunctionality/Servicestotheextenttowhichyouaregrantedaccess/usehereunder. Yourepresentandwarrantthat,totheextentyouprovideyourorathirdparty’spersonaldata/informationtoRamboll,youhavereceivedandprovidedallconsentanddisclosures/noticesrequiredunderapplicablelaw. 14.CompliancewithLawsandStandardsofConduct. a.Bribery,CorruptionandinGeneral.Youagree,representandwarrantthatyouareinandwillmaintaincompliancewithandtakereasonablemeasurestoensurethatyourpersonnel,subcontractors,agentsandotherssubjecttoyourcontrolordetermininginfluenceareinandmaintaincompliancewithallapplicablelaw,includingspecifically,butwithoutlimitingtheforegoing,thoserelatingtobriberyorcorruption,andthatyouwillinformRambollwithoutunduedelayifyouoranyofthemhavebeenorarehereafterinvestigatedfororchargedwithbribery,corruptionorsimilarconductbyanyagencyortribunalofcompetentjurisdiction(e.g.,undertheUSForeignCorruptPracticesActorUKBriberyAct). Youalsoagree,representandwarrantthatyouareinandwillmaintaincompliancewithandtakereasonablemeasurestoensurethatyourpersonnel,subcontractors,agentsandotherssubjecttoyourcontrolordetermininginfluenceareinandmaintaincompliancewiththestandardsprovidedintheconventionsoftheUnitedNationsandOECDConventiononCombatingBriberyofForeignPublicOfficialsinInternationalBusinessTransactions,totheextentapplicable. b.ExportControlandSimilarLaws.Asusedherein,“ExportControlLaws”means(1)allapplicablelawsoftheUnitedStatesofAmericarelatingtotheexportorre-exportofcommodities,technologies,products/servicesand/orinformation,including,forexample,butwithoutlimitation,theExportAdministrationActof1979,theInternationalEmergencyEconomicPowersAct,theTradingwiththeEnemyAct,theArmsExportControlAct,theInternationalBoycottProvisionsofSection999oftheU.S.InternalRevenueCodeof1986(asamended),andregulationspromulgatedbytheU.S.DepartmentoftheTreasury’sOfficeofForeignAssetControl(a/k/aOFAC),(2)allapplicabletradecontrollegislationoftheEuropeanUnion,including,forexample,butwithoutlimitation,Regulation(EC)No428/2009(asamended)onsettingupaCommunityregimeforcontrolofexports,transfer,brokeringandtransitofdual-useitems(a/k/a“Dual-useregulation”)aswellasanyapplicablerulesandregulationslaiddownorimplementedinthememberstatesoftheEuropeanUnion,and(3)totheextentapplicable,theanalogouslawsofanyandallotherapplicablejurisdictions. YouacknowledgethatthePlatformandPlatformFunctionality/Services/Platformtechnology(andanydirectorindirectproductderivedtherefrom)areormaybesubjecttoExportControlLaws. Inturn,andwithoutlimitinganyotherprovisionoftheseTermsofUse,youagree,representandwarrantthatyouwillnot,andthatyouwilltakereasonablemeasurestoensurethatyourpersonnel,subcontractors,agentsandotherssubjecttoyourcontrolordetermininginfluencedonot,use,distribute,divert,transferortransmit,orpermitorfacilitateanyotherpersonorentitytouse,distribute,divert,transferortransmit,anyproduct/service,technology,data,information,material,softwareorotherthingwhatsoeverderivedfromthePlatformorPlatformFunctionality/Services/Platformtechnology(evenifincorporatedintootherproducts/services,technology,data,information,material,softwareorotherthings),exceptincompliancewithandasauthorized/permittedbysuchExportControlLaws,and,ifrequestedbyRamboll,youagree,representandwarrantthatyouwillexecutealldocumentsandprovidesuchotherassistanceasmaybereasonablyrequestedbyRambollinordertocomplywithsuchlaws,includingobtaininganyexportlicensesorpermitsasmayberequiredundertheapplicableExportControlLaws. Youfurtheragree,representandwarrantthatyouwillnot,andthatyouwilltakereasonablemeasurestoensurethatyourpersonnel,subcontractors,agentsandotherssubjecttoyourcontrolordetermininginfluencedonot,use,distribute,diverttransferortransmit,orpermitorfacilitateanyotherpersonorentitytouse,distribute,diverttransferortransmit,anyproduct/service,technology,data,information,material,softwareorotherthingwhatsoeverderivedfromthePlatformorPlatformFunctionality/Services/Platformtechnology(evenifincorporatedintootherproducts/services,technology,data,information,material,softwareorotherthings)forthepurposeoforinconnectionwiththedevelopment,production,handling,operation,maintenance,storage,detection,identificationordisseminationsofnuclear,chemicalorbiologicalweaponproliferationordevelopmentofmissiletechnologyenablingdevelopment,production,maintenanceorstorageofmissilescapableofdeliveringsuchweapons. c.SanctionsCompliance.Totheextentnotalreadycoveredabove,yourepresentandwarrantthatneitheryou,nor,asapplicable,anyofyouremployers,affiliates,subsidiaries,agentsorparentcompanies,noranyofyourortheirshareholders,partners,members,directors,officers,personnel,orotheragents,noranyotherpersonorentityhavingadirectorindirectownershiporcontrollinginterestinyouorthem,are(i)apersontargetedbyeconomic,tradeorfinancialsanctionslaiddown,administeredorenforcedbytheUnitedNations,theUnitedStates,theEuropeanUnionoritsMemberStates,theUnitedKingdomoranyotherjurisdictionthatisapplicabletothePlatformorPlatformFunctionality/Services/Platformtechnologyoryourusethereof,including,butnotlimitedto,personsdesignatedontheU.S.DepartmentoftheTreasury,OfficeofForeignAssetsControl’sListofSpeciallyDesignatedNationalsandOtherBlockedPersonsandConsolidatedSanctionsList,theU.S.StateDepartment'sNon-proliferationSanctionsLists,theUNFinancialSanctionsLists,theEU'sConsolidatedListofPersons,GroupsandEntitiesSubjecttoEUFinancialSanctions,andtheUKHMTreasuryConsolidatedListsofFinancialSanctionsTargets;or(ii)directlyorindirectlyownedorcontrolledbyanysuchperson(eacha“RestrictedPerson”).Youagree,representandwarrantthatyouwillnotifyRambollinwritingimmediatelyifyouor,asapplicable,anyofyouremployers,affiliates,subsidiaries,orparentcompanies,oranyofyourortheirshareholders,partners,members,directors,officers,personnel,orotheragents,oranyotherpersonorentityhavingadirectorindirectownershiporcontrollinginterestinyouorthem,becomesaRestrictedPersonorifyouortheybecomedirectlyorindirectlyownedorcontrolledbyoneormoreRestrictedPersons. Inaddition,totheextentnotalreadycoveredabove,youagree,representandwarrantthatyouwillnot,andthatyouwilltakereasonablemeasurestoensurethatyourpersonnel,subcontractors,agentsandotherssubjecttoyourcontrolordetermininginfluencedonot,use,distribute,divert,transferortransmit,permitorfacilitateanyotherpersonorentitytouse,distribute,divert,transferortransmit,anyproduct/service,technology,data,information,material,softwareorotherthingwhatsoeverderivedfromthePlatformorPlatformFunctionality/Services/Platformtechnology(evenifincorporatedintootherproducts/services,technology,data,information,material,softwareorotherthings)inactivitywith,for,onbehalfof,orforthebenefitof,aRestrictedPersonorotherindividual,entity,territoryororganizationtargetedforsanctionand/orembargobyEuropeanorUnitedStatesauthorities,asapplicable,orotherapplicablesanctionsregimes,or,totheextentnotalreadycoveredabove,inactivitydirectlyorindirectlyinvolvingCuba,Iran,NorthKorea,Sudan,SyriaorCrimea/Sevastopol.    d.Termination/IndemnificationforNon-CompliancewithLaws.WithoutlimitinganyotherofRamboll’srightstoterminatesetforthhereinorotherwise,Rambollmayterminateyouruseof/accesstothePlatformandPlatformFunctionality/Services/Platformtechnologyandallotheragreementsandrelationshipswithyoueffectiveimmediatelyandwithoutliabilityorobligationwhatsoever,if: i.you,yourpersonnel,subcontractors,agentsorotherssubjecttoyourcontrolordetermininginfluenceengageinbribery,corruptionorsimilarconduct,orarechargedwithsuchconductbyanyagencyortribunalofcompetentjurisdiction;  ii.youfailtocomplywithyourobligationsundertheimmediatelyprecedingsubsectionsathroughc; iii.therepresentationsandwarrantiessetforthintheimmediatelyprecedingsubsectionsathroughc,atanytime,becomeuntrueorRambollhasreasonableandspecificgroundstobelievethattheyhavebecomeuntrueortoexpectthattheywillbecomeuntrue; iv.Rambolldetermines,initssoleandabsolutediscretion,that,bycontinuingtoprovidetoyouaccessto/useofthePlatformorPlatformFunctionality/Services/Platformtechnologyorotherwisemaintainitsrelationshipwithyouwould(i)contravene,orriskcontraveninganyapplicableinternational,national,state,localorequivalentlaw,including,withoutlimitation,ExportControlLawsor(ii)besanctionableundertheeconomic,tradeandfinancialsanctionsadministeredandenforcedbytheUnitedNations,theUnitedStates,theEuropeanUnionanditsMemberStates,ortheUnitedKingdom;or v.anytransactionrelatedtothePlatform,PlatformFunctionality/Services/Platformtechnologyorthetermsunderwhichyouaregrantedaccessthereto,including,withoutlimitation,theseTermsofUse,iswithheld,refused,declinedorotherwisepreventedbyanyofRamboll’soritsAffiliatesbanksorifRambolldeterminesingoodfaiththatitscreditfacilitiesorotherbankingrelationshipsmaybemateriallyadverselyimpactedbasedonconcernsthatyouhaveengagedinconductinconsistentwiththetextorspiritofthisparagraph14. Inaddition,youagreetoindemnifyandholdharmlessRambollanditsAffiliatesfromanyclaims,damages,liabilities,penalties,costs,fees,expensesandotherlosseswhatsoeverincurredasaresultof:  i.youengaginginbribery,corruptionorsimilarconduct,orbeingchargedwithsuchconductbyanyagencyortribunalofcompetentjurisdiction;  ii.youfailingtocomplywithyourobligationsundertheimmediatelyprecedingsubsectionsathroughc;or iii.therepresentationsandwarrantiessetoutintheimmediatelyprecedingsubsectionsathroughc,atanytime,becominguntrue. 15.Taxes. Youshallberesponsibleforallsalestaxes,usetaxes,valueaddedtaxes,duties,levies,andsimilartaxesorimpositionsimposedbyanytaxingauthority/jurisdictioninrelationtoyouraccessto/useofthePlatformand/orPlatformFunctionality/Services. Totheextentthatyouraccessto/useofthePlatformand/orPlatformFunctionality/Servicesconstituteproductsorservicesprovided/performedinacountrywhereRambollhasnopermanentestablishment,youshallpay(orreimburseRambollfor)allwithholdingtaxesorsimilarimpositionsimposedbyanytaxingauthority/jurisdictioninrelationtoyouraccessto/useofthePlatformand/orPlatformFunctionality/Services. 16.ModificationofTermsofUseandTermination. a.RighttoModifyandTerminate.Rambollreservestherightto,atanytime,(i)modifytheseTermsofUse(including,withoutlimitation,thePlatform-TermsLandingPage)withoutadvancenotice(exceptthatadvancenoticewillbeprovidedwhererequiredbyapplicablelaw),(ii)discontinueorotherwisemodifyanypartofthePlatformand/orPlatformFunctionality/Services,includingyouraccessthereto/usethereofand/or(iii)terminatetheseTermsofUseandyouraccesstoanduseofthePlatformand/orPlatformFunctionality/Serviceswithoutadvancenotice(exceptthatadvancenoticewillbeprovidedwhererequiredbyapplicablelaw),withorwithoutcauseandregardlessofwhetherornotbasedonaspecificreservationoftherighttoterminatestatedelsewhereherein,andRambollshallnotbeliabletoyouoranythirdpartyforanyoftheforegoing.  b.EffectofModification. ModificationoftheseTermsofUse(again,including,withoutlimitation,thePlatform-TermsLandingPage)byRambollwillbeeffectuatedbyupdatingthemand,whererequiredbyapplicablelaw,providingadvancenoticeofsuchmodification. Suchmodificationwillbeeffectiveimmediatelyuponupdate,andyourcontinueduseofanypartofthePlatformorthePlatformFunctionality/Servicesthereaftershallconstituteyouracceptanceofthosemodifications. Thus,youshouldaccessandreviewtheseTermsofUse(including,withoutlimitation,thePlatform-TermsLandingPage)regularly. c.EffectofTermination. NeitherexpirationnorterminationoftheseTermsofUseshallterminateyourobligationsorRamboll’srightsundertheseTermsofUsewhich,bytheirnature,areintendedtosurvivesuchexpirationortermination.Withoutlimitingtheforegoing,yourobligationsandRamboll’srightsundersections4,5,6,7,12,14,15,17,18and22shallsurvivetheexpirationorterminationoftheseTermsofUse,regardlessofwhensuchexpirationorterminationbecomeseffective. 17.Notices.AnynoticesgiventoyouhereunderwillbesenttotheemailaddressassociatedwithyouruseofthePlatformandPlatformFunctionality/Services. 18.NoWaiver.ThefailurebyRambolltoinsistuponstrictcompliancewithanyprovisionoftheseTermsofUseshallinnowayconstituteawaiverofanyofyourobligationsorRamboll’srightshereunder,whetheratlaworinequity,including,withoutlimitation,therighttoinsistonstrictcompliancethereafter. 19.Assignment.Excepttotheextentofassignmentrightsguaranteedbyapplicablelaw,yourobligationsandrightshereunderarenotassignable. Ramboll’sobligationsandrightshereunder,ontheotherhand,arefreelyassignablewithoutnotificationorrestriction. 20.NoAgency.Nothingcontainedhereinshallbeconstruedascreatinganagency,jointventure,partnershiporsimilarrelationshipbetweenyouandRamboll.   21.Validity.If/totheextentanyprovisionoftheseTermsofUseisheldtobeunenforceablebyacourtorothertribunalofcompetentjurisdiction,suchprovisionshallbeenforcedtothemaximumextentallowedbylawconsistentwiththetermshereofandtheremainderoftheseTermsofUseshallcontinueinfullforceandeffect. 22.GoverningLaw,ChoiceofForum,DisputesResolution.TheseTermsofUse,anyandallothertermsandconditionsgoverningyouraccesstooruseofthePlatformand/orPlatformFunctionality/ServicesandyouraccesstoanduseofthePlatformand/orPlatformFunctionality/Servicesingeneralshallbeconstruedunder/governedbythelawsoftheDisputeResolutionJurisdiction(asdefined/identifiedinthePlatform-TermsLandingPage),withoutregardtotheconflictoflawsrulesofthatjurisdictionoranyotherjurisdiction. AnydisputeorcontroversyrelatingtotheseTermsofUse,anyandallothertermsandconditionsgoverningyouraccesstooruseofthePlatformand/orPlatformFunctionality/ServicesoryouraccesstoanduseofthePlatformand/orPlatformFunctionality/Servicesingeneral,thatcannotberesolvedamicablyshallberesolvedbybindingarbitrationbefore/undertheDisputeResolutionForum/Rulesdefined/identifiedinthePlatform-TermsLandingPage,andjudgmentonadecisionorawardrenderedbythearbitrator(s)maybeenteredinanycourtorothertribunalofcompetentsubjectmatterjurisdiction(whetherlocal/state,federal/national,orotherwise)sittingintheDisputeResolutionJurisdiction. UnlessotherwiseagreedtobyRamboll,(i)thearbitrationproceedingsshallbepresidedoverbyasinglearbitrator,unlesstheamountincontroversyexceedsEUR500,000.00oranequivalentamountinanothercurrency,inwhichcase,thenumberofarbitratorsshallbethree,oneappointedbyeachpartyandthethirdappointedbymutualagreementoftheothertwoand(ii)anyandalldepositions,oralargument,hearings,orsimilarpersonalappearancesshalltakeplaceintheDisputeResolutionJurisdiction,or,atRamboll’selectioninitssolediscretion,inthejurisdictioninwhichthesubjectproducts/servicesprimarilyareprovided. Anydecisionorawardbythearbitrator(s)shallbefinalandbinding,and,exceptinthecaseoffraudorgrossmisconductbythearbitrator(s),nodecisionorawardrenderedbythearbitrator(s)shallbeappealable.IfRambollistheprevailingpartyinsucharbitrationproceedings,thearbitrator(s)shallhavediscretiontorequireyoutoreimburseRambolland,totheextentapplicable,Ramboll’sAffiliatesforalloraportionofthecostsandfeesincurredinrelationtosucharbitration,includingarbitrators’fees,administrativefees,attorney’sfees,andotherreasonableout-of-pocketcosts.Thearbitrationproceedingsandarbitrationawardshallbemaintainedbyyouandthearbitrator(s)asstrictlyconfidential,exceptasisotherwiserequiredbylaw,anorderfromacourtorothertribunalofcompetentjurisdiction,orasisnecessarytoconfirm,vacateorenforceanyarbitralawardorfordisclosureinconfidencetotheyourauditors,attorneys,insurers,taxadvisorsandsimilarprofessionalswhothemselvesagreetomaintainconfidentiallyinaccordancewiththissubparagraph. Rambollshallnotbesubjectedtotheforegoingarbitrationrequirementsintheeventofanalleged,actualorthreatedbreachofanobligationthatisreasonablylikelytoresultinirreparableharmtoRambollabsentimmediateinjunctiverelief. Insuchevent,RambollimmediatelymaypursuebycivilactioninandobtainfromanycourtorothertribunalofcompetentsubjectmatterjurisdictionsittingintheDisputeResolutionJurisdiction,or,atRamboll’selectioninitssolediscretion,inthejurisdictioninwhichthesubjectproducts/servicesprimarilyareprovided,injunctiveandotherequitablerelieftoremedyanysuchbreachorthreatenedbreach,whichremedy(ies)shallnotbeexclusive,but,rather,shallbeinadditiontoallotherremediesandrightsavailableatlaw,inequity,orotherwise. IfRambollistheprevailingpartyinanysuchcivilaction,Rambolland,totheextentapplicable,Ramboll’sAffiliatesshallbeawardeditscostsandfeesincurredinsuchcivilaction,includingattorney’sfeesandotherreasonableout-of-pocketcosts.
