LegalPlatformTermsOverviewRegistrationPostingBriefsandExclusivityRespondingtoBriefsSelectionofBriefsandContractingContractformationProductionFeesandPaymentCancellingBriefsFeespayablebyClientinrelationtoCancellingBriefsClientAssetsIntellectualPropertyClientUsageRightsandAdditionalClearanceFeesDealingbetweenus,theClientandtheCreatorResponsibleContractingConfidentialityGeneralGeneroIntellectualPropertyYourUseofthePlatformandContentStandardsCopyrightInfingement-TakedownProceduresAvailabilityofthePlatformNoRelianceonInformationLinkstoOtherPlatformsorthePlatformComputerVirusesLimitationofLiabilityTerminationofSuspensionAssignmentMiscellaneousDefinitionsImportant.Wherethesetermshavebeentranslatedtohelpwithlocallanguageunderstanding,theEnglishversionofGenero'stermsavailableatgenero.com/termsshallalwaysprevail.TheseTerms.ThesetermsandanyagreedadditionaltermssuchassubscriptionpackagesandpricingthatwillapplytoyouruseofthePlatform(togetherTerms)governyourrelationshipwithGeneroMediaPtyLtd(ACN130705967)anditssubsidiaries(we,our,us,Genero)unlessyou,ortheorganisationyourepresent,hasenteredintoaseparatebindingcontractwithus.OtherApplicableTerms.OurPrivacy&CookiesPolicy,whichsetsout:(a)thetermsonwhichweprocessanypersonaldatawecollectfromyou,orthatyouprovidetous;and(b)informationabouttheuseofcookiesonthePlatform,willalsoapplytoyouruseofthePlatform.ByusingthePlatform,youconsenttosuchprocessingandyouwarrantthatalldataprovidedbyyouisaccurate.ChangestoTheseTerms.FromtimetotimewemayupdatetheseTerms(includingbywayofAdditionalTermsorpolicies).Wewillnotifyyouinwritingofanymaterialchangestoourterms(includingviaemailandpopupnoticesonthePlatform).IfyoucontinuetousethePlatformfollowingreceiptofsuchnotice,youwillbedeemedtohaveacceptedtheupdatedTerms.RegistrationYoumayuseelementsofthePlatformbysimplyvisitingourwebsite,butaccesstomostofthePlatformisavailableonlytoregisteredusers.InordertoregistertousethePlatformyoumustbeatleast18yearsofage.ByregisteringtousethePlatform,yourepresentandwarrantthatthisisthecase.Withoutprejudicetotheforegoing,ifreasonablyrequestedbyusorifrequiredbyClientinrelationtouseofaparticularaspectofthePlatform,youagreetopromptlyprovideusand/ortherelevantClientwithacertifiedcopyofgovernmentissuedIDverifyingyouridentityincludingbutnotlimitedtoyourage,photoandaddress.YouagreethatyouwillprovidetruthfulandaccurateinformationwhenregisteringtousethePlatform.Thedecisiontoacceptaregistrationisinourdiscretionandwemayrevokearegistrationatanytime.YoumaynotregistertousethePlatformifyouarealreadyregisteredorifyouwerepreviouslyaregistereduserandwecancelledyouraccountasaresultofyoubeinginbreachoftheseTerms.Youareresponsibleformaintainingtheconfidentialityofyourpassword,accountinformationandanyExternalReviewLinksgeneratedbyyou,andyouaresolelyresponsibleforallactivitiesthatoccurunderyourpassword,accountoranExternalReviewLinkgeneratedbyyou,andforanyaccesstooruseofthePlatformbyyouoranypersonorentityusingyourpasswordoranExternalReviewLinkgeneratedbyyou,whetherornotsuchaccessorusehasbeenauthorisedbyyou.Youmustimmediatelynotifyusofanyunauthoriseduseofyourpasswordoraccount,anExternalReviewLinkgeneratedbyyou,oranyotherbreachofsecurity.Wewillnotbeliableforanylossordamagewhatsoeverresultingfromthedisclosureofyourusernameand/orpasswordcontrarytotheseTerms.Youareresponsibleforensuringthattheinformationweholdaboutyouisuptodate.PleaseamendyourdetailsviathePlatformasappropriatefromtimetotimeorcontactusifyourequireassistance.PostingBriefsandExclusivityBycreatingandpostingaBrief,aClientwarrantsthat:itintendsingoodfaithtoselectaResponse;theBriefdescribesitsrequirementsasaccuratelyaspossibleandinsufficientdetailfortheCreatortodeterminewhethertheCreatorBudgetwillbeadequateremuneration;ithastheauthorityandfundstopaytheBudget,anyapplicablefeesandanyTaxes;andwhereitpostsmaterialsaspartofaBriefthatwouldordinarilybeclassifiedasaClient'stradesecrets/knowhow,productspecificationsoranythingelseaClientwouldseektoclassifyasitsconfidentialinformation,theClienthasreviewedallsuchmaterialsandissatisfiedthatpostingthematerialstoaBriefmaymakethempubliclyavailabletoCreators.IfaClientpostsaBriefusingthePlatformtheClientagreesthatuptoandincludingtheResponseDeadlinethat:theBriefshallbeexclusivetothePlatformandtheClientwillonlysolicitresponsestotheBriefviathePlatform.withoutlimitingthesub-paragraph2.2.1above,theBriefshallnotappearonorbecommunicatedviaanyotherwebsites,platformsorthirdpartyservicessaveonasolelypromotionalbasis;andanypromotionreferredtointhesub-paragraph2.2.2abovewillincludealinktothePlatformastheexclusivepointofcontactforresponsestotheBrief.RespondingtoBriefsSomeBriefsmaybelimitedintheiravailabilitytocertainCreatorsonly(eg.basedonlocation,skills,orduetoconfidentiality).ACreatormustpostitsResponsepriortotheResponseDeadline.However,wereservetheright,atoursolediscretion,toacceptorrefusetoacceptlateResponses.AlldatesandtimesareGreenwichMeanTime(GMT)unlessotherwisestated.ItistheCreator'sresponsibilitytoconvertthetimeanddatetoitslocaltimezone.BypostingaResponse,aCreatorofferstocontractwiththerelevantClientandus(totheextentapplicable)fortheproductionanddeliveryoftheProductiononthetermsandconditionssetoutintheBriefandthetermsandconditionssetoutintheseTerms.CreatormustnotdiscloseitsResponsetoanythirdpartyunlesstheyaredirectlyinvolvedintheCreator'sproduction.CreatormustnotincludeanymaterialsinaResponsewhichincorporatesworkfromanypreviouslycommissionedGeneroBriefsthatareyettobepublicdomain.SelectionofBriefsandContractingExceptassetoutintheBrief,theClientwillnotifytheCreatorviathePlatformwithin30daysoftheResponseDeadlineifCreator'sResponsewassuccessfulornot.IfaClienthasnotnotifiedaCreatorwithin30daysoftheResponseDeadline,CreatormayrequestinwritingthatitsResponseberemovedfromconsideration.Ifweand/ortheClientareunabletocommunicatewiththeCreator(eg.toselectorcommissionthem)within24hoursofsuchnotification,theClientreservestherighttowithdrawitsselectionoftheCreator'sResponseandcommissionanotherCreatorwithoutliabilityofusortheClienttotheCreator.NeitherweortheClientwillhaveanyliabilitytoaCreatorinrespectofafailurebytheClientforanyreasontoselectaResponse.BynotifyingaCreatorthatClienthasselectedtheCreator'sResponse,aClientacceptstheCreatorsoffertocontractreferredtoinclause3.3abovewiththeeffectthatabindingcontractarisesbetweentheCreator,theClientandus(totheextentapplicable)onthetermsandconditionssetoutherein.ClientsmustkeepallResponsesconfidentialandshallnotuseordiscloseanyResponsesforanypurposeotherthantoselectaResponse,otherthantopartiesassociatedwiththeBriefandtheClient'sprofessionaladvisorsandrelatedentities,servants,agentsandpersonnelandprofessionalrepresentatives(onaneed-to-knowandconfidentialbasisonly).OnceaResponsehasbeenaccepted,oriftheClientandCreatorotherwiseagree,ClientandCreatorconsenttousprovidingeachofClientandCreator'scontactdetailstoeachother.Notwithstandingparagraph4.6above,ClientandCreatormustensurethatallkeyongoingcommunicationrelatedtoanyProductioniscompletedonthePlatformviathemessagingandotherproductionmanagementtoolsprovided,asarecordforClientandCreator'sprotection.ContractformationUponthenotificationbyaClientthatithasselectedaResponseinaccordancewiththeseTerms,theClient,Creatorandus(whereapplicable)willautomaticallyenterintoacontractonthetermsoftheBriefandtheseTerms(Contract).Totheextentofanyinconsistency,anyprovisionsoftheBriefidentifiedasAdditionalTerms(providedsuchtermsarelocatedunderthedesignatedheadingof“AdditionalTerms”)willoverridethetermsoftheContract.Otherwise,thetermsoftheContractwilloverridetheBrief.ProductionTheCreatormustproduceanddelivertheProductioninaccordancewiththeBrief(including,theCreatorBudgetandproductionschedule).WewillhavenoliabilitywhatsoevertoeitherClientorCreatorifeitherdecidestostartworkontheProductionpriortoconfirmationthatthefullamountoftheBudgethasbeenreceivedbyus.Withoutlimitingparagraph6.1above,theCreatoragreestoproduce/editanddelivereachProductionwithreasonableskillandcareandinaccordancewith:goodindustrypracticetakingintoaccounttheCreatorBudget;allapplicablelaws;therelevantBrief;theCreator'sResponseincludinganyexamplesoftheCreator'sworkprovided;andtheClient'sreasonableinstructionsandspecificationstakingintoaccounttheCreatorBudget.TheCreatormustprovideallfacilities,assets,personnelandotherresourcesnecessarytoproduce/editanddelivereachProductionunlessotherwiseagreedwith,orstatedby,theClient.TheCreatoracknowledgesthatitissolelyresponsibleforallliabilityarisingduringtheproductionoftheProductionandthatneithertheClientoruswillbeliabletoanypartyinrelationtosuchproduction.TheCreatoragreestoprovideupto3roundsofchangesforofflinevideoedits,upto3roundsofchangesforonlinevideoedits,andupto2roundsofchangesforphotographyordesignedits,asrequestedbytheClientinrespectofeachProduction,unlessotherwiseagreedinwritingorstatedintheBrief.TheCreatorwillsupplydigitallyuploadedfilestothePlatformoftheProductioninaccordancewiththedeliverablessetoutintheBrief,withinthetimeframespecifiedintheBrief.TheCreatormustenterintoallrelevantProductionContractsinrelationtotheProduction.Withoutlimitingparagraph6.6above,theCreatorundertakesthatallpersonnelinvolvedin,andallcontributorsto(includingtalentandmusic),anyProductionwillsignreleaseformsandotherwrittenagreements(togetherProductionContracts)ifrequiredwhichwill:enabletheClient,itssuccessors,assigneesandlicenseestoexploittheProduction(oranypartofit)inallmedia,globallyandinperpetuity,subjecttotheusagelimitationsspecifiedintheBriefwhichonlyapplytotherightsoftalentandrelevant3rdpartycontributors(eg.musiccomposers)foranunlimitednumberoftransmissionsand/orexhibitionsandforthefullperiodofcopyright,withoutanyrequirementtopayanyfurthercosts(otherthanthosecontemplatedintheBrief);containexpresswaiversofand/orconsentstonotenforcesocalledmoralorsimilarrightsinconnectionwiththeProduction;andbefreeofanythirdpartylimitationsorresidualfeesunlessotherwiseagreedinwriting.WeprovidedigitalreleaseformtemplatestoassistintheprocessofconcludingProductionContracts.However,CreatorandClientacknowledgethateitherofourdigitalreleaseformsorareleaseformprovidedbytheClientmustbeused.Asbetweenus,theClientandCreator,Clientissolelyresponsiblefor:ensuringthattheCreatorhasobtainedallnecessaryProductionContractsand/orreleaseforms;ascertainingthattherightsobtainedpursuanttothesedocumentsaresufficientforClient'sproposedexploitationoftheProduction;andrequestinganynecessarycopiesand/orotherevidencefromtheCreatorforthesepurposes.TheCreatormustnotuseitsownProductionContractswithouttheexpressconsentoftheClient.CreatormustprovidecopiesoftheProductionContractstousand/ortherelevantClientuponrequest,includingcompletinganyworkflow(eg.digitalreleaseforms)thatisrequiredoftheCreatorviathePlatform.SubjecttoanyspecificrequirementsinAdditionalTermswithinaBrief,Creatorwillmaintaininforce,withareputableinsurancecompanyinsurancethatisreasonablysuitablefortheproductionoftheBriefandatlevelsthatarereasonabletakingintoaccounttheBriefandtheCreatorBudget.Suchinsurancemayinclude:i)errorsandomission/professionalindemnityinsurance(whichwillincludecoverpertainingtoaCreatorbreachofanythirdpartyIntellectualPropertyRightsandClienttradesecrets/knowhoworconfidentialinformation);ii)publicandproductliabilityinsurancetocovertheliabilitiesthatmayariseunderorinconnectionwithanyBrief;andiii)productioninsurance.Creatormust,onourortheClient'srequest,produceboththeinsurancecertificategivingdetailsofcoverandthereceiptforthecurrentyear'spremiuminrespectofeachinsurance.CreatorwarrantsthatitwilltakeoutallsuchinsurancepoliciesandthatsuchinsurancepolicieswillcoveritsparticipationinanyBrieftakingintoaccountthenatureoftheBriefandtheCreatorBudget.CreatoracknowledgesthatitalonewillbearthecostsofanyinsuranceexcessesordeductiblesandanyandallliabilityarisingfromanyfailuretoholdsuchinsuranceanditshallhavenoclaimagainstusortheClientinrespectofanylossesCreatorincurs.ClientwarrantsthatithascheckedandsatisfieditselfoftheCreator'sinsurancestatus,andwehavenoliabilitywhatsoevertoClientinrelationtosuchinsurance.CreatorwarrantsthatneitheritoranycontributortoanyProductionaresubjecttotherequirementsorobligationsofanyunion,guildorsimilarassociation(Union)or,ifCreatororanysuchpartyissubjecttoanyUnion,CreatorwarrantsandagreestofullycomplywithsuchUnion'srulesandpoliciesandCreatorindemnifiesandholdusandtheClientharmlessforanyUnionrelatedclaimswhatsoeverandhowsoevercaused.Creatoragrees:ifreasonablyrequestedbyusortheClient,toparticipateinpressphotography/filming,mediainterviewsand/orotherpromotional/publicityactivityinrespectofthePlatform,and/oranyProductionproducedbyCreator;andthatweand/ortheClientshallhavetherighttouseCreatororCreator'skeypersonnel'sname,likenessandbiographytopromotethePlatformand/oranyProductionproducedbytheCreator.CreatorundertakestonotifyaClientwhereitproposestoworkwithacelebrityorwell-knowntalentorsocialinfluencersinrelationtoanyProductionandfurtherundertakestonotdepictorrefertoanypersoninanyProductionwithouthavingfirstobtainedwrittenconsentforthedepictionorreferenceandtothemannerinwhichitismade.TheCreatorunderstandsandacknowledgesthatwhereaproductioninvolvesdomesticorinternationaltravel,thatthismustbefactoredintotheCreatorBudget(includingforcrew,equipmentandtalent)andthattheCreatorisresponsibleforobtaininganyrequiredvisasandlocalfilmingpermits.FeesandPaymentClientmustpayanyapplicablesubscriptionfeesapplicabletoanysubscriptionpackageacceptedbytheClient,theBudget,anyOveragesandanyotheramountspayablebyClientdirectlytousinaccordancewiththeContract.Clientmustpaytous:theBudgetamountbytheduedateasspecifiedviathePlatform.Generoreservestherighttodetermine(onacasebycasebasis)whethernewClientsarerequiredtopayapercentageoforthefullBudgetpriortothepublicationofanyBrief;anyOveragesandtheapplicableGeneroFees,onagreementofsuchOverages;andanycostsandexpensessetoutintheBrief(including,withoutlimitation,costsofharddriveandcourierinrelationtoRusheswherespecifiedintheBrief),bythepaymentmethodandcurrencystipulatedviathePlatformorapplicableinvoice(whichmaybeupdatedfromtimetotime).ClientandCreatoracknowledgethatwewillretaintheGeneroFeesandClientwillrelease(viathePlatform)theapplicableCreatorPayment(whichcomprisestheBudgetlesstheGeneroFees)totherelevantCreatoronlyonceGenerohasbeenpaidbytheClientand:followingClient’sacknowledgementoffinaldeliveryoftheProductioninaccordancewithparagraph7.5;oriftheClientiseligible,viaprogresspayments,inaccordancewiththeBriefandtheprescribedpaymentscheduleusingthePlatform;orotherwiseinaccordancewiththepaymenttermssetoutintheBrief.Inrelationtopaymentsreferredtoinsub-paragraph7.3.2above,theClientandCreatoracknowledgethattheClientwillberesponsibleforthereleaseofpayments,includingprogresspayments,basedontheCreator'sachievementoftheagreedmilestonesandsignifyingfinaldeliverybymarkingtheBriefascompleteonthePlatform(ordeliverybeingdeemedtohaveoccurred-seeparagraph7.5below).AnycostsincurredbytheCreatorpriortoreleaseofpaymentsaresolelyattheCreator'sownrisk.ClientwarrantsthatitwillacknowledgefinaldeliveryoftheProduction(actingreasonablyandingoodfaith)bymarkingtherelevantBriefascompleteviathePlatform.Intheabsenceofsuchacknowledgement,ClientagreesthatfinaldeliveryshallhavebeendeemedtooccurifClientdoesnotrejectdeliverywithin21daysofreceiptofthefinalonlineeditofProductionoronanyusebyClientoftheProduction.ClientacknowledgesthatitwillonlybeentitledtorejecttheProductionintheeventofbreachoftheContractbytheCreatororiftheClientactingreasonablyisoftheopinionthattheProductiondoesnotsubstantiallyaccordwiththeBriefandsubsequentdirectionsgiveninrespectoftheProductioninaccordancewiththeContract.ClientissolelyresponsibleforconductingappropriateduediligenceandensuringthesuitabilityoftheCreatorpriortotheirengagement,andalackofexperienceorskillonbehalfoftherelevantCreatorwillnot(byitself)entitleClienttorejectdelivery.IfClientrejectsaProductioninaccordancewithparagraph7.6above,ClientisnotrequiredtopaytheCreatoranyamountsthatwerecontingentondelivery.ClientwillbeentitledtoarepaymentfromusoftheamountoftheCreatorPaymentnotyetreleasedtotheCreator.WeacknowledgethatwemustrefundthatpartoftheCreatorPaymenttoClientwithin30daysafterreceivingwrittennoticefromClientthatClienthasrejectedaProductioninaccordancewithparagraph7.5above,providedClienthasnootherinvoicesoutstandingwithus.IfClientfailstomakeanypaymentdueundertheContractbytheduedateforpayment,then,withoutlimitingourremedies,Clientagreestopayinterestontheoverdueamountattherateof2%perannumaboveourprimarybank'sstandardoverdraftrate.Suchinterestshallaccrueonadailybasisfromtheduedateuntilactualpaymentoftheoverdueamount,whetherbeforeorafterjudgment.Clientagreestopaytheinteresttogetherwiththeoverdueamount.ClientagreestomakeallpaymentsundertheContractwithoutwithholdingordeductionof,orinrespectof,anyTaxesunlessrequiredbylaw.Ifanysuchwithholdingordeductionisrequiredbylaw,Clientagreesto,whenmakingthepaymenttowhichthewithholdingordeductionrelates,paytoussuchadditionalamountaswillensurethatwereceivethesametotalamountthatwewouldhavereceivedifnosuchwithholdingordeductionhadbeenrequired.Inaddition,whererequiredtobepaidbylaw,theClientmustprovidetousacopyofthecertificateofwithholding(oranalogousdocument).ClientandCreatoracknowledgethat:ThepaymentsundertheContractpayabletoGeneroareexclusiveofTaxeswhich,ifapplicable,shallbepayablebyClient;theCreatorPaymentshallbepaidtoCreatorinthecurrencystatedontheBrief(orasotherwiseadvisedbyus)bysuchmethodasstatedonthePlatform(whichmaybeupdatedfromtimetotime);wehavenoresponsibilitytoCreatorwhatsoeverinrelationtotheimpactofexchangeratevariationsorpaymentgatewayfeesandcharges,ontheamountsthatCreatoractuallyreceives;Notwithstandingclause7.10.1,theCreatorisresponsibleforensuringallTaxesapplicabletotheCreatorarepaidandreportingobligationsaremetinrelationtotheCreatorPayment;Notwithstandingclause7.10.1,intheeventaClientdeterminesthatitisrequiredtowithholdanyTaxesfromanysumspayabletous,theClientisobligatedtonotifyusinadvance,settingoutthelegalbasisforthewithholdingofthesesums.Clientfurtheracknowledgesthat,oncetheCreatorPayment(oranyportionofit)isreleasedtotheCreator,theCreatorPaymentisnon-refundableotherthanasexpresslysetoutintheContractandweshallhavenoliabilitytoClientinrespectofthesame.ClientissolelyresponsibleforundertakingduediligenceinrespectoftherelevantCreatorand/orProductiontoensureitscompliancewiththeContractpriortoreleasingprogresspaymentsand/oracknowledgingfinaldelivery.CreatorwarrantsthatitisentitledtobethesolerecipientoftheCreatorPaymentoranyotherpaymentinrespectofaProduction,andneitherusnoranyClientshallhaveadditionalliabilitytoCreatororanyotherpersoninrespectofanyProductionfollowingpaymentinfulloftheCreatorPayment.GSTObligationsforCreatorsThisclause7.13appliessolelytoCreatorsthatareregisteredforthepurposesofANewTaxSystem(GoodsandServicesTax)Act1999(GSTLaw).ForthepurposesofGSTLaw,GenerowillactasCreators’agentforthepurposesofmakingsuppliesandissuingtaxinvoicesascontemplatedbythisclause7.13.Inaccordancewithsection153-50oftheGSTLaw,Generowill,ontheCreator'sbehalfbetreatedasmakingthesuppliestoClients,thedetailsofwhichareasfollows:ForthepurposesofGSTLaw,GenerowillbetreatedasmakingthesuppliestoClients,andtheCreatorwillbetreatedasmakingcorrespondingsuppliestoGenero.InthecaseofsuppliestoClients,GenerowillissuetoClients,inGenero'sownname,allthetaxinvoicesandadjustmentnotesthatarerequiredbytheGSTLawrelatingtothosesuppliesandtheCreatorwillnotissuetoClientsanysuchtaxinvoicesandadjustmentnotesrelatingtothosesupplies.TheCreatorwillissueGeneroallthetaxinvoicesandadjustmentnotesthatarerequiredbytheGSTLawinrespectofthecorrespondingsupplies.ThearrangementceasestohaveeffectiftheCreatororGenero,orbothofthem,ceasetoberegisteredforGST.WhereGSTappliestoaCreatorunderthisclause7.13,theCreatormustprovidetousaninvoicethataccordswiththeGSTLawpriortoanypaymentmadebyustotheCreator.WheretheCreatorsmakeasupplytoGenerowhichattractsGST,theCreatorisentitledtorecovertheGSTfromGenero.CancellingBriefsIftheCreatorisinmaterialbreachofitsobligationspursuanttotheContractand,ifcapableofremedy,suchbreachhasnotbeenremediedwithin72hoursofwrittennoticerequiringsuchremedy,ClientmaycancelaBriefaftercommissioningaCreatoratanytimeonprovisionofwrittennoticetotheCreatorandus.FeespayablebyClientinrelationtoCancellingBriefsIfClientcancelsaBrief72hoursormorebeforetheResponseDeadline,Clientwillnotincurcancellationfees.IfClientcancelsaBrief72hoursorlessbeforetheResponseDeadlineoraftertheResponseDeadline,butbeforeSelection,Clientwillbeliablefor50%oftheGeneroFees.Wemay,inourabsolutediscretion,agreetowaivesomeoftheGeneroFeesifwedeemtheresponsewasnotsatisfactorytoClient'sBrief.IfClientcancelsaBrief7daysormorepriortothefirstscheduledproductiondayfortheProduction,Clientwillbeliablefor100%oftheGeneroFees,and:Clientmustpaythegreaterof100%oftheCreator'sactualexpensesincurredpriortocancellationand15%oftheCreatorPayment.IfClientcancelsaBrief7daysorlesspriortothefirstscheduledproductiondayfortheProduction,Clientwillbeliablefor100%oftheGeneroFees,and:Clientmustpaythegreaterof100%oftheCreator'sactualexpensesincurredpriortocancellationand30%oftheCreatorPayment.IfClientcancelsaBriefafterthefirstscheduledproductiondayfortheProduction,Clientwillbeliablefor100%oftheGeneroFees,and:Clientmustpaythegreaterof100%oftheCreator'sactualexpensesincurredpriortocancellationand60%oftheCreatorPayment.Creator'sactualexpensesreferredtointheaboveclauses,mustbeevidencedbyreceiptsprovidedbytheCreator.IftheamountoftheCreatorPaymentreleasedtotheCreatorasatthedateofcancellationismorethantheamountreferredtoinanyofthescenariosoutlinedatclauses9.3to9.5above,theCreatorwillrefundtoClientwithin7daysofcancellationanamountequaltotheCreatorPaymentreleasedlesstherelevantamountreferredtoatclauses9.3to9.5aboveand,iftheamountoftheCreatorPaymentreleasedtotheCreatorasatthedateofcancellationislessthantheamountreferredtoatclauses9.3to9.5above(asthecasemaybeforeachscenario),ClientmustpaytotheCreatorwithin7daysofcancellationsuchamountsasisnecessarytogiveeffecttothisparagraph9.ClientAssetsIfClientuploadsClientAssetstothePlatform,orotherwiseprovidesClientAssetstousoranyCreator,Clientgrants:us,anon-exclusive,revocable,royalty-free,worldwidelicencetohostandstoretheClientAssetsandtomakethemavailabletoCreatorsstrictlyforthepurposesoftheoperationofthePlatformandperformanceoftheContract;andeachCreatortherighttouse,editandmodifytheClientAssetsasreasonablyrequired(ordirectedbytheClient)toproduceandsubmitResponsesandperformtheContract,(theLicence).CreatoragreestousetheClientAssetsinaccordancewiththeLicencesolelyforthepurposesofcreatingandsubmittingtheirrelevantResponsetoaBriefand/orcompletingtheProduction.UponfinaldeliveryoftheProduction,cancellationofanyBriefornotificationthatCreator'sResponsehasbeenunsuccessful,CreatoragreestomakenofurtheruseoftheClientAssetsanddeleteallcopiesofsuchClientAssetsinCreator'spossession.IfaProductionissoldviatheVideoStore,theCreatorfurtheragreestoremoveallsuchClientAssetsfromtheProduction.Notwithstandinganythinginclause10.3,whereaCreatorhasbeencommissionedbyaClientandfor3yearsfromthedateoffinaldeliveryoftheProduction,theCreatormustretain(inasecurelocation),asafeandsecurecopyofthefinalProductionfilesandanykeyprojectfilespertainingtotheProduction.Within24hoursandifrequestedbyGenerooraClient,theCreatormust(withoutclaiminganyadditionalfees)provideadownloadablelinktoallmasterfiles,superlessmasterfilesandseparateaudiosplits.Ifthetransfercanonlybecarriedoutphysically,theClientwillreimbursetheCreator'sreasonablecostsforthepurchaseanddeliveryofaportableharddrive.OtherthaninrelationtothegrantoftheLicence,nothingintheContractwillbetakentoconstituteatransfer,assignmentorgrantofanyownershiporotherrightsinanyIntellectualPropertyRightsintheClientAssetstousorCreator.ClientwarrantsthatClienthasallnecessaryrights,licences,permissionsandconsentstogranttheLicence;theClientAssetsandtheLicence,andourand/oranyCreator'sexerciseoftheLicence,shallnotinfringetherights,including(withoutlimitation)theIntellectualPropertyRights,ofanythirdparty;andtheClientAssetsshallnotincludeanythingwhichisormayreasonablyberegardedasoffensive,blasphemous,obscene,defamatoryorotherwiseunlawful.IntellectualPropertyInrespectoftherelevantProduction,inconsiderationofthepaymentoftheCreatorPaymentinfull,Creator:subjecttotheprovisionsofparagraphs11.5,11.6,11.7and11.8belowandthisclause11generallyandsubjecttotheusagerightsorlimitationsdefinedintheBriefofthirdparties(suchastalentandmusicrightsholders),withfulltitleguaranteeandbywayofanexclusiveassignmentofpresentandfuturecopyrightassignstotheClientallrightsincludingwithoutlimitationtheentireworldwidecopyrightandallotherrightsofwhatevernature(whethervestedorcontingent)inandtotheProductionforexploitationatthatClient'ssolediscretioninallmediawhethernoworhereafterknownthroughouttheuniverseforthefullperiodofcopyrightthereinandallrenewalsandextensionsthereofandthereafter(insofarasispermissiblebylaw)inperpetuity;irrevocablyandunconditionallywaivesand/orprovidesallrelevantconsentstonotenforceorshallprocuretheirrevocableandunconditionalwaiverofand/orconsenttonotenforceallso-calledmoralrightsintheProductionthatCreatororanyindividualengagedbyCreatormayhavenowandinthefutureinanypartoftheworld;andwarrantsandundertakesthat:CreatorhasthesolerightandauthoritytoassigntherightstotheClientexpressedtobeassignedabove;theProductioniswhollyoriginaltoCreatoranddoesnotinfringethecopyrightoranyotherrightsofanythirdparty;subjecttothisclause11,noconsentsorpermissionsarerequiredfromCreatororanythirdpartyinrespectoftheapplicableClient'suseofanyoftheProduction;theClientmayexerciseanyandallrightsinrespectoftheProductionwithoutidentifyinganypersonorpersonsastheindividual/sresponsibleforcreatingtheProduction;andtheClientmaymodify,alter,adapt,distortorotherwisechangetheProductionregardlessofwhethersuchmodification,alteration,adaptation,distortionorchangeisprejudicialtoanindividual'sreputationorhonour.UponrequestoftherelevantClient,Creatoragreestoexecutesuchdocumentsandperformsuchactsasmayreasonablyberequiredforthepurposeofgivingfulleffecttotheassignmentofrightsabove,includingexecutingorprocuringtheexecutionofanymoralrightsconsentthatmayberequiredbytheClientand/oranyconfirmationthattheCreator’sworkinrelationtoaBriefisona“workforhire”basis.TheCreatoralsoagreestoexecutesuchdocumentsandperformsuchactsasmayberequiredbyaClientfortheregistrationandprotectionofanyIntellectualPropertyRightswhichsubsistintheProduction.Ifanyapplicablelawdoesnotpermittheassignmentreferredtoinclause11.1above,subjecttoclauses11.6,11.7and11.8belowandclause12,theCreatorherebygrantstoClienttheexclusive,irrevocable,perpetualrighttoexploittheProductioninallmediathroughouttheworld.Notwithstandingtheabove,neitherGeneronortheCreatorwillberesponsiblefor,unlessagreedinwritingbetweenClientandtheCreator,publicperformancerightsinrespectofmusicalcompositionsintheProduction.ClientandCreatorherebygrantusanon-exclusive,royalty-free,worldwide,perpetuallicencetohostandstoreallProductionssubmittedbyCreatorundertheContractandtomakethemavailabletotherelevantClientand,inrespectofProductionsthatarenotacquiredbyaClientpursuanttoaBrief,tomakesuchProductionsavailableviatheVideoStoreinaccordancewiththeseTerms.Fortheavoidanceofdoubt,ifClientrejectsaProductiontherewillbenoassignmentorgrantofrightsbytheCreatortoClientinrelationtothatProductionand,exceptasotherwiseagreedbyClientandtheCreator,ClientmustnotexploittheProductioninanymanner.ClientUsageRightsandAdditionalClearanceFeesSubjecttoanyrequirementssetoutintheBrief,theClient'sexploitationofaProductionviaDigitalMediawillbeunlimitedandnotsubjecttoanyusagerestraintsand/oradditionalclearancefees.Client'sexploitationofaProductionviaBroadcastMediaorPrintMediamaybesubjecttousagerestrictionsand/orpaymentofadditionalclearancefeestothirdparties(includingtalent,voice-overartistsandmusicrightsholders)setoutintherelevantBrief.AnytermorterritorialrestrictionsrelatingtosuchusagewillcommenceonfirstbroadcastorprintoftheProduction.Forclarity,withrespecttothisclause12,anyfeesdueasaresultofusagerestrictions(eg.additionalclearancefeespayabletothirdparties,includingtalent,voice-overartistsandmusicrightsholders)areenforceablesolelybythosethirdpartiesandnotbyCreators.DealingsorDisputesbetweenus,theClientandtheCreatorEachofCreatorandClient:agreetoactreasonablyandingoodfaithintheirrespectivedealingswithusandeachotherandtorespondpromptlytoallcommunications;acknowledgethatwearenotresponsibleforanyelementoftheproductionorliablefortheactsornon-performancebyClientorCreator;withoutlimitingtheforegoing,acknowledgethatwehavenoresponsibilityfororliabilityinrelationtoresolvinganydisputesbetweenClientandCreator.ClientandCreatoragreenottoattempttocircumventthePlatformorsendorreceiveconsiderationforanyBrieforrelatedworkotherthanviathePlatform.ClientagreestoindemnifyusandtheCreatoragainstallliabilities,costs,expenses,damagesandlossessufferedorincurredbyusarisingoutoforinconnectionwithanyclaimmadeagainstusarisingoutoforinconnectionwithanybreachoftheContractorotheractoromissionbyClient.CreatoragreestoindemnifyusandtheClientagainstallliabilities,costs,expenses,damagesandlossessufferedorincurredbyusarisingoutoforinconnectionwithanyclaimmadeagainstusarisingoutoforinconnectionwithanybreachoftheContractorotheractoromissionbyCreatorand/oranyclaimthattheProductionortheClient'sexploitationoftheProductioninfringestheIntellectualPropertyRightsorotherrightsofanypersonorentity.NeitherCreatornorClient,whileregisteredonthePlatformandforaperiodof12monthsafterceasingtoberegistered,shall:inthecaseoftheClient,knowinglyseekoraccepttheservicesofanyCreatorindependentlyfromthePlatform;orinthecaseoftheCreator,knowinglyseekoracceptthecustomofanyClientindependentlyfromthePlatform;orinduce,orattempttoinduce,anyuserofthePlatformto:(i)ceaseorrefrainfromusingthePlatform;or(ii)reduceitsuseofthePlatform,ordoanyotherthingwhichisreasonablylikelytohavesuchaneffect.ResponsibleContractingClientandCreatormustcomplywithallapplicableanti-bribery,childlabourandmoneylaunderinglawsandregulations.ClientandCreatorandanypersonorentityworkingonClientorCreator'sbehalf,inconnectionwiththeContract,shallnotmakeanypaymentortransferanythingofvalue,directlyorindirectlytoanyofthefollowingifsuchpaymentortransferwouldviolatethelawsofthecountryinwhichthetransactionismade:anygovernmentalofficialoremployee(includingemployeesofgovernment-ownedandgovernment-controlledcorporationsandpublicinternationalorganizations);anypoliticalparty,officialofapoliticalparty,orcandidateforpublicoffice;anyintermediary,including,butnotlimitedto,agentsorfamilymembersofgovernmentofficials,forpaymenttoanygovernmentofficial;anyotherpersonorentityinacorruptorimproperefforttoobtainorretainbusinessoranyadvantage,inconnectionwithClientorCreator'saffairs;anybusinessentitysellingacompetingproductinordertoeliminateorrestrictcompetition,including,butnotlimitedto,agreementstodividethemarket;oranyotherpersonorentity.ClientandCreatorwarrantandrepresentsthat,shoulditlearnoforhavereasontosuspectanybreachoftheobligationsinclauses14.1and14.2above,itwilltakeappropriateremedialstepsandpromptlynotifytheotherpartyandus.WithoutlimitinganyotherprovisionoftheContract,ClientandCreator'srepresentandwarrantthat:exceptasdisclosedinwriting,neitherClientnorCreatorhasanyconflictofinterestwithrespecttoitsbusinessdealingsinaccordancewiththeContract;theirperformanceoftheirrespectiveobligationsundertheContractwillnotbreachanyapplicablelaw(including,withoutlimitation,anylawsrelatingtoexportcontrols,sanctions,dataprotection,antitrustprohibitionsandminimumemploymentstandards);theywillnotengageinanyactivitythatinvolvestheexploitationofchildlabourorlabourgenerallyandwillimplementandcomplywithpoliciestoprotecttherightsofworkersincompliancewithapplicablelaws(including,withoutlimitation,ensuringthatwagesarepaidtoallapplicableworkersthatmeetorexceedlegalminimumstandardsorapplicableindustrystandards(whicheverishigher)andworkersarenotrequiredtoworkformorehoursthanapplicableundertherelevantlegalstandardsandallovertimeisvoluntary);theyrecogniseandrespectanylegalrightsofworkerstofreedomofassociationandcollectivebargaining.CreatormustdisclosetoClientanyownershipoforbeneficialinterestinCreatorbyany:anygovernmentalofficialoremployee(includingemployeesofgovernment-ownedandgovernment-controlledcorporationsandpublicinternationalorganizations);anypoliticalparty,officialofapoliticalparty,orcandidateforpublicoffice;anyintermediary,including,butnotlimitedto,agentsorfamilymembersofgovernmentofficials,forpaymenttoanygovernmentofficial;oranyemployeesofClientorfamilymembersofemployeesofClient.ConfidentialityCreatormustkeeptheConfidentialInformationconfidential;establishandmaintaineffectivesecuritymeasurestosafeguardtheConfidentialInformationfromaccessorusebythirdparties;keeptheConfidentialInformationunderyourcontrol;onlyusetheConfidentialInformationforthepurposesofaContract;notcopyordisclosetheConfidentialInformation(includingtoofficers,employees,contractorsoradvisorsoftheCreator)otherthantoCreator'spersonnelassociatedwiththeBriefandofallofCreator'sprofessionaladvisorsandCreator'srelatedentities,servants,agentsandpersonnelandprofessionalrepresentatives(onaneed-to-knowandconfidentialbasisonly).TheobligationnottodiscloseConfidentialInformationunderthisclause15doesnotapplyinrelationtoinformationthatis:rightfullyknowntotheCreator,orinitspossessionorcontrolandisnotsubjecttoanobligationofconfidentiality;publicknowledge(exceptbecauseofabreachoftheobligationsofconfidentialityundertheseTerms);requiredbylawortherulesofastockexchangetobedisclosed.Withoutlimitingclause15.1,iftheCreatorbriefsanythirdpartywithrespecttoaBrief,ResponseortheContract,theCreatormustenterintoanagreementwiththethirdpartyunderwhichthethirdpartycommitstoconfidentialityobligationsnotlessonerousthanthosesetoutinclause15.1.GeneralTherelationshipbetweenClient,CreatorandusisandwillbethatofindependentcontractorsandnothingintheContractshallcreateanemployment,trustee,partnershiporagencyrelationshipandnopartywillmakeanyrepresentationassuch.Subjecttoclause16.3below,failurebytheClient,theCreatororustoperformanyoftheirrespectiveobligationsundertheContract(oradelayinsuchperformance)duetoaForceMajeureEvent,willnotconstituteabreachoftheContract.ThepartyaffectedbytheForceMajeureEventwill:promptlygivetheotherpartiesnoticeoftheForceMajeureEventandanestimateofthenon-performanceanddelay;takeallreasonablestepstoovercometheeffectsoftheForceMajeureEvent;andresumeperformanceassoonaspracticableaftertheForceMajeureEventnolongeraffectsanyparty,providedthatifaForceMajeureEventcontinuesforaperiodof30daysormore,theClientmayterminateaBriefortheContractwithimmediateeffectbyprovidingnoticetousandtheCreator.WhereaForceMajeureEventisanactofGod(includingasevereweatherevent)whichpreventsproductionorfilmingwhichcannotberescheduleddespitethepartiesbestefforts,theClientandCreatormutuallyagreetonegotiateingoodfaithforthesettlementofanyreasonableoutofpocketexpensesincurredbytheCreatorpriortotheForceMajeureEvent(includingasevereweatherevent).CreatormustensurethatitsproductionscheduleforaProductionthatinvolvesoutdoorfilmingincludesaback-upplanforinclementweather,aswellasappropriateweatherinsurance,adequateforthesizeandCreatorBudgetoftheProduction.IftheCreatorfailstohavesuchaplanortoimplementsuchaplan,thenclause16.2abovewillnotapplytoanyresultingfailurebyCreatortomeetitsobligationsundertheContract.GeneroIntellectualPropertyYouacknowledgethatthePlatformandallmaterialpublishedonthePlatformincludingbutnotlimitedtotext,graphics,photos,logos,buttonicons,images,trademarks,audioandaudiovisualclips,databases,datacompilations,dataandsoftware(butexcludinganycontentuploadedbyusersofthePlatform)(togethertheGeneroContent)are(asbetweenyouandus)ownedandcontrolledbyus,orlicensedexclusivelytous.Youmaynotcopy,adapt,display,communicatetothepublicorotherwiseuseanyGeneroContentexceptasenabledandpermittedbythePlatformfromtimetotime.YourUseofthePlatformandContentStandardsYouareresponsibleformakingalltechnicalarrangementsnecessarytoaccessthePlatform.YouarealsoresponsibleforensuringthatallpersonswhoaccessthePlatformthroughyourinternetconnectionareawareoftheseTermsandthattheycomplywiththem.Withoutlimitation,youmaynotusethePlatform:inanywaythatisunlawfulorfraudulent,orhasanyunlawfulorfraudulentpurposeoreffect;tosend,orprocurethesendingof,anyunsolicitedorunauthorisedelectroniccommunication,advertisingorpromotionalmaterialoranyotherformofsimilarsolicitation(spam);ortoknowinglytransmitanydataorsendoruploadanymaterialthatcontainsviruses,Trojanhorses,worms,time-bombs,keystrokeloggers,spyware,adwareoranyotherharmfulprogramsorsimilarcomputercodedesignedtoadverselyaffecttheoperationofthePlatformoranycomputersoftwareorhardware.Youalsoagreenotto:reproduce,duplicate,copyorre-sellanypartofthePlatform(oranycontentwithinit)incontraventionoftheseTerms;andaccesswithoutauthority,interferewith,damageordisrupt:(A)anypartofthePlatform;(B)anyequipmentornetworkonwhichthePlatformisstored;(C)anysoftwareusedintheprovisionofthePlatform;or(D)anyequipmentornetworkorsoftwareownedorusedbyanythirdparty.ThePlatformmayincludeinformationandmaterialsuploadedbyotherusers,including(withoutlimitation)commentsanddiscussions.Thisinformationandthesematerialshavenotbeenverifiedorapprovedbyus.TheviewsexpressedbyotherusersonthePlatformdonotrepresentourviewsorvalues.Youacknowledgethatyoumaybeexposedtocontentthatyoumayfindoffensive,indecentorobjectionableandthat,inthisrespect,youusethePlatformatyourownrisk.WheneveryoumakeuseofthePlatformtoallowyoutouploadcontentormakecontactwithotherusersofthePlatform(eachaCommunication)yougrantusanon-exclusive,royalty-free,worldwide,perpetuallicencetohost,copy,storeandmakeavailablesuchCommunicationandagreetocomplywiththeContentStandards.YoumustcomplywiththespiritandtheletteroftheContentStandards.TheContentStandardsapplytoeachpartofanyCommunicationaswellastoitswhole.Communicationsmustbeaccurate(wheretheystatefacts),begenuinelyheld(wheretheystateopinions),andcomplywithapplicablelaw.Communicationsmustnot:containanymaterialwhichisdefamatoryofanyperson;containanymaterialwhichisobscene,offensive,hatefulorinflammatory;promoteorcontainsexuallyexplicitmaterial;promoteorcontainviolence;includegangsignsorsymbols;promoteorcontaindiscriminationbasedonrace,sex,religion,nationality,disability,sexualorientationorage;infringeanycopyright,tradesecret/knowhow,databaserightortrademarkofanyotherperson;belikelytodeceiveanyperson;bemadeinbreachofanylegaldutyowedtoathirdparty,suchasacontractualdutyoradutyofconfidence;promoteanyillegalactivity;bethreatening,abuseorinvadeanother'sprivacy,orcauseannoyance,inconvenienceorneedlessanxiety;belikelytoharass,vilify,upset,embarrass,alarmorannoyanyotherperson;beusedtoimpersonateanyperson,ortomisrepresentyouridentityoraffiliationwithanyperson;givetheimpressionthattheyemanatefromus,ifthisisnotthecase;oradvocate,promoteorassistanyunlawfulactsuchas(bywayofexampleonly)copyrightinfringementorcomputermisuse.YouwarrantthatanysuchCommunicationcomplieswiththeContentStandards,andyouwillbeliabletousandindemnifyusforanybreachofthatwarranty.Thismeansyouwillberesponsibleforanylossordamagewesufferasaresultofyourbreachofsuchwarranty.Wewillnotberesponsible,orliabletoanythirdparty,inrespectofthecontentofanyCommunication.YouacknowledgethatyourCommunications(includingbutnotlimitedtoanyProductions)maybesubjecttocriticismand/orreviewbythepublicandassuchmayreceivepositiveornegativecommentsandreactions,andwearenotresponsibleforanysuchrevieworcommentoranyconsequencesrelatingtothesame.Youacknowledgethat:youareresponsibleforyourinteractionswithotherusers;wemakenorepresentationsorwarrantiesastotheconductofotherusers;andweshallnotbeinanywayliablefortheconductofanyotherusers.Youagreetotakereasonableprecautionsinallinteractionswithotherusers.NotwithstandinganyotherprovisionoftheseTermsthepartiesacknowledgeandagreethat:anyinformationpublishedonthePlatform(including,withoutlimitation,Briefs)(the“PlatformInformation”)willbeavailabletousersofthePlatform;thepublicationofPlatformInformationbyGenerowillnotamounttoabreachofanyofGenero'sobligationsundertheseTerms;andifyoudiscloseyourconfidentialinformationtoanotherpartyonorviathePlatform/Generoandyouwishtoimposeobligationsofconfidenceontheotherpartyinrelationtosuchinformation,youshouldenterintoaseparateconf
