TermsofUSe The"Worksorted"onlinesoftwareplatformlocatedatwww.worksorted.com(the"Platform")is controlledandoperatedbyWorksortedPtyLtd("Worksorted"). Thetermsandconditionssetoutbelow("TermsofUse")applytouseofthePlatformbyUsers(thatbeingany person whoaccessesorusesthePlatform)andOrganisations(thatbeing,groupswhopayasubscriptionfeetoaccess and useadditionalfunctionalityofthePlatform). PleasereadtheseTermsofUsecarefullybeforeusingthePlatform. ThePlatformisavailableforUserstouseconditionalontheiracceptanceoftheseTermsofUse.Byaccessingor usingthePlatform,UsersagreetobelegallyboundbytheseTermsofUse,justasifUsershadsignedan agreement withWorksorted. WorksortedreservestherighttoamendtheseTermsofUseatanytime.Noticeofanyamendmentswillbedisplayed on theWebsite.ThecontinueduseofthePlatformbyaUserfollowingsuchamendmentstotheseTermsofUseshall constituteacceptancethatUserofthoseamendments. UsersshouldfamiliarisethemselveswiththeseTermsofUseandcheckforupdatesregularly.IfaUserdoesnot agree totheseTermsofUse,thatUsershouldstopaccessingorusingthePlatformimmediately. PLEASECAREFULLYNOTEBEFOREREADING: TheabilityofUserstoholdWorksortedresponsibleforanylossordamagecausedbyaccessingorusingthe Platformissignificantlyrestricted(seeclause14). TheliabilityofWorksortedforanylossordamagecausedbyaccessingorusingthePlatformis significantly restricted(seeclause14). Users’useofthePlatformisonan"asis"basisandisentirelyattheirownrisk.Worksortedisnot responsibleforlossanddamageintheeventthatthePlatformisinaccessible,oritssecurityis compromised inanyway. UserswhoinputoruploadContenttothePlatformprovideWorksortedwithalicencetousethatContent(see clause13). Usersaresolelyresponsibleforcompliancewithalllawsandapplicableorrelevantregulations,industry and professionalcodesofconductorotherrelevantlawswhenusingthePlatform(seeclause11). UsersshouldnotinputPersonalInformationofanyThirdPartyintothePlatformunlessthatThirdParty first consentstoWorksortedcollecting,handlingandusingtheirPersonalInformationinaccordancewithits Privacy Policy. DEFINITIONS WhereadefinitionisusedforthefirsttimeintheseTermsofUse,itwillappearinBoldCapitalisedText. "Content"meansallcontentonthePlatformincludingwithoutlimitationtext,photographs, logos, names,designs,information,PersonalInformation,financialinformation,data,drawings,links,video recordings and audiorecordings. "FinancialServicesBusiness"meansabusinesswhichprovidesfinancial-relatedservices, including withoutlimitationdealinginafinancialproductorservice,providingfinancialproductorserviceadvice,or makinga marketforafinancialproductorservice,andalsoincludesrelated businesses. "InvitedUser"meansaUserwhohasbeeninvitedtocreateaUserAccountbyanOrganisation. "Insolvent"meansanexternallyadministeredbodycorporate,oraninsolventbodycorporate under administration,withinthemeaningoftheCorporationsAct2001(Cth). "IntellectualProperty"meansallintellectualpropertyandquasi-intellectualpropertyrights (past, presentandfuture)conferredbylaw(whetherregisteredorunregistered)includingwithoutlimitationbusiness names, trademarks,patents,designs,tradesecrets,computerprograms,databases,inventions,copyright,circuit layout, moral rightsandallproprietaryrightsandallotherintellectualpropertydefinedinArticle2oftheConvention establishingtheWorldIntellectualPropertyOrganisation(July1967). "Organisation"meansaperson,businessorcompany,includingwithoutlimitationaFinancial Services Business,whomustpayasubscriptionfeetoWorksortedinexchangeforthecreationofanOrganisationAccount on the Platformthatwillallowthatperson,businessorcompany,andanyoftheirRepresentatives,tovisit,view, browse, accessorotherwiseuseandinteractwiththePlatformatnofurthercost. "OrganisationAccount"hasthemeaningprovidedinclause5.1. "PersonalInformation"hasthesamemeaningasinthePrivacyPolicy. "PlatformServices"meanstheserviceslistedinclause2andanysubsidiaryservicesprovided by WorksortedviaorinrelationtothePlatform. "PrivacyAct"meansthePrivacyAct1988(Cth)asamendedbythePrivacyAmendmentAct2000 (Cth) and thePrivacyAmendment(EnhancingPrivacyProtection)Act2012(Cth) "PrivacyPolicy"meanstheprivacypolicyforthePlatformasamendedorupdatedfromtimeto time, a copyofwhichcanbefoundonthefollowingwebpage:https://worksorted.com/privacy_policy "Representatives"meansanyemployees,contractors,agents,affiliates,clientsorother authorised representativesofanOrganisation. "ThirdParty"meansanindividualwhoisidentifiedoridentifiablebyThirdPartyPersonal Information. "ThirdPartyPersonalInformation",meansPersonalInformationsuppliedbyaUserthatrelates to anotherindividualwhoisnotthatUser. "User"isapersonwhovisits,views,browses,accessesorotherwiseusesandinteractswiththe Platform. "UserAccount"hasthemeaningprovidedinclause4.1oftheseTermsofUse. "UserContent"meansanyContentsharedvia,orsubmittedoruploadedto,thePlatformbyaUser of the PlatformwithaUserAccount. TERMSOFUSE ApplicationofTermsofUse 1.1TheseTermsofUseapplytoallUsersofthePlatform.Byvisiting,viewing,browsing,accessingorotherwise using thePlatform,UsersacceptandagreetocomplywiththeseTermsofUse. DescriptionofPlatform 2.1ThePlatformprovidesthemeansforUsersoperatingorrepresentingaFinancialServicesBusinesstodothe following: a.StorevariousdatarelatingtothemanagementofaFinancialServicesBusiness,suchaspracticerevenue; b.StorevariousdatarelatingtoclientsofaFinancialServicesBusiness,suchaselectronicfilesrelatingto a specificclientandrevenuedatageneratedfromaspecificclient; c.Efficientlymanagetheworkflow,revenueandclientrelationshipsofaFinancialServicesBusiness; d.AssistaFinancialServicesBusinesstosharedatastoredonthePlatformtotheirclientsandindustry professionals inasecureonlineenvironment;and e.Accessadditionalbusinessmanagement,administration,recordkeepingandrelatedfunctions,asprovidedby the Platform. 2.2ThePlatformalsoprovidesameansforUsersthatarecustomersorclientsofaFinancialServicesBusiness to accessdatastoredonthePlatformthatisspecificallysharedwiththembyaFinancialServicesBusiness. 2.3InadditiontothePlatformServices,Worksortedprovidesadditional‘optional’servicesviathePlatformto Organisations("OptionalServices").ForfurtherinformationaboutOptionalServices,pleasevisitour website. 2.4WorksortedreservestherighttointroduceadditionalfunctionsandservicesonthePlatformandtoalter existing functionsorservicesonthePlatformatanytimewithoutnoticetoUsers. LicencetousePlatform 3.1SubjecttothetermsofthisAgreement,WorksortedagreestograntUsersalimited,personal,non-exclusive, non-transferable,conditionalandrevocablelicencetoview,accessandusethePlatform. UserAccount 4.1InordertoaccessanyfunctionalityofthePlatform,UsersmustregisterauseraccountonthePlatform ("User Account").AUserofthePlatformwithoutaUserAccountwillhavelimitedabilitytobrowsethePlatformbut willnot beabletoaccessorusethefunctionalityofthePlatform. 4.2WhenaUserregistersaUserAccount,theymustprovidesomeorallofthefollowingdetails: Name; Professionalorresidentialaddress; E-mailaddress; Telephonenumber;and Employmentdetails. 4.3WhereaUserregistersaUserAccount,subjecttothetermsofthisAgreement,Worksortedagreestogrant thatUser alimited,personal,non-exclusive,non-transferable,conditionalandrevocablelicencetoview,accessanduse additionalfeaturesofthePlatformasaUserviatheirUserAccount. 4.4UserswillberequiredtocreateauniquepasswordtoobtainaccesstotheirUserAccount("Password").Users are responsibleformaintainingtheconfidentialityoftheirPasswordandundertakenottoallowthesecurityof theirUser AccounttobecompromisedthroughmisuseoftheirPassword.UsersmustimmediatelynotifyWorksortedofany suspected misuseoftheirPassword. 4.5UsersagreethatWorksortedmaysende-mailstotheirnominatede-mailaddressfortheirUserAccountforthe purposeofreceivinganynotificationsfromandregardingthePlatform. 4.6WorksortedmaintainstherightinitssoleunfettereddiscretiontorefusetoregisteraUserAccountor terminate orsuspendaUserAccount. 4.7UsersagreetonottransferanyUserAccounttoanyotherpersonorallowaccesstotheirUserAccountby another personunlessexpresslyauthorisedbyWorksortedortheseTermsofUse. 4.8UserswillhavedifferingrightsandpermissionstoaccessandusethefunctionalityofthePlatformvia theirUser Accounts("Permissions").WorksortedmayaddtoandmodifythePermissionsattachedtoanyUserAccountfrom timeto time. OrganisationAccount 5.1ToenableanOrganisationandtheirInvitedUserstousethePlatform,andsubjecttotheOrganisation’s obligations underclause7.1below,WorksortedwillcreateaglobalaccountforanOrganisationtoaccessthePlatform ("OrganisationAccount").IfaUseristhefirstpersonsettinguptheOrganisationAccountonbehalfofan Organisation,theywillbeprovidedwiththefirstUserAccountconnectedwiththeOrganisationAccount,and willbe referredtoasthe"Administrator"forthepurposeoftheseTermsofUse. 5.2TheAdministratorwillhavetheabilitytocreateUserAccounts,orrequestInvitedUserstocreateUser Accounts (withPermissionssetbytheAdministrator),withsuchUserAccountsbeinglinkedtotheOrganisationAccounton the Platform.ThereisnolimitationtothenumberofInvitedUsersthatanAdministratorcancreateandlinktothe OrganisationAccount,providedalwaysthatanyInvitedUsersaretheOrganisation’sRepresentatives. 5.3TheOrganisationwillbepermittedtoallowtheirRepresentativestoaccessandusetheOrganisationAccount on theirbehalf,howevertheOrganisationwillagreetoremainentirelyresponsibleandliableforallconduct connected withtheirOrganisationAccount.Forthisreason,WorksortedrecommendsthattheAdministratorcreatesa separateUser AccountforeachofanOrganisation’sRepresentativeswithappropriatePermissionssetbytheAdministrator. 5.4Organisationsarerequiredtoobtainasubscriptionforthecontinueduseof,andaccessto,their Organisation AccountonthePlatform(eacha"Subscription").TheminimumSubscriptionforanOrganisationisaperiodof12 months fromthedateinwhichtheirOrganisationAccountiscreated("MinimumSubscriptionPeriod").Thetermsof paymentto WorksortedforobtainingaSubscriptionaresetoutinclause7below.TheSubscriptionprovidesanOrganisation andany linkedUserAccountstotheirOrganisationAccountwithpermissiontouseandaccessthePlatforminaccordance withthe termsoftheseTermsofUse. 5.5OrganisationshavetheoptiontorequestthatWorksortedimportstheirexistingclientdata,generallycoming from anothercustomerrelationshipmanagement(CRM)softwareorplatform,intothePlatformandlinkedtotheir Organisation Account.Worksortedcannotguaranteethatanyexistingclientdatawillbeimportedwithcompletesuccessand accuracy intothePlatformduetopotentialtechnologicalrestraintsinimportingdatafromincompatibleCRMsoftwareor platforms. PlatformServices 6.1AsparttheprovisionofthePlatformServices,WorksortedproducesanddeliversvariousdatatoUsersvia the Platform,includingwithoutlimitationarangeofreportsandcorrespondence,generatedfromUserContentwhich is submittedviathePlatform("OutputData").Worksortedisnotresponsiblefortheaccuracy,integrityor reliabilityof anyOutputDataproducedviathePlatformanddeliveredtoUsers. 6.2AnyOutputDataproducedanddeliveredviathePlatformisintendedforgeneralinformationpurposesonlyand should notbeusedasasubstituteforfinancial,legalorothertypesofprofessionaladvice,asmaybeapplicable. 6.3Worksortedprovides,asanOptionalService,thefollowing: TheabilityforUserswiththerequisitePermissionstorequesttheproductionanddeliveryofa"Revenue Report", whichisgeneratedbythePlatformbasedonUserContentsubmittedviathePlatform,orotherinformation providedto WorksortedbyanOrganisation,abouttherevenueofanOrganisation,itsclientsorotherpersons; Theimportationofclient,revenue,producthistoricaltask,andhistoricalnotesdataforanOrganisation intothe PlatformthroughfileswhichareprovidedbytheOrganisationtoWorksorted; ThereconciliationofrevenuedatawiththebankstatementsofanOrganisationtoensuretherevenuedata matches incomewhichhasbeenreceivedbytheOrganisation("RevenueReconciliationReport");and AfunctionviathePlatformwherebyaUsercancallaspecifictelephonenumberanddictateamessagethat willbe recorded,transcribedbyWorksorted,andthenwillappearwithinthatUser’sOrganisationAccount. Worksortedwilltakereasonableefforttoensurethatdataimportationandtranscriptionsservicesareaccurate. However,youagreethatwearenotresponsibleinanywayforguaranteeingtheintegrity,accuracyor reliabilityof theseservices,andwewillnotberesponsibleforanyerrors. 6.4ThePlatformalsooffersanumberof"plugins"or"add-ons"whereUserscansharespecificUserContentwith other softwareprograms,includingwithoutlimitationXero,MicrosoftOutlook,MicrosoftWord,MicrosoftExcel,and FUSE ("PluginSoftware").Worksortedisnotresponsibleinanywayfortheintegrity,accuracyandreliabilityof User ContentwhichissharedorpopulatedfromthePlatformtoanyPluginSoftware,orsharedorpopulatedfromany Plugin SoftwaretothePlatform,orforinformationprovidedtoanyPluginSoftwareasaresultofanyinteractionwith the Platform.UsersconsenttothePlatforminteractingwithanyPluginSoftwareandtoanyPluginSoftware accessingtheir UserContent. 6.5ThePlatformalsooffersamatchingservicewherebydatafromclientrevenuestatementswhichareimportedby Users (withrequisitePermissions)intothePlatformarematchedwithclientname/sstoredintheOrganisation Account.This servicereliesontheclientname/sspecifiedintheclientrevenuestatementsaccuratelymatchingtheclient name/s storedintheOrganisationAccount.Ifthereisnoidenticalmatch,datafromtherevenuestatementswillbe matched withtheclosestclientname/sstoredintheOrganisationAccountusingapre-determinedalgorithm(where possible). Worksortedisnotresponsibleinanywayfortheintegrity,accuracyandreliabilityofthismatchingservice. WorksortedrecommendsthatUserscarefullycheckanymatchingwhichhasoccurredusingthefunctionalityofthe Platform providedforthispurpose. Fees 7.1OrganisationsarerequiredtopaycertainlicencefeestoWorksortedforobtainingaSubscriptionassetby Worksortedfromtimetotime("Fees").FeesarepayableonamonthlybasisbyOrganisationstoWorksorted.For further detailsaboutFeesforuseofthePlatform,pleasecontactWorksorted. 7.2InvitedUsersarenotrequiredtopayanyfeesforuseandaccesstothePlatform,butwillonlybepermitted to createaUserAccountthatislinkedtoanOrganisationAccountifinvitedorgrantedpermissionbyan Administratorof anOrganisationAccount(orotherUserwithrequisitePermissionsprovidedwithinanOrganisationAccount). 7.3OrganisationsarerequiredtopaycertainadditionalfeestoWorksortediftheyutiliseanyOptionalServices ("OptionalFees").OptionalFeesarepayableupfrontbyOrganisationstoWorksorted.Forfurtherdetailsabout Optional Fees,pleasecontactWorksorted. 7.4WorksortedreservestherighttoincreasetheFeesandOptionalFeesatanytime.Inthatevent,Worksorted will provideOrganisationswithreasonablenoticeastoanyincreases. E-CommerceandPayment 8.1InrelationtoanyFeesowing,WorksortedwillissueandsendataxinvoicetoOrganisationsviathe nominated e-mailaddresslinkedtotheirOrganisationAccount.Organisationsmustpayallinvoicesissuedtothemwithin7 days fromtheinvoicedate.WorksortedreservestherighttosuspendaccesstotheOrganisationAccountofan Organisation (includingalllinkedUserAccountsofInvitedUsers)withoutnoticeuntilalloutstandinginvoicesarepaid.It isthe responsibilityofOrganisationstokeepthee-mailaccountlinkedtotheirOrganisationAccountupdated,to ensureall relevantinvoicesarereceived. 8.2Feesmaybepaidbyelectronicfundstransfer,directdebit,orcreditcardpayment. 8.3WhereaUserwishestopayforanyFeesbycreditcard,thefollowingapplies: ThatUserwillbeaskedtoprovidetrueandaccuratebillinginformation(includingwhererelevant,thename ofthe creditcardholder,billingaddress,dateofexpiryandCVCcode)andalsoberequiredtoprovideaformof verification toestablishthattheyarethegenuinecreditcardholder,orotherwisehavetheauthoritytousethat creditcard. ItistheresponsibilityofallUserstokeeptheirUserAccountandcreditcarddetailssecurewhenusing the Platform.IfaUsersuspectsthatanunauthorisedpersonhasaccessedtheirUserAccount,theyshouldnotify Worksorted andtheircardissuerimmediately. ASubscriber’scardissueragreementwillgoverntheuseoftheirdesignatedcreditcardwiththePlatform andwill determinetheirrightsandliabilitiesasacardholder. 8.4Shouldoutstandinginvoicesremainunpaidforaperiodo f30daysormore,accesswillbesuspendedandoutstanding invoiceswillbereferredtoadebtcollectingagency.Userswillberesponsibleforalldebtcollectionfees incurred inadditiontoalloutstandinginvoices. Privacy 9.1WhenoperatingthePlatform,Worksortedshallcollect,handleandusePersonalInformationbelongingtoUsers and ThirdPartiesinaccordancewithitsPrivacyPolicyhttps://worksorted.com/privacy_policy.Usersagree thattheseTermsofUsealsoincludethePrivacyPolicy,whichisincorporatedintotheseTermsofUseby reference. 9.2UsersmustnotinputThirdPartyPersonalInformationintothePlatformasUserContentunlesstherelevant Third PartyfirstconsentstoWorksortedcollecting,handlingandusingtheirThirdPartyPersonalInformationin accordance withitsPrivacyPolicy. 9.3UsersmustalsocomplywiththePrivacyActwhencollecting,handlingandusingPersonalInformationin connection withthePlatformandshouldalsomaintainandcomplywiththeirownprivacypolicywhendealingwithPersonal InformationinrelationtothePlatform. AccesstoPlatform 10.1IfaccesstothePlatformisunavailableforaUserduetoasystemmalfunctioncausedbyWorksorted ("System Malfunction"),WorksortedwilluseallreasonableendeavourstorectifythatSystemMalfunctionwithin2 businessdays ofbeingnotifiedinwritingoftheSystemMalfunctionbytheaffectedUser. 10.2IfaUserisunabletoaccessthePlatformduetoaSystemMalfunctionformorethan2businessdays, Worksorted willuseallreasonableendeavoursto: AssisttheUsertoaccessanyrequiredUserContentconnectedtotheirUserAccountthroughotherreasonable means; and RectifytheSystemMalfunctionassoonaspossibletominimiseanyfurtherdisruptiontotheUser. 10.3Notwithstandingclauses10.1and10.2,totheextentpermittedbylaw,Worksortedisnotresponsibleinany wayfor theinabilityofaUsertoaccessthePlatformandtheirUserAccountforanyreason,andWorksorteddisclaims its liabilityasperthetermsofclause14. 10.4WorksortedreservestherighttoperformmaintenanceofthePlatformwithoutnoticetoUsers. Users’Obligations 11.1Users’accessto,anduseof,thePlatformissubjecttoapplicableconditionsspecifiedintheseTermsof Use, includingwithoutlimitationthosespecifiedinthisclause11. 11.2UserswarranttoWorksortedthattheyshallnot: UsethePlatformforanypurposethatisillegal,unlawfulorprohibitedbytheseTermsofUse; Interfereorattempttointerferewith,orobtainorattempttoobtainunauthorisedaccessto,thePlatform orany Contentthroughhacking,useofautomateddevices,scriptsorbots,orotherillegitimatemeans; ScrapeorotherwiseobtainanydatafromthePlatformforanypurposeoruseanyContenttospamthird parties; InterfereorattempttointerferewiththeproperworkingofthePlatform,orwithanyotherperson’suseof the Platform,includingbytransmissionofviruses,malwareoranycodeorotherconductofadisruptiveor destructive nature; Impersonateanypersonorentity,solicitmoneyfromotherUsersorengageinanyfraudulentactivitiesvia the Platform,eitherdirectlyorviathird-partysoftware; ContributeordistributeanyUserContentviathePlatformthatinfringeslegislationorregulationsofany applicablejurisdiction(includingwithoutlimitationthejurisdictioninwhichaUserisusingthe Platform).Users agreethatanylegalconsequencesarisingfromaclaimoractionforinfringementofanysuchlegislationor regulation aretheirsoleresponsibilityandtheyarewhollyliable. 11.3UserswarrantthattheirUserContentdoesnotcontainany: Obscene,blasphemous,hateful,violent,bullying,discriminatoryorthreateninglanguage,orcontentthat createsa riskofpersonalinjuryorpropertydamageormakesanythreattopeopleorpublicsafety; Illegal,false,fraudulent,misleadingordeceptiveconduct,includingbutnotlimitedtoblackmail, extortion, financialorpersonalscamsandattemptstoimpersonateothers; Contentthatinfringesthepersonalorproprietaryrightsofothers,includingbutnotlimitedto intellectual propertyrightsandrightstoprivacy;or Spam,publicityorpromotionofcommercialactivitiesorcommercialcontentnotspecificallyauthorisedby uswith ourpriorwrittenconsent. 11.4Usersmustcomply,andaresolelyresponsibleforcomplying,withalllawsandregulationsapplicableor relevant totheuseofthePlatform("Laws").Usersmustalsocomplywithallapplicableorrelevantregulations, industryand professionalcodesofconductandotherrelevantlawswhenusingthePlatform("IndustryRegulations"), includingany applicableIndustryRegulationsforFinancialServicesBusinessesandrelatedindustries.Worksorteddoesnot guarantee toanyUserthattheirproposedoractualuseofthePlatformcomplieswithLawsandIndustryRegulationsthat mayapply tothatUser’sactivities. 11.5UsersaresolelyresponsiblefortheirconductinthecourseofusingthePlatform.Userswillnotinfringe the rightsofanyotherpersonoractinawaythatconstitutesabreachofanyagreementtheymayhavewithany personby contributingUserContenttothePlatform. 11.6UsersaresolelyresponsibleforuploadinganddistributionofallUserContent.Worksortedtakesno responsibility whatsoeverforanyUserContentassetoutinclause14.2. 11.7UserswarranttoWorksortedthattheyhavethefullcapacitytoagreetobelegallyboundbytheseTermsof Useand toprovidethewarrantiesregardingUserContentsetoutinthisclause11andelsewhereintheseTermsofUse. Security 12.1WorksortedstoresallContentonthePlatformonserverslocatedinAustraliawithahighlevelofsecurity access. Worksortedalsoperiodicallycreatesback-upcopiesofallContenttobestoredinanalternativelocationin Australia tothePlatform’smainservers.ItistheresponsibilityofUserstodeterminewhetherthestoragemethodsfor Content usedbyWorksortedcomplywithallapplicableLawsandIndustryRegulations.Forfurtherinformationabouthow WorksortedstoresallContentonthePlatform,[email protected]. 12.2WorksortedwillendeavourtonotifyUsersinwritingifthereisanychangetothewayinwhichContentis hosted, backed-up,stored,securedorencrypted. 12.3WorksortedwillnotifyUsersofanybreachrelatingtothesecurityoftheirUserContenthostedonthe Platform, theextentofthebreach,andtheactionsbeingtakenbyWorksortedtoresolvethebreachandmitigateany future securitybreach.WhileWorksortedwillusereasonableendeavourstoensurethesecurityofUserContent,tothe extent permittedbylaw,WorksortedwillnotberesponsibleinanywayforabreachinsecurityofUserContent. 12.4Notwithstandingclauses12.1–12.3,theprovisionofaccessto,anduseof,thePlatformbyUsersisonan "asis" basisandentirelyattheirownrisk.WorksortedisnotresponsibleinanywaytoUsersintheeventthatthe security ofContentonthePlatformiscompromisedinanyway,andWorksorteddisclaimsitsliabilityinthisregardas per clause14. IntellectualProperty 13.1TheIntellectualPropertysubsistinginanyaspectofthePlatformincludingwithoutlimitationtext, graphics, artwork,logos,software,trademarks,designs,copyright,compilations,algorithms,videorecordingsandaudio recordings,aswellasthestructure,layout,userinterfaceand"lookandfeel"ofthePlatform,OutputData, but excludingUserContent("PlatformIP"),isexclusivelyownedandcontrolledbyWorksortedand/oritsthirdparty affiliates,licensorsand/orlicensees,andisprotectedbyAustralianandinternationallawgoverning intellectual propertyrights.ThePlatformIPremainsWorksorted’sexclusivepropertythroughouttheworldinperpetuity. 13.2Usersarenotpermittedtosave,download,reproduce,display,copy,alter,conceal,adapt,perform, transmit, broadcast,sell,licenseorotherwiseexploitanyPlatformIPunlessitisOutputData(inwhichUsershavethe rights setoutinclause13.5)orunlesstheyhaveexpresspriorwrittenauthorisationfromWorksorted.Any unauthoriseduseof PlatformIPbyUsersisstrictlyprohibited. 13.3SubjecttotherightsgrantedtoWorksortedunderclause13.4,Userswillretainexclusiveownershipand controlof anyIntellectualPropertysubsistinginanyUserContentwhichtheysharevia,orsubmitoruploadto,the Platform. 13.4Notwithstandingclause13.3,UsersherebygranttoWorksortedaperpetual,non-exclusive,fullypaid, royalty-free, transferable,sub-licensable,non-revocable,worldwidelicencetoreproduce,exploitorotherwiseuse,copy, reproduce, process,adapt,modify,publish,transmit,exploit,displayanddistributeanyUserContentwhichtheyshare via,or submitoruploadto,thePlatforminanyandallmediaatWorksorted’ssolediscretion.Notwithstandingthe foregoing, WorksortedconfirmsthatitwillhandleallUserContentcontainingPersonalInformationinaccordancewiththe Privacy Policy. 13.5WorksortedherebygrantstoUsers(withtherequisitePermissionstoaccessanyOutputDatageneratedbythe Platform)anon-exclusive,fullypaid,royalty-free,revocable,sub-licensable,worldwidelicencetoreproduce, exploit orotherwiseuse,copy,reproduce,process,adapt,modify,publish,transmit,exploit,displayanddistribute any accessibleOutputData(a"Licence").WorksortedgrantstheLicencetoUsersontheconditionthatUserswill complyin fullwithallrelevantandapplicabletermsoftheseTermsofUse,includingwithoutlimitationclause11.4, clause 13.1,clause14.1andclause15.1. Disclaimers&LimitationofLiability 14.1Exceptforliabilityinrelationtobreachofanyimpliedcondition,warrantyorguarantee,includingunder the CompetitionandConsumerAct2010(Cth)ortheexclusionofwhichfromacontractwouldcontraveneanystatute orcause anypartoftheseTermsofUsetobevoid("NonExcludableConditions"),totheextentpermittedbylaw, Worksorted,its officers,directors,shareholders,successorsininterest,employees,agents,subsidiariesandaffiliates disclaimall liabilityforalllossordamage(actual,special,direct,indirectandconsequential)oreverykindrelatingto a User’suseofthePlatform,regardlessofwhetherliabilityisbasedonanybreachofcontract,tort(including negligence)orwarranty,arisesunderstatute,oranyotherbasisofliability,aswellasallwarranties, guarantees, representationsorspecificpromisesastothefunctionality,reliabilityoravailabilityofthePlatform, including warrantyoffitnessforpurpose.Worksortedtakesnoresponsibilityforanyerror,interruptionordefect resultingfrom technicalfaultorotherwise,andUsersacknowledgeandagreethattheiruseoftheplatformisonan"as-is" basisto theextentpermittedbylaw.Totheextentpermittedbylaw,Worksorted’sliabilityforbreachofany Non-Excludable Conditionisrestricted,atWorksorted’soption,tothere-supplyorpayingforthecostofre-supplyingaccess tothe Platform. 14.2WorksortedisnotresponsibleforUserContentorothermaterialthatiscreated,orotherwiseappearsvia the Platform.Worksorteddoesnotendorse,support,representorguaranteetheaccuracy,completenessorreliability ofUser ContentappearingonthePlatformandtakesnoresponsibilityforUserContentsubmittedviathePlatform,but maintains theright(withoutprovidinganynoticetotheUserAccountthatuploadedtheUserContentoranyotherUser Account)to remove,block,editormonitoranyUserContentatWorksorted’ssolediscretion,whetherpubliclyviewableor otherwise. 14.3ThePlatformmayfromtime-to-timeintegratewithorhosthyperlinkstothird-partywebservicesorhost third-partyinformationorcontentonthePlatform.Allthird-partycontentistheresponsibilityofitsauthor, and Worksorteddoesnotendorseorrepresenttheviewsoropinionscontainedtherein.Worksortedisnotresponsible forany materialcontainedonthird-partywebservices,includingwithoutlimitationasaresultofUsersaccessingthe Plugin Software,andanydealingsbetweenUsersandthirdpartiesareUsers’soleresponsibility. 14.4SubjecttotheapplicationofanyNonExcludableConditions,UsersherebyreleaseWorksortedfromallclaims and Worksortedisnotresponsiblenorliableforanyinjury,illness,directorindirectdamage,loss(financial, reputationalorotherwise)orconsequential,exemplaryoraggravateddamagesarisingfromanyofthefollowing matters ("PlatformMatters"): Theuseof,orinabilitytouse,thePlatformbyUsers; AnyfailurebyWorksortedorotherthirdpartiestoprovideanyinformation,service,featureor functionalityvia thePlatform; AnyunauthorisedsubmissionofinformationtothePlatform; StatementsorconductofanythirdpartyusingthePlatform; Useofthird-partyservicesorPluginSoftwareinconjunctionwiththePlatformbyUsers; AnycommunicationorinteractionbetweenUsersviathePlatform,whetheronlineoroffline; AnyUserContentthatiscreated,orotherwiseappears,viathePlatform;and WhereaUserfailstocomplywithanyLaw,IndustryRegulationorthePrivacyActwhendealingwithPersonal InformationinconnectionwiththePlatform. 14.5UsersherebyacknowledgeandconfirmthattheyareonnoticeofWorksorted’sdisclaimerofwarrantiesand limitationofliabilitysetforthinthisclause14orelsewhereintheseTermsofUse("Disclaimers& Limitations") andexpresslyagreetotheseDisclaimersandLimitationsasaconditionofusingthePlatform. 14.6IntheeventanypartoftheDisclaimers&Limitationsisnotenforceableforanyreason,then Worksorted’s maximumaggregateliabilityarisingfromorrelatingtoanyclaim(orseriesofrelatedclaims)byaUser, howsoever arising(whetherbasedinnegligenceoranyothertort,contract,statutoryliabilityorotherwise,and includingfrom orrelatingtotheprovisionbyWorksortedofthePlatformoranyassociatedservices,ortheconductofany Users) shallnotexceedthepricepaidforFeesbythatUsertoWorksortedtousethePlatforminthepast12months. Indemnities 15.1AsafurtherconditionofusingthePlatform,UsersmustindemnifyWorksortedagainstalldirect, quantifiableand reasonablelossand/ordamagesufferedbyWorksorted(whetherbasedinnegligenceoranyothertort,contract, statutory liabilityorotherwise)asadirectresultofUsersbreachingatermoftheseTermsofUse. Termination&RetentionofData 16.1OrganisationsarepermittedtoterminatetheseTermsofUseandrequesttheirOrganisationAccount,andthe User AccountsofanyInvitedUsers,tobedeletedfromthePlatformatanytimefollowingtheMinimumSubscription Period, providedthattheOrganisationhasprovidedWorksortedwith30dayswrittennotice("VoluntaryNoticePeriod"). Wemay otherwiseagreethatanOrganisationAccountisdeletedsoonerbymutualagreementwiththerelevant Organisation. 16.2IfanOrganisationwishestoterminatetheseTermsofUsepriortotheexpirationoftheMinimum Subscription Period(refertoclause5.4),theyarepermittedtodosobyprovidingtheVoluntaryNoticePeriod,howeverthe followingconditionsareapplicable: Writtennoticereceivedwithin30daysoforiginalapplication: Thefirstmonth’slicensefeeispayable(only) Theimplementationfeeisnon-refundable,and Anyservicescompletedarepayableinfull;or Writtennoticereceivedafter30daysoforiginalapplicationbutbeforetheexpirationoftheMinimum Subscription Period: Thelesserofsix(6)monthslicensefeesortheremainderoftheMinimumSubscriptionPeriodis payableinfull. 16.3TheseTermsofUseandanOrganisationAccountwillbeterminatedonthedatewhereeitherofthefollowing occurs ("TerminationDate"): TheexpirationoftheVoluntaryNoticePeriodaftertheMinimumSubscriptionPeriodhaspassed; TheexpirationoftheVoluntaryNoticePeriodpriortotheMinimumSubscriptionPeriodpassing,subjectto allFees applicableinclause16.2havingbeenpaidbytherelevantOrganisation;or ThedateforterminationotherwiseagreedbyWorksortedandtherelevantOrganisation. 16.4IntheeventthatanOrganisationAccountisterminated: TheOrganisationisresponsibleforextractingallrequireddatafromthePlatformpriortotheTermination Date; Worksortedwill,uponpaymentofaspecifiedadministrativefee,exportandprovidetheAdministratorofthe OrganisationwithacopyofallUserContentconnectedwiththeirOrganisationAccount;and Subjecttoclause16.5,Worksortedwill,after90daysoftheTerminationDate,deleteallUserContent connected withtherelevantOrganisationAccountfromWorksorted’sserversandprovideconfirmationofdestructionto theowner Organisation. 16.5Worksortedisunabletodeleteencryptedback-upsofUserContentfromaspecificOrganisationAccount(if such back-upsexist)whichiscommingledwiththeUserContentofotherOrganisationAccounts.Ifthereareencrypted back-upsforanOrganisationAccountwhicharetobedeleted,Worksortedwillcontinueitsusualprocedurefor creating encryptedback-upssuchthattheUserContentforthespecificOrganisationAccountinanyexistingencrypted back-ups issupersededand/ordeleted,andWorksortedwillalsoundertakenottoextractUserContentfromanyencrypted back-ups. 16.6WorksortedmayimmediatelyterminatetheseTermsofUseanddeleteanOrganisationAccountandtheUser Accountsof anyInvitedUserswheretherelevantOrganisationbecomesInsolvent. 16.7WorksortedmayterminateaUser’saccesstothePlatformprovidedtothematanytime,atWorksorted’ssole discretion,withoutnoticetothatUser,ifWorksortedhasreasonablegroundstobelievethattheUserhas failedto complywiththeseTermsofUse. 16.8InvitedUsersmayterminatetheseTermsofUsebyceasingtousethePlatformandrequestingtheirUser Accountto bedeletedinwritingtotheAdministratoroftheirlinkedOrganisationAccount,ortoWorksorted.Uponceasing useof thePlatformanddeletionoftherelevantUserAccounts,InvitedUsersagreethattheywillceasetohaveaccess toall UserContentuploadedbythemtothePlatformandthatWorksortedshallbeundernoobligationtostoretheir User ContentandtoprovidethemwithfutureaccesstosuchUserContent. 16.9Notwithstandingclauses16.1–16.8,anyPersonalInformation(asdefinedinthePrivacyPolicy)or non-personal statisticalinformationcollectedundertheseTermsofUseandthePrivacyPolicymaycontinuetobestored, usedor disclosedwithinthescopeofthepurposesdescribedinthePrivacyPolicy. Jurisdiction&ChoiceofLaw 17.1TheseTermsofUsearegovernedbyandconstruedinaccordancewiththelawsoftheStateofSouthAustralia, Australiawithoutgivingeffecttoanyconflictoflawsprincipleapplicableinotherjurisdictions.Anyclaim, causeof actionordisputearisingoutoftheseTermsofUseorrelatingtotheuseofthePlatformwillberesolved exclusively intheSupremeCourtofSouthAustralia,Australia,orapplicablelowercourt,andUsersagreetosubmittothe personal jurisdictionofsuchcourtsforthepurposeoflitigatingsuchclaims. Miscellaneous 18.1IfWorksortedisinvolvedinasale,mergerorotherrestructuring,itmayneedtoassignitspositionunder these TermsofUsetoathirdparty,whichitwillhavetherighttodosoatitssolediscretion.Worksortedwillalso have therighttoassignitspositionundertheseTermsofUseinothercircumstanceswiththewrittenconsentofUsers. UsersmayassigntheirpositionundertheseTermsofUsetoathirdpartywithWorksorted’spriorwrittenconsent. 18.2TherightsandobligationsundertheseTermsofUse,whichbytheirnaturewouldreasonablycontinuebeyondthe expirationofterminationofthisAgreement,willsurvivetheexpirationofterminationoftheseTermsofUse. Without limitingthegeneralityoftheforegoing,clauses7,9,11,13,14,15and17willsurvivetheterminationofthese TermsofUse. 18.3Intheeventthatanyoneormoreoftheprovisionscontainedhereinshall,foranyreason,beheldtobe invalid, illegalorunenforceable,suchinvalidity,illegalityorunenforceabilityshallnotaffectanyotherprovisionsof these TermsofUseandtheseTermsofUseshallbeconstruedasifsuchprovisionshadneverbeencontainedherein. 18.4Thefactthatapartyfailstodo,ordelaysindoing,somethingthepartyisentitledorobligatedtodounder theseTermsofUse,doesnotamounttoawaiverofanyobligationof,orbreachofobligationby,anyotherparty. 18.5Usersagreethatnoagency,jointventure,employee-employer,partnershiporothersimilarrelationshipis created betweenthemandWorksortedbyvirtueoftheseTermsofUse.
