ExploretheScienceofEngagementatAttune’22.RegistertodayLegal&PolicyPlatformTermsOfUseLastUpdated:February22,2022Effective5/9/2018INTRODUCTIONTheseTermsofUseapplywhenweareengagedbyacompanyorotherorganization(our“Customer”orthe“Organization”)tousethePlatformtocommunicatewiththeiremployeesand/orotherinvitedusersoftheOrganization’suniqueinstanceofthePlatform.InadditiontotheseTermsofUse,theOrganizationmayprovideyouwithadditionalpoliciesandtermsthataretailoredtohowourPlatformisusedbytheOrganization.Weurgeyoutoreviewanysuchadditionalpoliciesandterms,andtocontactyourOrganizationshouldyouhaveanyquestions.ByaccessingorusingthePlatform,yousignifythatyouhaveread,understood,andagreetobeboundbytheseTermsofUse(“TOU”or“Terms”).YouruseofisalsosubjecttoourPlatformPrivacyPolicy,whichcovershowwecollect,use,share,andstoreyourpersonalinformation,aswellas,anyadditionalpoliciesandtermsprovidedbyyourOrganization.WereservetherighttoamendtheseTerms,ourPrivacyPolicyatanytimeandwithoutnotice.WhenweupdatetheseTerms,wewillrevisethe“EffectiveDate”dateaboveandpostthenewTermonline,makeitavailablethroughthePlatform,andcommunicateittotheOrganization.TheOrganizationwillberesponsiblefornotifyingyou,andmayelecttodosothroughthePlatform,orwewillnotifyyouiftheOrganizationinstructsustodoso.Weencourageyoutoregularlycheckbackonthispagetoensureyouareuptodatewithanychanges.Ifyouobjecttoanychanges,youmaycloseyouraccount.YourcontinueduseofthePlatformafterwepublishorsendanoticeaboutourchangestotheseTermsmeansthatyouareconsentingtotheupdatedTerms.Youmustbe18orovertoregister,sign-up,orusethePlatform.Weaskthatanyoneunder18notusethePlatformorsubmitanyinformationtous.OVERVIEWOFTHEPLATFORMTheDynamicSignalPlatformisacloud-basedEmployeeCommunicationandEngagementplatformhostedandoperatedbyDySithatenablesanOrganizationtocommunicatewithyou,otheremployeesand/orindividualsauthorized(collectively,“Users”)bytheOrganizationtousethePlatform.Howitworks? AnOrganization(e.g.youremployer)contractuallyengagesDySitoestablishauniqueinstanceonourPlatform.TheOrganization’sPlatforminstanceisaccessiblethroughawebsiteandamobileappwhereUsersmayviewandcommentonOrganization-relatedcontentsuchasinformationaboutproducts,services,eventsandothercontentchosenandpostedontothePlatformbytheOrganization(“OrganizationContent”),andwhereUsersmayviewsuchcontent,potentiallyshareitwithotherUsersoroutsidethePlatformandprovidecommentsandotherOrganizationpermittedusercontent.TheOrganizationcanenablethePlatformtoconnectyoursocialnetworkingsite–e.g.Facebook,YouTube,Linkedin,Twitter,etc.(“SocialNetworkSite”or“SNS”)–withyourUseraccount,butonlywithyourexpressconsent,whichyoumaywithdrawatanytime.TheOrganization(e.g.youremployer)controlstheOrganizationContentandotherinformationcollectedfromyouwhenyouraccountiscreated.Tothatend,wehavesignedanagreementwithyourOrganizationthatdefineshowthisinformationshouldbeusedand,weonlywilluseinformationitaccordingtothisagreement(the“customeragreement”).YourOrganizationalsodefinesthescopeofthecommunityinitsuniqueinstanceofourPlatform(“Community”),andsomeOrganizationsopttoincludealargercommunitybeyondtheirownemployees(forexample,businesspartnersoralumni).YoumayrequestmoreinformationonwhatsubgroupsareapartofyourCommunityfromtheOrganizationyouareassociatedwith.OnlythoseinyourCommunitycanviewotherUserprofilesandfeedsontheOrganization’sinstanceofthePlatform.USEOFTHEPLATFORMYouruseofthePlatform,asauthorizedbyyourOrganization,issubjecttotheseTerms,aswellasanyadditionalpoliciesandtermsprovidedbyyourOrganization. DySireservesallrightsnotexpresslygrantedherein.DySioryourOrganizationmaypermanentlyortemporarilyterminate,suspend,orotherwiserefusetopermityouraccesstothePlatformwithoutnoticeandliability,if,intheirrespectivedetermination,youviolateanyoftheseTerms.ByprovidingDySiyouremailaddressyouconsenttoourusingtheemailaddresstosendyouPlatform-relatednotices,includinganynoticesrequiredbylaw,inlieuofcommunicationbypostalmail.WemayalsouseyouremailaddresstosendyouothermessagesrelevanttoyouruseofthePlatform.WithinyourUsersettings,youmayselecttheparticulartypesofnotificationsyoureceivethroughthePlatform;however,youwillalwayscontinuetoreceiveemailsorpushnotificationsthatarerelevanttoandanecessarypartofyouruseofthePlatform.USERCONTENTInyouruseofthePlatform,youmayupload,post,provide,publish,display,commenton,like,linktoorotherwisemakecontentavailableviathePlatform(collectively,“UserContent”). YougranttotheOrganization,andtous,aworldwide,transferableandsublicensablerighttocopy,modify,distribute,display,andprocessalloftheUserContentyoumakeavailableviathePlatform,includingbutnotlimitedtomakingyourUserContentavailabletootherUserswithinPlatform,withoutanyfurtherconsent,noticeand/orcompensationtoyouorothers.YouaresolelyresponsiblefortheUserContentthatyouavailableviathePlatform.Youagreethatwemayaccess,storeanduseanyinformationthatyouprovideinaccordancewiththetermsofthePrivacyPolicyandyourchoices(includingsettings).YouunderstandthatanyUserContentyoumakeavailablemaybeviewedbyandaccessibletoallUsersofthePlatform.YoucanendthislicenseforspecificcontentbydeletingsuchcontentfromthePlatform,orgenerallybyclosingyouraccount,except(a)totheextentithasbeensharedwithothersaspartofthePlatformandtheycopied,re-shareditorstoreditand(b)forthereasonabletimeittakestoremovefrombackupandothersystems.Pleasenote,contentyoucreateandshareonthePlatformmayremainonthePlatformandbeaccessibleevenifyoudeactivateorterminateyourUseraccount.Inthisway,contentyouprovideonthePlatformissimilartoothertypesofcontent(suchasletters,emails,presentationsormemos)thatyoumaygenerateinthecourseofyourinteractionswithotherparties.PleaseseethePlatformPrivacyPolicyformoreinformationaboutaccountandcontentdeletion.Inaddition,notwithstandinganythingtothecontrary,DySimayuseanddistributestatisticsbasedonyouruseofthePlatformforitsinternalpurposesasdescribedinthePlatformPrivacyPolicy.Bysubmittingsuggestionsorotherfeedbackregardinganyofourservices,youagreethatwecanuseandshare(butdoesnothaveto)suchfeedbackforanypurposewithoutcompensationtoyou.YouagreethatweareactingbehalfoftheOrganizationandonlyactingasapassiveconduitforyouronlinedistributionandpublicationoftheOrganizationContentandyourandotherUsers’UserContent.DySiisnotresponsibleforpolicingthePlatformoranyCompanyorUserContent.DySidoesnotandwillnothaveanyobligationtoreviewCompanyorUserContent,andthereforewedonotguaranteetheaccuracy,integrity,orqualityofCompanyorUserContentandwecannotassureyouthatharmful,inaccurate,deceptive,offensive,threatening,defamatory,unlawful,orotherwiseobjectionableCompanyorUserContentwillnotappearonourPlatform.YouunderstandandagreethatanylossordamageofanykindthatoccursasaresultoftheuseofanyCompanyorUserContentthatyousend,upload,download,stream,post,transmit,display,orotherwisemakeavailableoraccessthroughyouruseofthePlatform,issolelyyourresponsibility.DySiisnotresponsibleforanypublicdisplayormisuseofyourUserContent.Wedo,however,totheextentpermittedbylaw,reservetherighttoreviewanyorallUserContentinoursolediscretionandreservetherighttoremoveanyUserContent,inwholeorinpart.UNDERNOCIRCUMSTANCESWILLDYNAMICSIGNALBELIABLEINANYWAYFORANYUSERCONTENTPOSTEDONORMADEAVAILABLETHROUGHASITEBYYOUORANYOTHERUSER.SERVICEUSAGERESTRICTIONSYouagreethatyouwill:AbidebyandcomplywiththeseTerms;Complywithallapplicablelaws,including,withoutlimitation,privacylaws,intellectualpropertylaws,anti-spamlaws,exportcontrollaws,andregulatoryrequirements;ComplywithalltermsofuseandsimilarrulesconcerningyouruseofanySNSorotherthird-partypublishingplatform;Provideaccurateinformationtousandkeepitupdated;Useyourrealnameonyourprofile;UsethePlatforminaprofessionalmanner.Youagreethatyouwillnot:ActinanunlawfulorunprofessionalmannerinconnectionwiththePlatform,includingbeingdishonest,abusiveordiscriminatory;PostUserContentthatinfringesuponanyrightsofanythirdparty,includingbutnotlimitedtoanyintellectualpropertyrights,privacyrights,andrightsofpublicity;PostUserContentthat:isharmful,abusive,raciallyorethnicallyoffensive,defamatory,infringing,invasiveofpersonalprivacyorpublicityrights,harassing,humiliatingtootherpeople(publiclyorotherwise),libelous,threatening,airingpersonalgrievancesordisputes,orotherwiseinappropriateorobjectionable;maycreateariskofharm,loss,physicalormentalinjury,emotionaldistress,death,disability,orphysicalormentalillness;maycreateariskofanyotherlossordamagetoanypersonorproperty;mayconstituteorcontributetoacrimeortort;containsanyinformationorcontentthatisillegal;containsanyinformationorcontentthatyoudonothavearighttomakeavailableunderanylaworundercontractualorfiduciaryrelationships;orcontainsanyinformationorcontentthatisnotcorrectorcurrent.Youagree,represent,andwarrantthatyouhavetherighttopostyourUserContent,andtheUserContentthatyoupostdoesnotandwillnotviolatethird-partyrightsofanykind,includingwithoutlimitationanyintellectualproperty,rightsofpublicity,andprivacyrights.Discloseinformationthatyoudonothavetheconsenttodisclose(suchasconfidentialinformationofothers(includingyouremployer));Copy,use,discloseordistributeanyinformationobtainedfromthePlatform,whetherdirectlyorthroughthirdparties(suchassearchengines),withouttheconsentofDySi,exceptforthesharingofCompanyorUserContentmadespecificallyavailableforsharingthroughthePlatform;Violatetheintellectualpropertyrightsofothers,includingcopyrights,patents,trademarks,tradesecrets,orotherproprietaryrights.Forexample,donotcopyordistribute(exceptthroughtheavailablesharingfunctionality)thepostsorothercontentofotherswithouttheirpermission;ViolatetheintellectualpropertyorotherrightsofDySi;Postanythingthatcontainssoftwareviruses,worms,oranyotherharmfulcode;Reverseengineer,decompile,disassemble,decipherorotherwiseattempttoderivethesourcecodeforthePlatformoranyrelatedtechnology;Attempttointerferewith,compromisethesystemintegrityorsecurityordecipheranytransmissionstoorfromtheserversrunningthePlatform;Takeanyactionthatimposes,ormayimposeatoursolediscretionanunreasonableordisproportionatelylargeloadonourinfrastructure;Uploadinvaliddata,viruses,worms,orothersoftwareagentsthroughthePlatform;Createafalseidentity,impersonateanotherpersonorotherwisemisrepresentingwhoyouareoryouraffiliationwithapersonorentity;CreateaUserprofileforanyoneotherthanyourself;Useorattempttouseanother’saccount;InterferewiththeproperworkingofthePlatform;UsethePlatformtogeneratespam,advertising,junkmail,chainlettersorsimilarcontentormessage;BypassthemeasureswemayusetopreventorrestrictaccesstothePlatform.OverrideanysecurityfeatureofthePlatform;Interferewiththeoperationof,orplaceanunreasonableloadon,thePlatform(suchas,spam,denialofserviceattack,orviruses);Useorlaunchanyautomatedsystem,includingwithoutlimits,“robots,”“spiders,”“offlinereaders,”etc.,thataccessesthePlatforminamannerthatsendsmorerequestmessagestotheDySiserversthanahumancanreasonablyproduceinthesameperiodoftimebyusingaconventionalon-linewebbrowser;Collectorharvestanypersonally-identifiableinformation,includinguseroraccountnames,fromthePlatform;UseanyportionofthePlatformasadestinationlinkedfromanyunsolicitedbulkmessagesorunsolicitedcommercialmessages;SolicitcontactinformationorotherpersonalinformationfromUsersyoudon’tknow,withoutauthorization;Rent,lease,loan,trade,sell/re-sellaccesstothePlatformorrelateddata;Sell,sponsor,orotherwisemonetizethePlatform;Removeanycopyright,trademarkorotherproprietaryrightsnoticescontainedinoronthePlatform;MonitorthePlatform’savailability,performanceorfunctionalityforanycompetitivepurpose;Engagein“framing,”“mirroring,”orotherwisesimulatingtheappearanceorfunctionofthePlatform;OverlayingorotherwisemodifyingthePlatformortheirappearance;orUsethePlatformfortasksthatitisnotintendedfor.OURPROPRIETARYRIGHTSExceptforyourUserContentandOrganizationContent,thePlatformanditsmaterials,including,withoutlimitation,software,images,text,graphics,illustrations,logos,patents,trademarks,servicemarks,copyrights,photographs,audio,videosandmusic(the“DySiMaterials”),andallintellectualpropertyrightsrelatedthereto,aretheexclusivepropertyofDySianditslicensors.Exceptasexplicitlyprovidedherein,nothingintheseTermswillbedeemedtocreatealicenseinorunderanysuchintellectualpropertyrights,andyouagreenottosell,license,rent,modify,distribute,copy,reproduce,transmit,publiclydisplay,publiclyperform,publish,adapt,edit,orcreatederivativeworksfromanymaterialsorcontentaccessibleonthePlatform.UseoftheDySiMaterialsonthePlatformforanypurposenotexpresslypermittedbytheseTermsisstrictlyprohibited.Youmaychoosetoorwemayinviteyoutosubmitfeedback,comments,questions,andotherinformationaboutthePlatform,includingwithoutlimitationabouthowtoimprovethePlatformorourotherproducts.Bysubmittinganysuchcomments,youagreethatyourdisclosureisgratuitous,unsolicitedandwithoutrestrictionandwillnotplaceDySiunderanyfiduciaryorotherobligation,thatwearefreetodiscloseyourcommentsonanon-confidentialbasistoanyoneorotherwiseusethemwithoutanyadditionalcompensationtoyou.Youacknowledgethat,byacceptanceofyoursubmission,DySidoesnotwaiveanyrightstousesimilarorrelatedideaspreviouslyknowntoDySi,ordevelopedbyitsemployees,orobtainedfromsourcesotherthanyou.MOBILEAPPSTousetheMobileAppsyoumusthaveamobiledevicethatiscompatiblewiththeMobileApps.DySidoesnotwarrantthattheMobileAppswillbecompatiblewithyourmobiledevice.DySiherebygrantsyouanon-exclusive,non-transferable,revocablelicensetouseacompiledcodecopyoftheMobileAppsforoneDySiaccountononemobiledeviceownedorleasedsolelybyyou,foryourpersonaluse.YouacknowledgethatDySimayfromtimetotimeissueupgradedversionsoftheMobileApps,andmayautomaticallyelectronicallyupgradetheversionoftheMobileAppsthatyouareusingonyourmobiledevice.Youconsenttosuchautomaticupgradingonyourmobiledevice,andagreethatthetermsandconditionsofthisTOUwillapplytoallsuchupgrades.IfyouuseourMobileAppsorinteractwithawebsitethathasdeployedaplugin,youagreethatinformationaboutyouandyouruseofthePlatform,including,butnotlimitedto,yourdevice,yourmobilecarrier,yourinternetaccessprovider,yourphysicallocation,and/orwebpagescontainingDySipluginsthatloadinyourbrowsermaybecommunicatedtous.Further,byimportinganyofyourdatathroughtheMobileApps,yourepresentthatyouhaveauthoritytosharethetransferreddatawithyourmobilecarrierorotheraccessprovider.Intheeventyouchangeordeactivateyourmobileaccount,youmustpromptlyupdateyourDySiaccountinformationtoensurethatyourmessagesarenotsenttothepersonthatacquiresyouroldnumberandfailuretodosoisyourresponsibility.YouacknowledgeyouareresponsibleforallchargesandnecessarypermissionsrelatedtoaccessingDySithroughyourmobileaccessprovider.Therefore,youshouldcheckwithyourprovidertofindoutifthePlatformisavailableandthetermsforthesePlatformsforyourspecificmobiledevices.Finally,byusinganydownloadableapplicationtoenableyouruseofthePlatform,youareexplicitlyconfirmingyouracceptanceofthetermsoftheEndUserLicenseAgreementassociatedwiththeMobileAppprovidedatdownloadorinstallation,orasmaybeupdatedfromtimetotime.ThefollowingappliestoanyMobileSoftwareyouacquirefromtheiTunesStore(“iTunes-DownloadedSoftware”):YouacknowledgeandagreethatthisTOUissolelybetweenyouandDySi,notApple,andthatApplehasnoresponsibilityfortheiTunes-DownloadedSoftwareorcontentthereof.YouruseoftheiTunes-DownloadedSoftwaremustcomplywiththeAppStoreTermsofService.YouacknowledgethatApplehasnoobligationwhatsoevertofurnishanymaintenanceandsupportserviceswithrespecttotheiTunes-DownloadedSoftware.IntheeventofanyfailureoftheiTunes-DownloadedSoftwaretoconformtoanyapplicablewarranty,youmaynotifyApple,andApplemayrefundthepurchasepricefortheiTunes-DownloadedSoftwaretoyou;tothemaximumextentpermittedbyapplicablelaw,ApplewillhavenootherwarrantyobligationwhatsoeverwithrespecttotheiTunes-DownloadedSoftware,andanyotherclaims,losses,liabilities,damages,costsorexpensesattributabletoanyfailuretoconformtoanywarrantywillbesolelygovernedbythisTOUandanylawapplicabletoDySiasproviderofthesoftware.YouacknowledgethatAppleisnotresponsibleforaddressinganyclaimsofyouoranythirdpartyrelatingtotheiTunes-DownloadedSoftwareoryourpossessionand/oruseoftheiTunes-DownloadedSoftware,including,butnotlimitedto:(i)productliabilityclaims;(ii)anyclaimthattheiTunes-DownloadedSoftwarefailstoconformtoanyapplicablelegalorregulatoryrequirement;and(iii)claimsarisingunderconsumerprotectionorsimilarlegislation;andallsuchclaimsaregovernedsolelybythisTOUandanylawapplicabletoDySiasproviderofthesoftware.Youacknowledgethat,intheeventofanythird-partyclaimthattheiTunes-DownloadedSoftwareoryourpossessionanduseofthatiTunes-DownloadedSoftwareinfringesthatthirdparty’sintellectualpropertyrights,DySi,notApple,willbesolelyresponsiblefortheinvestigation,defense,settlementanddischargeofanysuchintellectualpropertyinfringementclaimtotheextentrequiredbythisTOU.YouandDySiacknowledgeandagreethatApple,andApple’ssubsidiaries,arethirdpartybeneficiariesofthisTOUasrelatestoyourlicenseoftheiTunes-DownloadedSoftware,andthat,uponyouracceptanceofthetermsandconditionsofthisTOU,Applewillhavetheright(andwillbedeemedtohaveacceptedtheright)toenforcethisTOUasrelatestoyourlicenseoftheiTunes-DownloadedSoftwareagainstyouasathird-partybeneficiarythereof.SOCIALNETWORKINGSITES(SNS)AspartofthefunctionalityofthePlatform,yourOrganizationmayallowyoutolinkyourUseraccountwithvariousonlineaccountsyouhavewithcertainSocialNetworkSitestoourPlatform.AsaUser,youwillthenhavetheoptiontolinkyourSNStoourPlatform.Onceconnected,theSNSwillsendusyouruserprofile(includingprofilephoto,handlename)andanalyticsinformationaboutthepostsyoushareontheirplatform,suchashowmanypeoplepotentiallyseeapost,thenumberofresponsesgeneratedbyyourcontent,andinformationabouttheactivityrelatedtoyourpost,includingresponsesandidentityofindividualswhointeractwithsuchcontent.ThisinformationmaythenbeviewablebytheOrganizationandus.YourSNSprofilephotoandhandlenamemayalsobeviewablebyotherUsersinyourCommunity.WedonotcollectpasswordstoyourSNS,asthatinformationisconfirmedbytheSNSseparatefromourPlatform.CertainSNSpermitsharingwithoutlinkingtoourplatform.Inthesecases,theinformationcollectedmaybeasubsetoftheabove.BylinkingyourSNStoourPlatform,youaregrantingtheOrganizationanduspermissiontoaccessandcollectthelimiteddatadescribedabove.THIRD-PARTYWEBSITES,ADVERTISERSANDSERVICESThePlatformmaycontainlinkstothird-partywebsitesoradvertisers,aswellascertainthird-partyservicesthatyourOrganizationmayintegratewiththePlatformsuchasyourOrganization’shumanresourceorinformationmanagementsystems(collectively“Third-PartyServices”).Wehavenocontrolover,andassumenoresponsibilityfor,thecontent,privacypolicies,orpracticesofanyThird-PartyServices.IfyouaccessaThird-PartyServicefromDySi,youdosoatyourownrisk,andyouunderstandthattheseTermsandDySiPrivacyPolicydonotapplytoyouruseofsuchsites.Additionally,yourdealingswithorparticipationinpromotionsofadvertisersfoundonDySi,includingpaymentanddeliveryofgoods,andanyotherterms(suchaswarranties)aresolelybetweenyouandsuchadvertisers.YouagreethatDySiwillnotberesponsibleforanylossordamageofanysortrelatingtoyourdealingswithsuchadvertisersoranyThird-PartyService.WeencourageyoutobeawareofwhenyouleavethePlatform,andtoreadthetermsandconditionsandprivacypolicyofanyThird-PartyServicethatyouvisit.INDEMNITYYouagreetodefend,indemnify,andholdharmlessDySianditssubsidiaries,agents,managers,andotheraffiliatedcompanies,andtheiremployees,contractors,agents,officersanddirectors,fromandagainstanyandallclaims,damages,obligations,losses,liabilities,costsordebt,andexpenses(includingbutnotlimitedtoattorney’sfees)arisingfrom:(i)youruseofandaccesstothePlatform;(ii)yourviolationofanyoftheseTerms,includingwithoutlimitation,yourbreachofanyoftherepresentationsandwarrantiesabove;(iii)yourviolationofanythird-partyright,includingwithoutlimitationanyrightofprivacy,rightsofpublicityoranyintellectualpropertyrights;(iv)yourviolationofanylaw,ruleorregulationoftheUnitedStatesoranyothercountry;(v)anyclaimordamagesthatariseasaresultofanyofyourUserContentyousubmit;or(vi)anyotherparty’saccessanduseofthePlatformwithyouruniqueusername,passwordorotherappropriatesecuritycode.NOWARRANTYTHEPLATFORMISPROVIDEDONAN“ASIS”AND“ASAVAILABLE”BASIS.USEOFTHEPLATFORMISATYOUROWNRISK.THEPLATFORMISPROVIDEDWITHOUTWARRANTIESOFANYKIND,WHETHEREXPRESSORIMPLIED,INCLUDING,BUTNOTLIMITEDTO,IMPLIED
