Your use of the service as a borrower, lender or introducer will be subject to ... gb UnitedKingdom SouthAfrica AboutUs Insights Login 02036969700 CapitalisePlatformTermsofUse   1.Aboutus 1.1Thiswebsite,andtheonlinebrokingserviceofferedthroughthewebsite(Service),isoperatedbyCapitalise.comPlatformLtd(we , us, our or Capitalise).Ourregisteredcompanynumberis09256446andourregisteredaddressisat2ValentinePlace,London,SE18QH,UnitedKingdom. 1.2Capitalise.comPlatfromLtd,tradingasCapitalise,isauthorisedandregulatedbytheFinancialConductAuthority(FCA)forregulatedcreditagreements.   2.OurService 2.1WeoperateacommercialcreditbrokingplatformthroughthiswebsitetofacilitateBorrowers'applicationstoaselectgroupofLendersforcertainloanandotherfinanceandcreditProductswhichmaybeappropriatetotheneedsoftheirbusiness.WedonotprovideadvicetousersofourplatformotherthanadviceonthetechnicaluseofthewebsiteandService. 2.2Capitaliseisnotalenderorasupplierofcreditorotherfinancialproducts.WedonotofferanyfinancialproductsviathewebsiteandwewillnotbeapartytoanyagreemententeredintobetweenusersoftheService,nordowemakeanyrepresentationsorwarrantiesrelatingtoanyagreemententeredintobetweenusersoftheService,norinrespectofthepartiesthereto.  2.3IfaBorrowerandaLenderenterintoacontractasaresultofourService,wewillbepaidacommissionbytheLender.Ifanotherparty(anIntroducer)introducesaBorrowertous,wemayalsobeobligedtopaycommissiontotheIntroducer. 2.4TheServiceofferedthroughthiswebsiteisonlyavailabletoUserswhichhavefullyregisteredtousetheServiceinaccordancewithandsubjecttotheseTermsofUse(Terms).TheServicecanonlybeusedinaccordancewiththeseTerms.IfyoudonotagreetotheseTerms,youmaynotusetheService.   3.TermsofUse 3.1TheseTerms,togetherwithour websitetermsofuse,setoutthebasisonwhichyouareallowedtouseourService.YouruseoftheServiceasaprospectiveand/orregisteredBorrower,LenderorIntroducerwillbesubjecttotheseTerms.ByusingthewebsiteandtheServiceyouagreetobeboundbytheseTermsandour websitetermsofuse. 3.2ThepaymentofcommissiontousbyLendersissubjecttotheLenderCommissionTerms,andthepaymentofcommissionbyustoIntroducersissubjecttotheIntroducerCommissionTerms.WhentheLenderCommissionTermsorIntroducerCommissionTermsareagreedseparatelybetweenusandaLenderorIntroducer(asapplicable),theywillbeincorporatedintoandformapartoftheseTerms. 3.3Thewayinwhichweusepersonaldataisexplainedinour privacyandcookiespolicy,whichformspartofthe websitetermsofuse. 3.4WemaychangetheseTermsfromtimetotime.Ifwedoso,wewillupdatetheTermsonthewebsite.YouruseofthewebsitewillbetakenasyouracceptanceofthelatestversionoftheseTerms.AnychangestotheseTermswillnotapplytoanytransactionsthatwereagreedasaresultofourServicebeforethedateonwhichthechangestakeeffect,unlessrequiredbyapplicablelaw.Werecommendthatyouregularlycheckthesetermsofusetoseeiftheyhavebeenupdatedsinceyourlastreview. 3.5TheseTermswerelastupdatedon27thJune2018 (ChangingPlatfiLtd.tradingaddress).   4.LocationofService TheServiceisdirectedsolelyatBorrowers,LendersandIntroducersestablishedinandconductingbusinessfromEngland.IfyouaccessandusetheServicefromterritoriesoutsideEngland,youdosoofyourownaccordandareresponsibleforcomplyingwithlocallaws.YouagreethatyouwillnotmakeanyclaimtotheeffectthattheServiceisconductedin,orsubjectto,thelawsofanycountryotherthanEngland.   5.EligibilitytousetheService 5.1TouseourServicesasaBorrower,LenderorIntroduceryouwillneedto: a)satisfytheapplicablerequirementssetoutinparagraphs8to10oftheseTerms; b)accepttheseTerms,our websitetermsofuse andour privacypolicy; c)ifyouareaLender,separatelyagreetheLenderCommissionTermswithus,andifyouareanIntroducer,separatelyagreetheIntroducerCommissionTermswithus;and d)registerasaBorrower,LenderorIntroducerinaccordancewithparagraph6andparagraphs8to10(asapplicable). 5.2IfyouceasetobeeligibletobeaUser,youmustinformusassoonasreasonablypracticablebyemailingusat [email protected],orifweindependentlybecomeawarethatyouarenolongereligibletobeaUser,yourAccountwillbesuspendedorterminatedinourdiscretion.IfyoulaterbecomeeligibletouseourServiceagainandsupplyuswithsufficientinformationtoverifyyoureligibilitytousetheService,wemay,onrequestandinourdiscretion,reactivateyourAccount.   6.Registration 6.1InordertoregisterasaUser,youwillneedto: a)completetheapplicableregistrationformonthewebsiteandsubmitittous; b)provideallmandatoryinformationrequiredbytheseTerms;and c)setuplog-indetailsconsistingofausernameandpassword. 6.2IfyoudonotsupplyallofthemandatoryinformationthatwerequestviatheService,wecannotprovidetheServicetoyou. 6.3YourregistrationformwillneedtoidentifyandregisteroneormoreindividualswhowillactasyourAuthorisedUser.Ifyouareasoletrader,youwillbetheAuthorisedUser.Youwarrantthattheindividual(s)willhavethenecessaryauthoritytoactonyourbehalfandbindyouinperformingallyourobligationsasauseroftheServiceforthepurposesofusingthewebsiteandourServiceatalltimes,andthatyouwillnotpermitanyindividualwhodoesnothavesuchauthoritytousethewebsiteorServiceonyourbehalf.IfanAuthorisedUserleavesyourorganisationorisotherwisenolongerauthorisedtoaccessandusetheServiceonyourbehalf,youmust:(i)de-registertheapplicableAuthorisedUser;(ii)designateareplacementAuthorisedUser;and(iii)provideallmandatoryinformationregardingthereplacementAuthorisedUser,byemailingusat [email protected]. 6.4OnceyouhaveregisteredfortheService,wemaycontactyouand/orthirdpartiestoverifytheinformationand/orprovideuswithfurtherinformationtosupportyourapplication(forexamplewhererequiredbyapplicablelaw). 6.5Onceyouhavefullycompliedwiththeregisteredprocessinparagraphs6.1to6.3,yourAccountwillbeactivatedautomatically.OnceyourAccounthasbeenactivated,itwillremainopenuntilitissuspendedorterminatedinaccordancewiththeseTerms. 6.6InadditiontoourotherrightsundertheseTerms,wereservetherightinourdiscretiontodisableanAccountatanytimeif,inouropinion:(i)youhavefailedtocomplywithanyprovisionoftheseTerms;(ii)ifanydetailsyouprovideforthepurposesofregisteringasaUserarefalseorincorrect;or(iii)ifwethinkitisnecessarytoprotectotherUsersand/orthesecurityortheoperationofthewebsite. 6.7AUser’sregistrationtousetheServiceisstrictlypersonaltothatUserandcannotbeassignedtoanythirdparty.   7.Yourinformation 7.1Yourepresentandwarrantthatallinformationthatyougivetous,includinginformationprovidedaboutyou(andinthecaseofIntroducers,aboutBorrowers)duringthecourseofregistrationasaUser,isaccurate,complete,up-to-dateandnotmisleadingatalltimes.Youmustnotifyuspromptlyifanyofthatinformationchanges,orifyoubecomeawareofanyadditionalrelevantinformation,followingyourregistrationasaUser. 7.2YouaresolelyresponsibleforanyinformationyoumakeavailableviatheService,including,ifyouareaBorrowerorIntroducer,theBorrowerInformation.YoumustnotprovideusoranyUserwithanyinformationthatyoudonotownorhavepermissiontodisplay,publishorpost,andyourepresentandwarrantthatyouwillcomplywiththisparagraph7.2atalltimes. 7.3YouagreetoindemnifyusandotherUsersfromandagainstanyLosssufferedorincurredasaresultoforinconnectionwithanyclaim: a)relatingtotheuseand/orpossessionofanyinformation,data,contentormaterialsyouprovideand/ormakeavailableviatheServicebreachestheintellectualpropertyorotherproprietaryrightsofanyotherUserorthirdparty;or b)arisingfromorinconnectionwithabreachbyyouofparagraphs7.1and/or7.2.   8.ProvisionsapplicabletoBorrowers 8.1YoumayonlyapplytoregistertousetheServiceasaBorrowerifyoumeetthefollowingcriteria: a)youareestablishedinandareconductingbusinessfromtheUnitedKingdom;and b)youhaveallnecessaryconsentsandregulatoryapprovalstousetheService;and  c) youareeither:(i)asoletrader;(ii)alimitedliabilitypartnershipwithtwoormorepartners;or(iii)oralimitedliabilitycompany. PersonalborrowingorothercreditservicesarenotprovidedthroughCapitalise,andindividualsactingasconsumers(andnotassoletraders)arenotallowedtousetheService. 8.2EachBorroweracknowledgesthatthetypeofProductsthattheBorrowerisentitledtorequestviatheServicewilldependonthelegalstatusoftheBorrower(i.e.whethertheBorrowerisasoletrader,limitedliabilitycompanyorlimitedliabilitypartnership).ThetypeofProductsthatalimitedliabilitypartnershipmayrequestviatheServicewillalsodependonthenumberofmembersthattheBorrowerhas.ThesedifferencesarereflectedintheDecisionTree,whichmayvaryfromtimetotime.Accordingly,eachBorrowermustnotifyusoftheirlegalstatus(and,ifapplicable,thenumberofpartnersinalimitedliabilitypartnership)whenpromptedviathewebsite.  Further,eachBorrowerwarrantsthat:  a)thelegalstatusnotifiedonregistrationiscorrectasatthedateofregistrationoftheBorrower;and b)ifaBorrower'slegalstatuschangesfollowingregistrationasaBorrower(forexamplefromasoletradertoalimitedliabilitycompany),theBorrowerwillnotifyusassoonasreasonablypracticableofthischangeat [email protected]. 8.3IfaBorrowerfailstocomplywithparagraph8.2wemaytreatafailuretodosoasamaterialbreachoftheseTermsandmaysuspendand/orterminatetheBorrower'sAccountandaccesstotheService. 8.4InadditiontotheeligibilitycriteriasetoutintheseTerms,Borrowersacknowledgethat: a)theremaybeadditionaleligibilitycriteriaforProductsofferedbyparticularLenders.LenderswillbesolelyresponsibleformakingBorrowersawareofthesecriteria;and b)Capitalisemay,fromtimetotime,applyadditionaleligibilitycriteriaforsomeProductswhererequiredbyapplicablelaworbusinessrequirements.CapitalisewillnotifyBorrowersviathewebsiteand/orbyemailifanyeligibilityrequirementschange.   9.ProvisionsapplicabletoLenders 9.1YoumayonlyapplytoregistertousetheServiceasaLenderif: a)youareauthorisedandpermittedtoactasalenderundertheFinancialServicesandMarketsAct2000and/orotherapplicablelegislation;or b) youareanindependentlenderoperatingonlyinunregulatedproducts;and c) youhaveallnecessaryconsentsandregulatoryapprovalstousetheService.    10.ProvisionsapplicabletoIntroducers 10.1YoumayonlyapplytoregistertousetheServiceasanIntroducerif:  a)youareestablishedinandareconductingbusinessfromEngland;and b) youhaveallnecessaryconsentsandregulatoryapprovalstousetheService;  10.2IfyouapplytoregisterasanIntroducer,wewillcontactyourAuthorisedUsertodiscussyourapplicationandmayaskyoutoprovideuswithfurtherinformationsothatwecanevaluateyourapplication. 10.3EachIntroducermustnotifyusoftheirregulatedstatuswhenpromptedonregistration.Further,eachIntroducerwarrantsthatiftheIntroducer'sregulatedstatuschangesfollowingregistrationasanIntroducer(forexampleifitbecomesnolongerregulatedunderapplicablelaw),theIntroducerwillnotifyusassoonasreasonablypracticableofthischangeat [email protected]. 10.4IntroducersareonlyallowedtousetheServicetointroduceprospectiveBorrowerstoLendersthatcomplywiththeeligibilitycriteriainparagraph8.1.IntroducersacknowledgethatthetypeofProductsthatIntroducersmayapplyforonbehalfofBorrowersviatheServicewilldependonthefactorssetoutinparagraph 8.2.Accordingly,theIntroducermustnotifyusoftheBorrower'slegalstatus(andinthecaseofalimitedliabilitypartnership,thenumberofmembers)whenpromptedonthewebsite.Further,eachIntroducerwarrantsthat: a)theBorrowerInformationasnotifiedonregistrationiscorrectasatthedateofregistrationoftheIntroducerorthedateofthefirstBorrowerintroductionviatheService,whicheverislater;and b)ifaBorrower'slegalstatuschanges(forexamplefromasoletradertoalimitedliabilitycompany)orothermaterialBorrowerInformationchangesfollowingIntroducer'sregistration,theIntroducerwillnotifyusassoonasreasonablypracticableofthischangeat [email protected]. 10.5Withoutlimitinganyotherrightswemayhave,ifanIntroducerfailstocomplywiththenotificationrequirementsineitherparagraph10.3orparagraph10.4,wemaytreatthefailureasamaterialbreachoftheseTermsandmay: a)suspendand/orterminatetheIntroducer'sAccountandaccesstotheService;and/or b)withrespecttoanyFinanceAgreementsenteredintoaftertherelevantstatusorothermaterialchangerelatingtotheBorrowerorIntroducer:(i)withholdanyCommissionthatwouldotherwisebepayabletotheIntroducerwithrespecttothoseFinanceAgreements;or(ii)ifanysuchCommissionhasalreadybeenpaidtotheIntroducer,demandthatsuchCommissionberefundedtous(inwhichcasetheIntroducerwillrefundsuchCommissionpromptlyandinanyeventwithinsevendaysofdemand). 10.6EachIntroducerwarrantsandrepresentsthattheyhaveobtainedallnecessaryconsentsandpermissionsfromtheapplicableBorrowerinorderto: a)enabletheIntroducertoprovideinformationabouttheBorrowerviatheService;and b)toenableustoprovideupdatestotheIntroducerabouttheprogressofanydiscussionsbetweentheBorrowerandLender(s)viatheServiceandanyresultingFinanceAgreements. IntroducersmustindemnifyusfromallLosssufferedorincurredasaresultoforinconnectionwithanyclaimthattheIntroducerhasfailedtocomplywithparagraph10.6(a)and/or(b). 10.7EachIntroducerwillactinaprofessionalmannerandinaccordancewithgoodindustrypracticeandapplicablelawsatalltimesinrespectofitsuseof,andactivitiesrelatingto,theService.   11.StandardChecks 11.1AUser'sregistrationtousetheServiceissubjecttocompletionofourStandardCheckstooursatisfaction.WemayinoursolediscretionsuspendanAccountwhileweconductourStandardChecks. 11.2WemayconductourStandardChecksoneachorganisationwishingtoregisterasaUser,andmayalsoconductfurthercheckswherewearerequiredtodosofollowingachangeinapplicablelawand/oraswemayrequirefromtimetotime(inourabsolutediscretion).Thismay,forexample,includeconductingcheckstoconfirm: a)thattheorganisationmeetstheapplicablecriteriasetoutintheseTerms;and b)theUser’sidentity. Wemayalsoobtainfinancialandcreditreportsfromthirdpartiesand/orscreeninganorganisation'sidentityagainstcriminallistsprovidedbythirdparties.InordertoregisterandactivateanAccountandmaintainyourregistrationasaUser,youmustprovidethedetailswerequestandauthorisethirdpartiesasnecessarytoreleasedetailsaboutyou.AllpersonaldatacollectedaspartoftheseStandardCheckswillbeprocessedinaccordancewithourprivacypolicy. 11.3WhileweapplyminimumcriteriaforaccesstotheServicesundertheseTermsandmayundertakeStandardChecks,wedonotendorseanyUsersandtakenoresponsibilityforandmakenorepresentationastothereliabilityofanyUsers.UsersshouldnotrelyonourStandardChecks,andareresponsibleforundertakingtheirownduediligenceandusingtheirownjudgementinmakinganydecisionswithrespecttoanytransactions.   12.UsingtheService 12.1IfaBorrowerorIntroducerwishestouseourServicetomakeaProductRequest,theBorrowerorIntroducer(asapplicable)must: a)ensurethattheBorrowerisentitledtoapplyfortheparticularProduct(s)viatheService(asreflectedintheDecisionTree); b)completeandsubmittherelevantProductapplicationformonthewebsite;and c)submitanyadditionalBorrowerInformationrequestedontheapplicationform. TheBorroweracknowledgesthatwemayconductsearchesofpubliclyavailableinformation(suchastheCompaniesHousedatabase)inordertoverifyinformationprovidedbytheBorrowerorIntroducer. 12.2OnceaBorrowerhassubmittedtheapplicationformforaProductandallinformationrequiredbytheseTerms,ourmatchingalgorithmwill: a)analysetheBorrowerInformationandtheBorrower'sProductrequirements;and b)subjecttoparagraph12.3,matchtheBorrowerwithoneormoreLenderswhoofferoneormoreoftherequestedProducts. 12.3AstheriskexposureforeachProductRequestandtheavailabilityofProductswillvaryfromtimetotime,wecannotguaranteethateveryProductRequestwillbematchedwithoneormoreLenders,orthateachProductRequestwillresultinanofferforaProductbyanyLenders. 12.4IfaBorrowerhasbeenmatchedwithoneormoreLenders,wewillthenpresenttheBorrower'sProductRequestandtheinformationabouttheBorrowerasdescribedinparagraph12.5toeachofthoseLendersbyemailand/orviatheLender'sdashboardonthewebsite. 12.5ThefollowinginformationwillbepresentedtotheapplicableLender(s)byCapitaliseonbehalfoftheBorrowerunderparagraph12.4(inrespectofwhichCapitaliseprovidesnorepresentationsastotheaccuracyorvalidityofsuchinformation):(a)nameoftheBorrower;(b)name(s)ofthedirector(s)oftheBorrower;(c)turnoveroftheBorrower;(d)theamountoffundingrequiredbytheBorrower;(e)theProductrequested;(f)contactdetailsfortheBorrower;(g)anyotherinformationprovidedbytheBorrowerorIntroducer;(h)ifapplicable,allpubliclyavailableinformationrelatingtotheBorrowerfromCompaniesHouse;and(i)anydataderivedfromathirdpartysiteorapplicationiftheBorrowerorIntroducerhasprovidedlogindetailsforthatsiteorapplicationforthispurpose(LendingPassportInformation).TheLendingPassportInformationwillbetreatedastheBorrower'sConfidentialInformationundertheseTerms.TheLender(s)willonlyusesuchinformationforthepurposesofconsideringtheProductRequestandfornootherpurpose.EachLendermustindemnifyusandtheBorrowerforanyLosssufferedorincurredasaresultoftheLender'sfailuretokeeptheLendingPassportInformationstrictlyconfidentialinaccordancewiththeseTerms. 12.6OnceaLenderhasreceivednotificationfromusunderparagraph12.4,itmay,initssolediscretion,conductfurthercheckstoassesswhetheritwishestooffertheBorroweraProductprovidedthattheLenderwillnotconductanyconsumercreditchecksunlessithasgivenreasonablenoticetotheBorrowerthatitintendstodoso. 12.7ABorrowerwillbenotifiedviatheServiceand/oremailifaLenderwishestoprogressdiscussionswiththeBorrowerwithrespecttotheProductRequest.TheBorrowerandLenderwillthenbeabletocommunicatedirectlyviatheServicewithrespecttotheProductRequest.AnyFinanceAgreementswillbeconcludedinaccordancewithsection14. 12.8IfaLenderdoesnotwishtopursueaProductRequest,theBorrowerwillbeautomaticallynotifiedviatheServiceand/oremail. 12.9WecannotguaranteethatanyLender(s),oranyparticularLender(s),willmakeanofferforaProducttoanyBorrowerthroughtheService,orthatanyProductRequestwillleadtoaFinanceAgreement. 12.10Lendersmay,intheirsolediscretion,decidenottopursueanycommercialdiscussionswithaBorrowerfollowingnotificationfromusunderparagraph12.4. 12.11ALendermustnotifyuspromptlyandinanyeventwithinsevendaysifandwhen: a)theLendermakesanoffertoaBorrowerforaProductoffline;and b)theLenderentersintoaFinanceAgreementand/oranyotherrelatedagreementrelatingtoaProductwithaBorrowerasaresultoftheintroductionmadeviatheService,inwhichcasetheLendermustalsoprovideus(viatheService)withacopyoftheFinanceAgreementandanyotherrelateddetailsthatwereasonablyrequire(includingdetailsregardingtheProductsizeandtenure). WemaycontacttheBorrowertoverifytheinformationprovidedbytheLenderunderthisparagraph12.11. 12.12YouaresolelyresponsibleforyourinteractionswithotherUsersviatheService.Wereservetheright,butarenotobliged,tomonitoractionsanddisputesbetweenyouandotherUsersviatheService.   13.Accounts UserscanaccessasummaryoftheiractivityusingtheServiceviathepersonaliseddashboardprovidedtoeachUserintheirAccount.CertainmetricswillalsobeprovidedtoLendersandIntroducersviathedashboardonaportfoliobasis.   14.FinanceAgreements 14.1WewillnotbeapartytoanyFinanceAgreementoranyotheragreementthatisinitiatedbetweentheBorrowerand/orIntroducerandLenderthroughtheService. 14.2ThetermsofanyFinanceAgreementwillbesubjecttonegotiationandagreementbetweentheapplicablepartiesoutsidetheService.WewillnotactasagentorotherwiseparticipateinanydiscussionsbetweentheIntroducerand/orBorrowerandLenderwithrespecttoanysuchagreement. 14.3Werecommendthatyouseekindependentadviceand/orconductyourownduediligencewithreferencetoyourownparticularfinancialobjectivesbeforeenteringintoanyFinanceAgreement.YouwillberesponsibleforenteringintoanyFinanceAgreementsonthebasisofyourownskillandjudgementandhavingconductedduediligence. 14.4IfaLendernotifiesusthataBorrowerhasdefaultedunderorotherwisebreachedthetermsofaFinanceAgreement,wereservetherighttosuspendand/orterminatethatBorrower'saccesstotheService.   15.FeesandCommission 15.1WedonotchargeBorrowersanyfeestousetheService,andwedonotcollectanyfeesfromBorrowersonbehalfofLendersorIntroducers. 15.2IfaBorrowerandLenderenterintoaFinanceAgreement: a)theLendermustpayustheapplicableCommissioninaccordancewiththeLenderCommissionTerms,whichareincorporatedintoandformapartoftheseTerms;and b)ifapplicable,anIntroducermaybeentitledtoashareofCommissionpayablebytheLenderinaccordancewiththeIntroducerCommissionTerms. WhenaLenderacceptsanintroductiontoaBorrower,wewillimmediatelynotifytheBorroweroftheCommissionthatwouldbepayablebytheLendertoCapitalisebasedonthesubmittedProductinthenotificationcentre.WewillprovideseparatenotificationsforeachLender.WewillalsoprovidethisinformationtotheBorrowerviaemailwithinthreeBusinessDaysoftheLender'sacceptanceoftheintroduction.WewillonlybepaidCommissionfromaLenderonceaFinanceAgreementhasbeenenteredinto. 15.3WemayvarytheLenderCommissionTermsand/orIntroducerCommissionTermsfromtimetotimebyagreementbetweenusandtheLenderorIntroducer(asapplicable). 15.4WemaychargeLendersinterestonallCommissionoutstandingbeyondthedateonwhichitdueforpaymenttous.Wemaychargeinterestonthatbasisfromthedatepaymentwasdueuptoandincludingthedateofpayment(includingafteranyjudgmenthasbeenobtained)attherateof4%perannumabovethebaserateofHSBCBankplc. 16.Informationandcommunicationsprovidedbyus 16.1Inadditiontothedataandinformation(forexamplerelatingtootherUsers)thatisprovidedviatheService,wemay,fromtimetotime,provideyouwithinformationviatheService,websiteand/orinemails,suchaswhitepapers,thatwebelievemayberelevantorofinteresttoyou(ServiceInformation).InsigninguptotheService,youauthoriseCapitalisetoprovideyouwithsuchinformation. 16.2Youacknowledgeandagreethat: a)anyinformationprovidedbyus(includingServiceInformation)isprovidedforinformationpurposesonlyandcannotbereliedonasaguaranteeofanyparticularresult; b)neithertheServicenoranyServiceInformationconstitutesanyformofadvice,recommendationorendorsementbyuswithrespecttoUsers,Productsorrisklevels;and c)wedonotofferanyadviceabouttherisksrelatingtoanyparticularProductsoraBorrower'screditworthinessorreliability. 16.3WecannotassureyouthatanyServiceInformationiscomplete,up-to-dateorerrorfree,andwewillnotbeliabletoyouforanyLossifitisnot.   17.Restrictions 17.1WhenusingtheService,youwillnot: a)breachtheseTermsorotherwiseusetheServiceinanunauthorisedmanner; b)carryoutanyunlawful,illegalorfraudulentactivities; c)communicatewithotherUsersinanunauthorisedorunlawfulmannerorinbreachofapplicablelaws; d)breachtheinformationrequirementsinsection7; e)useaproxyoranysystempreventingtheidentificationofyourcomputersystem; f)sendviruses,Trojanhorsesoranyothercomputerprogramthatisintendedtoormightdestroy,harm,damageorinterferewithourtechnicalinfrastructure,systemsordatabases;orinterceptoursystems,dataorinformation; g)usebots,spidersoranyotherautomaticormanualprocesstomonitor,scrapeand/orcopyourwebsitewithoutourpriorwrittenconsent;or h)carryoutanyactionthatisintendedtoormightdegradeorotherwisedetrimentallyaffecttheService.   18.Warranties,representationsanddisclaimers 18.1Yourepresentandwarrantthat,atthedateofyourinitialregistrationandeachtimeyouusetheService: a)youhavelegalauthorityandcapacitytoagreetotheseTermsanduseourwebsiteandServicelawfully; b)eachindividualyouregisterasyourAuthorisedUserisproperlyauthorisedtoaccessandusetheServiceonyourbehalf; c)youmeettheapplicableUsercriteriasetoutintheseTerms; d)allinformationyouprovidetousviatheServiceis,atthedateitisprovided,complete,accurateandnotmisleading;and e)youwillcomplywithallapplicablelawsinrespectofyouruseoftheServiceandanyactivitiesrelatedtoyouruseoftheService. 18.2WecannotgiveanywarrantyorrepresentationinrespectofanyProducts.WedonotwarrantorrepresentthatanyProductsofferedbyLendersviatheServicewillbefitforyourpurposeorthattheyarethebestormostcompetitiveavailableinthewholemarket. 18.3WhilewetakeallreasonableeffortstoaskforandverifyinformationprovidedtousforthepurposesofcarryingouttheService,wearerelyingontheinformationprovidedbyourUsersandcannotguaranteethatinformationprovidedtous(includingBorrowerInformation)willbeaccurate,completeorerror-free.WewillnotbeliableforanyerrorsoromissionsinanycontentprovidedbyUsersincludingforanyinaccurateorincompleteUserdetails. 18.4ExceptasexpresslysetoutintheseTerms,noimpliedconditions,warrantiesorotherterms,includinganyimpliedtermrelatingtosatisfactoryqualityorfitnessforpurpose,willapplytothewebsiteortheService.   19.Liability 19.1NothingintheseTermswillinanywaylimitorexcludeourliabilityoranyUser'sliability:(a)fornegligencecausingdeathorpersonalinjury;(b)forfraudorfraudulentmisrepresentation;(c)underanyexpressindemnityintheseTerms;(d)forallamountsproperlydueandpayableundertheseTerms;or(e)foranythingelsewhichmaynotbelegallyexcludedorlimited. 19.2Subjecttoparagraph19.1,wewillnotbeliableforany:(a)lossofprofits;(b)lossofrevenue;(c)lossofanticipatedsavings;(d)lossofsalesorbusiness;(e)lossofagreementsorcontracts;(f)lossofuseorcorruptionofsoftware,dataorinformation;(g)lossofordamagetogoodwill;(ineachcasewhethersuchlossisdirectorindirect);or(h)indirect,consequentialorspeciallossordamage;evenifwehavebeenadvisedofthepossibilityofsuchdamagesandwhethersuchlossorliabilityarisesduetonegligence,breachofcontract,misrepresentationorforanyotherreason. 19.3Subjecttoclause19.1,wewillnotbeliabletoyouforany:(a)losseswhichariseasaresultofyourunauthoriseduseoftheService(includinganybreachbyyouoftheseTerms);(b)lossesthatwerenotcausedbyourbreachoftheseTerms;or(c)lossescausedbytheactsoromissionsofthirdpartiesprovidingcreditratingorotherfinancialinformation. 19.4Subjecttotheprovisionsofthisclause19,ourtotalaggregateliabilitytoa Borrower inrelationtotheServiceandanythingwhichwemayhavedoneornotdoneinconnectionwiththeService(andwhethertheliabilityarisesbecauseofbreachofcontract,negligenceorforanyotherreason)willbelimited,inrespectofeacheventorseriesofconnectedevents,to£10,000. 19.5Subjecttotheprovisionsofthisclause19,ourtotalaggregateliabilitytoan Introducer inrelationtotheServiceandanythingwhichwemayhavedoneornotdoneinconnectionwiththeService(andwhethertheliabilityarisesbecauseofbreachofcontract,negligenceorforanyotherreason)willbelimitedinrespectofeacheventorseriesofconnectedevents,to:(a)125%ofthetotalofallamountspayablebyustotheIntroducerunderorinconnectionwiththeseTermsinthe12monthperiodimmediatelyprecedingtheevent(ormostrecenteventinaseriesofconnectedevents). 19.6Subjecttotheprovisionsofthisclause19,ourtotalaggregateliabilitytoa Lender inrelationtotheServiceandanythingwhichwemayhavedoneornotdoneinconnectionwiththeService(andwhethertheliabilityarisesbecauseofbreachofcontract,negligenceorforanyotherreason)willbelimitedinrespectofeacheventorseriesofconnectedevents,to:(a)125%ofthetotalofallamountspayablebytheLendertousunderorinconnectionwiththeseTermsinthe12monthperiodimmediatelyprecedingtheevent(ormostrecenteventinaseriesofconnectedevents).   20.Indemnities 20.1YouwillindemnifyusfromanyLossthatwesufferorincurasaresultoforinconnectionwithanyclaims,proceedingsoractionsarisinginrespectofyourbreachoftheseTerms. 20.2EachpartytoaFinanceAgreement(an indemnifyingparty)willindemnifyusfromoragainstanyLossthatwesufferorincurinconnectionwithanyclaimbytheotherpartytotheFinanceAgreementorbyanythirdpartyinrelationtotheindemnifyingparty’sactsoromissionsinrelationtotheFinanceAgreement.   21.SuspensionandterminationofAccounts 21.1YoumaycloseyourAccountwithusatanytimebynotifyingusunderparagraph25.1. 21.2WereservetherighttosuspendorterminateyourAccount(andyourrighttousetheService)atanytimewithoutpriornoticeandwithoutliabilitytoyouif: a)wehavereasontosuspectthatyourareconnectedtounlawfulorillegalactivityoranorganisationprohibitedbyapplicablelaw; b)wehavebeennotifiedofanyactualorthreatenedunauthoriseduseofyourAccountdetailsorotheractualorpotentialsecuritybreachorweotherwisesuspectanunauthorisedorfraudulentuseofyourAccount; c)itbecomesormightbecomeillegalorinbreachofapplicablelawsorregulationsforustocontinuetoallowyoutousetheService; d)youbreachorwehavereasontosuspectthatyouhavebreachedtheseTermsoryounolongermeetthecriteriaforregistrationsetoutintheseTerms; e)yousufferanInsolvencyEvent; f)wearerequiredtodosounderapplicablelaworaredirectedtodosobyacourtorotherbodyofcompetentjurisdiction;or g)yourAccounthasbeeninactivefor12months. Excepttotheextentthatweareprohibitedfromdoingsobylaworsuchdisclosurewouldcompromisereasonablesecuritymeasures,wewillusereasonableeffortstonotifyyouinadvanceofthesuspensionorcancellationofyourAccount.Wherethisisnotreasonablypossible,wewillendeavourtodosoimmediatelyafterthecancellationorsuspension.IfthesuspensionorcancellationofyourAccountisinconnectionwith(b)ofthisclause,wewillprovideyouwithnewlog-indetailsassoonaspracticableandyoumayrequestthesamebyemailorbyphone. 21.3IfyourAccountissuspendedorterminatedforwhateverreason: a)youwillnotbeentitledtoaccessorusethatAccount(inthecaseofsuspension,fortheperiodofsuspension);and b)ifyouareaLender,thatsuspensionorterminationwillnotaffectyourobligationtopayusanyoutstandingCommissionthatisorbecomesdueandpayabletousundertheseTerms. 21.4IfyoucloseyourAccountvoluntarilyandyouareanIntroducer,thatwillnotaffectourobligationtopayanyoutstandingCommissiontoyouthatisorbecomesdueandpayableundertheseTerms. 21.5Alldisclaimers,indemnitiesandexclusionsintheseTermswillsurviveterminationofanAccountortheseTermsforanyreason,aswellanyotherprovisionsintheseTermsthatbytheirnatureareintendedtosurvivesuchtermination.   22.Confidentiality 22.1LendersandIntroducersmustkeepconfidentialanyBorrowerInformationandanyotherconfidentialinformationthatissuppliedormadeavailabletoitviatheService.BorrowersmustkeepconfidentialanyconfidentialinformationisdisclosedtoitviatheService.Confidentialinformationwillincludeallinformationmarkedasbeingconfidentialandanyotherinformationthatshouldreasonablybeassumedtobeconfidential. 22.2YoumustnotdiscloseanyconfidentialinformationdisclosedtoyouviatheServiceexceptto: a)thoseofyouremployeesoragentswhoneedtheinformationinordertoenableyoutoanalysetherelevantinformationand(ifapplicable)forthepurposesofnegotiatingaProductand/orFinanceAgreement; b)youraccountantsand/orauditorsand/orlawyers;and/or c)anytemporarystaff,contractorsorconsultantsworkingforyou,providedthatdisclosureoftheinformationisnecessaryinordertoenablethepersontowhomitisdisclosedtocarryouttheworkconcerned. 22.3YouwillberesponsibleforensuringthatanypersontowhominformationisdisclosedcomplieswithanyconditionsofconfidentialityapplyingtotheinformationconcernedundertheseTerms. 22.4Theconfidentialityobligationsinthissectionwillnotapplytoinformationwhich: a)isorbecomesavailabletothepublicotherthanbecauseofanybreachoftheseTerms; b)is,whenitissupplied,alreadyknowntowhoeveritisdisclosedtoincircumstancesinwhichtheyarenotpreventedfromdisclosingittoothers; c)isindependentlyobtainedbywhoeveritisdisclosedtoincircumstancesinwhichtheyarenotpreventedfromdisclosingittoothers;or d)youarerequiredtodisclosebyacourtorbyanyregulatoryauthority,providedthatifyouarerequiredtodoso,youwill,whereverpracticable(andsubjecttoapplicablelaw),consultwiththedisclosingpartyassoonasisreasonablypracticablebeforemakingsuchdisclosure. 22.5Useofanypersonalinformationyousubmitviathewebsiteisgovernedbyour privacyandcookiespolicy.   23.Anti-moneylaundering 23.1EachLenderwarrantsandrepresentsthatitwillcomplyfullywithitsobligationsundertheMoneyLaunderingRegulations2007(MLR)includingwithrespecttoitsuseoftheService. 23.2BorrowersandIntroducersacknowledgetheimportanceofopennessandaccuracyintheinformationprovidedand/ormadeavailableviatheServicetofacilitatecompliancewiththeMLRandotherapplicablelaw.IfyouhavereasontobelievethatfinancialcrimeofwhatevertypemaybeinvolvedwithtransactionsintroducedviatheServiceyoushouldcontactusortherelevantauthoritiesdirectly. 23.3WemaydiscloseBorrowerInformationorotherinformationsubmittedormadeavailabletousviatheServiceifwearerequiredtodosobytheMLRorotherapplicablelaw.   24.General 24.1 Forcemajeure:WewillnotbeliabletoyouforanydelayorfailureinperforminganyofourobligationsundertheseTermsifsuchdelayorfailureiscausedby: a)circumstancesoutsideourreasonablecontrol(includinganydelaycausedbyanyUserorthirdparty,andanyfailureoftheinternetoraninternetconnection);or b)anyfailure,error,essentialmaintenance,criticalchange,repairsoralterationofanycomputersystems,communicationsystemortransmissionlinkunderthirdpartycontrol. 24.2 Nopartnershiporagency:NothingintheseTermsisintendedto,orwillbedeemedto:(a)establishanypartnershiporjointventurebetweenyouandus;or(b)constituteyouandusasagentsofoneanother. 24.3 Nowaiver:NofailureordelaybyyouorusinexercisinganyofourrightsundertheseTermswillbedeemedtobeawaiverofthatright,andnowaiverbyyouorusofabreachofanyprovisionoftheseTermswillbedeemedtobeawaiverofanysubsequentbreachofthesameoranyotherprovision. 24.4 Severability:IfanyprovisionoftheseTermsisheldbyanycourtorothercompetentauthoritytobeinvalidorunenforceableinwholeorinpart,theseTermswillcontinuetobevalidastoitsotherprovisionsandtheremainderoftheaffectedprovision. 24.5 Entireagreement:TheseTerms,togetherwiththe websitetermsofuse,the privacypolicy,andtheLenderCommissionTermsorIntroducerCommissionTerms(asapplicable)constitutetheentireagreementbetweenus,andyouacknowledgethatyouhavenotreliedonanyrepresentations,statementsorpre-contractualstatementsthatarenotexpresslysetoutintheseTerms.Withoutlimitingthegeneralityoftheforegoing,youwillnothaveanyremedyforinnocentornegligentmisrepresentationbasedonanystatementmadebyusinrespectoftheService.However,nothinginthisparagraphwilllimitorexcludeanyliabilityforfraudulentmisrepresentation. 24.6 Notices:Allnoticesgivenbyyoutousmustbegivenviaemail,registeredpostorcouriertotheaddresssetoutattheendoftheseTerms.WewillcontactyouusingtheemailaddressassociatedwithyourAccount.Noticeswillbedeemedserved:(a)inthecaseofemail,24hoursaftersending,unlessthisdoesnotfallonaWorkingDay,inwhichcasetheemailwillbedeemedservedonthenextWorkingDayafteritwassent;(b)bycourier,whendelivered;and(c)byregisteredpost,twoWorkingDaysafterdespatch.AllnoticesgivenmustbeintheEnglishlanguage. 24.7 Thirdpartyrights:ApersonwhoisnotapartytotheagreementbetweenusmaynotenforceanyoftheseTermsundertheContracts(RightsofThirdParties)Act1999. 24.8 Governinglawandjurisdiction:TheseTermsandyouraccesstoanduseoftheServicewillbegovernedbyEnglishlaw.AnydisputeregardingtheseTermsortheServicewillbedealtwithbytheEnglishcourts.Nothingwillpreventusfrombringingproceedingstoprotectourconfidentialinformationorintellectualpropertyrightsbeforeanycompetentcourt.   25.Contactingus 25.1IfyouhaveanyquestionsorcomplaintsabouttheseTermsortheService,pleasecontactus: a)byemailingusat [email protected];or b)bywritingtousat8GreencoatPlace,London,SW1P1PL,UnitedKingdom. 25.2Weaimtorespondnomorethanfivedaysafteryoucontactus,andourresponsewillstatewhetheritisourfinalresponseorthatweareinvestigatingthematterfurther.Wemayneedtoaskyouquestionsinordertounderstandthedetailsofyourquestionorcomplaint.Anyquestionsweask,andanyresponsewegive,willbesenttotheemailaddressunderwhichyourAccountisregistered. 25.3IfacomplaintrelatestoaFinanceAgreement,youmayhavetherighttocomplaindirectlytotheFinancialOmbudsmanService.Forfurtherinformationandcontactdetailspleasesee: http://financial-ombudsman.org.uk/.   26.Definitionsandinterpretation 26.1DefinedtermsusedintheseTermswillhavethefollowingmeanings: "Account"meansaUser'saccounttousetheServicethatisactivatedfollowingregistrationinaccordancewithparagraph6.5;
