Introduction Welcome AspartofPerfectMindServices,PerfectMindwillprovidetheCustomerwithuseofourAPIService.TheCustomer'sregistrationfor,oruseof,theServiceshallbedeemedtobetheCustomer'sagreementtoabidebytheseTerms&ConditionsincludinganymaterialavailableonthePerfectMindwebsiteincorporatedbyreferenceherein,andincludingbutnotlimitedtothePrivacyStatements.  Scope TheseTerms&ConditionsapplytoPerfectMindAPIsoftware,services,andsupportprovidedtoclients,developers,and/orusers.  LicenseGrants PerfectMindgrantstheCustomeranonexclusive,non-transferable,andrevocableworldwiderighttousetheAPIService,solelyfortheCustomer'sowninternalbusinesspurposessubjecttothetermsofthisAgreement.SubjecttothetermsofthisAgreement,theCustomergrantstoPerfectMindthenonexclusive,worldwide,righttouse,copy,store,transmitanddisplaytheCustomerDatasolelytotheextentnecessarytoprovidetheAPIServiceasrequestedbytheCustomer.TheCustomershallnot(i)license,sublicense,sell,resell,transfer,assign,distributeorotherwisemakeavailabletoanythirdpartytheServiceortheContent;(ii)modifyormakederivativeworksbaseduponthePerfectMindTechnologyortheContent;(iii)commerciallyexploittheServiceortheContentinanyway;or(iv)createInternet"links"totheServiceor"frame"or"mirror"anyContentcontainedin,oraccessiblefrom,theServiceonanyotherserver,wirelessorInternet-baseddevice.Furthermore,theCustomerisnoteligiblefortheServiceifitis,orisaffiliatedwithanyotherCustomerRelationshipManagement(CRM)provider,distributer,orsoftwaredeveloper.PerfectMindshallnotusetheCustomerDataforanypurposeotherthantoprovidetheServicetotheCustomer.AllrightsnotexpresslygrantedtotheCustomerarereservedbyPerfectMindanditslicensors.  SupplementaryTerms&Conditions TheseSupplementaryTerms&ConditionsapplytoallworkandservicesofPerfectMindAPIServiceandrelatedSupportandareineffectinadditiontotheGeneralPerfectMindTerms&Conditionsavailableonourwebsiteatwww.perfectmind.com.TheseSupplementaryTerms&Conditionsforsoftware,workandservicesshallprevailoverthegeneralPerfectMindTerms&ConditionsintheeventofinconsistenciesordeviationsfromtheGeneralTerms&Conditions. Access AccessKey AnAPIAccessKey(“APIKey”)isissuedtoyouforthepurposeofaccessingtheAPIservicesbasedonprovidedAPIdocumentation.RequestsforissuanceofanAPIKeyshouldbesenttoPerfectMindSupportbyyourstaffwithGlobalAdminrightsinPerfectMind.TheAPIKeyisonlyissuedtothecontactwithGlobalAdminrights.  KeyRenewalProcess YouarerequiredtoestablisharenewalprocessforyourAPIKeywhichcanbeinitiatedbyyourGlobalAdminorsetupaheadoftimewithcoordinationwithPerfectMindSupport.Thefrequencyshouldbeatleastquarterlybutrecommendedtobemonthly.Aspartoftheprocess,anewAPIKeyisissuedforyourorganizationandyourcurrentAPIKeyisdeprecatedsimultaneously.ItisyourresponsibilitytocoordinatethereplacementoftheKeywithinyourapplication,orwebsitetoensurecontinuityofservicetoyourusers. SecurityandConfidentiality HavingaccesstotheAPIKeyallowsausertohaveaccesstoverysensitivedataofyourclientstoredinPerfectMinddatabaseincludinguserinformationandpersonalprivatedata.YouareresponsibleformakingsuretheAPIkeyiskeptconfidentiallyandnotshared.AnyexposureofyourclientdataduetobreachoftheAPIKeyissolelyyourresponsibility. ThirdPartyAccess YoumayprovideaccesstotheAPIServicetothirdpartydevelopers(e.g.agencies,vendors,orapprovedpartners)bysharingtheAPIKeyissuedtoyouandtheAPIdocumentation.YouareresponsibleforensuringthatanythirdpartytowhomyouprovideaccessabidesbytheseTerms&Conditions.Further,PerfectMindreservestherighttorejectthirdpartyaccesstotheAPIServiceprovidedsuchaccessisinconsistentwiththeusecontemplatedunderanyotheragreementwithPerfectMind.Generally,providingtheAPIKeytoanunaffiliatedthirdpartyforthepurposeofbypassingthePerfectMindProgramsincludingPartnerProgramoranon-existentPerfectMindsyndicationrelationshipwiththatthirdpartyisprohibited.Generally,providinganAPIKeytoathirdpartytodrivenativecontentforyourownsiteisallowed.PerfectMindwillhaveexclusivediscretiontodeterminewhetheraparticularuseofanAPIKeybyathirdpartyisacceptable.YouareresponsibleforensuringthatanythirdpartytowhomyouprovideaccessabidesbytheTermsandyousharetheAPIKeywithanythirdpartyatyourownrisk.Further,PerfectMindreservestherighttorejectthirdpartyaccesstotheAPIService. ChargingforAccess Atthistime,PerfectMindAPIServiceisincludedasafreeserviceforexistingsubscribers.PerfectMindreservestherighttochargefeesforuseoraccessoftheAPIServiceforusesoveracertainrateorforcertaincommercialuses. YoumaynotchargeapremiumforaccesstotheAPIServiceoranycontentotherthanyourservice’sstandarddataandusagerates. DatabaseReplicas Uponrequest,youcanreceiveaccesstoanobfuscatedcopyofyourdatabasefordevelopmentpurposestominimizeriskofdatabreachandimpactwhenhaving3rdpartyvendorsdevelopingfortheAPI.ThereplicadatabasewillcounttowardsoneofyourentitledinstancesstipulatedinyoursubscriptionagreementwithPerfectMind.ExtrareplicasmaybeprovidedforafeeatthesolediscretionofPerfectMind.  Support PerfectMindmayelecttoprovideyouwithsupportormodificationsfortheAPIService(collectively,“Support”),initssolediscretion,andmayterminatesuchSupportatanytimewithoutnoticetoyou.PerfectMindmaychange,suspend,ordiscontinueanyaspectoftheAPIServiceatanytime,includingtheavailabilityofanyAPIServicefunctionality.PerfectMindmayalsoimposelimitsoncertainfeaturesandservicesorrestrictyouraccesstopartsoralloftheAPIServicewithoutnoticeorliability. Restrictions AdverseandExcessiveUse YoumaynotusetheAPIinamannerthatadverselyimpactsPerfectMindsystems,includingbutnotlimitedtoPerfectMindapplicationordatabaseserversorotherservers.Furthermore,wereservetherighttosuspend,terminateorthrottleyouruseoftheAPIintheeventyouruseisdeemedexcessivebythesolediscretionofPerfectMind.Toavoiddisruptionofservice,werecommendcertifyingyourapplicationoftheAPIwithPerfectMind. Monitoring YoumaynotuseoraccesstheAPIforpurposesormonitoringtheavailability,performanceorfunctionalityofanyofPerfectMindproductsorservicesorforanyotherbenchmarkingorcompetitivepurposes. Laws;Regulations;PrivacyPolicy UsetheAPIinanymannerorforanypurposethatviolatesanylaw,regulation,codeoranyrightsofanypersonorentity,includingbutnotlimitedtointellectualprivacyrights,rightsofprivacy,orrightsofpersonality.Further,youmustmaintainaprivacypolicythataccuratelyreflectsyouruseofthecontentaccessedthroughtheAPI. LegacyAPI TheLegacyAPIServicealsoknownasCRUDAPIwillbephasedoutgraduallyinnearfuturewithtimelinestobecommunicatedandyoushouldbeusingthenewRESTAPIforallnewdevelopment.Further,youshouldsetplanstodiscontinuetheuseoftheLegacyAPIServiceifyouhaveusedtheServiceinanypartofyourwebsiteorapplication.KeysfortheLegacyAPIServicemayonlybeusedbyyouremployees. Ownership Technology&DataFormat PerfectMindownsallrights,title,andinterestinandtotheServiceandPerfectMindDataFormat.ForthepurposeoftheseTermsofUse“DataFormat”meansanyandalldatastructuresandotherintellectualpropertyinwhichPerfectMindmayclaimproprietaryrightswithoutconflicttoanypre-existingcontractualagreement.  ClientData YouowntheDataprovidedtoyouthroughcallingAPIfunctionswhichextractsandservesDatafromyourPerfectMinddatabase.ForthepurposeoftheseTermsofUse“Data”meansanyandallinformationandotherintellectualpropertyinwhichyoumayclaimproprietaryrightswithoutconflicttoanypre-existingcontractualagreement.  IntellectualProperty TheseTermsgrantyounoright,titleorinterestinanyintellectualpropertyownedorlicensedbyPerfectMind,includingwithoutlimitationtheAPIoranyDataFormatusedbytheAPI. Indemnity YouwillindemnifyandholdharmlessPerfectMindanditsofficers,employeesandagents(collectively,the“IndemnifiedPersons”),fromandagainstanyandallclaimsbroughtormadeagainst,orincurredby,theIndemnifiedPersons,oranyoneofthem,arisingoutof aclaimbyathirdpartyarisingfromorinanywayrelatedtoyourbreachoftheseTermsandConditions,youruseoftheAPIortheuseoftheAPIbyanythirdpartythatyouhavegivenaccesstotheAPIto.
