TheseTermsofService(these“Terms”)applytovisitorsofCompliantClientsLLC(togetherreferredtoas“CompliantClients”,“we”,“us”,or“our”)websitesatwww.compliantclients.com(collectively,the“CompliantClientsWebsite”),aswellasregisteredusersoftheCompliantClientsPortal(collectivelywiththeCompliantClientsWebsite,our“Service(s)”).PleasealsocarefullyreviewourPrivacyPolicy,whichexplainshowourServicestreatyourpersonaldatawhenyouuseourServices(the“PrivacyPolicy”).WhenyouaccessourServices,youagreetotheseTermsandourPrivacyPolicy.InordertousetheServices,youmustacceptallofthetermsandconditionsoftheseTermsandourPrivacyPolicy,andbyusingtheServices,youexpresslyacceptandagreetobeboundbytheseTerms,andthePrivacyPolicy.IntheeventofanyinconsistencybetweenthePrivacyPolicyand/ortheseTerms,theseTermswillprevail.IfyoudonotagreetobeboundbytheTerms,youmaynotuseoraccesstheServices.Insomeinstances,boththeseTermsandseparateguidelines,rules,ortermsofuseorsalesettingforthadditionalordifferenttermsand/orconditionswillapplytoyouruseoftheServicesortoaserviceorproductofferedviatheServices(ineachsuchinstance,andcollectively“AdditionalTerms”).TotheextentthereisaconflictbetweentheseTermsandanyAdditionalTerms,theAdditionalTermswillcontrolunlesstheAdditionalTermsexpresslystateotherwise.Additionally,certainfeaturesandservicesmadeavailablethroughtheServicesfromtimetotimemaybegovernedbyadifferenttermsofuse. 1.ACCESSINGOURSERVICES InordertohelpsafeguardtheinformationstoredandsharedontheCompliantClientsPortal,eachuserisrequiredtobeauthenticatedbyvariousmeans(“Credentials”),includingtheuseofuniqueidentifiers,APIkeys,andpasswords.InordertoobtainCredentials,youmustprovidecertaininformationaboutyourself.IfyouareregisteringforourServices,oraccessingorusing,orattemptingtoaccessoruse,ourServicesonbehalfof,orforthebenefitof,someoneotherthanyourself–suchasyouremployer,clientorcharge(each,a“Principal”)–youmustalsoidentifyandprovideinformationabouteachPrincipal.IfyousignupforourServices,youmaybeaskedtoagreetotheCompliantClientsUserAgreement(“UserAgreement”).Insuchcases,youwillbeaskedtoexpresslyconsenttotheUserAgreementbycheckingaboxorclickingonabuttonwithtermssuchas“Iagree”orsimilartermsofacceptance.IntheeventofaconflictbetweenthetermsoftheUserAgreementandtheseTerms,thetermsoftheUserAgreementshallcontrol.YourCredentialsareuniquetoyouand/ortheentityyouareemployedorassociated.YoushouldimmediatelynotifyCompliantClientsifyourCredentialshavebeenstolen,compromised,oryounolongerarelegallyentitledtoaccessinformationfromtheCompliantClientsPortal.YouareresponsibleforallactivitiesthatoccurunderyourCredentialsuntilyouortheentityyouareemployedorassociatedhaveproperlynotifiedusthatyourCredentialshavebeenstolen,compromisedoryounolongerarelegallyentitledtoaccessinformationfromtheCompliantClientsPortal(seeCompliantClientsUserPortalAgreement).Further,yourepresent,warrantandcovenantthefollowing:AllinformationsubmittedinobtainingyourCredentialsiscompleteandaccurateandidentifiesyouand/orthenameoftheentityyouareaffiliatedwithand/orthenameofeachofyourPrincipals;youwillnotshareyourCredentialswithanyoneelse;youwillnotcircumvent,orattempttocircumvent,anytechnicalmeasuresthatwehaveputinplacetosafeguardourServices;youwillnot,withoutourpriorwrittenapproval,accessoruse,orattempttoaccessoruse,anyportionofourServicesotherthanwith:(i)acommercialbrowser,and(ii)ourapplicationprogramminginterface(“API”)usingCredentialsissuedtoyoudirectlybyCompliantClients;andyouwillnotaccessoruse,orattempttoaccessoruse,ourServiceswithoutvalidly-issuedandactiveCredentials.CompliantClientsreservestherighttosuspendorterminateyouraccesstoourServiceatanytime,withorwithoutcauseornotice.WeshallnotbeliabletoyouinanywayifwesuspendorterminateyouraccesstoourServices. 1.2 ServiceContent,Ownership,LimitedLicenseandRightsofOthers Content.TheServicescontainavarietyof:(i)materialsandotheritemsrelatingtoCompliantClients,anditsproductsandservices,andsimilaritemsfromourlicensorsandotherthirdparties,includingalllayout,information,articles,posts,text,data,files,images,scripts,designs,graphics,buttonicons,instructions,illustrations,photographs,audioclips,music,sounds,pictures,videos,advertisingcopy,URLs,technology,software,interactivefeatures,the“lookandfeel”oftheService,andthecompilation,assembly,andarrangementofthematerialsoftheServiceandanyandallcopyrightablematerial(includingsourceandobjectcode);(ii)trademarks,tradedress,logos,tradenames,servicemarks,and/ortradeidentitiesofvariousparties,includingthoseofCompliantClients(collectively,“Trademarks”);and(iii)otherformsofintellectualproperty(alloftheforegoing,collectively“Content”). Ownership.TheServices(includingpast,present,andfutureversions)andtheContentareownedorcontrolledbyCompliantClients,ourlicensorsand/orcertainotherthirdparties.Allright,title,andinterestinandtotheContentavailableviatheServicesisthepropertyofCompliantClientsorourlicensorsorcertainotherthirdparties,andisprotectedbyU.S.copyright,trademark,tradedress,patent,and/orotherintellectualpropertyandunfaircompetitionrightsandlawstothefullestextentpossible.CompliantClientsownsthecopyrightintheselection,compilation,assembly,arrangement,andenhancementoftheContentontheServices. LimitedLicense.SubjecttoyourstrictcompliancewiththeseTermsandanyAdditionalTerms,CompliantClientsgrantsyoualimited,non-exclusive,revocable,non-assignable,personal,andnon-transferablelicensetodownload(temporarystorageonly),display,view,use,play,and/orprintonecopyoftheContent(excludingsourceandobjectcodeinrawformorotherwise,otherthanasmadeavailabletoaccessandusetoenabledisplayandfunctionality)onapersonalcomputer,mobilephoneorotherwirelessdevice,orotherInternetenableddevice(each,a“Device”)foryourpersonal,non-commercialuseonly.Theforegoinglimitedlicense:(i)doesnotgiveyouanyownershipof,oranyotherintellectualpropertyinterestin,anyContent,and(ii)maybeimmediatelysuspendedorterminatedforanyreason,inCompliantClients’ssolediscretion,andwithoutadvancenoticeorliability. RightsofOthers.WhenusingtheServices,youmustrespecttheintellectualpropertyandotherrightsofCompliantClientsandothers.YourunauthorizeduseofContentmayviolatecopyright,trademark,privacy,publicity,communications,andotherlaws,andanysuchusemayresultinyourpersonalliability,includingpotentialcriminalliability.IfyoubelievethatyourworkhasbeeninfringedbymeansofanimproperpostingordistributionofitviatheServices,thenpleaseseeSection3.4below. 1.3Safeguards Tofurtherprotecttheconfidentiality,integrityandavailabilityoftheinformationhousedandsharedonourServices,aswellas,thestabilityofourServices,thereforewithoutlimitingthegeneralityoftheforegoing,youagreenottodoorattemptanyofthefollowing:access,useordisseminateourServices,noranyinformationorfilesaccessibleviaourServices,inamannerthatviolatesanyapplicablelaworregulationortherightsofanyindividualorentity;sellortransferanyinformationincludedinourServicesorusesuchinformationtomarketanyproductorservice–includingbysending,orfacilitatingthesendingof,unsolicitedemailsorSPAM;probe,scanortestthevulnerabilityofourServices,orofthesystemornetworksupportingourServices,orcircumventanysecurityorauthenticationmeasures;disable,bypass,defeat,avoid,remove,deactivateorotherwisecircumventanytechnicalmeasureswehaveimplementedtosafeguardthestabilityofourServices,ortheconfidentiality,integrityoravailabilityofanyinformation,contentordatahostedorhousedonourservers;introducetoourServicesanysoftware,codeorotherdevicethatinanyway:(i)permitsunauthorizedaccesstooursystemsoranysoftware,hardware,filesordatalocatedthereon,(ii)disablesordamagesorotherwiseinterfereswithoradverselyaffectstheoperationofoursystemsoranysoftware,hardware,filesordatalocatedthereon,or(iii)overburdensorinterfereswiththeproperfunctioningofourServices;disassemble,decompileorreverseengineerourServices;harvest,retrieve,indexorpublishanyportionofourServicesoraccesstheServiceforthepurposeofdataminingorextractingcontentfromtheServicebeyondyourpersonalenduse;disableorcircumventourAPIusagesafeguards,includingsafeguardsdesignedtoregulatethenatureoramountofdatayouarepermittedtoextractfromourServices,orthefrequencyofwhichyoumayaccesssuchdata;ormakecallstoourAPIotherthanthoseauthorizedinourAPIdocumentation;removeanycopyright,trademarkorotherproprietaryrightsnoticescontainedinoronCompliantClientsWebsitesorCompliantClientsPortal;upload,post,email,transmit,otherwisemakeavailableanyContentorinitiatecommunicationthatinfringesuponpatents,trademarks,tradesecrets,copyrights,orotherproprietaryrights;engageinanyactivityotherthanthoseexpresslypermittedintheseTermsandyourUserAgreement(s).upload,post,emailorotherwisetransmitanyContentthatisunlawful,harmful,threatening,abusive,harassing,tortious,defamatory,vulgar,obscene,libelous,invasiveofanother’sprivacy,hateful,orracially,ethnicallyorotherwiseobjectionable;impersonateanypersonorentity,including,butnotlimitedto,anattorney,medicalproviderorpatientoraCompliantClientsemployeeorfalselystateorotherwisemisrepresentyouridentity,(includingthroughtheuseofapseudonym)oryourpositionoraffiliationwithapersonorentity,pastorpresent;upload,post,email,transmit,otherwisemakeavailableanyContentthatyoudonothavearighttotransmitunderanylaworundercontractualorfiduciaryrelationships(suchasinsideinformation,proprietaryandconfidentialinformationlearnedordisclosedaspartofemploymentrelationshipsorundernondisclosureagreements);upload,post,email,transmit,otherwisemakeavailableanyunsolicitedorunauthorizedadvertising,promotionalmaterials,junkmail,spam,chainletters,pyramidschemes,oranyotherformofsolicitation,exceptinthoseareasthatareexpresslydesignatedforsuchcollectorstorepersonaldataaboutotherusers;harmminorsinanyway;stalkorotherwiseharassanother;forgeheadersorotherwisemanipulateidentifiersinordertodisguisetheoriginofanycommunicationtransmittedthroughtheCompliantClientsWebsiteortheService;attempttouseanotheruser’saccountorobtainunauthorizedaccesstotheSiteortheServices;engageindeceptivemarketingoradvertisingpractice;orusetheCompliantClientsWebsiteortheCompliantClientsPortalforanypurposesotherthanitsintendedpurposes. 1.4UseoftheServicesbyandonbehalfofMinors YouarenoteligibletouseourServices(includingobtainingaCredentialorenteringintoaUserAgreement)unlessyouareatleast18yearsoldandotherwisehavethelegalcapacitytoenterintoabindingcontractinyourjurisdiction.Ifyouareanunemancipatedminorovertheageof13,youmayonlyuseourServicesif:(i)suchusehasbeenapprovedofbyyourparentorlegalguardian,(ii)youuseourServicesunderyourlegalguardian’ssupervision,and(iii)yourlegalguardianhasagreedtotheseTerms(and,ifapplicable,yourUserAgreement)onyourbehalf.Ifyouaretheparentorguardianofanunemancipatedminor,youmayusetheServicesandenterintoaUserAgreementonbehalfofsuchminor.Bydoingso,yourepresentandwarrantthatyouhavethelegalcapacitytoactonbehalfofsuchminor;andyouacknowledgeandagree,insuchcapacity,thatallprovisionsoftheseTerms(andtheUserAgreement,ifapplicable)thatareapplicabletoyouareequallyapplicabletosuchminor.UndernocircumstancesmayourServicesbeusedbyachildunder13yearsold. 1.5UnitedStatesOnly AccesstoourServicesisadministeredintheUnitedStates(“US”)andisintendedforusersintheUS.YoumaynotuseourServicesinanyjurisdictionwhereoffering,accessingorusingourServiceswouldbeillegalorunlawful. 2.NATUREOFTHECONTENTAPPEARINGONOURSERVICES OurServicesmayincludeContentcreatedbyusorthirdparties,includingotherusers,professionals,partners,advertisers,sponsors,consumersandgovernmentalagencies.TheContentisprovidedforgeneralinformationalpurposes,butshouldnotberelieduponforpersonal,professional,medicalorregulatorydecisions.Andwedonotensurethecompleteness,timelinessoraccuracyofanyContent. 2.2.Directories:Physicians,Lawyers,MedicalProviders,Consultants,andOtherProfessionals OurServicesincludelistingsanddirectories(“Directories”)tohelpyoufindphysicians,healthcareprofessionals,lawyers,certifiedconsultantsorotherprofessionals(collectively,“Professionals”).TheDirectoriesareprovidedforyourconvenience.TheDirectoriesarenotcomprehensive,butrathergenerallyrepresentProfessionalswhouseourServicesandwhohavechosentoparticipateintheDirectories.Further,wedonotevaluateanyProfessionalandthelistingofaProfessionaldoesnotinanywayconstitutearecommendationofsuchProfessionalbyCompliantClients.BeforeobtainingservicesortreatmentfromanyProfessionallistedinaDirectory,youshouldtakecaretoconfirmtheindividual’sorcompany’slicensureandspecialtycertifications.TheProfessionalsaresolelyresponsiblefortheappropriatenessandqualityoftheservicestheyprovide.Additionally,theDirectoriesrelyoninformationsubmittedbyProfessionalsthemselves.UnlessProfessionalsprovideuswithcurrentinformation,theDirectoryinformationmaynotbetimelyoraccurate.YoushouldconfirmsuchinformationbeforeobtainingservicesortreatmentfromaProfessional. 2.3Advertising OurServicesmayalsoincludeadvertisementsorpromotionalmessagesfromusorsponsoredbythirdparties(collectively,“Ads”).Themanufacturers,servicesproviders,distributorsandresellersoftheproductsandservicesidentifiedintheAdsaresolelyresponsiblefortheaccuracyoftheirAdsandthesuitability,efficacy,safetyandqualityofsuchproductsorservices.AnAddoesnotinanywayconstituteorimplyCompliantClients’srecommendationorendorsementofaproductorservice. 2.4LinkstoOurandOtherSites OurServicesmaycontainhyperlinks(includinghyperlinkedAds)towebsitesoperatedbythirdparties,ortomaterialsorinformationmadeavailablebythirdparties.SuchlinksdonotconstituteorimplyCompliantClients’sendorsementofsuchthirdparties,orofthecontentoftheirwebsites,orthesuitability,efficacy,safetyorqualityoftheirproductsorservices,ortheprivacyinformationorsecuritypracticesoftheirwebsites.Furthermore,CompliantClientsisnotresponsibleforthequalityordeliveryoftheproductsorservicesoffered,accessed,obtainedbyoradvertisedatsuchlinkedservices.CompliantClientswillundernocircumstancesbeliableforanydirect,indirect,incidentalorspeciallossorotherdamage,whetherarisingfromnegligence,breachofcontract,defamation,infringementofcopyrightorotherintellectualpropertyrights,causedbytheexhibition,distributionorexploitationofanyinformationorcontentcontainedwithinthesethird-partylinkedservices.Anyactivitiesyouengageinconnectionwithanyofthesamearesubjecttotheprivacyandotherpolicies,termsandconditionsofuseand/orsale,andrulesissuedbytheoperatorofthelinkedservices.CompliantClientsdisclaimsallliabilityinconnectiontherewith.Wegrantyoualimited,non-exclusive,revocable,non-assignable,personal,andnon-transferablelicensetocreatehyperlinkstotheServices,solongas:(a)thelinksonlyincorporatetext,anddonotuseanyTrademarks,(b)thelinksandthecontentonyourwebsitedonotsuggestanyaffiliationwithCompliantClientsorcauseanyotherconfusion,and(c)thelinksandthecontentonyourwebsitedonotportrayCompliantClientsoritsproductsorservicesinafalse,misleading,derogatory,orotherwiseoffensivematter,anddonotcontaincontentthatisunlawful,offensive,obscene,lewd,lascivious,filthy,violent,threatening,harassing,orabusive,orthatviolateanyrightofanythirdpartyorareotherwiseobjectionabletoCompliantClients.CompliantClientsreservestherighttosuspendorprohibitlinkingtotheServicesforanyreason,initssolediscretion,withoutadvancenoticeoranyliabilityofanykindtoyouoranythirdparty. 2.5CompliantClientsDoesNotProvideMedicalAdvice SomeContentmayincludehealth/medicalorinformation.SuchContentisprovidedforinformationalpurposesonly.Wedonotdirectlyorindirectlypracticemedicine,andCompliantClientsdoesnotrendermedicaladvice,ordispensemedicalservicesviaourServicesorotherwise,andnothingcontainedinourServicesshouldbeintendedtobeamedicaldiagnosisortreatment.Nomedicalprofessional/patientrelationshipiscreatedbyyouruseofourServicesortheContent.Alwaysseektheadviceofaphysicianorotherqualifiedprofessionalwithanyquestionsyoumayhaveregardingamedicalconcern,andneverdisregardprofessionalmedicaladviceordelayseekingtreatmentbasedonanyContentorotherinformationincludedintheServices.Ifyouthinkyoumayhaveamedicalemergency,pleasecallahealthcareprofessional,oryourlocalemergencynumber(usually911)immediately. 3.3ReportingViolations WemayprovideyouwithtoolswithwhichtoreportviolationsofprovisionsoftheseTerms.Notwithstandingtheavailabilityofsuchtools,youacknowledgeandagreethatweareundernoobligationtotakeanyactionwithrespecttoanysuchreport. 3.4CopyrightPolicy General.YouretainownershipoftheintellectualpropertyrightsyouholdinthecontentyousubmitonourServices.CompliantClientsmaynoworinthefutureofferusersoftheServicestheopportunitytocreate,build,post,upload,display,publish,distribute,transmit,broadcast,orotherwisemakeavailableonorsubmitthroughtheServices(collectively,“submit”)messages,text,illustrations,files,images,graphics,photos,comments,responses,sounds,music,videos,information,content,ratings,reviews,data,questions,suggestions,personallyidentifiableinformation,orotherinformationormaterialsandtheideascontainedtherein(collectively,“User-GeneratedContent”).CompliantClientsmayallowyoutodothisthroughforums,blogs,messageboards,contactustools,email,andothercommunicationsfunctionality.SubjecttothelicenseyougrantintheseTerms,youretainwhateverlegallycognizableright,title,andinterestthatyouhaveinyourUser-GeneratedContentandyouremainultimatelyresponsibleforit.Non-ConfidentialityofYourUser-GeneratedContent.ExceptasotherwisedescribedintheServices’postedPrivacyPolicyoranyAdditionalTerms,youagreethat:(a)yourUser-GeneratedContentwillbetreatedasnon-confidential–regardlessofwhetheryoumarkthem“confidential,”“proprietary,”orthelike–andwillnotbereturned;and(b)CompliantClientsdoesnotassumeanyobligationofanykindtoyouoranythirdpartywithrespecttoyourUser-GeneratedContent.UponCompliantClients’srequest,youwillfurnishuswithanydocumentationnecessarytosubstantiatetherightstosuchcontentandtoverifyyourcompliancewiththeseTermsoranyAdditionalTerms.YouacknowledgethattheInternetandmobilecommunicationsmaybesubjecttobreachesofsecurityandthatyouareawarethatsubmissionsofUser-GeneratedContentmaynotbesecure,andyouwillconsiderthisbeforesubmittinganyUser-GeneratedContentanddosoatyourownrisk.InyourcommunicationswithCompliantClients,pleasekeepinmindthatwedonotseekanyunsolicitedideasormaterialsforproductsorservices,orevensuggestedimprovementstoproductsorservices,including,withoutlimitation,ideas,concepts,inventions,ordesignsformusic,websites,apps,books,scripts,screenplays,motionpictures,televisionshows,theatricalproductions,softwareorotherwise(collectively,“UnsolicitedIdeasandMaterials”).AnyUnsolicitedIdeasandMaterialsyoupostonorsendtousviatheServicesaredeemedUser-GeneratedContentandlicensedtousassetforthbelow.Inaddition,CompliantClientsretainsalloftherightsheldbymembersofthegeneralpublicwithregardtoyourUnsolicitedIdeasandMaterials.CompliantClients’sreceiptofyourUnsolicitedIdeasandMaterialsisnotanadmissionbyCompliantClientsoftheirnovelty,priority,ororiginality,anditdoesnotimpairCompliantClients’srighttocontestexistingorfutureintellectualpropertyrightsrelatingtoyourUnsolicitedIdeasandMaterials.LicensetoCompliantClientsofYourUser-GeneratedContent.ExceptasotherwisedescribedinanyapplicableAdditionalTerms,whichspecificallygovernthesubmissionofyourUser-GeneratedContent,yougranttoCompliantClientsthenon-exclusive,unrestricted,unconditional,unlimited,worldwide,irrevocable,perpetual,andcost-freerightandlicensetouse,copy,record,distribute,reproduce,disclose,sell,re-sell,sublicense(throughmultiplelevels),display,publiclyperform,transmit,publish,broadcast,translate,makederivativeworksof,andotherwiseuseandexploitinanymannerwhatsoever,alloranyportionofyourUser-GeneratedContent(andderivativeworksthereof),foranypurposewhatsoeverinallformats,onorthroughanymeansormediumnowknownorhereafterdeveloped,andwithanytechnologyordevicesnowknownorhereafterdeveloped,andtoadvertise,market,andpromotethesame.Withoutlimitation,thegrantedrightsincludetherightto:(a)configure,host,index,cache,archive,store,digitize,compress,optimize,modify,reformat,edit,adapt,publishinsearchableformat,andremovesuchUser-GeneratedContentandcombinesamewithothermaterials,and(b)useanyideas,concepts,know-how,ortechniquescontainedinanyUser-GeneratedContentforanypurposeswhatsoever,includingdeveloping,producing,andmarketingproductsand/orservices.Youunderstandthatinexercisingsuchrightsmetadata,noticesandcontentmayberemovedoraltered,includingcopyrightmanagementinformation,andyouconsenttheretoandrepresentandwarrantyouhaveallnecessaryauthoritytodoso.InordertofurthereffecttherightsandlicensethatyougranttoCompliantClientstoyourUser-GeneratedContent,youalsoherebygranttoCompliantClients,andagreetogranttoCompliantClients,theunconditional,perpetual,irrevocablerighttouseandexploityourname,persona,andlikenessinconnectionwithanyUser-GeneratedContent,withoutanyobligationorremunerationtoyou.Exceptasprohibitedbylaw,youherebywaive,andyouagreetowaive,anymoralrights(includingattributionandintegrity)thatyoumayhaveinanyUser-GeneratedContent,evenifitisalteredorchangedinamannernotagreeabletoyou.Totheextentnotwaivable,youirrevocablyagreenottoexercisesuchrights(ifany)inamannerthatinterfereswithanyexerciseofthegrantedrights.Youunderstandthatyouwillnotreceiveanyfees,sums,consideration,orremunerationforanyoftherightsgrantedinthisSection4(i).LicensetoCompliantClientsofYourUser-GeneratedContent.ExceptasotherwisedescribedinanyapplicableAdditionalTerms,whichspecificallygovernthesubmissionofyourUser-GeneratedContent,yougranttoCompliantClientsthenon-exclusive,unrestricted,unconditional,unlimited,worldwide,irrevocable,perpetual,andcost-freerightandlicensetouse,copy,record,distribute,reproduce,disclose,sell,re-sell,sublicense(throughmultiplelevels),display,publiclyperform,transmit,publish,broadcast,translate,makederivativeworksof,andotherwiseuseandexploitinanymannerwhatsoever,alloranyportionofyourUser-GeneratedContent(andderivativeworksthereof),foranypurposewhatsoeverinallformats,onorthroughanymeansormediumnowknownorhereafterdeveloped,andwithanytechnologyordevicesnowknownorhereafterdeveloped,andtoadvertise,market,andpromotethesame.Withoutlimitation,thegrantedrightsincludetherightto:(a)configure,host,index,cache,archive,store,digitize,compress,optimize,modify,reformat,edit,adapt,publishinsearchableformat,andremovesuchUser-GeneratedContentandcombinesamewithothermaterials,and(b)useanyideas,concepts,know-how,ortechniquescontainedinanyUser-GeneratedContentforanypurposeswhatsoever,includingdeveloping,producing,andmarketingproductsand/orservices.Youunderstandthatinexercisingsuchrightsmetadata,noticesandcontentmayberemovedoraltered,includingcopyrightmanagementinformation,andyouconsenttheretoandrepresentandwarrantyouhaveallnecessaryauthoritytodoso.InordertofurthereffecttherightsandlicensethatyougranttoCompliantClientstoyourUser-GeneratedContent,youalsoherebygranttoCompliantClients,andagreetogranttoCompliantClients,theunconditional,perpetual,irrevocablerighttouseandexploityourname,persona,andlikenessinconnectionwithanyUser-GeneratedContent,withoutanyobligationorremunerationtoyou.Exceptasprohibitedbylaw,youherebywaive,andyouagreetowaive,anymoralrights(includingattributionandintegrity)thatyoumayhaveinanyUser-GeneratedContent,evenifitisalteredorchangedinamannernotagreeabletoyou.Totheextentnotwaivable,youirrevocablyagreenottoexercisesuchrights(ifany)inamannerthatinterfereswithanyexerciseofthegrantedrights.Youunderstandthatyouwillnotreceiveanyfees,sums,consideration,orremunerationforanyoftherightsgrantedinthisSection4(i).RepresentationsandWarrantiesRelatedtoYourUser-GeneratedContent.EachtimeyousubmitanyUser-GeneratedContent,yourepresentandwarrantthatyouareatleasttheageofmajorityinthejurisdictioninwhichyouresideoraretheparentorlegalguardian,orhaveallproperconsentsfromtheparentorlegalguardian,ofanyminorwhoisdepictedinorcontributedtoanyUser-GeneratedContentyousubmit,andthat,astothatUser-GeneratedContent:(a)youarethesoleauthorandowneroftheintellectualpropertyandotherrightstotheUser-GeneratedContent,oryouhavealawfulrighttosubmittheUser-GeneratedContentandgrantCompliantClientstherightstoitthatyouaregrantingbytheseTermsandanyAdditionalTerms,allwithoutanyCompliantClientsobligationtoobtainconsentofanythirdpartyandwithoutcreatinganyobligationorliabilityofCompliantClients;(b)theUser-GeneratedContentisaccurate;(c)theUser-GeneratedContentdoesnotand,astoCompliantClients’spermittedusesandexploitationsetforthintheseTerms,willnotinfringeanyintellectualpropertyorotherrightofanythirdparty;and(d)theUser-GeneratedContentwillnotviolatetheseTermsoranyAdditionalTerms,orcauseinjuryorharmtoanyperson. 4.2Violations WereservetherighttomonitorourServices,andinvestigateanyactivitywesuspectviolatestheseTerms,aUserAgreement,ourrightsorinterest,ortherightsorinterestsofanypersonorentity. 4.3 Wereservetheright,tothefullestextentpermittedunderlaw,tocooperatewithanygovernmentalauthorityorthirdpartyinvestigatingconductthatmaybeillegalorharmanyindividualorentityorviolatestheirrespectiverights.If,forexample,auserthreatenstophysicallyharmanotheruseroranyotherindividual,wereservetherighttofullycooperatewithlawenforcementauthoritiesandthethreatenedindividual.Youherebyconsenttoourcooperationinsuchinvestigation. 4.4Indemnification Youagreeto,andyouhereby,defend(atouroption),indemnify,andholdCompliantClientsharmlessfromandagainstanyandallclaims,damages,losses,costs,investigations,liabilities,judgments,fines,penalties,settlements,interest,andexpenses(includingattorneys’fees)thatdirectlyorindirectlyarisefromorarerelatedtoanyclaim,suit,action,demand,orproceedingmadeorbroughtagainstCompliantClients,oronaccountoftheinvestigation,defense,orsettlementthereof,arisingoutoforinconnectionwith,whetheroccurringheretoforeorhereafter:(i)yourUser-GeneratedContent;(ii)youruseoftheServicesandyouractivitiesinconnectionwiththeServices;(iii)yourbreachorallegedbreachoftheseTerms;(iv)yourviolationorallegedviolationofanylaws,rules,regulations,codes,statutes,ordinances,orordersofanygovernmentalorquasi-governmentalauthoritiesinconnectionwithyouruseoftheServicesoryouractivitiesinconnectionwiththeServices;(v)informationormaterialtransmittedthroughyourDevice,evenifnotsubmittedbyyou,thatinfringes,violates,ormisappropriatesanycopyright,trademark,tradesecret,tradedress,patent,publicity,privacy,orotherrightofanypersonorentity;(vi)anymisrepresentationmadebyyou;and(vii)CompliantClients’suseoftheinformationthatyousubmittous(includingyourUser-GeneratedContent)(alloftheforegoing,“ClaimsandLosses”).YouwillcooperateasfullyrequiredbyCompliantClientsinthedefenseofanyClaimsandLosses.Notwithstandingtheforegoing,CompliantClientsretainstheexclusiverighttosettle,compromise,andpayanyandallClaimsandLosses.CompliantClientsreservestherighttoassumetheexclusivedefenseandcontrolofanyClaimsandLosses.YouwillnotsettleanyClaimsandLosseswithout,ineachinstance,thepriorwrittenconsentofanofficerofCompliantClients. 4.5GoverningLaw TheinterpretationoftheseTermsandtheresolutionofanydisputesarisingundertheseTermsshallbegovernedbythelawsoftheStateofTexas,withoutregardtoitsconflictoflawsprovisions.TheseTermsshallnotbegovernedbytheUnitedNationsConventiononContractfortheInternationalSaleofGoods,theapplicationofwhichisexpresslydisclaimed.NotwithstandingSection4.5thatrequiresarbitrationforalldisputes,youalsoagreethatwemaybringsuitincourttoenjoinanyviolationoftheseTermswithoutthepostingofabondorsecurity,inadditiontowhateverremedieswemighthaveatlaw. 4.6Arbitration READTHISPROVISIONCAREFULLYASITAFFECTSYOURRIGHTTOAJURYTRIAL.Youagreetothefollowing: Anyandalldisputes,claimsorcontroversiesarisingoutoforinconnectionwiththeseTermsorourServices,orinanywayconnectedtonomatterhowdescribed,pleadedorstyled,includingclaimsarisingintortand/orcontract,shallbedecidedexclusivelyandfinallybybindingarbitration.AllpartiesherebyWAIVETHEIRRIGHTTOAJURYTRIALbyagreeingtobindingarbitration.Thearbitrationhearingshallbeconductedatalocationwithintwenty(20)milesofyouraddress.ThearbitrationshallbeconductedbeforetheAmericanArbitrationAssociation(the“AAA”),pursuanttotheAAACommercialArbitrationRules,availableatwww.adr.orgoruponrequest. ThearbitrationshallbeconductedbyoneneutralarbitratorappointedbytheAAA.ThearbitratorshallhaveactualexperienceinandknowledgeofthesubjectmatterofthisAgreementtothegreatestextentpracticable,unlessbothpartiesagreeotherwise.Thearbitratorshallhavetheauthoritytoawardanymonetaryandnonmonetaryreliefavailabletoeitherpartyinanactionotherwiseprosecutedincourt,includinginjunctiveandotherprovisionalrelief.Judgmentonthearbitrationawardmaybeenteredbyanycourtofcompetentjurisdiction.Thecostofinitiatingthearbitrationandthearbitrator’scompensation(butexcludingfeesandcostsofyourcounsel,ifany)shallbepaidbyCompliantClients. ThisarbitrationshallbesolelybetweenthepartiestothisAgreement,andnoclassarbitrationorotherrepresentativeactionmaybeundertakenbythearbitrator,andthearbitratorshallhavenopowertoconsolidateorjoinclaimsofotherpartiesorpersonswhomaybesimilarlysituated. TheFederalArbitrationAct(“FAA”)andrelatedfederallawshallgoverntheinterpretationandenforcementofthisParagraphtothefullestextentpossible,totheexclusionofallotherwisepotentiallyapplicablestatelaw,regardlessofthelocationofthearbitrationproceedingsorthenatureofthedisputesorcontroversiesbetweenthepartiestothisAgreement.ThearbitratorshallapplyTexaslawconsistentwiththeFAAandrelatedfederallaw,includingapplicablestatutesoflimitationsandshallhonorclaimsofprivilegerecognizedatlaw. Withtheexceptionofsubpart(iii)above,ifanypartofthisarbitrationagreementisdeemedtobeinvalid,unenforceableorillegal,thenthebalanceofthisarbitrationagreementshallremainineffectandshallbeconstruedinaccordancewithitstermsasiftheinvalid,unenforceable,illegalorconflictingprovisionwerenotcontainedherein. YoumayelecttooptoutofthisarbitrationprovisionbysendingwrittennoticetoCompliantClientsat415WestheimerRd.#103Houston,TX77006,Attn:LegalDepartment/Arbitrationbefore5:00p.m.EasternTimeonthetenth(10th)calendardayafteryouagreetotheseTerms,orsuchnoticeshallbeofnoforceandeffect.Theforegoingtimelimitshallbestrictlyconstrued.OptingoutofthisarbitrationprovisionshallnotterminatetheseTermsorotherwiseaffectinanywayanyoftheotherrightsandobligationsofthepartiesheretounderthetermsoftheseTerms. Anypartofthisagreementtoarbitratethatshallprovetobeinvalid,void,orillegalshallinnowayaffect,impair,orinvalidateanyotherprovisionofthisagreementtoarbitrate,andsuchotherprovisionsshallremaininfullforceandeffect. 4.7Termination ByusingtheCompliantClientsWebsiteandCompliantClientsPortal,youdonotacquireanyrightstotheCompliantClientsWebsite,CompliantClientsPortaland/ortheServicesotherthanalicensetouseit,whichcanbeterminatedatanytimeinaccordancewiththisSection.YouagreeandacknowledgethatCompliantClients,initssolediscretion,mayterminateyourpassword,account(oranypartthereof)oraccesstooruseoftheServicesortheCompliantClientsWebsite,andremoveanddiscardanyContentwithintheServices,foranyreasonifCompliantClientsbelievesthatyouhaveviolatedoractedinconsistentlywiththeletterorspiritoftheseTerms.CompliantClientsmayalso,initssolediscretionandatanytime,discontinueprovidingtheServicesoraccesstotheCompliantClientsWebsite,oranypartthereof,withorwithoutnotice.YouagreethatanyterminationofyouraccesstotheServicesunderanyprovisionoftheseTermsmaybeeffectedwithoutpriornotice,andacknowledgeandagreethatCompliantClientsmayimmediatelydeactivateordeleteyouraccountandallrelatedContentinformationandfilesinyouraccountand/orbaranyfurtheraccesstosuchfilesortheServices.Further,youagreethatCompliantClientsshallnotbeliabletoyouoranythird-partyforanyterminationofyouraccesstotheServices.Sections4.1through4.16shallsurviveanyterminationorexpirationoftheseTerms. 4.8DisclaimersandLimitationsonLiability Accesstoourservicesandtheinformationandcontentcontainedthereonisprovided“asis”and“asavailable”andweherebyexpresslydisclaimallwarrantiesofanykind,whetherexpressed,implied,statutoryorotherwise,includingbutnotlimitedto,theimpliedwarrantiesofmerchantability,fitnessforaparticularpurpose,non-infringementandtitle.Wedonotwarrantthattheserviceswillbeuninterrupted,errorfreeorwithoutbreachesofsecurityandyouagreethatyouaresolelyresponsibleforanyandallactsoromissionstakenormadeinrelianceonourservicesortheinformationinourservices,includinginaccurateorincompleteinformation.Weexpresslydisclaimanyliabilitywithrespecttoanyinjurycausedbyanyuser,oranydamagesufferedbyanyuser,asaresultoftheactionsorinactionsofanyotheruser.Ifyouaredissatisfiedwithourservicesoranycontent,yoursoleandexclusiveremedyistodiscontinueusingandaccessingourservices.Somejurisdictionsdonotallowtheexclusionorlimitationofimpliedwarranties,sointhesejurisdictionstheabovelimitationsorexclusionsmaynotapplytotheuser. 4.9RisksYouAssume Withoutlimitinganyoftheotherriskswehavedisclosedtoyouintheseterms,youaresolelyresponsibleforyouruseofourservices,includinganycontentyousubmittouseandyouexpresslyacknowledgeandagreethatyouruseandaccesstoourservicesandtheinformationandcontentcontainedtherein,andanysiteslinkedthroughourservicesandanydatatransmittedthroughourservicesisatyoursolerisk.Accordingly,wedonotassumeanyliabilitytoyoufororrelatingtoanyofyouractions,includingthepublicationofanycontentyousubmitorourexerciseoftherightsyougranttouswithrespectthereto. 4.10LimitationofLiability Innoeventshallweoranyofoursubsidiariesoraffiliates,orourrespectiveofficers,directors,employees,agents,representatives,partnersandlicensors(collectively,the“compliantclients”)beliableforanyspecial,indirect,consequential,orexemplarydamages,including,butnotlimitedto,lossofprofitsorrevenues,lossofuse,lossofgoodwillorlossofinformation,howevercausedandwhetherbasedoncontract,warranty,negligence,strictliability,oranyothertheoryofliability,evenifwehavebeenapprisedofthepossibilityorlikelihoodofsuchdamages.Notwithstandinganythinginthesetermstothecontrary,ouraggregateliabilityinrespectofanyclaimoractionyoumaybringagainstcompliantclients,regardlessofformofactionortheoryofliability,shallbelimitedtothegreaterof(1)onehundredunitedstatesdollars(us$100),and(2)theaggregatefeesactuallypaidbyyoutousforthesix(6)monthperiodprecedingtheeventfirstgivingrisetosuchclaimoraction.Youacknowledgethatyoumaybewaivingrightswithrespecttoclaimsthatareunknownorunsuspected.Accordingly,youagreetowaivethebenefitofanylaw,including,totheextentapplicable,texascivilcode(orsimilarprovisionsofthelawsofotherstates),whichstates,Ageneralreleasedoesnotextendtoclaimswhichthecreditordoesnotknoworsuspecttoexistinhisorherfavoratthetimeofexecutingtherelease,whichifknownbyhimorhermusthavemateriallyaffectedhisorhersettlementwiththedebtor.Inthecaseofajurisdictionthatrestrictslimitationclauses,thislimitationshallbeappliedtothegreatestextentpermittedbylaw.Nothinginthesetermsofuseisintendedtolimitanyrightsyoumayhavethatmaynotbelawfullyterminated. 4.11Severability IfanyprovisionoftheseTermsisdeemedinvalidorunenforceable,then:(a)thatprovisionshallbeconstruedtotheextentnecessarytomakeitvalidandenforceableinsuchamannerascomesclosesttopreservingtheintentionsofsuchprovision,and(b)theremainingprovisionsshallremaininfullforceandeffect. 4.12WaiverofInjunctiveorOtherEquitableRelief Ifyouclaimthatyouhaveincurredanyloss,damages,orinjuriesinconnectionwithyouruseoftheservices,thenthelosses,damages,andinjurieswillnotbeirreparableorsufficienttoentitleyoutoaninjunctionortootherequitablereliefofanykind.Thismeansthat,inconnectionwithyourclaim,youagreethatyouwillnotseek,andthatyouwillnotbepermittedtoobtain,anycourtorotheractionthatmayinterferewithorpreventthedevelopmentorexploitationofanywebsite,application,content,user-generatedcontent,product,service,orintellectualpropertyowned,licensed,usedorcontrolledbycompliantclients(includingyourlicenseduser-generatedcontent)oralicensorofcompliantclients. 4.13NoWaiver OurfailureatanytimetorequireperformancebyyouofanyprovisionoftheseTermsshallinnowayaffectourrighttoenforcesuchprovision,norshallthewaiverofanybreachbyyouofanyprovisionhereinconstituteawaiverofanysucceedingbreachortheprovisionitself. 4.14Interpretation ForthepurposeoftheseTerms,“you”meanstheindividualuserofourServicesandvisitorstoourWebsites.IfyouraccessoruseofourServicesis,directlyorindirectly,onbehalfofoneormorethirdparties(suchas,withoutlimitation,youremployerorclient,oryouremployer’sclient,ifyouremployerhasbeenengagedtoaccessourServices(anysuchemployer,clientorotherthirdparty,a“Principal”)),then“you”alsoreferstosuchPrincipal.IfyouareusingourServicesonbehalfofaPrincipal,(a)yourepresentandwarrantthatyouhavetheauthoritytobind,andhavebound,suchPrincipaltotheseTerms;and(b)youagreetobejointlyandseverallyliableforanybreachoftheseTermsbyPrincipal.SeealsotheCompliantClientsUserPortalAgreement.“CompliantClients,”“we,”“our,”and“us”means,collectively,CompliantClientsLLCandourfuturesubsidiariesandaffiliates.Inaddition,thewords“include,”“includes”and“including”shallbedeemedtobefollowedbythephrase“withoutlimitation.”Theword“will”shallbeconstruedtohavethesamemeaningandeffectastheword“shall.”Theword“or”shallbeconstruedtohavethesamemeaningandeffectas“and/or.”Thewords“herein,”“hereof”and“hereunder,”andwordsofsimilarimport,shallbeconstruedtorefertotheseTerms.TheheadingsusedintheseTermsareusedforconvenienceonlyandarenottobeconsideredinconstruingorinterpretingtheseTerms.TheseTerms,togetherwithyourUserAgreement(s),constitutetheentireagreementbetweenyouandCompliantClientsregardinganyservicesaccessedviatheCompliantClientsWebsiteorCompliantClientsPortal,andsupersedeallpreviouscommunications,representations,orunderstandings,eitheroralorwritten,relatingtothesubjectmatterhereof;provided,however,(a)intheeventofanexpressconflictbetweenanyspecificprovisionincludedintheseTermsandtheexpressprovisionintheUserAgreement,theprovisionsetforthinUserAgreementshallprevail,and(b)theseTermsshallcoverallrights,obligations,termsandconditionsnotexpresslyaddressedinsuchUserAgreement. 4.15ElectronicContracting
