AccountandRegistration a.AcceptingtheTerms YoumaynotusetheAPIsandmaynotaccepttheTermsif(a)youarenotoflegalagetoformabindingcontractwithGoogle,or(b)youareapersonbarredfromusingorreceivingtheAPIsundertheapplicablelawsoftheUnitedStatesorothercountriesincludingthecountryinwhichyouareresidentorfromwhichyouusetheAPIs. b.EntityLevelAcceptance IfyouareusingtheAPIsonbehalfofanentity,yourepresentandwarrantthatyouhaveauthoritytobindthatentitytotheTermsandbyacceptingtheTerms,youaredoingsoonbehalfofthatentity(andallreferencesto"you"intheTermsrefertothatentity). c.Registration InordertoaccesscertainAPIsyoumayberequiredtoprovidecertaininformation(suchasidentificationorcontactdetails)aspartoftheregistrationprocessfortheAPIs,oraspartofyourcontinueduseoftheAPIs.AnyregistrationinformationyougivetoGooglewillalwaysbeaccurateanduptodateandyou'llinformuspromptlyofanyupdates. d.SubsidiariesandAffiliates Googlehassubsidiariesandaffiliatedlegalentitiesaroundtheworld.ThesecompaniesmayprovidetheAPIstoyouonbehalfofGoogleandtheTermswillalsogovernyourrelationshipwiththesecompanies. UsingOurAPIs a.YourEndUsers Youwillrequireyourenduserstocomplywith(andnotknowinglyenablethemtoviolate)applicablelaw,regulation,andtheTerms. b.CompliancewithLaw,ThirdPartyRights,andOtherGoogleTermsofService Youwillcomplywithallapplicablelaw,regulation,andthirdpartyrights(includingwithoutlimitationlawsregardingtheimportorexportofdataorsoftware,privacy,andlocallaws).YouwillnotusetheAPIstoencourageorpromoteillegalactivityorviolationofthirdpartyrights.YouwillnotviolateanyothertermsofservicewithGoogle(oritsaffiliates). c.PermittedAccess Youwillonlyaccess(orattempttoaccess)anAPIbythemeansdescribedinthedocumentationofthatAPI.IfGoogleassignsyoudevelopercredentials(e.g.clientIDs),youmustusethemwiththeapplicableAPIs.YouwillnotmisrepresentormaskeitheryouridentityoryourAPIClient'sidentitywhenusingtheAPIsordeveloperaccounts. d.APILimitations GooglesetsandenforceslimitsonyouruseoftheAPIs(e.g.limitingthenumberofAPIrequeststhatyoumaymakeorthenumberofusersyoumayserve),inoursolediscretion.Youagreeto,andwillnotattempttocircumvent,suchlimitationsdocumentedwitheachAPI.IfyouwouldliketouseanyAPIbeyondtheselimits,youmustobtainGoogle'sexpressconsent(andGooglemaydeclinesuchrequestorconditionacceptanceonyouragreementtoadditionaltermsand/orchargesforthatuse).Toseeksuchapproval,contacttherelevantGoogleAPIteamforinformation(e.g.byusingtheGoogledevelopersconsole). e.OpenSourceSoftware SomeofthesoftwarerequiredbyorincludedinourAPIsmaybeofferedunderanopensourcelicense.Opensourcesoftwarelicensesconstituteseparatewrittenagreements.ForcertainAPIs,opensourcesoftwareislistedinthedocumentation.TothelimitedextenttheopensourcesoftwarelicenseexpresslysupersedestheTerms,theopensourcelicenseinsteadsetsforthyouragreementwithGooglefortheapplicableopensourcesoftware. f.CommunicationwithGoogle WemaysendyoucertaincommunicationsinconnectionwithyouruseoftheAPIs.PleasereviewtheapplicableAPIdocumentationforinformationaboutoptingoutofcertaintypesofcommunication. g.Feedback IfyouprovidefeedbackorsuggestionsaboutourAPIs,thenwe(andthoseweallow)mayusesuchinformationwithoutobligationtoyou. h.Non-Exclusivity TheTermsarenon-exclusive.YouacknowledgethatGooglemaydevelopproductsorservicesthatmaycompetewiththeAPIClientsoranyotherproductsorservices. i.GoogleController-ControllerDataProtectionTerms Totheextentrequiredbydataprotectionlawsapplicabletotheparties'processingofpersonaldataundertheseTerms,thepartiesagreetotheGoogleController-ControllerDataProtectionTerms. YourAPIClients a.APIClientsandMonitoring TheAPIsaredesignedtohelpyouenhanceyourwebsitesandapplications("APIClient(s)").YOUAGREETHATGOOGLEMAYMONITORUSEOFTHEAPISTOENSUREQUALITY,IMPROVEGOOGLEPRODUCTSANDSERVICES,ANDVERIFYYOURCOMPLIANCEWITHTHETERMS.ThismonitoringmayincludeGoogleaccessingandusingyourAPIClient,forexampletoidentifysecurityissuesthatcouldaffectGoogleoritsusers.Youwillnotinterferewiththismonitoring.Googlemayuseanytechnicalmeanstoovercomesuchinterference.GooglemaysuspendaccesstotheAPIsbyyouoryourAPIClientwithoutnoticeifwereasonablybelievethatyouareinviolationoftheTerms. b.Security YouwillusecommerciallyreasonableeffortstoprotectuserinformationcollectedbyyourAPIClient,includingpersonaldata,fromunauthorizedaccessoruseandwillpromptlyreporttoyourusersanyunauthorizedaccessoruseofsuchinformationtotheextentrequiredbyapplicablelaw. c.Ownership GoogledoesnotacquireownershipinyourAPIClients,andbyusingourAPIs,youdonotacquireownershipofanyrightsinourAPIsorthecontentthatisaccessedthroughourAPIs. d.UserPrivacyandAPIClients Youwillcomplywith(1)allapplicableprivacylawsandregulationsincludingthoseapplyingtopersonaldataand(2)theGoogleAPIServicesUserDataPolicy,whichgovernsyouruseoftheAPIswhenyourequestaccesstoGoogleuserinformation.YouwillprovideandadheretoaprivacypolicyforyourAPIClientthatclearlyandaccuratelydescribestousersofyourAPIClientwhatuserinformationyoucollectandhowyouuseandsharesuchinformation(includingforadvertising)withGoogleandthirdparties. ProhibitionsandConfidentiality a.APIProhibitions WhenusingtheAPIs,youmaynot(orallowthoseactingonyourbehalfto): SublicenseanAPIforusebyathirdparty.Consequently,youwillnotcreateanAPIClientthatfunctionssubstantiallythesameastheAPIsandofferitforusebythirdparties. PerformanactionwiththeintentofintroducingtoGoogleproductsandservicesanyviruses,worms,defects,Trojanhorses,malware,oranyitemsofadestructivenature. Defame,abuse,harass,stalk,orthreatenothers. InterferewithordisrupttheAPIsortheserversornetworksprovidingtheAPIs. Promoteorfacilitateunlawfulonlinegamblingordisruptivecommercialmessagesoradvertisements. ReverseengineerorattempttoextractthesourcecodefromanyAPIoranyrelatedsoftware,excepttotheextentthatthisrestrictionisexpresslyprohibitedbyapplicablelaw. UsetheAPIsforanyactivitieswheretheuseorfailureoftheAPIscouldleadtodeath,personalinjury,orenvironmentaldamage(suchastheoperationofnuclearfacilities,airtrafficcontrol,orlifesupportsystems). UsetheAPIstoprocessorstoreanydatathatissubjecttotheInternationalTrafficinArmsRegulationsmaintainedbytheU.S.DepartmentofState. Remove,obscure,oralteranyGoogletermsofserviceoranylinkstoornoticesofthoseterms. UnlessotherwisespecifiedinwritingbyGoogle,GoogledoesnotintenduseoftheAPIstocreateobligationsundertheHealthInsurancePortabilityandAccountabilityAct,asamended("HIPAA"),andmakesnorepresentationsthattheAPIssatisfyHIPAArequirements.Ifyouare(orbecome)a"coveredentity"or"businessassociate"asdefinedinHIPAA,youwillnotusetheAPIsforanypurposeorinanymannerinvolvingtransmittingprotectedhealthinformationtoGoogleunlessyouhavereceivedpriorwrittenconsenttosuchusefromGoogle. b.ConfidentialMatters Developercredentials(suchaspasswords,keys,andclientIDs)areintendedtobeusedbyyouandidentifyyourAPIClient.YouwillkeepyourcredentialsconfidentialandmakereasonableeffortstopreventanddiscourageotherAPIClientsfromusingyourcredentials.Developercredentialsmaynotbeembeddedinopensourceprojects. OurcommunicationstoyouandourAPIsmaycontainGoogleconfidentialinformation.Googleconfidentialinformationincludesanymaterials,communications,andinformationthataremarkedconfidentialorthatwouldnormallybeconsideredconfidentialunderthecircumstances.Ifyoureceiveanysuchinformation,thenyouwillnotdiscloseittoanythirdpartywithoutGoogle'spriorwrittenconsent.Googleconfidentialinformationdoesnotincludeinformationthatyouindependentlydeveloped,thatwasrightfullygiventoyoubyathirdpartywithoutconfidentialityobligation,orthatbecomespublicthroughnofaultofyourown.YoumaydiscloseGoogleconfidentialinformationwhencompelledtodosobylawifyouprovideusreasonablepriornotice,unlessacourtordersthatwenotreceivenotice. Content a.ContentAccessibleThroughourAPIs OurAPIscontainsomethirdpartycontent(suchastext,images,videos,audio,orsoftware).Thiscontentisthesoleresponsibilityofthepersonthatmakesitavailable.WemaysometimesreviewcontenttodeterminewhetheritisillegalorviolatesourpoliciesortheTerms,andwemayremoveorrefusetodisplaycontent.Finally,contentaccessiblethroughourAPIsmaybesubjecttointellectualpropertyrights,and,ifso,youmaynotuseitunlessyouarelicensedtodosobytheownerofthatcontentorareotherwisepermittedbylaw.YouraccesstothecontentprovidedbytheAPImayberestricted,limited,orfilteredinaccordancewithapplicablelaw,regulation,andpolicy. b.SubmissionofContent SomeofourAPIsallowthesubmissionofcontent.GoogledoesnotacquireanyownershipofanyintellectualpropertyrightsinthecontentthatyousubmittoourAPIsthroughyourAPIClient,exceptasexpresslyprovidedintheTerms.ForthesolepurposeofenablingGoogletoprovide,secure,andimprovetheAPIs(andtherelatedservice(s))andonlyinaccordancewiththeapplicableGoogleprivacypolicies,yougiveGoogleaperpetual,irrevocable,worldwide,sublicensable,royalty-free,andnon-exclusivelicensetoUsecontentsubmitted,posted,ordisplayedtoorfromtheAPIsthroughyourAPIClient."Use"meansuse,host,store,modify,communicate,andpublish.BeforeyousubmitcontenttoourAPIsthroughyourAPIClient,youwillensurethatyouhavethenecessaryrights(includingthenecessaryrightsfromyourendusers)tograntusthelicense. c.Retrievalofcontent Whenauser'snon-publiccontentisobtainedthroughtheAPIs,youmaynotexposethatcontenttootherusersortothirdpartieswithoutexplicitopt-inconsentfromthatuser. d.DataPortability Googlesupportsdataportability.ForaslongasyouuseorstoreanyuserdatathatyouobtainedthroughtheAPIs,youagreetoenableyouruserstoexporttheirequivalentdatatootherservicesorapplicationsoftheirchoiceinawaythat'ssubstantiallyasfastandeasyasexportingsuchdatafromGoogleproductsandservices,subjecttoapplicablelaws,andyouagreethatyouwillnotmakethatdataavailabletothirdpartieswhodonotalsoabidebythisobligation. e.ProhibitionsonContent Unlessexpresslypermittedbythecontentownerorbyapplicablelaw,youwillnot,andwillnotpermityourendusersorothersactingonyourbehalfto,dothefollowingwithcontentreturnedfromtheAPIs: Scrape,builddatabases,orotherwisecreatepermanentcopiesofsuchcontent,orkeepcachedcopieslongerthanpermittedbythecacheheader; Copy,translate,modify,createaderivativeworkof,sell,lease,lend,convey,distribute,publiclydisplay,orsublicensetoanythirdparty; Misrepresentthesourceorownership;or Remove,obscure,oralteranycopyright,trademark,orotherproprietaryrightsnotices;orfalsifyordeleteanyauthorattributions,legalnotices,orotherlabelsoftheoriginorsourceofmaterial. BrandFeatures;Attribution a.BrandFeatures "BrandFeatures"isdefinedasthetradenames,trademarks,servicemarks,logos,domainnames,andotherdistinctivebrandfeaturesofeachparty.Exceptwhereexpresslystated,theTermsdonotgranteitherpartyanyright,title,orinterestinortotheotherparty'sBrandFeatures.AllusebyyouofGoogle'sBrandFeatures(includinganygoodwillassociatedtherewith)willinuretothebenefitofGoogle. b.Attribution Youagreetodisplayanyattribution(s)requiredbyGoogleasdescribedinthedocumentationfortheAPI.Googleherebygrantstoyouanontransferable,nonsublicenseable,nonexclusivelicensewhiletheTermsareineffecttodisplayGoogle'sBrandFeaturesforthepurposeofpromotingoradvertisingthatyouusetheAPIs.YoumustonlyusetheGoogleBrandFeaturesinaccordancewiththeTermsandforthepurposeoffulfillingyourobligationsunderthisSection.InusingGoogle'sBrandFeatures,youmustfollowtheGoogleBrandFeaturesUseGuidelines.YouunderstandandagreethatGooglehasthesolediscretiontodeterminewhetheryourattribution(s)anduseofGoogle'sBrandFeaturesareinaccordancewiththeaboverequirementsandguidelines. c.Publicity YouwillnotmakeanystatementregardingyouruseofanAPIwhichsuggestspartnershipwith,sponsorshipby,orendorsementbyGooglewithoutGoogle'spriorwrittenapproval. d.PromotionalandMarketingUse Inthecourseofpromoting,marketing,ordemonstratingtheAPIsyouareusingandtheassociatedGoogleproducts,Googlemayproduceanddistributeincidentaldepictions,includingscreenshots,video,orothercontentfromyourAPIClient,andmayuseyourcompanyorproductname.Yougrantusallnecessaryrightsfortheabovepurposes. PrivacyandCopyrightProtection a.GooglePrivacyPolicies ByusingourAPIs,Googlemayusesubmittedinformationinaccordancewithourprivacypolicies. b.GoogleDMCAPolicy Weprovideinformationtohelpcopyrightholdersmanagetheirintellectualpropertyonline,butwecan'tdeterminewhethersomethingisbeingusedlegallyornotwithouttheirinput.WerespondtonoticesofallegedcopyrightinfringementandterminateaccountsofrepeatinfringersaccordingtotheprocesssetoutintheU.S.DigitalMillenniumCopyrightAct.Ifyouthinksomebodyisviolatingyourcopyrightsandwanttonotifyus,youcanfindinformationaboutsubmittingnoticesandGoogle'spolicyaboutrespondingtonoticesinourHelpCenter. Termination a.Termination YoumaystopusingourAPIsatanytimewithorwithoutnotice.Further,ifyouwanttoterminatetheTerms,youmustprovideGooglewithpriorwrittennoticeandupontermination,ceaseyouruseoftheapplicableAPIs.GooglereservestherighttoterminatetheTermswithyouordiscontinuetheAPIsoranyportionorfeatureoryouraccesstheretoforanyreasonandatanytimewithoutliabilityorotherobligationtoyou. b.YourObligationsPost-Termination UponanyterminationoftheTermsordiscontinuationofyouraccesstoanAPI,youwillimmediatelystopusingtheAPI,ceasealluseoftheGoogleBrandFeatures,anddeleteanycachedorstoredcontentthatwaspermittedbythecacheheaderunderSection5.Googlemayindependentlycommunicatewithanyaccountownerwhoseaccount(s)areassociatedwithyourAPIClientanddevelopercredentialstoprovidenoticeoftheterminationofyourrighttouseanAPI. c.SurvivingProvisions WhentheTermscometoanend,thosetermsthatbytheirnatureareintendedtocontinueindefinitelywillcontinuetoapply,includingbutnotlimitedto:Sections4b,5,8,9,and10. LiabilityforourAPIs a.WARRANTIES EXCEPTASEXPRESSLYSETOUTINTHETERMS,NEITHERGOOGLENORITSSUPPLIERSORDISTRIBUTORSMAKEANYSPECIFICPROMISESABOUTTHEAPIS.FOREXAMPLE,WEDON'TMAKEANYCOMMITMENTSABOUTTHECONTENTACCESSEDTHROUGHTHEAPIS,THESPECIFICFUNCTIONSOFTHEAPIS,ORTHEIRRELIABILITY,AVAILABILITY,ORABILITYTOMEETYOURNEEDS.WEPROVIDETHEAPIS"ASIS". SOMEJURISDICTIONSPROVIDEFORCERTAINWARRANTIES,LIKETHEIMPLIEDWARRANTYOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSE,ANDNON-INFRINGEMENT.EXCEPTASEXPRESSLYPROVIDEDFORINTHETERMS,TOTHEEXTENTPERMITTEDBYLAW,WEEXCLUDEALLWARRANTIES,GUARANTEES,CONDITIONS,REPRESENTATIONS,ANDUNDERTAKINGS. b.LIMITATIONOFLIABILITY WHENPERMITTEDBYLAW,GOOGLE,ANDGOOGLE'SSUPPLIERSANDDISTRIBUTORS,WILLNOTBERESPONSIBLEFORLOSTPROFITS,REVENUES,ORDATA;FINANCIALLOSSES;ORINDIRECT,SPECIAL,CONSEQUENTIAL,EXEMPLARY,ORPUNITIVEDAMAGES. TOTHEEXTENTPERMITTEDBYLAW,THETOTALLIABILITYOFGOOGLE,ANDITSSUPPLIERSANDDISTRIBUTORS,FORANYCLAIMUNDERTHETERMS,INCLUDINGFORANYIMPLIEDWARRANTIES,ISLIMITEDTOTHEAMOUNTYOUPAIDUSTOUSETHEAPPLICABLEAPIS(OR,IFWECHOOSE,TOSUPPLYINGYOUTHEAPISAGAIN)DURINGTHESIXMONTHSPRIORTOTHEEVENTGIVINGRISETOTHELIABILITY. INALLCASES,GOOGLE,ANDITSSUPPLIERSANDDISTRIBUTORS,WILLNOTBELIABLEFORANYEXPENSE,LOSS,ORDAMAGETHATISNOTREASONABLYFORESEEABLE. c.Indemnification Unlessprohibitedbyapplicablelaw,ifyouareabusiness,youwilldefendandindemnifyGoogle,anditsaffiliates,directors,officers,employees,andusers,againstallliabilities,damages,losses,costs,fees(includinglegalfees),andexpensesrelatingtoanyallegationorthird-partylegalproceedingtotheextentarisingfrom: yourmisuseoryourenduser'smisuseoftheAPIs; yourviolationoryourenduser'sviolationoftheTerms;or anycontentordataroutedintoorusedwiththeAPIsbyyou,thoseactingonyourbehalf,oryourendusers. GeneralProvisions a.Modification WemaymodifytheTermsoranyportionto,forexample,reflectchangestothelaworchangestoourAPIs.YoushouldlookattheTermsregularly.We'llpostnoticeofmodificationstotheTermswithinthedocumentationofeachapplicableAPI,tothiswebsite,and/orintheGoogledevelopersconsole.Changeswillnotapplyretroactivelyandwillbecomeeffectivenosoonerthan30daysaftertheyareposted.ButchangesaddressingnewfunctionsforanAPIorchangesmadeforlegalreasonswillbeeffectiveimmediately.IfyoudonotagreetothemodifiedTermsforanAPI,youshoulddiscontinueyouruseofthatAPI.YourcontinueduseoftheAPIconstitutesyouracceptanceofthemodifiedTerms. b.U.S.FederalAgencyEntities TheAPIsweredevelopedsolelyatprivateexpenseandarecommercialcomputersoftwareandrelateddocumentationwithinthemeaningoftheapplicableU.S.FederalAcquisitionRegulationandagencysupplementsthereto. c.GeneralLegalTerms WeeachagreetocontractintheEnglishlanguage.IfweprovideatranslationoftheTerms,wedosoforyourconvenienceonlyandtheEnglishTermswillsolelygovernourrelationship.TheTermsdonotcreateanythirdpartybeneficiaryrightsoranyagency,partnership,orjointventure.NothingintheTermswilllimiteitherparty'sabilitytoseekinjunctiverelief.Wearenotliableforfailureordelayinperformancetotheextentcausedbycircumstancesbeyondourreasonablecontrol.IfyoudonotcomplywiththeTerms,andGoogledoesnottakeactionrightaway,thisdoesnotmeanthatGoogleisgivingupanyrightsthatitmayhave(suchastakingactioninthefuture).Ifitturnsoutthataparticulartermisnotenforceable,thiswillnotaffectanyotherterms.TheTermsaretheentireagreementbetweenyouandGooglerelatingtoitssubjectandsupersedeanypriororcontemporaneousagreementsonthatsubject.ForinformationabouthowtocontactGoogle,pleasevisitourcontactpage.
