SecurityITandInfrastructureTermsofUseForUsersForCustomersWebsiteForAPIUsersHIPAAPrivacyPrivacyPolicyGDPRStatementDPAPoliciesAcceptableUsePolicyServiceLevelAgreementAccessibility&VPATServicesServiceTermsCreditsCreditPurchaseTermsAmbassadorsHowtoPartnerTrademarksCurrentTrademarksAcceptanceofTermsThisTallyfyAPITermsofServicedocument(the“APITOS”)isanagreementyoumustacceptinordertousetheTallyfyAPI(asdescribedbelow).ThisdocumentdescribesbothyourrightsandyourobligationsaspartofusingtheTallyfyAPI.Itisimportantthatyoureaditcarefullybecauseyouwillbelegallyboundtotheseterms.Tallyfy,Inc.(“Tallyfy”“we”“us”)onlyprovidestheTallyfyAPItoyousubjecttothisAPITOS.ByacceptingthisAPITOSorbyaccessingorusingtheTallyfyAPI,youagreetobeboundbythisAPITOS(includingthePrivacyPolicy,andgeneralTermsofServiceforUsersandCustomers,whichareincorporatedherebyreference).IfyouareenteringintothisAPITOSonbehalfofacompanyorotherlegalentity,yourepresentthatyouhavetheauthoritytobindsuchentitytothisAPITOS.Inthatcase,theterms“you”or“your”shallalsorefertosuchentity.Ifyoudonothavesuchauthority,orifyoudonotagreewiththisAPITOS,youmaynotusetheTallyfyAPI.YouacknowledgethatthisAPITOSisacontractbetweenyouandTallyfy,eventhoughitiselectronicandisnotphysicallysignedbyyouandTallyfy,anditgovernsyouruseoftheTallyfyAPI.APIKeyDefinitionsApplication–Anysoftwareapplication,website,orproductyoucreateorserviceyouofferusingtheTallyfyAPI(definedbelow).APIDocumentation–Thedocumentation,dataandinformationthatTallyfyprovidesregardingtheuseoftheTallyfyAPIthroughtheDeveloperSite.Data–meansanydataandcontentuploaded,posted,transmittedorotherwisemadeavailablebyusersviatheServices,includingmessages,files,comments,profileinformationandanythingelseenteredoruploadedintotheServicebyauseroftheService.DeveloperSite–Tallyfy’sDeveloperSitefoundathttps://go.tallyfy.com/api/TallyfyAPIor“ourAPI”–ThepubliclyavailableTallyfyApplicationProgrammingInterface(“API”)aswellastherelatedAPIDocumentation.TallyfyBrand–TheTallyfybrandandbrandassets,includingnames,logos,tradenamesandtrademarks.Thisincludestrademarkssuchas“WorkflowMadeEasy”.TallyfyService(s)–Tallyfy’sbusinessprocessmanagementandrelatedsystemsandtechnologies,aswellasthewebsitehttps://tallyfy.com(the“Site”),andallsoftware,applications,data,reports,text,images,andothercontentmadeavailablebyoronbehalfofTallyfythroughanyoftheforegoing.The“Service”doesnotincludeDataoranysoftwareapplicationorservicethatisprovidedbyyouorathirdparty(includingApplications),whetherornotTallyfydesignatesthemas“officialintegrations”.APILicenseAslongasyoufollowthisAPITOS,Tallyfygrantsyoualimited,non-exclusive,non-assignable,non-transferablelicensetousetheAPIstodevelop,test,andsupportanysoftwareapplication,website,orproduct,andtointegratetheTallyfyAPIswithyourApplication.YourlicenseissubjecttothelimitationssetforthinSection4.2through4.11andSection9below,andyouagreethatviolationofSection4willautomaticallyterminateyourlicensetousetheTallyfyAPIs.UseofAPIsandTallyfyDataThefollowingidentifieslimitationsonuserelatedtotheTallyfyAPI:RelianceonAPI.Tallyfyisstillevolving,andweneedtheflexibilitytooccasionallymakechangestoourAPIs,includingbackwardsincompatibleones.Wewilltrytogivenoticeofsuchchanges.Also,partsofourAPIareundocumented,includingcertainmethods,events,andproperties.GiventhattheseundocumentedaspectsofourAPImaychangeatanytime,youshouldnotrelyonthesebehaviors.Applicablelawsoragreements.YoumaynotusetheTallyfyAPIinviolationofanylaworregulation,orrightsofanyperson,includingbutnotlimitedtointellectualpropertyrights,rightsofprivacy,orrightsofpersonality,orinanymannerinconsistentwiththisAPITOSorTallyfy’sotheragreementstowhichyouaresubject.Scopeofacceptableuse.YoumaynotusetheTallyfyAPIoranyothertechnologyinamannerthataccessesorusesanyinformationbeyondwhatTallyfyallowsunderthisAPITOSortheDocumentation;thatchangestheTallyfyService;thatbreaksorcircumventsanyofTallyfy’stechnical,administrative,processorsecuritymeasures;thatdisruptsordegradestheperformanceoftheTallyfyServiceortheTallyfyAPI;orthatteststhevulnerabilityofTallyfy’ssystemsornetworks.Malware.Youmaynottransmitanyvirusesorothercomputerprogrammingthatmaydamage,detrimentallyinterferewith,surreptitiouslyintercept,orexpropriateanysystemordata.Reverseengineering.Youmaynotattempttoreverseengineerorotherwisederivesourcecode,tradesecrets,orknow-howintheTallyfyAPIorportionthereof;Functionality.YoumaynotusetheTallyfyAPItoreplicateorcompetewithcoreproductsorservicesofferedbyTallyfy.YouacknowledgeandagreethatTallyfyhasormayinthefutureofferproductsorservicesthataresimilartoyourApplication,andnothingwillpreventTallyfyfromdoingso;CommercialUse.YoumaychargeforyourApplication.However,youmaynotsell,rent,lease,sublicense,redistribute,orsyndicateaccesstotheTallyfyAPI.Advertising.YoumayplaceadvertisementsonandaroundyourApplication.However,youmaynot:PlaceanyadvertisementswithinTallyfyServicechannels,andyouradvertisementsmaynotresembleorbereasonablylikelytoconfuseusersasbeingaTallyfyServicemessage;UseDataoranycontentfromTallyfyinanyadvertisementsorforpurposesoftargetingadvertisements,inyourApplicationorelsewhere;orUsecontactinformationobtainedfromTallyfy(includingemailaddresses)tocontactTallyfyusersoutsideofTallyfywithouttheirexpresspermission.RateLimits.Youwillnotattempttoexceedorcircumventlimitationsonaccess,callsanduseofTallyfyAPI,orotherwiseusetheTallyfyAPIinamannerthatexceedsreasonablerequestvolume,constitutesexcessiveorabusiveusage,orotherwisefailstocomplyorisinconsistentwithanypartofthisAPITOSortheDocumentation.Ourpresentratelimitsare10requestspersecondperIPaddress,aswellas10requestspersecondpersession/bearertoken.Useforpromotionofgamblingoradultcontent.YoumaynotusetheTallyfyAPIsinanyApplicationthatincludesadultcontent,promotesgambling,involvesthesaleoftobaccooralcoholtopersonsunder21yearsofage,orotherwiseviolatesanyapplicablelaworregulation.Distributionofyourapplication.YoumaynotdistributeorallowaccesstotheTallyfyAPIstoanyoneotherthan,ifapplicable,thecompanyonwhosebehalfyouenteredintothisAPITOS.AnyonewhowantstoaccessourAPIsmustagreetobeboundbythisAPITOS.UseofTallyfyBrandorMarks.YoumustnotusetheTallyfyBrandinawaythatsuggestsyourserviceisendorsedby,sponsoredby,orassociatedwithTallyfy,andyoumustabidebyTallyfy’sBrandGuidelinesavailableonrequest–bycontactingus.StorageofDataCachingData.WhereDataiscached,youshouldrefreshthecacheatleastevery24hours.SecureStorageMeasures.AllDatashouldbestoredandservedusingstrongencryption.DeleteatUserRequest.YoumustdeleteallDatayouhavecollectedfromaTallyfyuseruponrequestbythatuser,andwhentheTallyfyuserdeauthorizesyourApplicationorcloseshisorheraccountwithyou.Similarly,whenateamstopsusingyourApplication,youshoulddeleteallDataobtainedfromthatteam.TherestrictionsofthisSectiondonotapplytoDatathatTallyfyusersalsoprovidedirectlytoyouandthatisseparatelyenteredoruploadedtoyoubytheuserofyourApplication.DeletionatTermination.IfweterminateyouruseoftheTallyfyAPIsforanyreason,thenyoumustpermanentlydeleteallDataandanyotherinformationthatyoustoredpursuanttoyouruseoftheTallyfyAPIs,exceptwhendoingsowouldcauseyoutoviolateanylaworobligationimposedbyagovernmentalauthority.ThisprovisiondoesnotrequireaTallyfyusertodeleteDatastoredinTallyfyiftheTallyfyuserisprohibitedfromaccessingtheTallyfyAPI.NoOtherStoring.YoumaynotcopyorstoreanyDataorcaptureorstoreanyinformationexpressedbytheData(suchashashedortransferreddata),excepttotheextentpermittedbythisAPITOS.YourUserAgreementandPrivacyPolicyIfyouofferyourApplicationforusebyothersoutsideyourorganization,youmustmaintainauseragreementandprivacypolicyforyourApplication,whichisprominentlyidentifiedorlocatedwhereusersdownloadoraccessyourApplication.Yourprivacypolicymustmeetapplicablelegalstandardsandaccuratelydescribethecollection,use,storageandsharingofdata.YoumustpromptlynotifyusofanybreachesofyouruseragreementorprivacypolicythatimpactormayimpactTallyfyusers.Yourprivacypolicymustbeatleastasstringentanduser-friendlyasours.SecurityMeasuresProtections.Thenetwork,operatingsystemandsoftwareofyourwebservers,databases,andcomputersystems(collectively,“YourSystems”)mustbeproperlyconfiguredtosecurelyoperateyourApplicationandstoreData.YourApplicationmustusereasonablesecuritymeasurestoprotectyourusers’information.YoumustnotarchitectorselectYourSystemsinamannertoavoidtheforegoingobligation.Reporting.Youmustpromptlyreportanysecuritydeficienciesin,orintrusionsto,yourSystemstoTallyfyinwritingviaemailto[email protected]orsubsequentcontactinformationpostedontheDeveloperSite.Thisincludesanyunauthorizedaccess,use,disclosureordestructionofData.YouwillworkwithTallyfytoimmediatelycorrectanysecuritydeficiency,andwillimmediatelydisconnectanyintrusionsorintruder.IntheeventofanysecuritydeficiencyorintrusioninvolvingtheApplication,TallyfyAPIsorData,youwillmakenopublicstatementsregardingsuchdeficienciesorintrusions(e.g.,press,blogs,socialmedia,bulletinboards,etc.)withoutpriorwrittenandexpresspermissionfromTallyfyineachinstance.GovernmentAccess.Youwillnotknowingly:Alloworassistanygovernmententities,lawenforcement,orotherorganizationstoconductsurveillanceorobtaindatausingyouraccesstotheTallyfyAPIinordertoavoidservinglegalprocessdirectlyonTallyfy.AnysuchusebyyouforlawenforcementpurposesisabreachofthisAPITOS.Display,distributeorotherwisemakeavailableDataoranyApplicationtoanypersonorentitythatyoureasonablybelievewilluseDatatoviolatetheUniversalDeclarationofHumanRights(locatedathttp://www.un.org/en/documents/udhr/),includingwithoutlimitationArticles12,18,or19.AnylawenforcementpersonnelseekinginformationaboutTallyfyuserswillbereferredtoTallyfy’sUserDataRequestPolicy.YouwillnotconductandyourApplicationwillnotprovideanalysesorresearchthatisolatesasmallgroupofindividualsoranysingleindividualforanyunlawfulordiscriminatorypurposes.ExemptionstotheserestrictionsmayberequestedforexigentcircumstancesandaresubjecttopriorwrittenapprovalfromTallyfy.GovernmentUse.TheTallyfyAPIsare“commercialitems”asthattermisdefinedat48C.F.R.2.101,consistingof“commercialcomputersoftware”and“commercialcomputersoftwaredocumentation”assuchtermsareusedin48C.F.R.12.212.Anyuse,modification,derivative,reproduction,release,performance,display,disclosureordistributionoftheTallyfyAPIbyanygovernmententityisprohibited,exceptasexpresslypermittedbythetermsofthisAPITOS.Additionally,anyusebyU.S.governmententitiesmustbeinaccordancewith48C.F.R.12.212and48C.F.R.227.7202-1through227.7202-4.Thecontractor/manufacturerisTallyfy,Inc.,911WashingtonAvenue,Suite501,St.Louis,MO63101UnitedStates.Ownership.Asbetweenyouandus,weownallrights,title,andinterest,includingallintellectualpropertyrights,inandto,the(1)TallyfyAPIs,Documentation,andallelementsandcomponentsthereof;(2)Data;(3)TallyfyServices;and(4)BrandFeatures(collectively,the“TallyfyMaterials”).TheonlyexceptiontothisisDatathatyouasaTallyfyuserhavelicensedtoTallyfyundertheTermsofService,whichgovernsthatData.ExceptfortheexpresslicensesgrantedinthisAPITOS,Tallyfydoesnotgrantyouanyright,title,orinterestintheTallyfyMaterials.YouagreetotakesuchactionsasTallyfymayreasonablyrequesttoperfectTallyfy’srightstotheTallyfyMaterials.TermandTerminationDurationofTerms.ThisAPITOSwillgointoeffectonthedateuponwhichyouagreetothem,byaccessingorusingtheTallyfyAPI,andwillcontinueuntilterminatedassetforthherein.YourRighttoTerminate.YoumayterminatethisAPITOSbydiscontinuinguseofourAPIsandtheTallyfyService.Suspension;Termination.Wemaychange,suspendordiscontinuetheTallyfyAPIandsuspendorterminateyouruseoftheTallyfyAPI,theTallyfyService,and/orTallyfyBrandatanytimeandforanyreason,withoutnotice.Withoutlimitingtheforegoing,wemaylimityourApplication’saccesstotheTallyfyAPIifit,inoursolediscretion,maynegativelyaffectourServiceorourabilitytoprovideourService.EffectofTermination.UponterminationofthisAPITOS:Allrightsandlicensesgrantedtoyouwillterminateimmediately;YouwillpromptlydestroyDocumentationandanyotherTallyfyinformationinyourpossessionorcontrolthatwasreceivedunderthisAPITOS;UnlessweagreeotherwiseinwritingorasstatedinthisAPITOS,youmustpermanentlydeleteallDataandotherinformationthatyoustoredpursuanttoyouruseoftheTallyfyAPIs.Tallyfymayrequestthatyoucertifyinwritingyourcompliancewiththissection;andTallyfywillmakecommerciallyreasonableeffortstoremoveallreferencesandlinkstoyourApplicationfromitsServices(Tallyfyhasnootherobligationtodeletecopiesof,referencesto,orlinkstoyourApplication).ThefollowingsectionsofthisAPITOSshallsurviveanytermination,Sections4(“UseoftheAPIsandTallyfyData”),5(“UseofTallyfyBrandorMarks”),6.4(“DeleteatUserRequest”),6.5(“DeletionatTermination”),7(“YourUserAgreementandPrivacyPolicy”),8(“SecurityMeasures”),11(“Ownership”),12(“TermandTermination”),13(“OtherImportantTerms”),14(“DisclaimerofWarranties;LimitationofLiability;Indemnity”),15(“DisputeResolution”)and16(“GeneralLegalTerms”).OtherImportantTerms.LegalRepresentations.YourepresentandwarranttoTallyfythat,excludingTallyfyMaterials,youhavetherighttouse,reproduce,transmit,copy,publiclydisplay,publiclyperform,anddistributeyourApplication,andthatuseofyourApplicationbyTallyfyanditsuserswillnotviolatetherightsofanythirdparty(e.g.,copyright,patent,trademark,privacy,publicityorotherproprietaryrightofanypersonorentity),oranyapplicableregulationorlaw,includingtheDigitalMillenniumCopyrightAct,thelawsofanycountryinwhichyourApplicationismadeavailableandanyapplicableexportlaws.ModificationoftheAPITOS.Wemaychange,addtoordeletethisAPITOSoranyportionthereoffromtimetotimeinoursolediscretion.IfwemakeamaterialchangetothisAPITOs,wewillprovideyouwithreasonablenoticepriortothechangeseitherbyemailingtheemailaddressassociatedwithyouraccountorbypostinganoticeontheDeveloperSite.Youacknowledgethattheseupdatesandmodificationsmayadverselyimpacthowyouaccess,use,andcommunicatewiththeTallyfyAPI.Ifanychangeinunacceptabletoyou,thenyouronlyrecourseistoceasealluseoftheTallyfyAPI.YourcontinuedaccessoruseoftheTallyfyAPIwillmeanthatyouagreetotheupdatesandmodifications.OtherApplicableAgreements.YouandyourApplicationmustalsocomplywiththefollowing,whichareherebyincorporatedbyreference:TallyfyTermsofServiceforUsersandCustomers.TallyfyPrivacyPolicyTallyfyBrandGuidelines(availableonrequest)Intheeventofanyconflictbetweenthecontentinthisdocumentandtheabovedocuments,thisdocumentcontrolsyouruseoftheTallyfyAPIs.DisclaimerofWarranties;LimitationofLiability;IndemnityNOWARRANTIES.THETALLYFYAPIANDALLRELATEDCOMPONENTSANDINFORMATIONAREPROVIDEDONAN“ASIS”AND“ASAVAILABLE”BASISWITHOUTANYWARRANTIESOFANYKIND,ANDTallyfyEXPRESSLYDISCLAIMSANYANDALLWARRANTIES,WHETHEREXPRESSORIMPLIED,INCLUDING,BUTNOTLIMITEDTO,THEIMPLIEDWARRANTIESOFMERCHANTABILITY,TITLE,FITNESSFORAPARTICULARPURPOSE,ANDNON-INFRINGEMENT.YOUACKNOWLEDGETHATTALLYFYDOESNOTWARRANTTHATTHETallyfyAPIWILLBEUNINTERRUPTED,TIMELY,SECURE,ERROR-FREEORVIRUS-FREE,NORDOESITMAKEANYWARRANTYASTOTHERESULTSTHATMAYBEOBTAINEDFROMUSEOFTHETALLYFYAPI,ANDNOINFORMATION,ADVICEORSERVICESOBTAINEDBYYOUFROMTALLYFYORTHROUGHTHEDEVELOPERSITESHALLCREATEANYWARRANTYNOTEXPRESSLYSTATEDINTHISAPITOS.LIMITATIONONLIABILITY.UNDERNOCIRCUMSTANCESANDUNDERNOLEGALTHEORY(WHETHERINCONTRACT,TORT,OROTHERWISE)SHALLTALLYFYBELIABLETOYOUORANYTHIRDPARTYFOR(A)ANYINDIRECT,INCIDEN
