orindividualusingtheService("Customer").ThisAgreementgovernsCustomer accesstoanduseofGoogleFirebasePaidServices(the"PaidServices," identifiedathttps://firebase.google.com/terms)andiseffectiveasofthe dateCustomerclickstoaccepttheAgreement(the"EffectiveDate").BY CLICKINGTHE"IACCEPT"BUTTON,COMPLETINGTHEREGISTRATIONPROCESS,ORUSING THESERVICE,YOUACKNOWLEDGETHAT(I)YOUHAVEREVIEWEDANDACCEPTTHIS AGREEMENT,(II)AREAUTHORIZEDTOACTONBEHALFOF,ANDBINDTOTHISAGREEMENT, THEOWNEROFTHISSERVICEACCOUNT,AND(III)YOURUSEOFTHEPAIDSERVICESIS FORCOMMERCIAL/BUSINESSPURPOSESONLYANDNOTFORCONSUMERUSE.Ifyoudonot havethelegalauthoritytoenterthisAgreement,donotunderstandthis Agreement,ordon'tagreetoanyofitsterms,pleasedonotclicktoaccept, orusethePaidServices.Inconsiderationoftheforegoing,thepartiesagree asfollows: 1.ProvisionofthePaidServices 1.1:ThePaidServicesareservicesprovidedbyGoogleusingtheGoogleCloud Platformasanunderlyingprovisioningandbillingframework.ThisAgreement doesnotgovernCustomer'sdirectuseofanyGoogleCloudPlatformservicethat isgovernedbytheGoogleCloudPlatformTermsofServiceorthatissubjectto aseparateGoogleCloudPlatformSKU. 1.2:NewApplicationsandServices.Googlemaymakenewapplications,tools, featuresorfunctionalityrelatedtothePaidServicesavailablefromtimeto timetheuseofwhichmaybecontingentuponCustomer'sagreementtoadditional terms. 1.3:ChangestotheServices.GooglemaymakechangestothePaidServicesat anytime. 1.4:ChangestothisAgreement.GooglemaymakechangestothisAgreement, includingFees(andanylinkeddocuments)fromtimetotime.Googlewillpost anychangestothisAgreementtofirebase.google.com/terms,andallchanges willbeeffectiveimmediatelyafterposting.GoogleadvisesCustomertoreview thelatestversionoftheAgreementatfirebase.google.com/termspriortousing thePaidServicestostayinformedofthemostcurrentAgreementterms applicabletosuchuse.Theforegoingnotwithstanding,unlessotherwisenoted byGoogle,materialchangestotheAgreementwillbecomeeffective14days aftertheyarepostedtofirebase.google.com/terms,exceptifthechangesapply tonewfunctionalityorarerequiredbyapplicablelawinwhichcasetheywill beeffectiveimmediatelyaftertheyarepostedtofirebase.google.com/terms.If CustomerdoesnotagreetoanychangestotheAgreement,Customerwillstop usingthePaidServices.AnyuseofthePaidServicesafterthepostingand effectivedateofanychangestotheAgreementtofirebase.google.com/terms willconstituteCustomer'sacceptanceoftheAgreementasmodified. 1.5:DataLocation.ForcertainPaidServices,Customermayselecttheregion(s) CustomerDatawillbestored("DataLocationSelection"),andGooglewillstore thatCustomerDataatrestintheselectedregion(s).TheDataLocation SelectiondoesnotlimitthelocationsfromwhichCustomerorCustomerEndUsers mayaccessCustomerDataortowhichtheymaymoveCustomerDataandmaynot applytoCustomerDatausedwithotherGoogleproductsorservices.Forpurposes ofthissection,CustomerDatadoesnotincluderesourceidentifiers, attributes,orotherdatalabels.IfaDataLocationSelectionisnotavailable forthePaidServices(oraDataLocationSelectionisnotmadebyCustomerwith respecttoanyCustomerData),GooglemayprocessandstoretheCustomerData anywhereGoogleoritsagentsmaintainfacilities. 1.6:TransientStorage.CustomerDatamaybestoredtransientlyorcachedin anycountryinwhichGoogleoritsagentsmaintainfacilities. 1.7:SLA.TheServiceLevelAgreementsforGoogleFirebaseservices,if applicable,includingthePaidServices,aresetforthat https://firebase.google.com/terms/service-level-agreement. 2.PaymentsTerms 2.1:FreeQuota.CertainServicesareprovidedtoCustomerwithoutchargeupto theFeeThreshold,asapplicable. 2.2:OnlineBilling.AttheendoftheapplicableFeeAccrualPeriod,Google willissueanelectronicbilltoCustomerforallchargesaccruedbasedon(i) Customer'suseoftheServicesduringthepreviousFeeAccrualPeriod (including,ifany,therelevantFeeforTSSsetforthintheFeesdefinition below),and/or(ii)anyPackagePurchasesselected.ForuseabovetheFee Threshold,CustomerwillberesponsibleforallFeesuptotheamountsetin theAccountandwillpayallFeesinthecurrencysetforthintheinvoice. CustomerwillpayallFeesinaccordancewiththepaymenttermsapplicableto theFees.Google'smeasurementofCustomer'suseoftheServicesisfinal. Googlehasnoobligationtoprovidemultiplebills. 2.3:Taxes.CustomerisresponsibleforanyTaxes,andCustomerwillpayGoogle forthePaidServiceswithoutanyreductionfortaxes.IfGoogleisobligated tocollectorpayTaxes,theTaxeswillbeinvoicedtoCustomer,unless CustomerprovidesGooglewithatimelyandvalidtaxexemptioncertificate authorizedbytheappropriatetaxingauthority.Insomestatesthesalestaxis dueonthetotalpurchasepriceatthetimeofsaleandmustbeinvoicedand collectedatthetimeofthesale.IfCustomerisrequiredbylawtowithhold anytaxesfromitspaymentstoGoogle,CustomermustprovideGooglewithan officialtaxreceiptorotherappropriatedocumentationtosupportsuch withholding. 2.4:InvoiceDisputes&Refunds.Tothefullestextentpermittedbylaw, CustomerwaivesallclaimsrelatingtoFeesunlessclaimedwithinsixtydays aftercharged(thisdoesnotaffectanyCustomerrightswithitscreditcard issuer).Refunds(ifany)areatthediscretionofGoogleandwillonlybein theformofcreditforthePaidServices.NothinginthisAgreementobligates Googletoextendcredittoanyparty. 2.5:DelinquentPayments.Latepaymentsmaybearinterestattherateof1.5% permonth(orthehighestratepermittedbylaw,ifless).Googlereservesthe righttosuspendCustomer'sAccount,foranylatepayments. 2.6:ChangestoFees.GooglemaychangeFeesatanytime. 3.Restrictions 3.1:Compliance.CustomerissolelyresponsibleforitsCustomerDataandfor makingsureits(andendusers')useofthePaidServicescomplywiththeterms ofthisAgreement.Customerisresponsibleforensuringallenduserscomply withCustomer'sobligationsundertheAgreement. 3.2:HighRiskActivities.Customerwillnot,andwillnotallowthirdparties underitsdirectiontousethePaidServicesforHighRiskActivities. 3.3:ApplicationandNoMultipleAccountsorBills.AnyApplicationmusthave materialvalueindependentfromthePaidServices.Googlehasnoobligationto providemultiplebillsorAccountstoCustomerundertheAgreement. 4.Confidentiality. Neitherpartywilluseordisclosetheotherparty'sConfidentialInformation withouttheother'spriorwrittenconsentexceptforthepurposeofperforming itsobligationsunderthisAgreementorifrequiredbylaw,regulationorcourt order;inwhichcase,thepartybeingcompelledtodiscloseConfidential Informationwillgivetheotherpartyasmuchnoticeasisreasonably practicablepriortodisclosingtheConfidentialInformationifpermittedby law. 5.TermandTermination. 5.1:AgreementTerm.ThisAgreementwillremainineffectuntilterminatedby eitherparty.GooglereservestherighttoterminatethisAgreementwith Customerforanyreasonandatanytimewithoutliabilityorotherobligation toyou. 5.2:TerminationofServices.CustomermaystopusingthePaidServicesatany time.GooglemaydiscontinuethePaidServicesoranyportionorfeaturefor anyreasonatanytimewithoutliabilitytoCustomer,exceptaslimitedinany applicabledeprecationpolicy. 5.3:EffectofTermination.IftheAgreementexpiresoristerminated,then: (i)therightsgrantedbyonepartytotheotherwillimmediatelycease;(ii) allFees(includingTaxes)owedbyCustomertoGoogleareimmediatelydueupon receiptofthefinalinvoice;(iii)CustomerwillceasealluseofthePaid Services;(iv)uponrequest,eachpartywillusecommerciallyreasonable effortstoreturnordestroyallConfidentialInformationoftheotherparty. 6.Disclaimer. EXCEPTASEXPRESSLYPROVIDEDFORHEREIN,TOTHEMAXIMUMEXTENTPERMITTEDBY APPLICABLELAW,GOOGLEANDITSSUPPLIERSDONOTMAKEANYWARRANTYOFANYKIND RELATEDTOTHEPAIDSERVICES,WHETHEREXPRESS,IMPLIED,STATUTORYOROTHERWISE, INCLUDINGWITHOUTLIMITATIONWARRANTIESOFMERCHANTABILITY,FITNESSFORA PARTICULARUSEANDNONINFRINGEMENT.GOOGLEANDITSSUPPLIERSARENOT RESPONSIBLEORLIABLEFORTHEDELETIONOFORFAILURETOSTOREANYCUSTOMERDATA ANDOTHERCOMMUNICATIONSMAINTAINEDORTRANSMITTEDTHROUGHUSEOFTHEPAID SERVICES.CUSTOMERISSOLELYRESPONSIBLEFORSECURINGANDBACKINGUPITS APPLICATION,PROJECT,ANDCUSTOMERDATA.NEITHERGOOGLE,NORITSSUPPLIERSOR LICENSEES,WARRANTTHATTHEOPERATIONOFTHEPAIDSERVICESWILLBEERROR-FREE, MALWARE-FREE,ORUNINTERRUPTED.THEPAIDSERVICESARENOTDESIGNED, MANUFACTURED,ORINTENDEDFORHIGHRISKACTIVITIES. 7.LimitationofLiability. 7.1:LimitationonIndirectLiability.TOTHEMAXIMUMEXTENTPERMITTEDBY APPLICABLELAWNEITHERGOOGLENORGOOGLE'SSUPPLIERS,WILLBELIABLEUNDERTHIS AGREEMENTFORLOSTREVENUESORINDIRECT,SPECIAL,INCIDENTAL,CONSEQUENTIAL, EXEMPLARY,ORPUNITIVEDAMAGES,EVENIFGOOGLEORITSSUPPLIERSKNEWORSHOULD HAVEKNOWNTHATSUCHDAMAGESWEREPOSSIBLEANDEVENIFDIRECTDAMAGESDONOT SATISFYAREMEDY. 7.2:LimitationonAmountofLiability.TOTHEMAXIMUMEXTENTPERMITTEDBY APPLICABLELAW,NEITHERGOOGLENORGOOGLE'SSUPPLIERS,MAYBEHELDLIABLEUNDER THISAGREEMENTFORMORETHANTHEAMOUNTPAIDBYCUSTOMERTOGOOGLEFORUSEOF THEPAIDSERVICESDURINGTHESIX(6)MONTHSPRIORTOTHEEVENTGIVINGRISETO LIABILITY. 7.3:INALLCASES,GOOGLE,ANDITSSUPPLIERSANDDISTRIBUTORS,WILLNOTBE LIABLEFORANYEXPENSE,LOSS,ORDAMAGETHATISNOTREASONABLYFORESEEABLE. 7.4:Indemnification.CustomerwilldefendandindemnifyGoogleandits Affiliates,officers,directors,andemployeesagainstallliabilities, damages,losses,costs,fees(includinglegalfees),andexpensesrelatingto anyallegationorthird-partylegalproceedingtotheextentarisingfrom:(i) anyApplication,Project,Instance,orCustomerData;or(ii)Customer's,or itsendusers',useofthePaidServices.GoogleanditsAffiliates,officers, directors,andemployeesreservetheright,attheirownexpense,toassumethe exclusivedefenseandcontrolofanymattersubjecttoindemnificationby Customer. 7.5:Remedies. 7.5.1:IfGooglereasonablybelievesthePaidServicesmightinfringeathird party'sIntellectualPropertyRights,thenGooglemay,atitssoleoptionand expense:(a)procuretherightforCustomertocontinueusingthePaid Services;(b)modifythePaidServicestomakeitnon-infringingwithout materiallyreducingtheirfunctionality;or(c)replacethePaidServiceswith anon-infringing,functionallyequivalentalternative. 7.5.2:IfGoogledoesnotbelievetheremediesinSection7.5.1are commerciallyreasonable,thenGooglemaysuspendorterminateCustomer'suseof thePaidServices. 7.6:SoleRightsandObligations.Withoutaffectingeitherparty'stermination rights,thisSection7statestheparties'onlyrightsandobligationsunder thisAgreementforIntellectualPropertyRights-relatedAllegationsand third-partylegalproceedings. 8.U.S.FederalAgencyUsers. ThePaidServicesweredevelopedsolelyatprivateexpenseandarecommercial computersoftwareandrelateddocumentationwithinthemeaningofthe applicableFederalAcquisitionRegulationandagencysupplementsthereto. 9.Miscellaneous 9.1:Assignment.NeitherpartymayassignanypartofthisAgreementwithout thewrittenconsentoftheother,excepttoanAffiliatewhere:(a)the assigneehasagreedinwritingtobeboundbythetermsofthisAgreement;(b) theassigningpartyremainsliableforobligationsundertheAgreementifthe assigneedefaultsonthem;and(c)theassigningpartyhasnotifiedtheother partyoftheassignment.Anyotherattempttoassignisvoid. 9.2:ChangeofControl.IfapartyexperiencesachangeofControl(for example,throughastockpurchaseorsale,merger,orotherformofcorporate transaction):(a)thatpartywillgivewrittennoticetotheotherpartywithin thirty(30)daysafterthechangeofControl;and(b)theotherpartymay immediatelyterminatethisAgreementanytimebetweenthechangeofControland thirtydaysafteritreceivesthatwrittennotice. 9.3:ForceMajeure.Neitherpartywillbeliableforfailureordelayin performancetotheextentcausedbycircumstancesbeyonditsreasonablecontrol. 9.4:NoWaiver.Neitherpartywillbetreatedashavingwaivedanyrightsby notexercising(ordelayingtheexerciseof)anyrightsunderthisAgreement. 9.5:Severability.Ifanyterm(orpartofaterm)ofthisAgreementis invalid,illegalorunenforceable,therestoftheAgreementwillremainin effect. 9.6:Survival.InadditiontothesurvivalofanytermsunderSection8ofthe GoogleAPITermsofService,the followingSectionsofthisGoogleFirebasePaidServicesAgreementwillsurvive expirationorterminationofthisAgreement:2,4,5.3,6,7,and9. 9.7:EntireAgreement.ThisAgreementsetsoutalltermsagreedbetweenthe partiesandsupersedesallotheragreementsbetweenthepartiesrelatingtoits subjectmatter.InenteringintothisAgreement,neitherpartyhasreliedon, andneitherpartywillhaveanyrightorremedybasedon,anystatement, representationorwarranty(whethermadenegligentlyorinnocently),except thoseexpresslysetoutinthisAgreement.ThetermslocatedataURL referencedinthisAgreementandtheDocumentationareincorporatedby referenceintotheAgreement.AftertheEffectiveDate,Googlemayprovidean updatedURLinplaceofanyURLinthisAgreement. 9.8:Definitions. "Account"meansCustomer'sGoogle-authorizedandapprovedaccounttousethe PaidServices. "AdminConsole"meanstheonlineconsole(s)and/ortool(s)providedbyGoogle toCustomerforadministeringthePaidServices. "Affiliate"meansanyentitythatdirectlyorindirectlyControls,is Controlledby,orisundercommonControlwithaparty. "Allegation"meansanunaffiliatedthirdparty'sallegation. "Application(s)"meansanyweborotherapplicationCustomercreatesusingthe PaidServices,includinganyCustomer-writtensourcecodetobehostedinan InstanceorusedwiththePaidServices. "ConfidentialInformation"meansinformationthatoneparty(oranAffiliate) disclosestotheotherpartyunderthisAgreement,andwhichismarkedas confidentialorwouldnormallyunderthecircumstancesbeconsidered confidentialinformation.Itdoesnotincludeinformationthatisindependently developedbytherecipient,isrightfullygiventotherecipientbyathird partywithoutconfidentialityobligations,orbecomespublicthroughnofault oftherecipient.Subjecttotheprecedingsentence,CustomerDatais consideredCustomer'sConfidentialInformation. "Control"meanscontrolofgreaterthanfiftypercentofthevotingrightsor equityinterestsofaparty. "CustomerData"meanscontentprovidedtoGooglebyCustomer(oratits direction)viathePaidServices. "Documentation"meanstheGoogledocumentation(asmaybeupdatedfromtimeto time)intheformgenerallymadeavailablebyGoogletoitscustomersforuse ofthePaidServices(includinganyrelatedinformationprovidedviaemail). "EndUsers"meanstheindividualsthatCustomerpermitstouseanApplication orotherservicesfromCustomerusingthePaidServices. "Fees"meanstheapplicablefeesforeachServiceandanyapplicableTaxes.The FeesforeachServicearesetforthhere: https://firebase.google.com/pricing/. "FeeAccrualPeriod"meansacalendarmonthoranotherperiodspecifiedby GoogleintheAdminConsole. "FeeThreshold"meansthethreshold(asmaybeupdatedfromtimetotime),as applicableforcertainPaidServices,assetforth here:https://firebase.google.com/pricing/. "Google"hasthemeaninggivenat https://cloud.google.com/terms/google-entity. "HighRiskActivities"meansusessuchastheoperationofnuclearfacilities, airtrafficcontrol,orlifesupportsystems,wheretheuseorfailureofthe Servicescouldleadtodeath,personalinjury,orenvironmentaldamage. "Instance"meansavirtualmachineinstance,configuredandmanagedbyCustomer. "IntellectualPropertyRights"meanscurrentandfutureworldwiderightsunder patent,copyright,tradesecret,trademark,ormoralrightslaws,andother similarrights. "PackagePurchase"meansCustomer'scommitmenttopurchaseaspecifiedpackage ofthePaidServicesoveraspecifiedperiodoftime,whetherCustomeruses thosePaidServicesornot.APackagePurchasemaybemadeusingtheAdmin Consoleorotherapplicableorderingdocument. "Project"meansagroupingofcomputing,storage,andAPIresourcesfor Customer,andviawhichCustomermayusethePaidServices. "Taxes"meansanyduties,customsfees,ortaxes(otherthanGoogle'sincome tax)associatedwiththepurchaseoftheServices,includinganyrelated penaltiesorinterest. "TSS"meansthetechnicalsupportserviceprovidedbyGoogletoCustomerunder anyapplicabledocumentationprovidedbyGoogle. 10.RegionalTerms. CustomeragreestothefollowingmodificationstotheAgreementifCustomer ordersServicesfromtheapplicableGoogleentityasdescribedbelow: AsiaPacific—Indonesia PTGoogleCloudIndonesia Anewsection5.4isadded: 5.4.Terminationwaiver.Thepartiesagreetowaiveanyprovisionsunder anyapplicablelawstotheextentthatacourtdecisionsororderis requiredforthecancellationofthisAgreement. AnewSection9.8.(ConflictingLanguage)isadded: 9.8.ConflictingLanguages.ThisAgreementismadeintheIndonesianand theEnglishlanguage.Bothversionsareequallyauthentic.Intheevent ofanyinconsistencyordifferentinterpretationbetweentheIndonesian versionandtheEnglishversion,thepartiesagreetoamendthe IndonesianversiontomaketherelevantpartoftheIndonesianversion consistentwiththerelevantpartoftheEnglishversion.
