Section1:AccountandRegistration a.AcceptingtheTerms YoumaynotusetheAPIsandmaynotaccepttheTermsif(a)youarenotof legalagetoformabindingcontractwithGoogle,or(b)youareapersonbarred fromusingorreceivingtheAPIsundertheapplicablelawsoftheUnitedStates orothercountriesincludingthecountryinwhichyouareresidentorfromwhich youusetheAPIs. b.EntityLevelAcceptance IfyouareusingtheAPIsonbehalfofanentity,yourepresentandwarrantthat youhaveauthoritytobindthatentitytotheTermsandbyacceptingtheTerms, youaredoingsoonbehalfofthatentity(andallreferencesto"you"inthe Termsrefertothatentity). c.Registration InordertoaccesscertainAPIsyoumayberequiredtoprovidecertain information(suchasidentificationorcontactdetails)aspartofthe registrationprocessfortheAPIs,oraspartofyourcontinueduseoftheAPIs. AnyregistrationinformationyougivetoGooglewillalwaysbeaccurateandup todateandyou'llinformuspromptlyofanyupdates. d.SubsidiariesandAffiliates Googlehassubsidiariesandaffiliatedlegalentitiesaroundtheworld.These companiesmayprovidetheAPIstoyouonbehalfofGoogleandtheTermswill alsogovernyourrelationshipwiththesecompanies. Section2:UsingOurAPIs a.YourEndUsers Youwillrequireyourenduserstocomplywith(andnotknowinglyenablethemto violate)applicablelaw,regulation,andtheTerms. b.CompliancewithLaw,ThirdPartyRights,andOtherGoogleTermsofService Youwillcomplywithallapplicablelaw,regulation,andthirdpartyrights (includingwithoutlimitationlawsregardingtheimportorexportofdataor software,privacy,andlocallaws).YouwillnotusetheAPIstoencourageor promoteillegalactivityorviolationofthirdpartyrights.Youwillnot violateanyothertermsofservicewithGoogle(oritsaffiliates). c.PermittedAccess Youwillonlyaccess(orattempttoaccess)anAPIbythemeansdescribedinthe documentationofthatAPI.IfGoogleassignsyoudevelopercredentials(e.g. clientIDs),youmustusethemwiththeapplicableAPIs.Youwillnot misrepresentormaskeitheryouridentityoryourAPIClient'sidentitywhen usingtheAPIsordeveloperaccounts. d.APILimitations GooglesetsandenforceslimitsonyouruseoftheAPIs(e.g.limitingthe numberofAPIrequeststhatyoumaymakeorthenumberofusersyoumayserve), inoursolediscretion.Youagreeto,andwillnotattempttocircumvent,such limitationsdocumentedwitheachAPI.IfyouwouldliketouseanyAPIbeyond theselimits,youmustobtainGoogle'sexpressconsent(andGooglemaydecline suchrequestorconditionacceptanceonyouragreementtoadditionalterms and/orchargesforthatuse).Toseeksuchapproval,contacttherelevantGoogle APIteamforinformation(e.g.byusingtheGoogledevelopersconsole). e.OpenSourceSoftware SomeofthesoftwarerequiredbyorincludedinourAPIsmaybeofferedunderan opensourcelicense.Opensourcesoftwarelicensesconstituteseparatewritten agreements.ForcertainAPIs,opensourcesoftwareislistedinthe documentation.Tothelimitedextenttheopensourcesoftwarelicenseexpressly supersedestheTerms,theopensourcelicenseinsteadsetsforthyouragreement withGooglefortheapplicableopensourcesoftware. f.CommunicationwithGoogle WemaysendyoucertaincommunicationsinconnectionwithyouruseoftheAPIs. PleasereviewtheapplicableAPIdocumentationforinformationaboutoptingout ofcertaintypesofcommunication. g.Feedback IfyouprovidefeedbackorsuggestionsaboutourAPIs,thenwe(andthosewe allow)mayusesuchinformationwithoutobligationtoyou. h.Non-Exclusivity TheTermsarenon-exclusive.YouacknowledgethatGooglemaydevelopproductsor servicesthatmaycompetewiththeAPIClientsoranyotherproductsor services. i.GoogleController-ControllerDataProtectionTerms Totheextentrequiredbydataprotectionlawsapplicabletotheparties' processingofpersonaldataundertheseTerms,thepartiesagreetothe GoogleController-ControllerDataProtectionTerms. Section3:YourAPIClients a.APIClientsandMonitoring TheAPIsaredesignedtohelpyouenhanceyourwebsitesandapplications("API Client(s)").YOUAGREETHATGOOGLEMAYMONITORUSEOFTHEAPISTOENSURE QUALITY,IMPROVEGOOGLEPRODUCTSANDSERVICES,ANDVERIFYYOURCOMPLIANCEWITH THETERMS.ThismonitoringmayincludeGoogleaccessingandusingyourAPI Client,forexampletoidentifysecurityissuesthatcouldaffectGoogleorits users.Youwillnotinterferewiththismonitoring.Googlemayuseanytechnical meanstoovercomesuchinterference.GooglemaysuspendaccesstotheAPIsby youoryourAPIClientwithoutnoticeifwereasonablybelievethatyouarein violationoftheTerms. b.Security Youwillusecommerciallyreasonableeffortstoprotectuserinformation collectedbyyourAPIClient,includingpersonaldata,fromunauthorizedaccessoruseandwillpromptlyreporttoyourusers anyunauthorizedaccessoruseofsuchinformationtotheextentrequiredby applicablelaw. c.Ownership GoogledoesnotacquireownershipinyourAPIClients,andbyusingourAPIs, youdonotacquireownershipofanyrightsinourAPIsorthecontentthatis accessedthroughourAPIs. d.UserPrivacyandAPIClients Youwillcomplywith(1)allapplicableprivacylawsandregulationsincluding thoseapplyingtopersonaldataand(2)the GoogleAPIServicesUserDataPolicy, whichgovernsyouruseoftheAPIswhenyourequestaccesstoGoogleuser information.YouwillprovideandadheretoaprivacypolicyforyourAPIClient thatclearlyandaccuratelydescribestousersofyourAPIClientwhatuser informationyoucollectandhowyouuseandsharesuchinformation(including foradvertising)withGoogleandthirdparties. Section4:ProhibitionsandConfidentiality a.APIProhibitions WhenusingtheAPIs,youmaynot(orallowthoseactingonyourbehalfto): SublicenseanAPIforusebyathirdparty.Consequently,youwillnot createanAPIClientthatfunctionssubstantiallythesameastheAPIsand offeritforusebythirdparties. PerformanactionwiththeintentofintroducingtoGoogleproductsand servicesanyviruses,worms,defects,Trojanhorses,malware,oranyitems ofadestructivenature. Defame,abuse,harass,stalk,orthreatenothers. InterferewithordisrupttheAPIsortheserversornetworksprovidingthe APIs. Promoteorfacilitateunlawfulonlinegamblingordisruptivecommercial messagesoradvertisements. ReverseengineerorattempttoextractthesourcecodefromanyAPIorany relatedsoftware,excepttotheextentthatthisrestrictionisexpressly prohibitedbyapplicablelaw. UsetheAPIsforanyactivitieswheretheuseorfailureoftheAPIscould leadtodeath,personalinjury,orenvironmentaldamage(suchasthe operationofnuclearfacilities,airtrafficcontrol,orlifesupport systems). UsetheAPIstoprocessorstoreanydatathatissubjecttothe InternationalTrafficinArmsRegulationsmaintainedbytheU.S.Department ofState. Remove,obscure,oralteranyGoogletermsofserviceoranylinkstoor noticesofthoseterms. UnlessotherwisespecifiedinwritingbyGoogle,Googledoesnotintenduseof theAPIstocreateobligationsundertheHealthInsurancePortabilityand AccountabilityAct,asamended("HIPAA"),andmakesnorepresentationsthatthe APIssatisfyHIPAArequirements.Ifyouare(orbecome)a"coveredentity"or "businessassociate"asdefinedinHIPAA,youwillnotusetheAPIsforany purposeorinanymannerinvolvingtransmittingprotectedhealthinformationto GoogleunlessyouhavereceivedpriorwrittenconsenttosuchusefromGoogle. b.ConfidentialMatters Developercredentials(suchaspasswords,keys,andclientIDs)areintended tobeusedbyyouandidentifyyourAPIClient.Youwillkeepyour credentialsconfidentialandmakereasonableeffortstopreventand discourageotherAPIClientsfromusingyourcredentials.Developer credentialsmaynotbeembeddedinopensourceprojects. OurcommunicationstoyouandourAPIsmaycontainGoogleconfidential information.Googleconfidentialinformationincludesanymaterials, communications,andinformationthataremarkedconfidentialorthatwould normallybeconsideredconfidentialunderthecircumstances.Ifyoureceive anysuchinformation,thenyouwillnotdiscloseittoanythirdparty withoutGoogle'spriorwrittenconsent.Googleconfidentialinformationdoes notincludeinformationthatyouindependentlydeveloped,thatwas rightfullygiventoyoubyathirdpartywithoutconfidentialityobligation, orthatbecomespublicthroughnofaultofyourown.YoumaydiscloseGoogle confidentialinformationwhencompelledtodosobylawifyouprovideus reasonablepriornotice,unlessacourtordersthatwenotreceivenotice. Section5:Content a.ContentAccessibleThroughourAPIs OurAPIscontainsomethirdpartycontent(suchastext,images,videos,audio, orsoftware).Thiscontentisthesoleresponsibilityofthepersonthatmakes itavailable.Wemaysometimesreviewcontenttodeterminewhetheritisillegal orviolatesourpoliciesortheTerms,andwemayremoveorrefusetodisplay content.Finally,contentaccessiblethroughourAPIsmaybesubjectto intellectualpropertyrights,and,ifso,youmaynotuseitunlessyouare licensedtodosobytheownerofthatcontentorareotherwisepermittedby law.YouraccesstothecontentprovidedbytheAPImayberestricted,limited, orfilteredinaccordancewithapplicablelaw,regulation,andpolicy. b.SubmissionofContent SomeofourAPIsallowthesubmissionofcontent.Googledoesnotacquireany ownershipofanyintellectualpropertyrightsinthecontentthatyousubmitto ourAPIsthroughyourAPIClient,exceptasexpresslyprovidedintheTerms.For thesolepurposeofenablingGoogletoprovide,secure,andimprovetheAPIs (andtherelatedservice(s))andonlyinaccordancewiththeapplicableGoogle privacypolicies,yougiveGoogleaperpetual,irrevocable,worldwide, sublicensable,royalty-free,andnon-exclusivelicensetoUsecontentsubmitted, posted,ordisplayedtoorfromtheAPIsthroughyourAPIClient."Use"means use,host,store,modify,communicate,andpublish.Beforeyousubmitcontentto ourAPIsthroughyourAPIClient,youwillensurethatyouhavethenecessary rights(includingthenecessaryrightsfromyourendusers)tograntusthe license. c.Retrievalofcontent Whenauser'snon-publiccontentisobtainedthroughtheAPIs,youmaynot exposethatcontenttootherusersortothirdpartieswithoutexplicitopt-in consentfromthatuser. d.DataPortability Googlesupportsdataportability.Foraslongasyouuseorstoreanyuserdata thatyouobtainedthroughtheAPIs,youagreetoenableyouruserstoexport theirequivalentdatatootherservicesorapplicationsoftheirchoiceinaway that'ssubstantiallyasfastandeasyasexportingsuchdatafromGoogle productsandservices,subjecttoapplicablelaws,andyouagreethatyouwill notmakethatdataavailabletothirdpartieswhodonotalsoabidebythis obligation. e.ProhibitionsonContent Unlessexpresslypermittedbythecontentownerorbyapplicablelaw,youwill not,andwillnotpermityourendusersorothersactingonyourbehalfto,do thefollowingwithcontentreturnedfromtheAPIs: Scrape,builddatabases,orotherwisecreatepermanentcopiesofsuch content,orkeepcachedcopieslongerthanpermittedbythecacheheader; Copy,translate,modify,createaderivativeworkof,sell,lease,lend, convey,distribute,publiclydisplay,orsublicensetoanythirdparty; Misrepresentthesourceorownership;or Remove,obscure,oralteranycopyright,trademark,orotherproprietary rightsnotices;orfalsifyordeleteanyauthorattributions,legalnotices, orotherlabelsoftheoriginorsourceofmaterial. Section6:BrandFeatures;Attribution a.BrandFeatures "BrandFeatures"isdefinedasthetradenames,trademarks,servicemarks, logos,domainnames,andotherdistinctivebrandfeaturesofeachparty.Except whereexpresslystated,theTermsdonotgranteitherpartyanyright,title,or interestinortotheotherparty'sBrandFeatures.AllusebyyouofGoogle's BrandFeatures(includinganygoodwillassociatedtherewith)willinuretothe benefitofGoogle. b.Attribution Youagreetodisplayanyattribution(s)requiredbyGoogleasdescribedinthe documentationfortheAPI.Googleherebygrantstoyouanontransferable, nonsublicenseable,nonexclusivelicensewhiletheTermsareineffecttodisplay Google'sBrandFeaturesforthepurposeofpromotingoradvertisingthatyouuse theAPIs.YoumustonlyusetheGoogleBrandFeaturesinaccordancewiththe TermsandforthepurposeoffulfillingyourobligationsunderthisSection.In usingGoogle'sBrandFeatures,youmustfollowtheGoogleBrandFeaturesUse Guidelines.Youunderstand andagreethatGooglehasthesolediscretiontodeterminewhetheryour attribution(s)anduseofGoogle'sBrandFeaturesareinaccordancewiththe aboverequirementsandguidelines. c.Publicity YouwillnotmakeanystatementregardingyouruseofanAPIwhichsuggests partnershipwith,sponsorshipby,orendorsementbyGooglewithoutGoogle's priorwrittenapproval. d.PromotionalandMarketingUse Inthecourseofpromoting,marketing,ordemonstratingtheAPIsyouareusing andtheassociatedGoogleproducts,Googlemayproduceanddistributeincidental depictions,includingscreenshots,video,orothercontentfromyourAPIClient, andmayuseyourcompanyorproductname.Yougrantusallnecessaryrightsfor theabovepurposes. Section7:PrivacyandCopyrightProtection a.GooglePrivacyPolicies ByusingourAPIs,Googlemayusesubmittedinformationinaccordancewithour privacypolicies. b.GoogleDMCAPolicy Weprovideinformationtohelpcopyrightholdersmanagetheirintellectual propertyonline,butwecan'tdeterminewhethersomethingisbeingusedlegally ornotwithouttheirinput.Werespondtonoticesofallegedcopyright infringementandterminateaccountsofrepeatinfringersaccordingtothe processsetoutintheU.S.DigitalMillenniumCopyrightAct.Ifyouthink somebodyisviolatingyourcopyrightsandwanttonotifyus,youcanfind informationaboutsubmittingnoticesandGoogle'spolicyaboutrespondingto noticesinourHelpCenter. Section8:Termination a.Termination YoumaystopusingourAPIsatanytimewithorwithoutnotice.Further,ifyou wanttoterminatetheTerms,youmustprovideGooglewithpriorwrittennotice andupontermination,ceaseyouruseoftheapplicableAPIs.Googlereservesthe righttoterminatetheTermswithyouordiscontinuetheAPIsoranyportionor featureoryouraccesstheretoforanyreasonandatanytimewithoutliability orotherobligationtoyou. b.YourObligationsPost-Termination UponanyterminationoftheTermsordiscontinuationofyouraccesstoanAPI, youwillimmediatelystopusingtheAPI,ceasealluseoftheGoogleBrand Features,anddeleteanycachedorstoredcontentthatwaspermittedbythe cacheheaderunderSection5.Googlemayindependentlycommunicatewithany accountownerwhoseaccount(s)areassociatedwithyourAPIClientanddeveloper credentialstoprovidenoticeoftheterminationofyourrighttouseanAPI. c.SurvivingProvisions WhentheTermscometoanend,thosetermsthatbytheirnatureareintendedto continueindefinitelywillcontinuetoapply,includingbutnotlimitedto: Sections4b,5,8,9,and10. Section9:LiabilityforourAPIs a.WARRANTIES EXCEPTASEXPRESSLYSETOUTINTHETERMS,NEITHERGOOGLENORITSSUPPLIERSOR DISTRIBUTORSMAKEANYSPECIFICPROMISESABOUTTHEAPIS.FOREXAMPLE,WEDON'T MAKEANYCOMMITMENTSABOUTTHECONTENTACCESSEDTHROUGHTHEAPIS,THESPECIFIC FUNCTIONSOFTHEAPIS,ORTHEIRRELIABILITY,AVAILABILITY,ORABILITYTOMEET YOURNEEDS.WEPROVIDETHEAPIS"ASIS". SOMEJURISDICTIONSPROVIDEFORCERTAINWARRANTIES,LIKETHEIMPLIEDWARRANTY OFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSE,ANDNON-INFRINGEMENT. EXCEPTASEXPRESSLYPROVIDEDFORINTHETERMS,TOTHEEXTENTPERMITTEDBYLAW, WEEXCLUDEALLWARRANTIES,GUARANTEES,CONDITIONS,REPRESENTATIONS,AND UNDERTAKINGS. b.LIMITATIONOFLIABILITY WHENPERMITTEDBYLAW,GOOGLE,ANDGOOGLE'SSUPPLIERSANDDISTRIBUTORS,WILL NOTBERESPONSIBLEFORLOSTPROFITS,REVENUES,ORDATA;FINANCIALLOSSES;OR INDIRECT,SPECIAL,CONSEQUENTIAL,EXEMPLARY,ORPUNITIVEDAMAGES. TOTHEEXTENTPERMITTEDBYLAW,THETOTALLIABILITYOFGOOGLE,ANDITS SUPPLIERSANDDISTRIBUTORS,FORANYCLAIMUNDERTHETERMS,INCLUDINGFORANY IMPLIEDWARRANTIES,ISLIMITEDTOTHEAMOUNTYOUPAIDUSTOUSETHEAPPLICABLE APIS(OR,IFWECHOOSE,TOSUPPLYINGYOUTHEAPISAGAIN)DURINGTHESIXMONTHS PRIORTOTHEEVENTGIVINGRISETOTHELIABILITY. INALLCASES,GOOGLE,ANDITSSUPPLIERSANDDISTRIBUTORS,WILLNOTBELIABLE FORANYEXPENSE,LOSS,ORDAMAGETHATISNOTREASONABLYFORESEEABLE. c.Indemnification Unlessprohibitedbyapplicablelaw,ifyouareabusiness,youwilldefendand indemnifyGoogle,anditsaffiliates,directors,officers,employees,andusers, againstallliabilities,damages,losses,costs,fees(includinglegalfees), andexpensesrelatingtoanyallegationorthird-partylegalproceedingtothe extentarisingfrom: yourmisuseoryourenduser'smisuseoftheAPIs; yourviolationoryourenduser'sviolationoftheTerms;or anycontentordataroutedintoorusedwiththeAPIsbyyou,thoseacting onyourbehalf,oryourendusers. Section10:GeneralProvisions a.Modification WemaymodifytheTermsoranyportionto,forexample,reflectchangestothe laworchangestoourAPIs.YoushouldlookattheTermsregularly.We'llpost noticeofmodificationstotheTermswithinthedocumentationofeachapplicable API,tothiswebsite,and/orintheGoogledevelopersconsole.Changeswillnot applyretroactivelyandwillbecomeeffectivenosoonerthan30daysafterthey areposted.ButchangesaddressingnewfunctionsforanAPIorchangesmadefor legalreasonswillbeeffectiveimmediately.Ifyoudonotagreetothemodified TermsforanAPI,youshoulddiscontinueyouruseofthatAPI.Yourcontinued useoftheAPIconstitutesyouracceptanceofthemodifiedTerms. b.U.S.FederalAgencyEntities TheAPIsweredevelopedsolelyatprivateexpenseandarecommercialcomputer softwareandrelateddocumentationwithinthemeaningoftheapplicableU.S. FederalAcquisitionRegulationandagencysupplementsthereto. c.GeneralLegalTerms WeeachagreetocontractintheEnglishlanguage.Ifweprovideatranslation oftheTerms,wedosoforyourconvenienceonlyandtheEnglishTermswill solelygovernourrelationship.TheTermsdonotcreateanythirdparty beneficiaryrightsoranyagency,partnership,orjointventure.Nothinginthe Termswilllimiteitherparty'sabilitytoseekinjunctiverelief.Wearenot liableforfailureordelayinperformancetotheextentcausedbycircumstances beyondourreasonablecontrol.IfyoudonotcomplywiththeTerms,andGoogle doesnottakeactionrightaway,thisdoesnotmeanthatGoogleisgivingupany rightsthatitmayhave(suchastakingactioninthefuture).Ifitturnsout thataparticulartermisnotenforceable,thiswillnotaffectanyotherterms. TheTermsaretheentireagreementbetweenyouandGooglerelatingtoits subjectandsupersedeanypriororcontemporaneousagreementsonthatsubject. ForinformationabouthowtocontactGoogle,pleasevisitourcontact page. IfyouareacceptingtheTermsonbehalfofaUnitedStatesfederalgovernment entity,thenthefollowingappliesinsteadoftheparagraphabove:thelawsof theUnitedStatesofAmerica,excludingitsconflictoflawsrules,willapply toanydisputesarisingoutoforrelatedtotheTermsortheAPIs.Solelyto theextentpermittedbyUnitedStatesFederallaw:(i)thelawsoftheStateof California(excludingCalifornia'sconflictoflawsrules)willapplyinthe absenceofapplicablefederallaw;and(ii)FORALLCLAIMSARISINGOUTOFOR RELATINGTOTHETERMSORTHEAPIS,THEPARTIESCONSENTTOPERSONALJURISDICTION IN,ANDTHEEXCLUSIVEVENUEOF,THECOURTSINSANTACLARACOUNTY,CALIFORNIA. IfyouareacceptingtheTermsonbehalfofaUnitedStatescity,county,or stategovernmententity,thenthefollowingappliesinsteadoftheparagraph above:thepartiesagreetoremainsilentregardinggoverninglawandvenue.
