PaymentAccount:AfinancialaccountissuedbyaPaymentProcessortoaDeveloperthatauthorisesthePaymentProcessortocollectandremitpaymentsontheDeveloper'sbehalfforProductssoldviaGooglePlay. PaymentProcessor(s):TheentityauthorisedbyGoogletoprovideservicesthatenableDeveloperswithPaymentAccountstobepaidforProductsdistributedviaGooglePlay. PlayConsole:TheGooglePlayConsoleandotheronlinetoolsorservicesprovidedbyGoogletodevelopersathttps://play.google.com/apps/publish,asmaybeupdatedfromtimetotime.ThePlayConsoleisalsoavailablethroughanapptodevelopers. Products:Software,content,digitalmaterialsandotheritemsandservicesasmadeavailablebyDevelopersviathePlayConsole. Tax:AnyFederal,stateorlocalsales,use,valueadded,goodsandservices,orothersimilartransactiontaxes.Thistermexcludestelecommunicationtaxesandsimilartaxtypes,propertytaxes,andtaxesbasedonYourincome,includingWithholdingTaxes, income,franchise,businessandoccupation,andothersimilartaxtypes. 2.AcceptingthisAgreement 2.1Thisagreement('Agreement')formsalegallybindingcontractbetweenYouandGoogleinrelationtoYouruseofGooglePlaytodistributeProducts.YouarecontractingwiththeapplicableGoogleentitybasedonwhereYouhaveselectedtodistributeYourProduct(assetforthhere).YouacknowledgethatGooglewill,solelyatYourdirection,andactingpursuanttotherelationshipidentifiedinSection3.1, displayandmakeYourProductsavailableforviewing,downloadandpurchasebyusers.InordertouseGooglePlaytodistributeProducts,YouacceptthisAgreementandwillprovideandmaintaincompleteandaccurateinformationinthePlayConsole. 2.2GooglewillnotpermitthedistributionofYourProductsthroughGooglePlay,andYoumaynotaccepttheAgreement,unlessYouareverifiedasaDeveloperingoodstanding. 2.3IfYouareagreeingtobeboundbythisAgreementonbehalfofYouremployerorotherentity,YourepresentandwarrantthatYouhavefulllegalauthoritytobindYouremployerorsuchentitytothisAgreement.IfYoudonothavetherequisiteauthority,YoumaynotaccepttheAgreementoruseGooglePlayonbehalfofYouremployerorotherentity. 3.CommercialRelationship, Pricing,PaymentsandTaxes 3.1YouherebyappointGoogleasYouragentormarketplaceserviceproviderasoutlinedhere tomakeYourProductsavailableinGooglePlay. 3.2ThisAgreementcoversbothProductsthatuserscanaccessforfreeandProductsthatuserspayafeetoaccess.InorderforYou tocharge afee forYourProductsandtobepaidforProductsdistributedviaGooglePlay,YoumusthaveavalidPaymentAccountunderaseparateagreementwithaPaymentProcessor,beapprovedbyaPaymentProcessorforaPaymentAccount,andmaintainthataccountingoodstanding.IfthereisaconflictbetweenYourPaymentProcessoragreementandthisAgreement,thetermsofthisAgreementwillapply. 3.3 ProductsaredisplayedtousersatpricesthatYouestablishinYoursolediscretion.IfGooglebelievesthatTaxesmaybeowedbyYouorGoogleonthesaleofProducts,YougrantGooglepermissiontoincludeanysuchTaxesinthepricechargedtousers.YoumaysetthepriceforYourProductsinthecurrenciespermittedbythePaymentProcessor.GooglemaydisplaythepriceofProductstousersintheirnativecurrency,butGoogleisnotresponsibletoYoufortheaccuracyofcurrencyratesorcurrencyconversion. 3.4 ActingasYouragent,andwithYouactingasaprincipal,GoogleisthemerchantofrecordforProductssoldormadeavailabletousersinthecountries/territoriesdescribedhere.YouarethemerchantofrecordforProductsYousellormakeavailableviaGooglePlaytoallotherusers.ThepriceYousetforProductswilldeterminetheamountofpaymentYouwillreceive.A'ServiceFee',assetforthhere andasmayberevisedbyGooglefromtimetotime,withnoticetoDeveloperasdescribedinSection15,willbechargedonthesalespriceandapportionedtothePaymentProcessorand,ifoneexists,theAuthorisedProvider. 3.5 Incertaincountries/territoriesasdescribedhere,GooglewilldetermineifaProductistaxableandifso,theapplicableTaxratewillbecollectedeitherbyGoogle,thePaymentProcessorortheAuthorisedProvider,andremittedtotheappropriatetaxingauthorityforProductssoldtousers.Googlemayupdatethecountries/territorieswhereitwilldetermineandremittheTaxeswithnoticetoYou.Inallothercountries/territories,YouareresponsiblefordeterminingifaProductistaxable,theapplicablerateofTaxtobecollected,andforremittingtheTaxestotheappropriatetaxingauthority.AllTaxeswillbedeductedfromthesalespriceofProductssoldandtheremainder(salespricelessServiceFeeandTaxes,ifany)willberemittedtoYou.WhereGooglecollectsandremitsTaxesinapplicablecountries/territories,YouandGooglewillrecogniseasupplyfromYoutoGooglesolelyforTaxpurposestotheextentrequiredbylocallaws,andYouwillcomplywiththerelevantTaxobligationsarisingfromthisadditionalsupply. 3.6WhereeitherthePaymentProcessor, ortheAuthorisedProvidernotifiesGooglethatitisrequiredbyapplicable(local)legislationorbytheapplicablegovernmentaltaxauthoritytowithholdanytaxes,orwhereGooglereasonablydeterminesthatitisrequiredbyapplicable(local)legislationorbytheapplicablegovernmentaltaxauthoritytowithholdanytaxes(ineachcase,‘WithholdingTaxes’),GooglewillalsodeductanamountequaltosuchWithholdingTaxesfromtheamountthatGoogleremitstoYou.WithholdingTaxesinclude,butarenotlimitedto,withholdingtaxobligationsoncross-borderpaymentsorimposedbytelecommunicationstaxes.Youagreetoprovideinatimelyfashion,assoonasreasonablypracticable,anytaxdocumentationorcertificationrequestedbyGoogle. 3.7 YoumayalsochoosetomakeProductsavailableforfree.IftheProductisfree,YouwillnotbechargedaServiceFee.Toavoidunexpectedfeesforusers,YouagreethatProductsthatwereinitiallyofferedfreeofchargetouserswillremainfreeofcharge.AnyadditionalchargeswillcorrelatewithanalternativeorsupplementalversionoftheProduct. 3.8 YouauthoriseGoogletogiveusersrefundsinaccordancewiththeGooglePlayrefundpoliciesaslocatedhere orthelocalversionsmadeavailabletoYou,andYouagreethatGooglemaydeducttheamountofthoserefundsfrompaymentstoYou.Inallotherrespects,thePaymentProcessor'sstandardtermsandconditionsregardingrefundswillapply.UserrefundsmaybeexclusiveoftaxespreviouslychargedtousersforProductpurchases. 3.9 UsersareallowedunlimitedreinstallsofeachProductdistributedviaGooglePlaywithoutanyadditionalfee,providedhowever,thatifYouremoveanyProductfromGooglePlayduetoaLegalTakedown(asdefinedinSection8.2),thatProductwillberemovedfromallportionsofGooglePlayanduserswillnolongerhavearightorabilitytoreinstalltheaffectedProduct. 4.UseofGooglePlaybyYou 4.1YouandYourProduct(s)mustadheretotheDeveloperProgrammePolicies. 4.2YouareresponsibleforuploadingYourProductstoGooglePlay,providingrequiredProductinformationandsupporttousers,andaccuratelydisclosingthepermissionsnecessaryfortheProducttofunctiononuserDevices. 4.3YouareresponsibleformaintainingtheconfidentialityofanydevelopercredentialsthatGooglemayissuetoYouorthatYoumaychooseYourselfandYouaresolelyresponsibleforallProductsthataredevelopedunderYourdevelopercredentials.GooglemaylimitthenumberofDeveloperAccountsissuedtoYouortothecompanyororganisationthatYouworkfor. 4.4ExceptforthelicencerightsgrantedbyYouinthisAgreement,Googleagreesthatitobtainsnoright,titleorinterestfromYou(orYourlicensors)underthisAgreementinortoanyofYourProducts,includinganyIntellectualPropertyRightsinthoseProducts. 4.5YoumaynotuseGooglePlaytodistributeormakeavailableanyProductthat hasapurposethatfacilitatesthedistributionofsoftwareapplicationsandgamesforuseonAndroiddevicesoutsideofGooglePlay. 4.6YouagreetouseGooglePlayonlyforpurposesthatarepermittedbythisAgreementandanyapplicablelaw,regulationorgenerallyacceptedpracticesorguidelinesintherelevantjurisdictions(includinganylawsregardingtheexportofdataorsoftwaretoandfromtheUnitedStatesorotherrelevantcountries). 4.7UsersareinstructedtocontactYouconcerninganydefectsorperformanceissuesinYourProducts.AsbetweenYouandGoogle,Youwillbesolelyresponsible,andGooglewillhavenoresponsibility,forundertakingorhandlingthesupportandmaintenanceofYourProductsandanycomplaintsaboutYourProducts.YouagreetosupplyandmaintainvalidandaccuratecontactinformationthatwillbedisplayedineachofYourProducts’detailpagesandmadeavailabletousersforcustomersupportandlegalpurposes.ForYourpaidProductsorin-apptransactions,Youagreetorespondtocustomersupportinquirieswithin3businessdays,andwithin24hourstoanysupportorProductconcernsstatedtobeurgentbyGoogle. 4.8YouagreethatifYoumakeYourProductsavailablethroughGooglePlay,Youwillprotecttheprivacyandlegalrightsofusers.IftheusersprovideYouwith,orYourProductaccessesoruses,usernames,passwordsorotherlogininformationorpersonalinformation,YouagreetomaketheusersawarethattheinformationwillbeavailabletoYourProduct,andYouagreetoprovidelegallyadequateprivacynoticeandprotectionforthoseusers.Furthermore,YourProductmayonlyusethatinformationforthelimitedpurposesforwhichtheuserhasgivenYoupermissiontodoso.IfYourProductstorespersonalorsensitiveinformationprovidedbyusers,Youagreetodososecurelyandonlyforaslongasitisneeded.However,iftheuserhasoptedintoaseparateagreementwithYouthatallowsYouorYourProducttostoreorusepersonalorsensitiveinformationdirectlyrelatedtoYourProduct(notincludingotherproductsorapplications),thenthetermsofthatseparateagreementwillgovernYouruseofsuchinformation.IftheuserprovidesYourProductwithGoogleAccountinformation,YourProductmayonlyusethatinformationtoaccesstheuser'sGoogleAccountwhen,andforthelimitedpurposesforwhich,theuserhasgivenYoupermissiontodoso. 4.9YouwillnotengageinanyactivitywithGooglePlay,includingmakingYourProductsavailableviaGooglePlay,thatinterfereswith,disrupts,damagesoraccessesinanunauthorisedmannerthedevices,servers,networksorotherpropertiesorservicesofanythirdpartyincluding,butnotlimitedto,GoogleoranyAuthorisedProvider.YoumaynotuseuserinformationobtainedviaGooglePlaytosellordistributeProductsoutsideofGooglePlay. 4.10Youaresolelyresponsiblefor,andGooglehasnoresponsibilitytoYoufor,YourProducts,includinguseofanyGooglePlayAPIsandfortheconsequencesofYouractions,includinganylossordamagewhichGooglemaysuffer. 4.11GooglePlayallowsuserstorateandreviewProducts.OnlyuserswhodownloadtheapplicableProductwillbeabletorateandreviewitonGooglePlay.FornewDeveloperswithoutProducthistory,Googlemayuseorpublishperformancemeasurementssuchasuninstalland/orrefundratestoidentifyorremoveProductsthatdonotmeetacceptablestandards,asdeterminedbyGoogle.GooglereservestherighttodisplayProductstousersinamannerthatwillbedeterminedatGoogle'ssolediscretion.YourProductsmaybesubjecttouserratingstowhichYoumaynotagree.IfYouhaveconcernsregardingsuchratingsandreviews,youmayreportthemviathePlayConsole. 5.Authorisations 5.1Youauthorise Googleonanon-exclusive,worldwideandroyalty-freebasis to:reproduce,perform,display,analyseanduseYourProductsinconnectionwith(a)theoperationandmarketingofGooglePlay;(b)themarketingofdevicesandservicesthatsupporttheuseoftheProductsandthemarketingoftheProductsonGooglePlayandDevices;(c) theprovisionofhostingservicestoYouandonYourbehalftoallowforthestorageofanduseraccesstotheProductsandtoenablethird-partyhostingofsuchProducts;(d) makingimprovementstoGooglePlay,PlayConsoleandAndroidplatform;and(e)checkingforcompliancewiththisAgreementandtheDeveloperProgrammePolicies.Theauthorisationinclause(e)issublicensabletoapplicationsecuritypartners.Youalsoauthorisesuchapplicationsecuritypartnerstousetheresultsoftheirreviewintheirproductsandresearchthatmaybepubliclyavailable. 5.2YouauthoriseGoogletoperformtheactsdescribedinthissectionsubjecttoYourcontrolanddirection inthemannerindicatedinthePlayConsole. 5.3Yougranttotheuseranon-exclusive,worldwideandperpetuallicencetoperform,displayandusetheProduct.Theusermayinclude,butisnotlimitedto,afamilygroupandfamilymemberswhoseaccountsarejoinedtogetherforthepurposeofcreatingafamilygroup.FamilygroupsonGooglePlaywillbesubjecttoreasonablelimitsdesignedtopreventabuseoffamily-sharingfeatures.UsersinafamilygroupmaypurchaseasinglecopyoftheProduct(unlessotherwiseprohibited,asforin-appandsubscriptionProducts)andshareitwithotherfamilymembersintheirfamilygroup.If,inthePlayConsole,YouoptintoallowinguserstosharepreviouslypurchasedProducts,YourauthorisationofsharingofthosepurchasesbythoseusersissubjecttothisAgreement.IfYouchoose,Youmayincludeaseparateenduserlicenceagreement(EULA)inYourProductthatwillgoverntheuser’srightstotheProduct,but,totheextentthatEULAconflictswiththisAgreement,thisAgreementwillsupersedetheEULA.YouacknowledgethattheEULAforeachoftheProductsissolelybetweenYouandtheuser.Googlewillnotberesponsiblefor,andwillnothaveanyliabilitywhatsoeverunder,anyEULA. 6.BrandFeaturesandPublicity 6.1Eachpartywillownallright,titleandinterest,including,withoutlimitation,allIntellectualPropertyRights,relatingtoitsBrandFeatures.ExcepttothelimitedextentexpresslyprovidedinthisAgreement,neitherpartygrants,norwilltheotherpartyacquire,anyright,titleorinterest(including,withoutlimitation,anyimpliedlicence)inortoanyBrandFeaturesoftheotherparty. 6.2SubjecttothetermsandconditionsofthisAgreement,DevelopergrantstoGoogleanditsaffiliatesalimited,non-exclusive,royalty-freelicenceduringthetermofthisAgreementtodisplayDeveloperBrandFeatures,submittedbyDevelopertoGoogle,forusesolelywithinGooglePlay,onlineoronDevicesandineachcasesolelyinconnectionwiththedistributionandsaleofDeveloper'sProductviaGooglePlayortootherwisefulfilitsobligationsunderthisAgreement. 6.3InadditiontothelicencegrantedinSection6.2above,forpurposesofmarketingthepresence,distributionandsaleofYourProductviaGooglePlayanditsavailabilityforuseonDevicesandthroughotherGoogleservices,GoogleanditsaffiliatesmayincludevisualelementsfromYourProduct(includingcharactersandvideosofgameplay)andDeveloperBrandFeatures:(a)withinGooglePlay,onDevicesandinanyGoogle-ownedonlineormobileproperties;(b)inonline,mobile,television,out-of-home(e.g.billboard)andprintadvertisingformatsoutsideGooglePlay;(c)whenmakingannouncementsoftheavailabilityoftheProduct;(d)inpresentations;and(e)incustomerlistswhichappeareitheronlineoronmobiledevices(whichincludes,withoutlimitation,customerlistspostedonGooglewebsites). 6.4GooglegrantstoDeveloperalimited,non-exclusive,worldwide,royalty-freelicencetousetheAndroidBrandFeaturesforthetermofthisAgreementsolelyformarketingpurposesandonlyinaccordancewiththeAndroidBrandGuidelines. 6.5IfDeveloperdiscontinuesthedistributionofspecificProductsviaGooglePlay,GooglewillceaseuseofthediscontinuedProducts'BrandFeaturespursuanttothisSection6,exceptasnecessarytoallowGoogletoeffectuatereinstallsbyusers. 7.PromotionalActivities 7.1Googlemayrunpromotionalactivitiesofferingcoupons,creditsand/orotherpromotionalincentivesforpaidtransactionsand/oruseractionsforYourProductsandin-apptransactionssolelyinconnectionwithGooglePlaypromotionsand,forgiftcardpromotions,alsoonGoogle-authorisedthird-partychannels('Promotion(s)'),providedthat:(a)amountspayabletoYouwillnotbeimpacted;(b)therewillbeclearcommunicationtousersthatthePromotionisfromGoogleandnotYou;(c)thepricesthatYouestablishwillbeclearlycommunicatedtousers;(d)anyredemptionofthePromotionwillbefulfilledbyGoogleor,forgiftcardPromotions,throughaGoogle-authorisedthirdparty;and(e)GooglewillberesponsibleforcompliancewithapplicablelawforthePromotion. 7.2InadditiontotherightsgrantedinSection6,YougrantGoogletherighttouseYourBrandFeatures(intheformandmannerprovidedbyYou)forpurposesofmarketingPromotionsinconnectionwithGooglePlayand,forgiftcardPromotions,onGoogle-authorisedthird-partychannelsprovided,however,thatGooglewillonlyuseBrandFeaturesownedbyYouonauthorisedthird-partychannels. 8.ProductTakedowns 8.1YoumayremoveYourProductsfromfuturedistributionviaGooglePlayatanytime,butYouagreetocomplywiththisAgreementandthePaymentProcessor'sPaymentAccounttermsofserviceforanyProductsdistributedviaGooglePlaypriortoremovalincluding,butnotlimitedto,refundrequirements.RemovingYourProductsfromfuturedistributionviaGooglePlaydoesnot(a)affecttherightsofuserswhohavepreviouslypurchasedordownloadedYourProducts;(b)removeYourProductsfromDevicesorfromanypartofGooglePlaywherepreviouslypurchasedordownloadedapplicationsarestoredonbehalfofusers;or(c)changeYourobligationtodeliverorsupportProductsorservicesthathavebeenpreviouslypurchasedordownloadedbyusers. 8.2NotwithstandingSection8.1,innoeventwillGooglemaintainonanyportionofGooglePlay(including,withoutlimitation,thepartofGooglePlaywherepreviouslypurchasedordownloadedapplicationsarestoredonbehalfofusers)anyProductthatYouhaveremovedfromGooglePlayandprovidedwrittennoticetoGooglethatsuchremovalwasdueto:(a)anallegationofinfringement,oractualinfringement,ofanythird-partyIntellectualPropertyRight;(b)anallegationof,oractualviolationof,third-partyrights;or(c)anallegationordeterminationthatsuchProductdoesnotcomplywithapplicablelaw(collectively'LegalTakedowns').IfaProductisremovedfromGooglePlayduetoaLegalTakedownandanenduserpurchasedsuchProductwithinayear (oralongerperiodaslocalconsumerlawmandates) beforethedateoftakedown,atGoogle'srequest,YouagreetorefundtotheenduserallamountspaidbysuchenduserforsuchProduct. 8.3GoogledoesnotundertakeanobligationtomonitortheProductsortheircontent.IfGooglebecomesawareanddeterminesinitssolediscretionthataProductoranyportionthereof:(a)violatesanyapplicablelaw;(b)violatesthisAgreement,applicablepoliciesorothertermsofservice,asmaybeupdatedbyGooglefromtimetotime;(c)violatestermsofdistributionagreementwithdevicemanufacturersandAuthorisedProviders;or(d)createspotentialliabilityfor,ormayhaveanadverseimpacton,GoogleorAuthorisedProviders(forexample,ifaProducthasanadverseeconomic,reputationalorsecurity-relatedimpact);thenGooglemayreject,remove,suspendorlimitthevisibilityofaProductonGooglePlay,orreclassifytheProductfromGooglePlayorfromDevices.Googlereservestherighttosuspendand/orbaranyProductand/orDeveloperfromGooglePlayorfromDevicesasdescribedinthissection.IfYourProductcontainselementsthatcouldcauseseriousharmtouserdevicesordata,GooglereservestherighttodisabletheProductorremoveitfromDevicesonwhichithasbeeninstalled.IfYourProductisrejected,removedorsuspendedfromGooglePlayorfromDevicespursuanttothisSection8.3,thenGooglemaywithholdpaymentsduetoDeveloper. 8.4GoogleentersintodistributionagreementswithdevicemanufacturersandAuthorisedProviderstoplacetheGooglePlaysoftwareclientapplication(s)onDevices.ThesedistributionagreementsmayrequiretheinvoluntaryremovalofProductsinviolationoftheDevicemanufacturer'sorAuthorisedProvider'stermsofservice. 9.PrivacyandInformation 9.1AnydatacollectedorusedpursuanttothisAgreementisinaccordancewithGoogle’sPrivacyPolicy. 9.2InordertocontinuallyinnovateandimproveGooglePlay,relatedproductsandservices,andtheuserandDeveloperexperienceacrossGoogleproductsandservices,GooglemaycollectcertainusagestatisticsfromGooglePlayandDevicesincluding,butnotlimitedto,informationonhowtheProduct,GooglePlayandDevicesarebeingused. 9.3ThedatacollectedisusedintheaggregatetoimproveGooglePlay,relatedproductsandservices,andtheuserandDeveloperexperienceacrossGoogleproductsandservices.DevelopershaveaccesstocertaindatacollectedbyGoogleviathePlayConsoleandcertainGooglePlayAPIs.GooglereliesontheEuropeanCommission’sStandardContractualClausesfortransfersofpersonaldataoutoftheEuropeanEconomicArea,SwitzerlandandtheUnitedKingdomtocountrieswhicharenotcoveredbyanadequacydecision(e.g.theUnitedStates).ByusingGooglePlay,youagreetotheGoogleController-ControllerDataProtectionTerms.YouruseofcertainGooglePlayAPIsmaybesubjecttoadditionaldatatransferprovisionsorthespecific,prevailingtermsofserviceofGooglePlayAPIs,suchastheGooglePlayDeveloperAPITermsofService. 10.TerminatingthisAgreement 10.1ThisAgreementwillcontinuetoapplyuntilterminated,subjecttothetermsthatsurvivepursuanttoSection16.9,byeitherYouorGoogleassetforthbelow. 10.2IfYouwanttoterminatethisAgreement,YouwillunpublishallofYourProductsandceaseYouruseofthePlayConsoleandanyrelevantdevelopercredentials. 10.3GooglemayterminatethisAgreementwithYouimmediatelyuponwrittennoticeor withthirty(30)days'priorwrittennoticeifrequiredunderapplicablelawif:(a)YouhavebreachedanyprovisionofthisAgreement,anynon-disclosureagreementorotheragreementrelatingtoGooglePlayortheAndroidplatform;(b)Googleisrequiredtodosobylaw;(c)Youceasetobeanauthoriseddeveloper,adeveloperingoodstanding,orarebarredfromusingAndroidsoftware;(d)GoogledecidestonolongerprovideGooglePlay;or(e)YouorYourProductposeapotentialriskforeconomic,reputational,orsecurity-relatedharmtoGoogle,users,orotherthird-partypartners.Whereallowedunderapplicablelaw,Googlemayalso terminatethisAgreementwithYou foranyreasonwiththirty(30)days’priorwrittennotice.IfGoogleterminatesthisAgreement,YouwillnolongerhaveaccesstothePlayConsole.Moreinformationonaccountterminationislocatedhere. 10.4AfterterminationofthisAgreement,GooglewillnotdistributeYourProduct,butmayretainandusecopiesoftheProductforsupportofGooglePlayandtheAndroidplatform. 11.RepresentationsandWarranties 11.1YourepresentandwarrantthatYouhaveallIntellectualPropertyRightsinandtoYourProduct(s). 11.2IfYouusethird-partymaterials,YourepresentandwarrantthatYouhavetherighttodistributethethird-partymaterialintheProduct.YouagreethatYouwillnotsubmitmaterialtoGooglePlaythatissubjecttothird-partyIntellectualPropertyRightsunlessYouaretheownerofsuchrightsorhavepermissionfromtheirrightfulownertosubmitthematerial. 11.3Yourepresentandwarrantthat,astheprincipaltothetransactionwiththeuser,Youaresolelyresponsibleforcomplianceworldwide withallapplicablelaws andotherobligations. 11.4YourepresentandwarrantthatallinformationthatYouprovidetoGoogleorusersinconnectionwiththisAgreementorYourProductswillbecurrent,true,accurate,supportableandcomplete. 12.DISCLAIMEROFWARRANTIES 12.1TOTHEMAXIMUMEXTENTPERMITTEDBYLAW, YOUUNDERSTANDANDEXPRESSLYAGREETHATYOURUSEOFTHEPLAYCONSOLEANDGOOGLEPLAYISATYOURSOLERISKANDTHATTHEPLAYCONSOLEANDGOOGLEPLAYAREPROVIDED'ASIS'AND'ASAVAILABLE'WITHOUTWARRANTYOFANYKIND. 14.Indemnification 14.1Tothemaximumextentpermittedbylaw,Youagreetodefend,indemnifyandholdharmlessGoogle,itsaffiliatesandtheirrespectivedirectors,officers,employeesandagents,andAuthorisedProvidersfromandagainstanyandallthird-partyclaims,actions,suitsorproceedings,aswellasanyandalllosses,liabilities,damages,costsandexpenses(includingreasonablelegalfees)arisingoutoforaccruingfrom:(a)YouruseofthePlayConsoleandGooglePlayinviolationofthisAgreement;(b)infringementorviolationbyYourProduct(s)ofanyIntellectualPropertyRightoranyotherrightofanyperson;or(c)YouorYourProduct(s)’sviolationofanylaw. 14.2Tothemaximumextentpermittedbylaw,Youagreetodefend,indemnifyandholdharmlesstheapplicablePaymentProcessors(whichmayincludeGoogleand/orthirdparties)andthePaymentProcessors'affiliates,directors,officers,employeesandagentsfromandagainstanyandallthird-partyclaims,actions,suitsorproceedings,aswellasanyandalllosses,liabilities,damages,costsandexpenses(includingreasonablelegalfees)arisingoutoforaccruingfromYourdistributionofProductsviaGooglePlay. 15.ChangestotheAgreement. 15.1GooglemaymakechangestothisAgreementatanytimewithnoticetoDeveloperandtheopportunitytodeclinefurtheruseofGooglePlay.YoushouldlookattheAgreementandcheckfornoticeofanychangesregularly. 15.2Changeswillnotberetroactive.Theywillbecomeeffective,andwillbedeemedacceptedbyDeveloper:(a)immediatelyforthosewhobecomeDevelopersafterthenotificationisposted;or(b)forpre-existingDevelopers,onthedatespecifiedinthenotice,whichwillbenosoonerthan30daysafterthechangesareposted(exceptchangesrequiredbylawwhichwillbeeffectiveimmediately). 15.3IfYoudonotagreewiththemodificationstotheAgreement,YoumayterminateYouruseofGooglePlay,whichwillbeYoursoleandexclusiveremedy.YouagreethatYourcontinueduseofGooglePlayconstitutesYouragreementtothemodifiedtermsofthisAgreement. 16.GeneralLegalTerms 16.1ThisAgreement,includinganyaddendaYoumayhaveagreedtoseparately,constitutestheentirelegalagreementbetweenYouandGoogleandgovernsYouruseofGooglePlayandcompletelyreplacesanyprioragreementsbetweenYouandGoogleinrelationtoGooglePlay.TheEnglish-languageversionofthisAgreementwillcontrolandtranslations,ifany,arenon-bindingandforreferenceonly. 16.2YouagreethatifGoogledoesnotexerciseorenforceanylegalrightorremedycontainedinthisAgreement(orwhichGooglehasthebenefitofunderanyapplicablelaw),thiswillnotbetakentobeaformalwaiverofGoogle'srightsandthatthoserightsorremedieswillstillbeavailabletoGoogle. 16.3IfanycourtoflawhavingthejurisdictiontodecideonthismatterrulesthatanyprovisionofthisAgreementisinvalid,thenthatprovisionwillberemovedfromthisAgreementwithoutaffectingtherestofthisAgreement.TheremainingprovisionsofthisAgreementwillcontinuetobevalidandenforceable. 16.4YouacknowledgeandagreethateachmemberofthegroupofcompaniescomprisingGooglewillbeathird-partybeneficiarytothisAgreementandthatsuchothercompanieswillbeentitledtodirectlyenforce,andrelyupon,anyprovisionofthisAgreementthatconfersabenefiton(orrightsinfavourof)them.Otherthanthis,nootherpersonorcompanywillbeathird-partybeneficiarytothisAgreement. 16.5PRODUCTSONGOOGLEPLAYMAYBESUBJECTTOUNITEDSTATESANDOTHERJURISDICTIONSEXPORTCONTROLANDSANCTIONSLAWSANDREGULATIONS.YOUAGREETOCOMPLYWITHALLEXPORTCONTROLANDSANCTIONSLAWSANDREGULATIONSTHATAPPLYTOYOURDISTRIBUTIONORUSEOFPRODUCTS,INCLUDINGBUTNOTLIMITEDTO(A)THEEXPORTADMINISTRATIONREGULATIONSMAINTAINEDBYTHEU.S.DEPARTMENTOFCOMMERCE,(B)TRADEANDECONOMICSANCTIONSMAINTAINEDBYTHEU.S.TREASURYDEPARTMENT'SOFFICEOFFOREIGNASSETSCONTROL,AND(C)THEINTERNATIONALTRAFFICINARMSREGULATIONSMAINTAINEDBYTHEU.S.DEPARTMENTOFSTATE. THESELAWSANDREGULATIONSINCLUDERESTRICTIONSONDESTINATIONS,USERSANDENDUSE. 16.6Exceptinthecaseofachangeofcontrol(forexample,throughastockpurchaseorsale,mergerorotherformofcorporatetransaction),therightsgrantedinthisAgreementmaynotbeassignedortransferredbyeitherYouorGooglewithoutthepriorapprovaloftheotherparty.Anyotherattempttoassignisvoid. 16.7IfYouexperienceachangeofcontrol,Googlemay,atitsdiscretion,electtoimmediatelyterminatethisAgreement. 16.8AllclaimsarisingoutoforrelatingtothisAgreementorYourrelationshipwithGoogleunderthisAgreementwillbegovernedbythelawsoftheStateofCalifornia,excludingCalifornia’sconflictoflawsprovisions.YouandGooglefurtheragreetosubmittotheexclusivejurisdictionofthefederalorstatecourtslocatedwithinthecountyofSantaClara,CaliforniatoresolveanylegalmatterarisingfromorrelatingtothisAgreementorYourrelationshipwithGoogleunderthisAgreement,exceptthatYouagreethatGooglewillbeallowedtoapplyforinjunctivereliefinanyjurisdiction.Totheextentrequiredunderapplicablelaw,YoumayhaveotherwaystoresolvedisputeswithGoogleasdescribedintheDeveloperProgramPolicies.IfYouareacceptingtheAgreementonbehalfofaUnitedStatesgovernmententityoraUnitedStatescity,county,orstategovernmententity,thenthefollowingappliesinsteadoftheforegoing:thepartiesagreetoremainsilentregardinggoverninglawandvenue. 16.9Sections1(Definitions),6.5,10.4,11(RepresentationsandWarranties),12(DisclaimerofWarranties),13(LimitationofLiability),14(Indemnification)and16(GeneralLegalTerms)willsurviveanyexpirationorterminationofthisAgreement.
