Customer’suseofGoogleProductsisgovernedbythe agreementunderwhichGoogleprovidesCustomerwith accesstoanduseofGoogleCloudPlatform(“GCP Agreement”)andnotthisAgreement. ThisAgreementiseffectivewhenCustomerpurchasesa VendorProductontheMarketplace(the"Effective Date").IfyouareacceptingonbehalfofCustomer,you representandwarrantthat(i)youhavefulllegal authoritytobindCustomertothisAgreement;(ii)you havereadandunderstandthisAgreement;and(iii)you agree,onbehalfofCustomer,tothisAgreement. 1.UseoftheMarketplace. 1.1. General.DuringtheTermandsubjectto thisAgreement,Customermayaccessandusethe MarketplaceinordertopurchaseVendorProducts. 1.2. Accounts. CustomermusthaveaGCPAccounttousethe MarketplaceandVendorProductsandisresponsibleforthe informationitprovidestocreatetheaccount,the securityofitspasswordsfortheGCPAccount,andforany useofitsGCPAccount. 1.3.LinkedSites. URLlinksmadeavailableviatheMarketplacemay allowCustomertoleavetheMarketplacewebsitetogoto sitesandwebpagesnotcontrolledbyGoogle(“Linked Site(s)”).GoogleisnotresponsiblefortheLinkedSites (oranyweblinkorURLcontainedonthem)inanymanner, includingrelatedcontentandsecurityorprivacy practices.AnyaccessGoogleprovidestoLinkedSitesis donesolelyasaCustomerconvenience,andtheinclusion ofanylinktoaLinkedSitedoesnotimplyendorsementby GoogleoftheLinkedSite. 2.PaymentTerms. VendorProductswillbeincludedinCustomer’sinvoice forGoogleCloudPlatformservices.Allinvoicingand paymenttermsintheGCPAgreementwillapplytoVendor Products. 3.CustomerObligations. 3.1. Compliance.Customerwill(a) ensurethatCustomeranditsEndUsers'useofthe MarketplacecomplieswiththeAgreement,and(b)promptly notifyGoogleofanyunauthorizeduseof,oraccessto, theMarketplace. 3.2. ThirdParty LicenseTerms.Customermayberequiredto acceptaVendorAgreementoradditionalrelatedtermswith aVendorapplicabletoitsuseofaVendorProduct.Access toanduseofaBYOLProductisgovernedbythe third-partysoftwarelicenseagreementsassociatedwith thatBYOLProduct. 3.3. Vendor AccesstoCustomerData.CertainVendor ProductsmayrequiretheVendortoaccessCustomerData fromtheCustomer’sGCPAccountinordertoprovidethe VendorProduct,asdescribedintherelevantproduct listing.BypurchasingorenablinganysuchVendor Product,CustomerwillbeinstructingGoogle(pursuantto theDataProcessingandSecurityTermsunderCustomer’s GCPAgreement)toshareCustomerDatawiththeVendorof suchVendorProductinorderfortheVendortoprovidethe VendorProductandinconnectionwithanytechnical supportrequestsunderSection6(SupportforVendor Products).CustomeracknowledgesthatGooglewillhaveno furtheraccesstoorcontroloveranyCustomerDataonce sharedwiththeVendor,thatVendorwillnotbea Subprocessor(asdefinedintheDataProcessingand SecurityTermsunderCustomer’sGCPAgreement)inrespect ofGoogle’ssharingofCustomerDatawiththeVendor,and thatVendor’saccess,use,storage,deletionand processingofsuchCustomerDatawillbegovernedbya VendorAgreementorothertermsgoverningVendor’s provisionoftheVendorProducttoCustomer,andnotthis Agreement. 3.4. Restrictions.Customerwill not,andwillnotallowEndUsersto,(a)copy,modify,or createaderivativeworkoftheMarketplace;(b)reverse engineer,decompile,translate,disassemble,orotherwise attempttoextractanyorallofthesourcecodeof,the Marketplace(excepttotheextentsuchrestrictionis expresslyprohibitedbyapplicablelaw);(c)sellor resellVendorProducts;or(d)accessorusethe MarketplaceorVendorProductsinviolationoftheAUPor inamannerintendedtoavoidincurringFeesorto circumventusagelimitsorquotas.Anyadditional restrictionsrelatedtotheuseofVendorProductsareas setforthintheVendorAgreement. 3.5. Copyright.Googleprovides informationtohelpcopyrightholdersmanagetheir intellectualpropertyonline,butGooglecannotdetermine whethersomethingisbeingusedlegallywithoutinputfrom thecopyrightholders.Googlewillrespondtonoticesof allegedcopyrightinfringementandmayterminaterepeat infringersinappropriatecircumstancesasrequiredto maintainsafeharborforonlineserviceprovidersunder theU.S.DigitalMillenniumCopyrightAct.IfCustomer believesapersonorentityisinfringingCustomer'sor itsEndUser'scopyrightsandwouldliketonotifyGoogle, Customercanfindinformationaboutsubmittingnotices, andGoogle'spolicyaboutrespondingtonotices, at https://www.google.com/dmca.html. 3.6. VMProduct Deployment.Unlessotherwiseexpresslystated intheVendorProductlisting,CustomeranditsEndUsers mayonlydeployVendorProductswithavirtualization componentinGoogleCloudPlatforminstancesmanagedby CustomeroritsEndUsers.VendorProductswitha virtualizationcomponentmaynotbedeployedoutsideof theGoogleCloudPlatform. 4.Suspension. IfGooglebecomesawarethatCustomer'soranyEndUser's useoftheMarketplaceoranyVendorProductviolatesthe AUP,GooglewillnotifyCustomerandrequestthatCustomer correcttheviolation.IfCustomerfailstocorrectthe violationwithinthetimeframelistedintherequest(or within72hoursifnotimeframeislisted),thenGoogle maysuspendallorpartofCustomer'saccesstooruseof theMarketplaceorVendorProductsuntiltheviolationis corrected.Additionally,anyGooglesuspensionpursuantto theGCPAgreementmayimpactCustomer’sabilitytoaccess VendorProducts.AnysuspensionunderthisSectionwillbe totheminimumextentandfortheshortestduration requiredtoresolvethecauseforsuspension.ThisSection doesnotcoveranysuspensionsthatmayberequiredbya Vendor. 5.IntellectualPropertyRights. ExceptasexpresslystatedinthisAgreement,this Agreementdoesnotgranteitherpartyanyrights,implied orotherwise,totheother'scontentoranyoftheother's intellectualproperty.Asbetweentheparties,Customer ownsallIntellectualPropertyRightsinCustomerData, andGoogleownsallIntellectualPropertyRightsinthe Marketplace. 6.SupportforVendorProducts. 6.1. Vendor ProductsGenerally.Exceptasotherwise specifiedinSection6.2(GoogleSupportedProducts),any technicalsupportforVendorProductswillbeprovidedby theapplicableVendorontermsagreedtobetweenthe VendorandCustomer.SubjecttoSection6.2(Google SupportedProducts),Googlewillnotberesponsibleor liableforanytechnicalsupporttoCustomerforany VendorProducts,includinganysecurityupdatesorpatches providedbyVendor. 6.2. Google SupportedProducts.ForcertainVendor Products,asdescribedintheapplicableproductlisting page,Google(andnottheVendor)willprovideall frontlinetechnicalsupport(“GoogleSupportedProducts”). InordertoreceiveaccesstotechnicalsupportforGoogle SupportedProducts,Customermustpurchaseatechnical supportpackageforGoogleCloudPlatformpursuanttothe Customer’sGCPAgreement.GooglewillprovideCustomer withthesameleveloftechnicalsupportforGoogle SupportedProductsthatCustomerhaspurchasedforGoogle CloudPlatform(e.g.,Development,Productionor Enterpriselevelsupport)asdescribed at https://cloud.google.com/terms/tssg/. AnyCustomersupportrequestsdirectedtoaVendorfor GoogleSupportedProductsmaybereroutedtoGooglefor frontlinesupport,unlesstheCustomerhaspurchaseda separatesupportpackagefromtheVendorforsuchGoogle SupportedProduct,inwhichcaseCustomermayalsobe entitledtoreceivefrontlinesupportfromtheVendorin accordancewiththerelevantsupporttermsbetween CustomerandVendor. 7.Modifications. 7.1. Tothe Marketplace.Googlemaymakecommercially reasonableupdatestotheMarketplacefromtimetotime. GooglewillnotifyCustomerofanymaterialchangestothe Marketplace. 7.2.Tothe Agreement.Googlemaymakechangestothis Agreementfromtimetotime.Googlewillprovidenoticeof materialchangesandunlessotherwisenotedbyGoogle, suchchangeswillbecomeeffective30daysaftertheyare posted,excepttotheextentthechangesapplytonew functionalityinwhichcasetheywillbeeffective immediately.Forclarity,changestothisAgreementdonot resultinchangestoanyVendorAgreement. (a) IfCustomerdoesnot agreetotherevisedAgreement,Customermaystopusing theMarketplaceandVendorProducts.Customermayalso terminatethisAgreementforconvenienceunderSection9.3 (TerminationforConvenience).Customer'scontinueduseof theMarketplaceaftersuchmaterialchangewillconstitute Customer'sconsenttosuchchanges.Googlewillpostany modificationtothisAgreementto https://cloud.google.com/terms/marketplace/launcher. (b) Ifachangeunder thisSection7.2hasamaterialadverseimpactonCustomer duringanactivesubscriptiontermforaVendorProduct andisnotaresultofGooglecomplyingwithacourtorder orapplicablelaw,CustomermaynotifyGooglewithinsixty (60)daysofthechangethatCustomerobjectstothe change.Uponsuchnotice,Customerwillremaingovernedby thetermsineffectimmediatelypriortothechangeuntil theendofthethen-currentsubscriptionterm. 7.3. ToFees. GooglemaychangeFeesforVendorProductsupon 30days’notice,providedthatanyFeechangesfor SubscriptionProductswillnotbecomeeffectiveduringany then-currentsubscriptionterm. 7.4.Removaland DiscontinuationofVendorProducts. (a) Removalof VendorProducts.SubjecttoSection7.4(b) (DiscontinuationofSubscriptionProducts),Googlemay onlyremoveorprohibitaccesstoaVendorProductfrom theMarketplaceif(i)Googleisnolongercontractually permittedtooffertheVendorProductontheMarketplace; (ii)Googleisotherwiserequestedtoremoveitbythe respectiveVendor;or(iii)Googlebecomesawareor determinesthataVendorProduct(1)violatesthe intellectualpropertyrightsoranyotherrightsofGoogle oranythirdparty;(2)violatesanyapplicablelaworis subjecttoaninjunction;(3)ispornographic,obsceneor otherwiseviolatesStorepoliciesorothertermsof serviceasmaybeupdatedbyGooglefromtimetotime;(4) maycreateliabilityforGoogle;(5)isdeemedbyGoogle tohaveavirusortobemalware,spywareorother maliciouscode;(6)isimpactingtheintegrityofGoogle’s orCustomer’snetworkorservers(e.g.,Customersare unabletoaccesstheVendorProductorotherwise experiencedifficulty);or(7)isnotmeetingacceptable standards,includingbasedonperformancemeasurements suchasuninstalland/orrefundrates,asdetermined solelybyGoogle.Ineachcase,Googlewilluse commerciallyreasonableeffortstoprovideatleastsix (6)monthsnoticebeforeaVendorProductisremoved pursuanttoSection7.4(a)(i)-(a)(ii),andwillprovide advancenoticewherepracticablebeforeaVendorProduct issuspendedpursuanttothisSection7.4(a)orremoved pursuanttoSection7.4(a)(iii). (b) DiscontinuationofSubscription Products.IfaremovedVendorProductisa SubscriptionProduct,Customeracknowledgesandagrees thatthedurationaSubscriptionProductwillremain availableafterbeingremovedfromtheMarketplacewillbe determinedbytheapplicableVendorandnotbyGoogle.If aSubscriptionProductpurchasedbyCustomeris discontinuedbeforeitsapplicablesubscriptiontermhas expired,then(i)ifCustomerhasprepaidforuseofthe SubscriptionProductforthedurationofsubscription term,Googlewillprovideaproratedrefundofanyprepaid FeestoCustomer,and(ii)ifCustomerhascommittedto payingfeesforthedurationofthesubscriptionterm, Customer’scommitmentwillberelievedfortheremaining portionofthesubscriptionterm. 8.ConfidentialInformation. 8.1. Obligations.Therecipientwillonlyuse thedisclosingparty'sConfidentialInformationto exercisetherecipient’srightsandfulfillits obligationsundertheAgreement,andwillusereasonable caretoprotectagainstthedisclosureofthedisclosing party'sConfidentialInformation.Therecipientmay discloseConfidentialInformationonlytoitsAffiliates, employees,agents,orprofessionaladvisors(“Delegates”) whoneedtoknowitandwhohaveagreedinwriting(orin thecaseofprofessionaladvisorsareotherwisebound)to keepitconfidential.Therecipientwillensurethatits DelegatesusethereceivedConfidentialInformationonly toexerciserightsandfulfillobligationsunderthis Agreement. 8.2.Required Disclosure.Notwithstandinganyprovisionto thecontraryinthisAgreement,therecipientorits AffiliatemayalsodiscloseConfidentialInformationto theextentrequiredbyapplicableLegalProcess. 9.TermandTermination. 9.1. Agreement Term.ThetermofthisAgreement(the“Term”) willbeginontheEffectiveDateandcontinueuntilthe AgreementisterminatedasstatedinthisSection9(Term andTermination). 9.2.Terminationfor Breach.Totheextentpermittedbyapplicable law,eitherpartymayterminatethisAgreementimmediately onwrittennoticeif(a)theotherpartyisinmaterial breachoftheAgreementandfailstocurethatbreach within30daysafterreceiptofwrittennoticeofthe breachor(b)theotherpartyceasesitsbusiness operationsorbecomessubjecttoinsolvencyproceedings andtheproceedingsarenotdismissedwithin90days. 9.3.Terminationfor Convenience.Customermaystopusingthe MarketplaceoranyVendorProductatanytime.Subjectto Customerfulfillingallitsfinancialcommitmentsunder thisAgreement(includingpaymentofallFeesforthe remainingdurationofthesubscriptiontermfora SubscriptionProduct),Customermayterminatethis Agreementforitsconvenience.Upontermination,Customer mustceaseuseoftheapplicableVendorProducts. 9.4. Effectof Termination.IftheAgreementisterminated, then(a)allrightsandaccesstotheMarketplaceand VendorProductswillterminate,unlessotherwisedescribed inthisAgreement,and(b)allFeesowedbyCustomerto GoogleareimmediatelydueuponCustomer’sreceiptofthe finalelectronicbillorassetforthinthefinal invoice.IftheAgreementterminatesbeforetheendofany outstandingsubscriptiontermforanySubscriptionProduct foranyreasonotherthanGoogle'suncuredmaterialbreach inaccordancewiththeAgreement,allunpaidFees remainingforthedurationofthesubscriptiontermwill becomedueandpayableupontermination. 9.5.Transition Assistance.Uponrequest,Googlewillmake reasonableeffortstoprovidetransitionassistanceto facilitateCustomer’scontinueduseofaVendorProduct aftertermination. 10.Publicity. Customermaystatepubliclythatitisacustomerofthe Marketplace,consistentwithGoogle'sGuidelinesforThird PartyUseofGooglebrandresources at https://www.google.com/permissions/guidelines.html. Googlemayrevokethisrightwithwrittennoticetothe otherpartyandareasonableperiodtostoptheuse. 11.RepresentationsandWarranties. Eachpartyrepresentsandwarrantsthat(a)ithasfull powerandauthoritytoenterintotheAgreement,and(b) itwillcomplywithalllawsapplicabletoitsprovision, receipt,oruseoftheMarketplaceandVendorProducts,as applicable. 12.Disclaimer. Exceptasexpresslyprovidedforinthe Agreement,Googledoesnotmakeandexpresslydisclaims tothefullestextentpermittedbyapplicablelaw(a) anywarrantiesofanykind,whetherexpress,implied, statutory,orotherwise,includingwarrantiesof merchantability,fitnessforaparticularuse,title, noninfringement,orerror-freeoruninterrupteduseof theMarketplaceand(b)anyrepresentationsor warrantiesregardinganyVendorProducts,includingany representationsorwarranties(i)relatedtothe performance,functionality,orsecurityofanyVendor Productsor(ii)thatanyVendorProductlistingsinthe Marketplaceareaccurateorup-to-date.Googleexpressly disclaimsanyresponsibilityorliabilityrelatedtoa Vendor’sprovisionofVendorProducts(includingany relatedtechnicalsupport)andanydatasharedwitha VendorinconnectionwiththisAgreementoraVendor Product. 13.LimitationofLiability. 13.1.Limitationon IndirectLiability.Totheextentpermittedby applicablelawandsubjecttoSection13.3(Unlimited Liabilities),neitherpartywillhaveanyLiability arisingoutoforrelatingtotheAgreementforany(a) indirect,consequential,special,incidental,or punitivedamagesor(b)lostrevenues,profits,savings, orgoodwill. 13.2.Limitationon AmountofLiability.Eachparty’stotalaggregate Liabilityfordamagesarisingoutoforrelatingtothe AgreementislimitedtotheFeespaidbyCustomerto GoogleforuseofVendorProductsduringthethree(3) monthsbeforetheeventgivingrisetothe Liability. 13.3.Unlimited Liabilities.NothingintheAgreementexcludesorlimits eitherparty’sLiabilityfor: (a)death,personal injury,ortangiblepersonalpropertydamageresulting fromitsnegligenceorthenegligenceofitsemployees oragents; (b)itsfraudor fraudulentmisrepresentation; (c)itsobligations underSection14(Indemnification); (d)itsinfringement oftheotherparty’sIntellectualProperty Rights; (e)itspayment obligationsundertheAgreement;or (f)mattersforwhich liabilitycannotbeexcludedorlimitedunderapplicable law. 14.Indemnification. CustomerwilldefendGoogleanditsAffiliatesand indemnifythemagainstIndemnifiedLiabilitiesinany Third-PartyLegalProceedingtotheextentarisingfrom Customer’soranEndUser’sviolationoftheAUP. Thisindemnityisconditionedonthefollowing: (a) Anyindemnifiedpartymustpromptlynotify Customerinwritingofanyallegation(s)thatprecededthe Third-PartyLegalProceedingandcooperatereasonablywith Customertoresolvetheallegation(s)andThird-Party LegalProceeding. (b) Anyindemnifiedpartymusttendersolecontrol oftheindemnifiedportionoftheThird-PartyLegal ProceedingtoCustomer,subjecttothefollowing:(i)the indemnifiedpartymayappointitsownnon-controlling counsel,atitsownexpense;and(ii)anysettlement requiringtheindemnifiedpartytoadmitliability,pay money,ortake(orrefrainfromtaking)anyaction,will requiretheindemnifiedparty'spriorwrittenconsent,not tobeunreasonablywithheld,conditioned,ordelayed. 15.Miscellaneous. 15.1. Notices.UndertheAgreement,noticesto CustomermustbesenttotheNotificationEmailAddress andnoticestoGooglemustbesentto [email protected]. Noticewillbetreatedasreceivedwhentheemailissent. CustomerisresponsibleforkeepingitsNotificationEmail AddresscurrentthroughouttheTerm. 15.2. Emails.Thepartiesmayuseemailsto satisfywrittenapprovalandconsentrequirementsunder theAgreement. 15.3.Assignment. Neitherpartymayassignanypartofthis Agreementwithoutthewrittenconsentoftheother,except toanAffiliatewhere(a)theassigneehasagreedin writingtobeboundbythetermsofthisAgreement,and (b)theassigningpartyhasnotifiedtheotherpartyof theassignment.Anyotherattempttoassignisvoid.If CustomerassignsthisAgreementtoanAffiliateinanother jurisdictionsuchthatthereisachangeintheGoogle contractingentityasdefinedat https://cloud.google.com/terms/google-entity: (i)thisAgreementisautomaticallyassignedtothenew Googlecontractingentity;and(ii)iftheAffiliate’s billingaccountisinaregionlistedinSection16,the applicabletermsofservicelinkedinthatsection,and notthisAgreement,willapplyfromthemomentofthe assignment. 15.4.Changeof Control.Ifapartyexperiencesachangeof Controlotherthanaspartofaninternalrestructuringor reorganization(forexample,throughastockpurchaseor sale,merger,orotherformofcorporatetransaction), thatpartywillgivewrittennoticetotheotherparty within30daysafterthechangeofControl. 15.5.ForceMajeure. Neitherpartywillbeliableforfailureordelay inperformancetotheextentcausedbycircumstances beyonditsreasonablecontrol,includingactsofGod, naturaldisasters,terrorism,riots,orwar. 15.6. Subcontracting.Googlemaysubcontract obligationsundertheAgreementbutwillremainliableto Customerforanysubcontractedobligations. 15.7.NoAgency. ThisAgreementdoesnotcreateanyagency, partnership,orjointventurebetweentheparties. 15.8.No Waiver.Neitherpartywillbetreatedashaving waivedanyrightsbynotexercising(ordelayingthe exerciseof)anyrightsunderthisAgreement. 15.9. Severability.Ifanypartofthis Agreementisinvalid,illegal,orunenforceable,therest oftheAgreementwillremainineffect. 15.10.NoThird-Party Beneficiaries.ThisAgreementdoesnotconfer anybenefitsonanythirdpartyunlessitexpresslystates thatitdoes. 15.11.Equitable Relief.NothinginthisAgreementwilllimit eitherparty'sabilitytoseekequitablerelief. 15.12.U.S.Governing Law. (a) ForU.S. City,County,andStateGovernmentEntities.If CustomerisaU.S.city,county,orstategovernment entity,thentheAgreementwillbesilentregarding governinglawandvenue. (c) ForAll OtherEntities.IfCustomerisanyentitynot identifiedinSection15.12(a)(U.S.GoverningLawfor U.S.City,County,andStateGovernmentEntities)or(b) (U.S.GoverningLawforFederalGovernmentEntities),then thefollowingapplies:ALLCLAIMSARISINGOUTOFOR RELATINGTOTHISAGREEMENTORTHESERVICESWILLBE GOVERNEDBYCALIFORNIALAW,EXCLUDINGTHATSTATE'S CONFLICTOFLAWSRULES,ANDWILLBELITIGATEDEXCLUSIVELY INTHEFEDERALORSTATECOURTSOFSANTACLARACOUNTY, CALIFORNIA,USA;THEPARTIESCONSENTTOPERSONAL JURISDICTIONINTHOSECOURTS. 15.13. Amendments.Exceptasstated inSection7(Modifications),anyamendmentmustbein writing,signedbybothparties,andexpresslystatethat itisamendingthisAgreement. 15.14 Survival.ThefollowingSectionswill surviveexpirationorterminationofthisAgreement: Section2(PaymentTerms),Section5(Intellectual PropertyRights),Section8(ConfidentialInformation), Section9.4(EffectofTermination),Section12 (Disclaimer),Section13(LimitationofLiability), Section14(Indemnification),andSection15 (Miscellaneous). 15.15.Entire Agreement.ThisAgreementsetsoutallterms agreedbetweenthepartiesandsupersedesallother agreementsbetweenthepartiesrelatingtoitssubject matter.InenteringintothisAgreement,neitherpartyhas reliedon,andneitherpartywillhaveanyrightorremedy basedon,anystatement,representation,orwarranty (whethermadenegligentlyorinnocently),exceptthose expresslystatedinthisAgreement.AftertheEffective Date,GooglemayprovideanupdatedURLinplaceofany URLinthisAgreement. 15.16. Headers.Headingsand captionsusedintheAgreementareforreferencepurposes onlyandwillnothaveanyeffectontheinterpretationof theAgreement. 15.17.Conflicting Languages.IfthisAgreementistranslatedinto anylanguageotherthanEnglish,andthereisa discrepancybetweentheEnglishtextandthetranslated text,theEnglishtextwillgovernunlessexpresslystated otherwiseinthetranslation. 15.18. Definitions. “Affiliate” meansanyentitythatdirectlyorindirectlyControls,is Controlledby,orisundercommonControlwithaparty. “APAC”means theAsiaPacificRegion. "AUP"means thethen-currentacceptableusepolicyfortheMarketplace stated at http://cloud.google.com/terms/marketplace-aup. “BYOL Product”meansanysoftware,service,or datasetprovidedbyaVendor,andanyupdatestothe foregoing,whicharelabeledintheMarketplaceas“Google ClicktoDeploy”or“BYOL”andnotredeemedbymeansof exchangingalicensekeypurchasedontheMarketplace. “Confidential Information”meansinformationthatoneparty (oranAffiliate)disclosestotheotherpartyunderthis Agreement,andwhichismarkedasconfidentialorwould normallyunderthecircumstancesbeconsidered confidentialinformation.Itdoesnotincludeinformation thatisindependentlydevelopedbytherecipient,is rightfullygiventotherecipientbyathirdpartywithout confidentialityobligations,orbecomespublicthroughno faultoftherecipient. “Control” meanscontrolofgreaterthan50percentofthevoting rightsorequityinterestsofaparty. “Customer Data”hasthemeaninggiventoitintheGCP Agreement. “EMEA”means Europe,theMiddleEast,andAfrica. “EndUsers” meanstheindividualswhoarepermittedbyCustomertouse theMarketplaceorVendorProducts. “Fees”means theapplicablefeesforanyVendorProductandany applicableTaxes. “GCP Account”meansCustomer'sGoogleCloudPlatform account. “Google Product”meansanysoftware,service,or datasetprovidedbyGoogle,andanyupdatestothe foregoing. “including” meansincludingbutnotlimitedto. “Indemnified Liabilities”meansany(i)settlementamounts approvedbytheindemnifyingpartyand(ii)damagesand costsfinallyawardedagainsttheindemnifiedpartybya courtofcompetentjurisdiction. “Intellectual PropertyRights”meanscurrentandfuture worldwiderightsunderpatent,copyright,tradesecret, trademark,andmoralrightslaws,andothersimilar rights. “Legal Process”meansaninformationdisclosure requestmadeunderlaw,governmentalregulation,court order,subpoena,warrant,orothervalidlegalauthority, legalprocedure,orsimilarprocess. “Liability” meansanyliability,whetherundercontract,tort (includingnegligence),orotherwise,regardlessof whetherforeseeableorcontemplatedbytheparties. “Marketplace”meansGoogle’srepository forofferingsmadeavailableforusewithGoogleCloud Platform,available at https://console.cloud.google.com/marketplace or asuccessorURL. “NotificationEmail Address”meanstheemailaddress(es)designated byCustomerinitsGCPAdminConsole. “Subscription Product”meansaVendorProductmadeavailable tocustomersonasubscriptionbasis,witheithera prepaymentorcommitmenttopayforagiventimeperiod. “Taxes” meansallgovernment-imposedtaxes,exceptfortaxesbased onGoogle'snetincome,networth,assetvalue,property value,oremployment. “Third-PartyLegal Proceeding”meansanyformallegalproceeding filedbyanunaffiliatedthirdpartybeforeacourtor governmenttribunal(includinganyappellateproceeding). “Vendor” meansathird-partysoftwareorservicevendorthatmakes offeringsavailableontheMarketplace. “Vendor Agreement”meansaseparateagreementbetween CustomerandVendorgoverningCustomer’suseofaVendor Product. “Vendor Product”meansanysoftware,service,or datasetprovidedbyVendors,andanyupdatestothe foregoing,madeavailablethroughtheMarketplace,ineach caseexcludingBYOLProducts.Fortheavoidanceofdoubt, GoogleProductsarenotincludedin“VendorProducts.” 16.RegionalTerms. Customeragreestothefollowingmodificationstothe AgreementifCustomer’sbillingaddressisinthe applicableregionsasdescribedbelow. (b)Thepartieswilltryin goodfaithtosettleanyDisputewithin30daysafterthe Disputearises.IftheDisputeisnotresolvedwithin30 days,thentheDisputemustberesolvedbyarbitrationby theAmericanArbitrationAssociation’sInternational CentreforDisputeResolutioninaccordancewithits ExpeditedCommercialRulesinforceasofthedateofthis Agreement("Rules"). (c)Thepartieswillmutually selectonearbitrator.Thearbitrationwillbeconducted inEnglishinSantaClaraCounty,California,USA. (d)Eitherpartymayapplyto anycompetentcourtforinjunctivereliefnecessaryto protectitsrightspendingresolutionofthearbitration. Thearbitratormayorderequitableorinjunctiverelief consistentwiththeremediesandlimitationsinthe Agreement. (e)Subjecttothe confidentialityrequirementsinSubsection(g),either partymaypetitionanycompetentcourttoissueanyorder necessarytoprotectthatparty'srightsorproperty;this petitionwillnotbeconsideredaviolationorwaiverof thisgoverninglawandarbitrationsectionandwillnot affectthearbitrator’spowers,includingthepowerto reviewthejudicialdecision.Thepartiesstipulatethat thecourtsofSantaClaraCounty,California,USA,are competenttograntanyorderunderthisSubsection15.12 (e). (f)Thearbitralawardwill befinalandbindingonthepartiesanditsexecutionmay bepresentedinanycompetentcourt,includinganycourt withjurisdictionovereitherpartyoranyofits property. (g)Anyarbitration proceedingconductedinaccordancewiththisSection15.12 (GoverningLaw;Arbitration)willbeconsidered ConfidentialInformationunderSection8(Confidential Information),including:(i)theexistenceof,(ii)any informationdisclosedduring,and(iii)anyoral communicationsordocumentsrelatedto,thearbitration proceedings.Inadditiontothedisclosurerightsunder Section8(ConfidentialInformation),thepartiesmay disclosetheinformationdescribedinthisSubsection 15.12(g)toacompetentcourtasmaybenecessarytofile anyorderunderSubsection15.12(e)orexecuteany arbitraldecision,butthepartiesmustrequestthatthose judicialproceedingsbeconductedincamera(inprivate). (h)Thepartieswillpaythe arbitrator’sfees,thearbitrator'sappointedexperts' feesandexpenses,andthearbitrationcenter's administrativeexpensesinaccordancewiththeRules.In itsfinaldecision,thearbitratorwilldeterminethe non-prevailingparty'sobligationtoreimbursetheamount paidinadvancebytheprevailingpartyforthesefees. (i)Eachpartywillbearits ownlawyers’andexperts’feesandexpenses,regardlessof thearbitrator’sfinaldecisionregardingtheDispute. TheIndonesianversionof thisAgreementis accessible here and Section15.17isreplacedinitsentiretyasfollows: 15.17 ConflictingLanguages.This AgreementismadeintheIndonesianandtheEnglish language.BothversionsoftheAgreementareequally authentic.Intheeventofanyinconsistencyordifferent interpretationbetweentheIndonesianversionandthe EnglishversionoftheAgreement,thepartiesagreeto amendtheIndonesianversiontomaketherelevantpartof theIndonesianversionconsistentwiththerelevantpart oftheEnglishversion.
