GoogleWorkspaceMarketplaceTermsofService Introduction 1.1TheGoogleWorkspaceMarketplace("Market")isownedandoperatedbyGoogle Inc.YouruseoftheMarketisgovernedbyalegalagreementbetweenyouandGoogle consistingoftheGoogleTermsofService(foundathttps://www.google.com/policies/terms/)andtheseGoogleWorkspace MarketplaceTermsofService(togethercalledthe"Terms").Inaddition,youruse oftheMarketissubjecttotheProgramPolicies(foundathttp://code.google.com/googleapps/marketplace/policies.html).The GoogleWorkspaceMarketplaceTermsofService,GoogleWorkspaceMarketplaceProgram Policies,andGoogleTermsofServiceshalltakeprecedenceinthatorderinthe eventofaconflictbetweenthem,totheextentofsuchconflict. 1.2YoumayuseGoogleWorkspaceMarketplacetobrowse,locate,ordownload “Products”(definedassoftware,contentanddigitalmaterialscreatedforusein connectionwithGoogleWorkspaceanddistributedviatheMarket)forusein connectionwithGoogleWorkspace.EachProductismadeavailablebythedeveloper oftheProduct,whichistypicallyathirdpartynotaffiliatedwithGoogle.Google isnotresponsibleforanyProductontheMarketthatoriginatesfromasource otherthanGoogle,andyoushouldensurethatyoureadandagreetoanyadditional termsthatapplytothoseProductsbeforeaccessingorusingthem.Additionally, someProductsmaybemadeavailabletoyouatnochargewhileothersmayrequire thepaymentoffeesdirectlytothedeveloperoftheProduct.Noneofthese paymentsareprocessedbyGoogleorthroughtheMarket.Youaresolelyresponsible forallfeesassociatedwithpurchasesyoumakeoutsideoftheMarket.Googleis notresponsibleforestablishingthepriceofProductsavailablethroughtheMarket anddoesnothavetheabilitytoissueanyrefundsorcreditsforProducts purchasedfromthirdparties. 1.3YouaccepttheTermsbyeither(a)clickingtoagreeoracceptwherethese optionsarepresentedtoyou,or(b)actuallyusingtheGoogleWorkspace Marketplace.PleasedonotusetheMarketunlessyouagreetotheTerms. 1.4IfyouareacceptingtheTermsonbehalfofyouremployeroranotherentity, yourepresentandwarrantthat:(a)youhavefulllegalauthoritytobindyour employerorsuchentitytotheTerms;(b)thatyouhavereadandunderstandthe Terms;and(c)thatyouagree,onbehalfofthepartythatyourepresent,tothe Terms.Ifyoudon'thavethelegalauthoritytobind,pleasedonotclickthe"I Accept"buttonorusetheGoogleWorkspaceMarketplace. 1.5IfyouareaGoogleWorkspacereseller,you:(a)willensurethatyourGoogle Workspacecustomer("Customer")isnotifiedofandacceptstheTerms,withno alterationoramendment(unlessotherwiseexpresslyagreedinwritingbyGoogle); and(b)willnotaccept(orallowanyotherthirdpartytoaccept)theTermson behalfofaCustomer,exceptwhereyouhavebeenexpresslyauthorizedtodosoon theCustomer'sbehalf. 1.6InordertousetheMarketyoumustbe13yearsofageorolder.Ifyouare between13and18yearsofage,youmusthaveyourparentorlegalguardian's permissiontousetheMarket. Google'sProvisionofGoogleWorkspaceMarketplace 2.1Googlemaystop(permanentlyortemporarily)providingtheMarket(orany featureswithintheMarket)toyouortousersgenerallyatGoogle'ssole discretion,withoutpriornoticetoyou.YouraccesstoProductsyouhave previouslydownloadedthroughtheMarketwillnotnecessarilybeaffectedbythe unavailabilityoftheMarket,assuchaccessiscontrolledbythedeveloperofeach Product. 2.2Googlemaydisableaccesstoyouraccount-forexample,forsecurityreasons orduetoyourmaterialviolationoftheTerms.Ifyouraccountisdisabled,you maybepreventedfromaccessingtheMarket,youraccountdetailsoranyProductsor otherfilesthatarestoredwithyouraccount. 2.3SupportfortheuseandoperationoftheMarket(includinghowtofind, download,andremoveProducts)isprovidedbyGoogleintheuserinterfaceofthe Marketapplication.GoogledoesnotprovidecustomersupportforProducts distributedbythirdpartydevelopersontheMarket.Eachdeveloperisresponsible fordeterminingthelevelofcustomersupportthedeveloperprovidesandyoushould contactthedeveloperdirectly. 2.4Fromtimetotime,GooglemaydiscoveraProductontheMarketthatviolates theGoogleWorkspaceMarketplaceDeveloperDistributionAgreementorotherlegal agreements,laws,regulationsorpolicies.InsuchaninstanceGoogleretainsthe righttoremovesuchaProductfromtheMarketorGoogleWorkspaceatitssole discretion. YourUseofGoogleWorkspaceMarketplace 3.1InordertoaccesscertainservicesintheMarket,youmayberequiredto provideinformationaboutyourselfsuchasyourname,address,andbillingdetails. ItisyourresponsibilitytoensurethatanysuchinformationyouprovidetoGoogle isaccurate,correctanduptodate. 3.2YoumayonlyusetheMarketforpurposesthatarepermittedby(a)theTerms and(b)anyapplicablelaw,regulationorgenerallyacceptedpracticesor guidelinesinthejurisdictionwhereyouusetheMarketorasnotedinSection11.6 below. 3.3Youmustnotaccess(orattempttoaccess)theMarketbyanymeansotherthan throughtheinterfacethatisprovidedbyGoogle,unlessyouhavebeenspecifically allowedtodosoinaseparateagreementwithGoogle.Forexample,youmustnot access(orattempttoaccess)theMarketthroughanyautomatedmeans(includinguse ofscripts,crawlers,orsimilartechnologies)andyoumustensurethatyoucomply withtheinstructionssetoutinanyrobots.txtfilepresentontheMarketwebsite. 3.4YoumustnotengageinanyactivitythatinterfereswithordisruptstheMarket (ortheserversandnetworkswhichareconnectedtotheMarket).Youmustnotuse anyoftheProductsfoundontheMarketinawaythatinterferesordisruptsany servers,networks,orwebsitesoperatedbyGoogleoranythird-party. 3.5Unlessyouhavebeenspecificallypermittedtodosoinaseparateagreement withGoogle,youmustnotreproduce,duplicate,copy,sell,tradeorresellthe Marketforanypurpose.Youmustnotreproduce,duplicate,copy,sell,tradeor resellanyProductfromtheMarketforanypurpose,unlessyouhavebeen specificallypermittedtodosoinaseparateagreementwiththedeveloperofsuch Product. 3.6YouaresolelyresponsibleforyouruseoftheMarketandanyProducts,any breachofyourobligationsundertheTerms,andfortheconsequences(including lossordamageofanykindwhichGooglemaysuffer)ofanysuchbreach. 3.7IfyouusetheMarketorProductsobtainedthroughtheMarketforbusiness purposes,youagreetocomplywithanyandallapplicabletaxlaws,includingbut notlimitedtothereportingandpaymentofanytaxesarisinginconnectionwith youruseoftheMarketorthepurchaseofProductsfromthirdpartiesnot affiliatedwithGoogle.Thereportingandpaymentofanysuchapplicabletaxesare yourresponsibility. 3.8Googleorthirdpartiesownallright,titleandinterestinandtotheMarket andtheProductsavailablethroughtheMarket,includingwithoutlimitationall applicableIntellectualPropertyRightsintheProducts."IntellectualProperty Rights"meansanyandallrightsexistingunderpatentlaw,copyrightlaw,trade secretlaw,trademarklaw,unfaircompetitionlaw,andanyandallother proprietaryrightsworldwide.Youmustnot(andmustnotallowanythirdpartyto): (a)copy,sell,license,distribute,transfer,modify,adapt,translate,prepare derivativeworksfrom,decompile,reverseengineer,disassembleorotherwise attempttoderivesourcecodefromtheProducts,unlessotherwisepermittedunder applicablelaw,(b)takeanyactiontocircumventordefeatthesecurityorcontent usagerulesprovided,deployedorenforcedbyanyfunctionality(includingwithout limitationdigitalrightsmanagementorforward-lockfunctionality)inthe Products,(c)usetheProductstoaccess,copy,transfer,transcodeorretransmit contentinviolationofanylaworthirdpartyrights,or(d)remove,obscure,or alterGoogle'soranythirdparty'scopyrightnotices,trademarks,orother proprietaryrightsnoticesaffixedtoorcontainedwithintheProducts. 3.9Googlereservestheright(butshallhavenoobligation)toreview,flag, filter,modify,refuseorremoveanyorallProductsfromtheMarket.However,by usingtheMarketyoumaybeexposedtoProductsthatyoumayfindoffensive, indecentorobjectionable.YouusetheMarketatyourownrisk. 3.10ChargebackandBillingDisputes:Googleisnotresponsibleforbilling disputesarisingfrompurchasesmadeforProductsavailablethroughtheMarket.If youarerequiredtopayafeeforanyProductmadeavailablethroughtheMarket, thisfeeispaiddirectlytothedeveloperoftheProduct,andthedeveloperisa thirdpartythatisnotaffiliatedwithGoogle.Allbillingissuesshouldbe directedtothedeveloperinquestion,thepaymentprocessor,oryourcreditcard companyasappropriate. GoogleServicesandThirdPartyProductsandServices 4.1SomeProductsmaycontainfeaturesthatareusedinconjunctionwithGoogle's searchandotherservices.YouruseofsuchfeaturesinthoseProductsisalso governedbyGoogle'sTermsofServicelocatedathttps://www.google.com/policies/terms/,Google'sPrivacyPolicy locatedathttps://www.google.com/policies/privacy/,aswellasanyapplicable GoogleService-specificTermsofServiceandPrivacyPolicy. 4.2SomecomponentsofProductsmayalsobegovernedbyapplicableopensource softwarelicenses.Tothelimitedextentthattheopensourcesoftwarelicenses expresslysupersedetheseTerms,theopensourcelicensesgovernyouragreement withGooglefortheuseofanycomponentsofProductsthataregovernedbyopen sourcesoftwarelicenses. AutomaticUpdates Products,includingProductsdevelopedandmadeavailablebythirdparty developers,maycommunicatewithGoogleorthird-partyserversfromtimetotimeto checkforavailableupdatestotheProductssuchasbugfixes,patches,enhanced functions,missingplug-insandnewversions.InstallingtheseProductsmeansthat suchupdatesmaybeautomaticallyrequestedandinstalledwithoutfurthernoticeto you. ExportRestrictions ProductsavailableontheMarketmaybesubjecttoexportcontrolsbytheUnited Statesorothercountriesorterritories,includingrestrictionsondestinations, endusers,andenduse.InusingtheMarket,youmustcomplywithallapplicable U.S.andinternationalexportlawsandregulations,including,butnotlimitedto, theUnitedStatesDepartmentofCommerce'sExportAdministrationRegulationsand sanctionsprogramsadministeredbytheUnitedStatesTreasuryDepartment'sOffice ofForeignAssetsControl.Youmustalsocomplywithalllocallawsandregulations regardingthedownload,installationoruseoftheProducts.ByusingtheMarket, youspecificallyrepresentandwarrantthatyouarenotprohibitedfromreceiving exportsorservicesunderUSorotherapplicableexportlaws. Indemnification IfyouusetheMarketorProductsavailablethroughtheMarketonbehalfofa business,thatbusinesswillholdharmlessandindemnifyGoogleanditsaffiliates, officers,agents,andemployeesfromanyclaim,suitoractionarisingfromor relatedtotheuseoftheMarketorProductsorviolationoftheseterms,including anyliabilityorexpensearisingfromclaims,losses,damages,suits,judgments, litigationcostsandattorneys’fees. Termination 8.1TheseTermswillcontinuetoapplyuntilterminatedbyeitheryouorGoogleas setoutbelow. 8.2IfyouwanttoterminatetheseTerms,youmaydosobyceasingyouruseof MarketandallProductsobtainedthroughtheMarket. 8.3Googlemayatanytime,terminatetheseTermswithyouif:(a)youhave materiallybreachedanyprovisionoftheseTerms;or(b)Googleisrequiredtodo sobylaw;or(c)GoogledecidestonolongerprovidetheMarket. 8.4WhentheseTermscometoanend,allofthelegalrights,obligationsand liabilitiesthatyouandGooglehavebenefitedfrom,beensubjectto(orwhichhave accruedovertimewhilsttheseTermshavebeeninforce)orwhichareexpressedto continueindefinitely,shallbeunaffected.TheprovisionsofSection11.6shall continuetoapplytosuchrights,obligationsandliabilitiesindefinitely. DISCLAIMEROFWARRANTIES 9.1YOURUSEOFTHEMARKETANDANYPRODUCTSOBTAINEDTHROUGHTHEMARKETISATYOUR SOLERISK.OTHERTHANASEXPRESSLYSTATED,GOOGLEPROVIDESTHEMARKETANDPRODUCTS “ASIS”AND“ASAVAILABLE.”GOOGLEDOESNOTMAKEORIMPLYANYWARRANTIESOR COMMITMENTSABOUTTHEMARKETANDTHEPRODUCTS,INCLUDINGBUTNOTLIMITEDTOTHE SPECIFICFUNCTIONALITYAVAILABLETHROUGHTHEMARKETORTHEPRODUCTS,THEIR RELIABILITY,AVAILABILITY,ORABILITYTOMEETYOURNEED SOMEJURISDICTIONSPROVIDEFORCERTAINWARRANTIES,LIKETHEIMPLIEDWARRANTYOF MERCHANTABILITY,FITNESSFORAPARTICULARPURPOSEANDNON-INFRINGEMENT.TOTHE EXTENTPERMITTEDBYLAW,GOOGLEEXCLUDESALLWARRANTIES. 9.2YOUARESOLELYRESPONSIBLEFORANYDAMAGETOYOURCOMPUTERSYSTEM,MOBILE DEVICE,OROTHERDEVICE,ORLOSSOFDATATHATRESULTSFROMYOURUSEOFTHEMARKET ORANYPRODUCTSOBTAINEDTHROUGHTHEMARKET. 9.3NONEOFTHEPRODUCTSAREINTENDEDFORUSEINTHEOPERATIONOFNUCLEAR FACILITIES,LIFESUPPORTSYSTEMS,EMERGENCYCOMMUNICATIONS,AIRCRAFTNAVIGATIONOR COMMUNICATIONSYSTEMS,AIRTRAFFICCONTROLSYSTEMS,ORANYOTHERSUCHACTIVITIESIN WHICHCASETHEFAILUREOFTHEPRODUCTSCOULDLEADTODEATH,PERSONALINJURY,OR SEVEREPHYSICALORENVIRONMENTALDAMAGE. LIMITATIONOFLIABILITY 10.1WHENPERMITTEDBYLAW,GOOGLE,ANDITSSUBSIDIARIESANDAFFILIATES,WILLNOT BERESPONSIBLEFOR:LOSTPROFITSORREVENUES,LOSSOFDATA,FINANCIALLOSSES;OR INDIRECT,SPECIAL,CONSEQUENTIAL,EXEMPLARY,ORPUNITIVEDAMAGES. 10.2TOTHEEXTENTPERMITTEDBYLAW,THETOTALLIABILITYOFGOOGLE,ANDITS SUBSIDIARIESANDAFFILIATES,FORANYCLAIMSUNDERTHESETERMS,INCLUDINGFORANY IMPLIEDWARRANTIES,ISLIMITEDTOTHEAMOUNTYOUPAIDUSTOUSETHESERVICES(OR, IFWECHOOSE,TOSUPPLYINGYOUTHESERVICESAGAIN). 10.3INALLCASES,GOOGLE,ANDITSSUBSIDIARIESANDAFFILIATES,WILLNOTBELIABLE FORANYLOSSORDAMAGETHATISNOTREASONABLYFORESEEABLE. 10.4WERECOGNIZETHATINSOMECOUNTRIES,YOUMIGHTHAVELEGALRIGHTSASA CONSUMER.IFYOUAREUSINGTHEMARKETORPRODUCTSFORAPERSONALPURPOSE,THEN NOTHINGINTHESETERMSLIMITSANYCONSUMERLEGALRIGHTSWHICHMAYNOTBEWAIVEDBY CONTRACT. GeneralLegalTerms 11.1GoogleintendstorelyonlyupontheseTermsinrelationtoyouruseofthe MarketorProducts. 11.2IfyoudonotcomplywiththeseTerms,andGoogledoesnottakeactionright away,thisdoesnotmeanthatGoogleisgivingupanyrightsthatitmayhave(such astakingactioninthefuture). 11.3IfanyoftheseTerms(orpartofaTerm)isinvalid,therestoftheTerms willremainineffect. 11.4Youacknowledgeandagreethateachmemberofthegroupofcompaniesofwhich GoogleistheparentshallbethirdpartybeneficiariestotheseTermsandthat suchothercompaniesshallbeentitledtodirectlyenforce,andrelyupon,any provisionoftheseTermsthatconfersabenefiton(orrightsinfavorof)them. Otherthanthis,nootherpersonorcompanyshallbethirdpartybeneficiariesto theseTerms. 11.5Googleisallowedatanytimeeithertoassignorsubcontractallorpartof itsroleundertheseTermstooneormoreGoogleentities.WhereGooglehas assignedorsubcontractedallorpartofourrole,Googleshallberesponsiblefor anybreachoftheseTermsbytherelevantassigneeorsubcontractor. 11.6a.IfyouusetheMarketorProductsavailablethroughtheMarketforbusiness purposes:TheseTermsandyourrelationshipwithGoogleundertheseTermsshallbe governedbythelawsoftheStateofCalifornia,U.S.A.,withoutregardtoits conflictoflawsprovisions.YouandGoogleagreetosubmittotheexclusive jurisdictionofthecourtslocatedwithinthecountyofSantaClara,California, U.S.A.,toresolveanylegalmatterarisingfromtheseTerms.Notwithstandingthis, youagreethatGoogleshallstillbeallowedtoapplyforinjunctiveremedies(or anequivalenttypeofurgentlegalrelief)inanyjurisdiction. b.IfyouusetheMarketorProductsavailablethroughtheMarketforpersonal purposes:ThecourtsinsomecountrieswillnotapplyCalifornialawtosometypes ofdisputes.Ifyouresideinoneofthosecountries,thenwhereCalifornialawis excludedfromapplying,yourcountry’slawswillapplytosuchdisputesrelatedto theseterms.Otherwise,youagreethatthelawsofCalifornia,U.S.A.,excluding California’schoiceoflawrules,willapplytoanydisputesarisingoutofor relatingtothesetermsortheServices.Similarly,ifthecourtsinyourcountry willnotpermityoutoconsenttothejurisdictionandvenueofthecourtsinSanta ClaraCounty,California,U.S.A.,thenyourlocaljurisdictionandvenuewillapply tosuchdisputesrelatedtotheseterms.Otherwise,allclaimsarisingoutofor relatingtothesetermsortheserviceswillbelitigatedexclusivelyinthe federalorstatecourtsofSantaClaraCounty,California,U.S.A.,andyouand Googleconsenttopersonaljurisdictioninthosecourts.
