Termsofuse LastupdateFeb4,2022 1.Acceptanceofterms 1.1VideoWiseisaproductofReeviewInc.ReeviewInc. (“Company”or“we”)providesitsService(asdefinedbelow)toyouthroughitswebsitelocatedathttps://www.videowise.com(referredtohereinasthe“Site”),subjecttothisTermsofServiceagreement(“TOS”). ByacceptingthisTOSorbyaccessingorusingtheServiceorSite,youacknowledgethatyouhaveread,understood,andagreetobeboundbythisTOS.IfyouareenteringintothisTOSonbehalfofacompany,businessorotherlegalentity,yourepresentthatyouhavetheauthoritytobindsuchentityanditsaffiliatestothisTOS,inwhichcasetheterms“you”or“your”shallrefertosuchentityanditsaffiliates.Ifyoudonothavesuchauthority,orifyoudonotagreewiththisTOS,youmustnotacceptthisTOSandmaynotusetheService. 1.2CompanymaychangethisTOSfromtimetotimebyprovidingthirty(30)dayspriornoticeeitherbyemailingtheemailaddressassociatedwithyouraccountorbypostinganoticeontheSite. YoucanreviewthemostcurrentversionofthisTOSatanytimeathttps://www.videowise.com/terms.Therevisedtermsandconditionswillbecomeeffectivethirty(30)daysafterwepostorsendyounoticeofsuchchanges,andifyouusetheServiceafterthatdate,yourusewillconstituteacceptanceoftherevisedtermsandconditions.IfanychangetothisTOSisnotacceptabletoyou,youronlyremedyisstopusingtheServicesandsendacancellationemailtosupport@videowise.com. 1.3Aspartoftheregistrationprocess,youwillidentifyanadministrativeemailaddressandpasswordforyouraccount(“Account”). 2.Descriptionofservice The“Service”includes(a)theSite,(b)Company’sservicesandproductsenablingyoutodisplaythirdpartyproductvideoreviewsorunboxingonyourwebsite,and(c)allsoftware(includingtheSoftware,asdefinedbelow),data,reports,text,images,sounds,video,andcontentmadeavailablethroughanyoftheforegoing(collectivelyreferredtoasthe“Content”).AnynewfeaturesaddedtooraugmentingtheServicearealsosubjecttothisTOS. 3.Generalconditions/accessanduseoftheservice 3.1SubjecttothetermsandconditionsofthisTOS,youmayaccessandusetheServiceonlyforlawfulpurposes.Allrights,titleandinterestinandtotheServiceanditscomponentswillremainwithandbelongexclusivelytoCompany. Youshallnot(a)sublicense,resell,rent,lease,transfer,assign,timeshareorotherwisecommerciallyexploitormaketheServiceavailabletoanythirdparty;(b)usetheServiceinanyunlawfulmanner(includingwithoutlimitationinviolationofanydata,privacyorexportcontrollaws)orinanymannerthatinterfereswithordisruptstheintegrityorperformanceoftheServiceoritscomponents,or(c)modify,adaptorhacktheServiceto,orotherwiseattempttogainunauthorizedaccesstotheServiceoritsrelatedsystemsornetworks.Youshallcomplywithanycodesofconduct,policiesorothernoticesCompanyprovidesyouorpublishesinconnectionwiththeService,andyoushallpromptlynotifyCompanyifyoulearnofasecuritybreachrelatedtotheService. 3.2AnysoftwarethatmaybemadeavailablebyCompanyinconnectionwiththeService(“Software”)containsproprietaryandconfidentialinformationthatisprotectedbyapplicableintellectualpropertyandotherlaws. SubjecttothetermsandconditionsofthisTOS,Companyherebygrantsyouanon-transferable,non-sublicensableandnon-exclusiverightandlicensetousetheobjectcodeofanySoftwareonasingledevicesolelyinconnectionwiththeService,providedthatyoushallnot(andshallnotallowanythirdpartyto)copy,modify,createaderivativeworkof,reverseengineer,reverseassembleorotherwiseattempttodiscoveranysourcecodeorsell,assign,sublicenseorotherwisetransferanyrightinanySoftware.YouagreenottoaccesstheServicebyanymeansotherthanthroughtheinterfacethatisprovidedbyCompanyforuseinaccessingtheService.AnyrightsnotexpresslygrantedhereinarereservedandnolicenseorrighttouseanytrademarkofCompanyoranythirdpartyisgrantedtoyouinconnectionwiththeService. 3.3Youaresolelyresponsibleforalldata,information,feedback,suggestions,text,contentandothermaterialsthatyouupload,post,deliver,provideorotherwisetransmitorstore(hereafter“post(ing)”)inconnectionwithorrelatingtotheService(“YourContent”).YouagreetocooperatewithandprovidereasonableassistancetoCompanyinpromotingandadvertisingtheServices. 3.4Youareresponsibleformaintainingtheconfidentialityofyourlogin,passwordandaccountandforallactivitiesthatoccurunderyourloginoraccount.Companyreservestherighttoaccessyouraccountinordertorespondtoyourrequestsfortechnicalsupport. BypostingYourContentonorthroughtheService,youherebydoandshallgrantCompanyaworldwide,non-exclusive,perpetual,irrevocable,royalty-free,fullypaid,sublicensableandtransferablelicensetouse,modify,reproduce,distribute,display,publishandperformYourContentinconnectionwiththeService.Companyhastheright,butnottheobligation,tomonitortheService,Content,orYourContent.YoufurtheragreethatCompanymayremoveordisableanyContentatanytimeforanyreason(including,butnotlimitedto,uponreceiptofclaimsorallegationsfromthirdpartiesorauthoritiesrelatingtosuchContent),orfornoreasonatall. 3.5YouunderstandthattheoperationoftheService,includingYourContent,maybeunencryptedandinvolve(a)transmissionsovervariousnetworks;(b)changestoconformandadapttotechnicalrequirementsofconnectingnetworksordevicesand(c)transmissiontoCompany’sthirdpartyvendorsandhostingpartnerstoprovidethenecessaryhardware,software,networking,storage,andrelatedtechnologyrequiredtooperateandmaintaintheService. Accordingly,youacknowledgethatyoubearsoleresponsibilityforadequatesecurity,protectionandbackupofYourContent.CompanywillhavenoliabilitytoyouforanyunauthorizedaccessoruseofanyofYourContent,oranycorruption,deletion,destructionorlossofanyofYourContent. 3.6Youshallberesponsibleforobtainingandmaintaininganyequipmentandancillaryservicesneededtoconnectto,accessorotherwiseusetheServices,including,withoutlimitation,modems,hardware,server,software,operatingsystem,networking,webservers,longdistanceandlocaltelephoneservice(collectively,“Equipment”). YoushallberesponsibleforensuringthatsuchEquipmentiscompatiblewiththeServices(and,totheextentapplicable,theSoftware)andcomplieswithallconfigurationsandspecificationssetforthinCompany’spublishedpoliciesthenineffect.YoushallalsoberesponsibleformaintainingthesecurityoftheEquipment,yourAccount,passwords(includingbutnotlimitedtoadministrativeanduserpasswords)andfiles,andforallusesofyourAccountortheEquipmentwithorwithoutyourknowledgeorconsent. 3.7ThefailureofCompanytoexerciseorenforceanyrightorprovisionofthisTOSshallnotbeawaiverofthatright.YouacknowledgethatthisTOSisacontractbetweenyouandCompany,eventhoughitiselectronicandisnotphysicallysignedbyyouandCompany,anditgovernsyouruseoftheService. 3.8Companyreservestherighttouseyournameand/orcompanynameasareferenceformarketingorpromotionalpurposesonCompany’swebsiteandinothercommunicationwithexistingorpotentialCompanycustomers.TodeclineCompanythisrightyouneedtoemailsupport@videowise.comstatingthatyoudonotwishtobeusedasareference. 3.9Subjecttothetermshereof,Companymay(buthasnoobligationto)providetechnicalsupportservices,throughemailinaccordancewithourstandardpractice. 4.Subscription,freetrials,billing 4.1TotheextenttheServiceoranyportionthereofismadeavailableforanyfee,youwillberequiredtoselectapaymentplanandprovideCompanyinformationregardingyourcreditcardorotherpaymentinstrument. YourepresentandwarranttoCompanythatsuchinformationistrueandthatyouareauthorizedtousethepaymentinstrument.Youwillpromptlyupdateyouraccountinformationwithanychanges(forexample,achangeinyourcreditcardexpirationdate)thatmayoccur.YouagreetopayCompanytheamountthatisspecifiedinthepaymentplaninaccordancewiththetermsofsuchplanandthisTOS.YouherebyauthorizeCompanytobillyourpaymentinstrumentinadvanceonaperiodicbasisinaccordancewiththetermsoftheapplicablepaymentplanuntilyouterminateyouraccount,andyoufurtheragreetopayanychargessoincurred.IfyoudisputeanychargesyoumustletCompanyknowwithinsixty(60)daysafterthedatethatCompanyinvoicesyou.WereservetherighttochangeCompany’sprices.IfCompanydoeschangeprices,CompanywillprovidenoticeofthechangeontheSiteorinemailtoyou,atCompany’soption,atleast30daysbeforethechangeistotakeeffect.YourcontinueduseoftheServiceafterthepricechangebecomeseffectiveconstitutesyouragreementtopaythechangedamount.Companymaychoosetobillthroughaninvoice,inwhichcase,fullpaymentforinvoicesissuedinanygivenmonthmustbereceivedbyCompanythirty(30)daysafterthemailingdateoftheinvoice,ortheServicesmaybeterminated.YoushallberesponsibleforalltaxesassociatedwithServicesotherthanU.S.taxesbasedonCompany’snetincome.Wemayofferanumberofsubscriptionplans,includingspecialpromotionalplanswithdifferingconditionsandlimitations. 4.2Thefreetrialperiodofyourmembershiplastsfor14days,orasotherwisespecifiedduringsign-up. Forcombinationswithotheroffers,restrictionsmayapply.Reeviewreservestheright,initsabsolutediscretion,todetermineyourfreetrialeligibility.WewillbeginbillingyourPaymentMethodformonthlysubscriptionfeesattheendofthefreetrialperiodofyoursubscriptionunlessyoucancelpriortotheendofthefreetrialperiod.Toviewthespecificdetailsofyoursubscription,includingnumberofmonthlyimpressions,subscriptionpriceandenddateofyourfreetrialperiod,visityourhttps://app.reeview.appandaccessthePlantabwithinAccountpage.WemayauthorizeyourPaymentMethodthroughvariousmethods,includingauthorizingituptoapproximatelyonemonthoryearofserviceassoonasyouregister.Youwillnotreceiveanoticefromusthatyourfreetrialperiodhasendedorthatthepayingportionofyoursubscriptionhasbegun. 4.3PAYMENTSARENONREFUNDABLEANDTHEREARENOREFUNDSORCREDITSFORPARTIALLYUSEDPERIODS. Followinganycancellation,however,youwillcontinuetohaveaccesstotheservicethroughtheendofyourcurrentbillingperiod.Atanytime,andforanyreason,wemayprovidearefund,discount,orotherconsiderationtosomeorallofourmembers.Theamountandformofsuchcredits,andthedecisiontoprovidethem,areatoursoleandabsolutediscretion. 5.Thirdpartycontentandexternallinks 5.1SomeinformationmadeavailableonorthroughtheSiteorServicesisprovidedbythirdpartiessuchascontentdistributorsandaggregators(“ThirdPartyContent”). ReeviewAPIClienthasbeenreviewedandapprovedbyYouTubeascompliantwithYouTubeAPIServices,TermsofServiceandGooglePrivacyPolicy.ReeviewdoesnotownorstoreanyoftheYouTubevideos.AllvideosareembeddedusingYouTube’sAPIServices.ReeviewcannotbeheldaccountablefortheYouTubevideosdisplayedonyourwebsite.AnydisputesregardingYouTubevideocontentcanbereportedbythevideo’srightfulownerandattheirrequestcanberemovedfromyourReeviewaccount.OwnersofthevideosdisplayedinyoursitecanatanytimerestrictembeddingfromtheirYouTubeaccount.Formoreinformationaboutthispleasegotohttps://support.google.com/youtube/answer/6301625?hl=en. 6.Representationsandwarranties YourepresentandwarranttoCompanythat(i)youhavefullpowerandauthoritytoenterintothisTOS;(ii)youownallYourContentorhaveobtainedallpermissions,releases,rightsorlicensesrequiredtoengageinyourpostingandotheractivities(andallowCompanytoperformitsobligations)inconnectionwiththeServiceswithoutobtaininganyfurtherreleasesorconsents;(iii)YourContentandotheractivitiesinconnectionwiththeService,andCompany’sexerciseofallrightsandlicensegrantedbyyouherein,donotandwillnotviolate,infringe,ormisappropriateanythirdparty’scopyright,trademark,rightofprivacyorpublicity,orotherpersonalorproprietaryright,nordoesYourContentcontainanymatterthatisdefamatory,obscene,unlawful,threatening,abusive,tortious,offensiveorharassing;and(iv)youareeighteen(18)yearsofageorolder. 7.Termination YoucancancelyourfreetrialorsubscriptionatanytimebyloggingintoyourShopifyaccountanddeletingthe"VideoWise-ShoppableVideos"app.WEDONOTPROVIDEREFUNDSORCREDITSFORANYPARTIAL-MONTHMEMBERSHIPPERIODS.Ifyouarehavinganytroublewiththisaction,contactusatsupport@videowise.comWewillcontinuetobillyourPaymentMethodonamonthlyoryearlybasisforyoursubscriptionfeeuntilyoucancel.Subjecttoearlierterminationasprovidedbelow,CompanymayterminateyourAccountandthisTOSatanytimebyprovidingthirty(30)dayspriornoticetotheadministrativeemailaddressassociatedwithyourAccount.Inadditiontoanyotherremedieswemayhave,CompanymayalsoterminatethisTOSuponthirty(30)days’notice(orten(10)daysinthecaseofnonpayment),ifyoubreachanyofthetermsorconditionsofthisTOS.Companyreservestherighttomodifyordiscontinue,temporarilyorpermanently,theService(oranypartthereof).Deletingthe"VideoWise-ShoppableVideos"appfromyourShopifyaccountwillresultinthedeletionofpersonaldataalongwithallyourvideo files,videoimports,associatedYouTubevideolinks,analyticsdataandanyscriptsinstalledonyourShopifystore.CompanymayalsoatitssolediscretionlimitaccesstotheSiteand/orterminatethemembershipsofanyuserswhouseabuseoftheapplication'sfunctionalityortheCompany'steamorservices.AllofYourContentontheService(ifany)maybepermanentlydeletedbyCompanyuponanyterminationofyouraccountinitssolediscretion.AllaccruedrightstopaymentshallsurviveterminationofthisTOS. 8.Disclaimerofwarranties TheServicesmaybetemporarilyunavailableforscheduledmaintenanceorforunscheduledemergencymaintenance,eitherbyCompanyorbythird-partyproviders,orbecauseofothercausesbeyondourreasonablecontrol.HOWEVER,THESERVICE,INCLUDINGTHESITEANDCONTENT,ANDALLSERVERANDNETWORKCOMPONENTSAREPROVIDEDONAN“ASIS”AND“ASAVAILABLE”BASISWITHOUTANYWARRANTIESOFANYKIND,ANDCOMPANYEXPRESSLYDISCLAIMSANYANDALLWARRANTIES,WHETHEREXPRESSORIMPLIED,INCLUDING,BUTNOTLIMITEDTO,THEIMPLIEDWARRANTIESOFMERCHANTABILITY,TITLE,FITNESSFORAPARTICULARPURPOSE,ANDNON-INFRINGEMENT.YOUACKNOWLEDGETHATCOMPANYDOESNOTWARRANTTHATTHESERVICEWILLBEUNINTERRUPTED,TIMELY,SECURE,ERROR-FREEORVIRUS-FREE,NORDOESITMAKEANYWARRANTYASTOTHERESULTSTHATMAYBEOBTAINEDFROMUSEOFTHESERVICES,ANDNOINFORMATION,ADVICEORSERVICESOBTAINEDBYYOUFROMCOMPANYORTHROUGHTHESERVICESHALLCREATEANYWARRANTYNOTEXPRESSLYSTATEDINTHISTOS. 9.Limitationofliability 9.1UNDERNOCIRCUMSTANCESANDUNDERNOLEGALTHEORY(WHETHERINCONTRACT,TORT,OROTHERWISE)SHALLCOMPANYBELIABLETOYOUORANYTHIRDPARTYFOR(A)ANYINDIRECT,INCIDENTAL,SPECIAL,EXEMPLARY,CONSEQUENTIALORPUNITIVEDAMAGES,INCLUDINGLOSTPROFITS,LOSTSALESORBUSINESS,LOSTDATA,OR(B)FORANYDIRECTDAMAGES,COSTS,LOSSESORLIABILITIESINEXCESSOFTHEFEESACTUALLYPAIDBYYOUINTHESIX(6)MONTHSPRECEDINGTHEEVENTGIVINGRISETOYOURCLAIMOR,IFNOFEESAPPLY,ONEHUNDRED($100)U.S.DOLLARS. THEPROVISIONSOFTHISSECTIONALLOCATETHERISKSUNDERTHISTOSBETWEENTHEPARTIES,ANDTHEPARTIESHAVERELIEDONTHESELIMITATIONSINDETERMININGWHETHERTOENTERINTOTHISTOS. 9.2Somestatesdonotallowtheexclusionofimpliedwarrantiesorlimitationofliabilityforincidentalorconsequentialdamages,whichmeansthatsomeoftheabovelimitationsmaynotapplytoyou.INTHESESTATES,COMPANY’SLIABILITYWILLBELIMITEDTOTHEGREATESTEXTENTPERMITTEDBYLAW. 10.Indemnification Youshalldefend,indemnify,andholdharmlessCompanyfromandagainstanyclaims,actionsordemands,includingwithoutlimitationreasonablelegalandaccountingfees,arisingorresultingfromyourbreachofthisTOS,anyofYourContent,oryourotheraccess,contributionto,useormisuseoftheService.Companyshallprovidenoticetoyouofanysuchclaim,suitordemand.Companyreservestherighttoassumetheexclusivedefenseandcontrolofanymatterwhichissubjecttoindemnificationunderthissection.Insuchcase,youagreetocooperatewithanyreasonablerequestsassistingCompany’sdefenseofsuchmatter. 11.U.S.Governmentmatters YoumaynotremoveorexportfromtheUnitedStatesorallowtheexportorre-exportoftheServicesoranythingrelatedthereto,oranydirectproductthereofinviolationofanyrestrictions,lawsorregulationsoftheUnitedStatesDepartmentofCommerce,theUnitedStatesDepartmentofTreasuryOfficeofForeignAssetsControl,oranyotherUnitedStatesorforeignagencyorauthority.AsdefinedinFARsection2.101,thesoftwareanddocumentationinstalledbyCompanyonyourEquipment(ifapplicable)are“commercialitems”andaccordingtoDFARsection252.2277014(a)(1)and(5)aredeemedtobe“commercialcomputersoftware”and“commercialcomputersoftwaredocumentation.”ConsistentwithDFARsection227.7202andFARsection12.212,anyusemodification,reproduction,release,performance,display,ordisclosureofsuchcommercialsoftwareorcommercialsoftwaredocumentationbytheU.S.GovernmentwillbegovernedsolelybythetermsofthisTOSandwillbeprohibitedexcepttotheextentexpresslypermittedbythetermsofthisTOS. 12.Assignment YoumaynotassignthisTOSwithoutthepriorwrittenconsentofCompany,butCompanymayassignortransferthisTOS,inwholeorinpart,withoutrestriction. 13.Miscellaneous IfanyprovisionofthisTOSisfoundtobeunenforceableorinvalid,thatprovisionwillbelimitedoreliminatedtotheminimumextentnecessarysothatthisTOSwillotherwiseremaininfullforceandeffectandenforceable.BothpartiesagreethatthisTOSisthecompleteandexclusivestatementofthemutualunderstandingofthepartiesandsupersedesandcancelsallpreviouswrittenandoralagreements,communicationsandotherunderstandingsrelatingtothesubjectmatterofthisTOS,andthatallwaiversandmodificationsmustbeinawritingsignedbybothparties,exceptasotherwiseprovidedherein.Noagency,partnership,jointventure,oremploymentiscreatedasaresultofthisTOSandyoudonothaveanyauthorityofanykindtobindCompanyinanyrespectwhatsoever.InanyactionorproceedingtoenforcerightsunderthisTOS,theprevailingpartywillbeentitledtorecovercostsandattorneys’fees.AllnoticesunderthisTOSwillbeinwritingandwillbedeemedtohavebeendulygivenwhenreceived,ifpersonallydelivered;whenreceiptiselectronicallyconfirmed,iftransmittedbyfacsimileoremail;thedayafteritissent,ifsentfornextdaydeliverybyrecognizedovernightdeliveryservice;anduponreceipt,ifsentbycertifiedorregisteredmail,returnreceiptrequested. 14.Governinglaw ThisTOSshallbegovernedbythelawsoftheStateofDelawarewithoutregardtotheprinciplesofconflictsoflaw.UnlessotherwiseelectedbyCompanyinaparticularinstance,youherebyexpresslyagreetosubmittotheexclusivepersonaljurisdictionofthefederalandstatecourtsoftheCommonwealthofMassachusettsforthepurposeofresolvinganydisputerelatingtoyouraccesstooruseoftheService. 15.Privacy Pleasevisithttps://www.reeview.app/privacytounderstandhowCompanycollectsandusespersonalinformation. 16.DMCA TheDigitalMillenniumCopyrightActof1998(the“DMCA”)providesrecourseforcopyrightownerswhobelievethatmaterialappearingontheInternetinfringestheirrightsunderU.S.copyrightlaw.CompanywillpromptlyprocessandinvestigatenoticesofallegedinfringementandwilltakeappropriateactionsundertheDMCAandotherapplicableintellectualpropertylawswithrespecttoanyallegedoractualinfringement.AnotificationofclaimedcopyrightinfringementshouldbeemailedtoCompany’[email protected](subjectline:“DMCA”TakedownRequest”).
