ContentistheresponsibilityofthepersonorentitythatprovidesittotheService.YouTubeisundernoobligationtohostorserveContent.IfyouseeanyContentyoubelievedoesnotcomplywiththisAgreement,includingbyviolatingtheCommunityGuidelines orthelaw,youcanreportittous. GoogleAccountsandYouTubeChannelsYoucanusepartsoftheService,suchasbrowsingandsearchingforContent,withouthavingaGoogleaccount.However,youdoneedaGoogleaccounttousesomefeatures.WithaGoogleaccount,youmaybeabletolikevideos,subscribetochannels,createyourownYouTubechannel,andmore.YoucanfollowtheseinstructionstocreateaGoogleaccount. CreatingaYouTubechannelwillgiveyouaccesstoadditionalfeaturesandfunctions,suchasuploadingvideos,makingcommentsorcreatingplaylists(whereavailable).HerearesomedetailsabouthowtocreateyourownYouTubechannel. Reservation UsingtheServicedoesnotgiveyouownershipoforrightstoanyaspectoftheService,includingusernamesoranyotherContentpostedbyothersorYouTube. Develop,ImproveandUpdate theService YouTubeisconstantlychangingandimprovingtheService.Aspartofthiscontinualevolution,wemaymakemodificationsorchanges(toallorpartoftheService)suchasaddingorremovingfeaturesandfunctionalities,offeringnewdigitalcontentorservicesordiscontinuingoldones.WemayalsoneedtoalterordiscontinuetheService,oranypartofit,inordertomakeperformanceorsecurityimprovements,makechangestocomplywithlaw,orpreventillegalactivitiesonorabuseofoursystems.Thesechangesmayaffectallusers,someusersorevenanindividualuser. WhentheServicerequiresorincludesdownloadablesoftware(suchastheYouTubeStudioapplication),thatsoftwaremayupdateautomaticallyonyourdeviceonceanewversionorfeatureisavailable,subjecttoyourdevicesettings.IfwemakematerialchangesthatnegativelyimpactyouruseoftheService,we’llprovideyouwithreasonableadvancenotice,exceptinurgentsituationssuchaspreventingabuse,respondingtolegalrequirements,oraddressingsecurityandoperabilityissues.We’llalsoprovideyouwith anopportunitytoexportyourcontent fromyourGoogleAccountusingGoogleTakeout, subjecttoapplicablelawandpolicies.  YourContentandConduct UploadingContent IfyouhaveaYouTubechannel,youmaybeabletouploadContenttotheService.YoumayuseyourContenttopromoteyourbusinessorartisticenterprise.IfyouchoosetouploadContent,youmustnotsubmittotheServiceanyContentthatdoesnotcomplywiththisAgreement(includingtheYouTubeCommunityGuidelines)orthelaw.Forexample,theContentyousubmitmustnotincludethird-partyintellectualproperty(suchascopyrightedmaterial)unlessyouhavepermissionfromthatpartyorareotherwiselegallyentitledtodoso.YouarelegallyresponsiblefortheContentyousubmittotheService.WemayuseautomatedsystemsthatanalyzeyourContenttohelpdetectinfringementandabuse,suchasspam,malware,andillegalcontent. RightsyouGrant YouretainownershiprightsinyourContent.However,wedorequireyoutograntcertainrightstoYouTubeandotherusersoftheService,asdescribedbelow. LicensetoYouTube ByprovidingContenttotheService,yougranttoYouTubeaworldwide,non-exclusive,royalty-free,sublicensableandtransferablelicensetousethatContent(includingtoreproduce,distribute,preparederivativeworks,displayandperformit)inconnectionwiththeServiceandYouTube’s(anditssuccessors’andAffiliates’)business,includingforthepurposeofpromotingandredistributingpartoralloftheService. LicensetoOtherUsers YoualsogranteachotheruseroftheServiceaworldwide,non-exclusive,royalty-freelicensetoaccessyourContentthroughtheService,andtousethatContent,includingtoreproduce,distribute,preparederivativeworks,display,andperformit,onlyasenabledbyafeatureoftheService(suchasvideoplaybackorembeds).Forclarity,thislicensedoesnotgrantanyrightsorpermissionsforausertomakeuseofyourContentindependentoftheService. DurationofLicense ThelicensesgrantedbyyoucontinueforacommerciallyreasonableperiodoftimeafteryouremoveordeleteyourContentfromtheService.Youunderstandandagree,however,thatYouTubemayretain,butnotdisplay,distribute,orperform,servercopiesofyourvideosthathavebeenremovedordeleted. RighttoMonetize YougranttoYouTubetherighttomonetizeyourContentontheService(andsuchmonetizationmayincludedisplayingadsonorwithinContentorchargingusersafeeforaccess).ThisAgreementdoesnotentitleyoutoanypayments.StartingJune1,2021,anypaymentsyoumaybeentitledtoreceivefromYouTubeunderanyotheragreementbetweenyouandYouTube(includingforexamplepaymentsundertheYouTubePartnerProgram,ChannelmembershipsorSuperChat)willbetreatedasroyalties. Ifrequiredbylaw,Googlewillwithholdtaxesfromsuchpayments. RemovingYourContent YoumayremoveyourContentfromtheServiceatanytime.YoualsohavetheoptiontomakeacopyofyourContentbeforeremovingit.YoumustremoveyourContentifyounolongerhavetherightsrequiredbytheseterms. RemovalofContentByYouTube IfwereasonablybelievethatanyofyourContent(1)isinbreachofthisAgreementor (2)maycauseharmtoYouTube,ourusers,orthirdparties,we reservetherightto removeortakedownthatContentinourdiscretion.Wewillnotifyyouwiththereasonforouractionunlesswereasonablybelievethattodoso:(a)wouldbreachthelaworthedirectionofalegalenforcementauthorityorwouldotherwiserisklegalliabilityforYouTubeorourAffiliates;(b)wouldcompromiseaninvestigationortheintegrityoroperationoftheService;or(c)wouldcauseharmtoanyuser,otherthirdparty,YouTubeorourAffiliates.Youcanlearnmoreaboutreportingandenforcement,includinghowtoappealontheTroubleshooting pageofourHelpCenter. CommunityGuidelinesStrikes YouTubeoperatesasystemof“strikes”inrespectofContentthatviolatestheYouTubeCommunityGuidelines.EachstrikecomeswithvaryingrestrictionsandmayresultinthepermanentremovalofyourchannelfromYouTube. AfulldescriptionofhowastrikeaffectsyourchannelisavailableontheCommunityGuidelinesStrikesBasics page.Ifyoubelievethatastrikehasbeenissuedinerror,youmayappealhere. Ifyourchannelhasbeenrestrictedduetoastrike,youmustnotuseanotherchanneltocircumventtheserestrictions.ViolationofthisprohibitionisamaterialbreachofthisAgreementandGooglereservestherighttoterminateyourGoogleaccountoryouraccesstoallorpartoftheService. CopyrightProtection WeprovideinformationtohelpcopyrightholdersmanagetheirintellectualpropertyonlineinourYouTubeCopyrightCenter.IfyoubelieveyourcopyrighthasbeeninfringedontheService,pleasesendusanotice. WerespondtonoticesofallegedcopyrightinfringementaccordingtotheprocessinourYouTubeCopyrightCenter,whereyoucanalsofindinformationabouthowtoresolveacopyrightstrike.YouTube'spoliciesprovideforthetermination,inappropriatecircumstances,ofrepeatinfringers’accesstotheService. AccountSuspension&Termination TerminationsbyYouYoumaystopusingtheServiceatanytime.Followtheseinstructions todeletetheServicefromyourGoogleAccount,whichinvolvesclosingyourYouTubechannelandremovingyourdata.Youalsohavetheoptiontodownloadacopyofyourdatafirst. TerminationsandSuspensionsbyYouTube YouTubereservestherightto suspendorterminateyourGoogleaccountoryouraccesstoallorpartoftheService if(a)youmateriallyorrepeatedlybreachthisAgreement;(b)wearerequiredtodosotocomplywithalegalrequirementoracourtorder;or(c)webelievetherehasbeenconductthatcreates(orcouldcreate)liabilityorharmtoanyuser,otherthirdparty,YouTubeorourAffiliates. NoticeforTerminationorSuspension WewillnotifyyouwiththereasonforterminationorsuspensionbyYouTubeunlesswereasonablybelievethattodoso:(a)wouldviolatethelaworthedirectionofalegalenforcementauthority;(b)wouldcompromiseaninvestigation;(c)wouldcompromise theintegrity, operationorsecurityoftheService;or(d)wouldcauseharmtoanyuser,otherthirdparty,YouTubeorourAffiliates. EffectofAccountSuspensionorTermination IfyourGoogleaccountisterminatedoryouraccesstotheServiceisrestricted,youmaycontinueusingcertainaspectsoftheService(suchasviewingonly)withoutanaccount,andthisAgreementwillcontinuetoapplytosuchuse.Ifyoubelieveyourthattheterminationorsuspensionhasbeenmade inerror,youcanappealusingthisform. AboutSoftwareintheService DownloadableSoftwareWhentheServicerequiresorincludesdownloadablesoftware(suchastheYouTubeStudioapplication),unlessthatsoftwareisgovernedbyadditionaltermswhichprovidealicense,YouTubegivesyouapersonal,worldwide,royalty-free,non-assignableandnon-exclusivelicensetousethesoftwareprovidedtoyoubyYouTubeaspartoftheService.ThislicenseisforthesolepurposeofenablingyoutouseandenjoythebenefitoftheServiceasprovidedbyYouTube,inthemannerpermittedbythisAgreement.Youarenotallowedtocopy,modify,distribute,sell,orleaseanypartofthesoftware,ortoreverse-engineerorattempttoextractthesourcecodeofthatsoftware,unlesslawsprohibittheserestrictionsoryouhaveYouTube’swrittenpermission. THISPROVISIONAPPLIESTOANYCLAIM,REGARDLESSOFWHETHERTHECLAIMASSERTEDISBASEDONWARRANTY,CONTRACT,TORT,ORANYOTHERLEGALTHEORY. TOTHEEXTENTPERMITTEDBYAPPLICABLELAW,YOUTUBEANDITSAFFILIATES’TOTALLIABILITYFORANYCLAIMSARISINGFROMORRELATINGTOTHESERVICEISLIMITEDTOTHEGREATEROF:(A)THEAMOUNTOFREVENUETHATYOUTUBEHASPAIDTOYOUFROMYOURUSEOFTHESERVICEINTHE12MONTHSBEFORETHEDATEOFYOURNOTICE,INWRITINGTOYOUTUBE,OFTHECLAIMAND(B)USD$500. Indemnity Totheextentpermittedbyapplicablelaw,youagreetodefend,indemnifyandholdharmlessYouTube,itsAffiliates,officers,directors,employeesandagents,fromandagainstanyandallclaims,damages,obligations,losses,liabilities,costsordebt,andexpenses(includingbutnotlimitedtoattorney'sfees)arisingfrom:(i)youruseofandaccesstotheService;(ii)yourviolationofanytermofthisAgreement;(iii)yourviolationofanythirdpartyright,includingwithoutlimitationanycopyright,property,orprivacyright;or(iv)anyclaimthatyourContentcauseddamagetoathirdparty.ThisdefenseandindemnificationobligationwillsurvivethisAgreementandyouruseoftheService. Third-PartyLinksTheServicemaycontainlinkstothird-partywebsitesandonlineservicesthatarenotownedorcontrolledbyYouTube.YouTubehasnocontrolover,andassumesnoresponsibilityfor,suchwebsitesandonlineservices.BeawarewhenyouleavetheService;wesuggestyoureadthetermsandprivacypolicyofeachthird-partywebsiteandonlineservicethatyouvisit. AboutthisAgreement Changing thisAgreementWemaychange thisAgreement,forexample (1) toreflectchangestoourServiceorhowwedobusiness-forexample,whenweaddnewproductsorfeaturesorremoveoldones,(2)forlegal,regulatory,orsecurityreasonsor(3)topreventabuseorharm. IfwemateriallychangethisAgreement,we’llprovideyouwithreasonableadvancenoticeandtheopportunitytoreviewthechanges,except(1)whenwelaunchanewproductorfeature,or(2)inurgentsituations,suchaspreventingongoingabuseorrespondingtolegalrequirements.Ifyoudon’tagreetothenewterms,youshouldremoveanyContentyouuploadedandstopusingtheService.
