YoumaynotattempttogainunauthorizedaccesstoanyQUINTLYServices,useraccounts,computersystemsornetworks,throughhacking,passwordminingoranyothermeans.WemaytakeanylegalandtechnicalremediestopreventtheviolationofthisprovisionandtoenforcetheseTermsofService. Ownership QUINTLYoritslicensorsaretheownerofallright,title,andinterest,includingcopyright,inandtotheQUINTLYServices.CopyrighttotheindividualprogramsavailablethroughQUINTLY(the“Software”)whichinturnareusedtodelivertheQUINTLYServicestoyouareeitherownedbyQUINTLYoritslicensors.OwnershipoftheSoftwareandallproprietaryrightsrelatingtheretoremainwithQUINTLYanditslicensors. RestrictionsonUseandTransfer YoumayuseonlythatcopyoftheQUINTLYServicesassociatedwithyouraccount. Remedies YOUREXCLUSIVEREMEDYREGARDINGANYSOFTWAREORSERVICEPROVIDEDBYUSSHALLBETHEREPLACEMENTOFANYSUCHSOFTWAREFOUNDTOBEDEFECTIVE.YOURSOLEANDEXCLUSIVEREMEDYFORANYOTHERDISPUTEWITHUSISTODISCONTINUEYOURUSEOFQUINTLY.INNOEVENTSHALLOURLIABILITYFORANYANDALLCLAIMSRELATINGTOTHEUSEOFQUINTLYEXCEEDTHETOTALAMOUNTOFSERVICEFEESTHATYOUPAIDUSDURINGAONE-YEARPERIODFORTHESPECIFICSERVICEATISSUE. General ThisAgreementconstitutetheentireunderstandingbetweenyouandQUINTLYandsupersedesallprioragreements,whetheroralorwritten,betweenusandmaynotbemodifiedoramendedexceptinawrittendocumentsignedbybothpartiesandwhichspecificallyreferstothisAgreement.ThisAgreementshalltakeprecedenceoveranyotherdocumentsthatmaybeinconflictherewith.IfanyoneormoreprovisionscontainedinthisAgreementareheldbyacourtortribunalofcompetentjurisdictiontobeinvalid,illegal,orotherwiseunenforceable,eachandeveryotherprovisionshallcontinuetoapplyandremaininfullforceandeffect. 9.COPYRIGHTANDCONTENTOWNERSHIP WeclaimnointellectualpropertyrightsoverthematerialyouprovidetotheService.Yourprofileandthematerialsyouuploadareyours.Wedonotpre-screenanycontent,however,weretaintheright,butnottheobligation,inoursolediscretion,torefuseorremoveanycontentthatviolatesthisTermsofServiceAgreement. 10.SEVERABILITYANDINTEGRATION ThisTermsofServicecontractandanysupplementalterms,policiesorrulesontheQUINTLYwebsiteconstitutetheentireagreementbetweenyouandusandsupersedeallpreviouswrittenororalagreements.IfanypartoftheseTermsofUseisheldinvalidorunenforceable,thatportionshallbeconstruedinamannerconsistentwithapplicablelawtoreflect,asnearlyaspossible,theoriginalintentionsoftheparties,andtheremainingportionsshallremaininfullforceandeffect. 11.PAYMENTS Subjecttoanyamendmenttothisagreement,theServiceisavailableinafreeandinseveralpaidversions.Thepricesandpaymentofthepaidversionsarebasedonthecurrentpricelistwhichyoucanviewatthehttp://www.quintly.comwebsite. QUINTLYhastherighttochangepricesandtermsofpaymentfortheServicefromtimetotime.QUINTLYwillinformyouaboutchangesinpricesortermsofpaymentviathewebsite.Thechangeinpricesandpaymentwillbemade,however,attheexpiryoftheactualagreedcontractperiod.YourcontinueduseoftheServiceaftersuchknowledgeistakenasacceptanceofthosechanges. Unlessotherwiseagreed,allpricesareinUSDorEUR.Upontermination,alloutstandingclaimswillbecomeimmediatelydueand-ifthisappliestoyou-willbecollectedviayouraccountagreedrecoverymethod. DowngradingyourServicemaycausethelossofcontent,features,orcapacityofyouraccount.QUINTLYdoesnotacceptanyliabilityforsuchloss. 12.TERMINATION TheminimumtermforthisagreementislistedinthepricelistontheQUINTLYwebsite.IfyoudonotcancelyoursubcriptionwiththeService,thetermwillautomaticallybeextendedbytheminimumterm.YourrighttouseQUINTLYautomaticallyterminatesattheendofthetermofouragreementandearlierifyouviolatetheseTermsofServiceinconnectionwithyouruseofQUINTLY.Wereservetheright,inoursolediscretion,toterminateyouraccesstoallorpartofQUINTLY,intheeventofyoubreachtheseTermsofService,withorwithoutnotice.
