TERMSOFSERVICE TheAdrevwebsite(hereinafter“Website”)isownedandoperatedbyAdrev,adivisionof AudioMicro,Inc.("Adrev",“we”,or“us”).IMPORTANT!PLEASEREADTHESETERMSOF SERVICECAREFULLYBEFOREUSINGTHEWEBSITE. 1.Definitions “Content”shallrefertothecontentsoftheWebsite,includingwithoutlimitationthetext,graphics, images,audio,andvideo,aswellasanyservicedescriptions,pricing,andservicereviews. “Services”shallrefertotheservicesprovidedbyAdrevthrough,orasdescribedon,theWebsite. “You”and“Your”shallrefertousersofAdrev’sWebsiteorServices,andanyonewhoregistersand createsanaccountontheWebsite. “Territory”shallrefertotheworld. 2.AcceptanceoftheTermsofService ByvisitingtheWebsiteorusingtheServicesorApplication,YouacceptandagreetotheseTermsofServiceand thePrivacyPolicy(availableatcid.adrev.net/privacy-policy),whichis incorporatedbyreferenceintotheseTermsofService.TheseTermsofServiceconstitutealegalagreement betweenYouandAdrevandspelloutthetermsandconditionstowhichYoumustadhere.IfYoudonotagreeto anyoftheseterms,thendonotusetheWebsiteorServices. 3.UseofWebsite,Content,Services,andApplication TheWebsiteandContentareownedbyAdrevandconstituteproprietaryinformationandpropertyandareprotected byUnitedStatescopyrightand/ortrademarklaw,aswellasapplicableforeignlaws. AdrevherebygrantsYoupermissiontousetheContent,providedthat(i)youruseissolelyforyourpersonal, noncommercialuse(otherthanpurchasingorprovidingtheservicesfeaturedontheWebsite);(ii)Youdonot modifyorselltheContent;and(iii)Youdonotreproduce,display,publiclyperform,distribute,orotherwise usetheContentforanypublicorcommercialpurpose,includingtheuseoftheContentonanyotherwebsite.To theextenttheWebsiteprovidesfeaturesbothallowingandencouragingYoutodistributethecontentbyemail, socialmedia,oranothermethod,YoumaydistributetheContentusingsuchfeatures.IfYouviolateanyofthese terms,yourpermissiontousetheContentautomaticallyterminates. 4.Services ThisAgreementandanyrightsconveyedbyYoutoAdrevunderthisAgreementarelimitedsolelytotheuseof UserSubmittedContentonYouTubeandsolelytocontentonYouTubethatwasnotuploadedbyYouorsomeoneon Yourbehalf.TotheextentAdrevexpandsitsServicestoservicesandwebsitesotherthanYouTube,Youwill providedwithanopportunitytooptintosuchadditionalofferingsatthattime. a.YouTubeClaims Afterregisteringandcreatingyouraccount,Youwillhavetheabilitytoupload/submit/deliverandtherebyopt intoAdrev’sserviceofferingtoidentifyclaimsagainstunauthorizedindividualsand/orentitieswhoareusing and/orexploitingyourUserSubmittedContentonYouTube(“YouTubeClaims.”)Byoptingintothisservice,You agreeandpermitAdrevtonegotiateandenterintosettlementsoragreementstolicenseorotherwisemonetize thoseYouTubeClaims(ortorefrainfromdoingso)withsuchindividualsandentitiesonyourbehalfonsuch termsaswemayelectinoursolediscretion. b.YouTubeLicensing Afterregisteringandcreatingyouraccount,Youwillhavetheabilitytoupload/submit/deliverandtherebyopt intoAdrev’sservicetonegotiateandgrantsynchronization,masteruse,publicperformance,content identificationandmanagement,andotherlicensesfortheuseofyourUserSubmittedContentinvideoson YouTube,includinguseofyourUserSubmittedContentaddedtovideosthroughYouTube’sAudioSwapfeature.By optingintothisservice,YouagreeandpermitAdrevtodosuchthingsandgrantsuchsublicensesasare reasonablynecessaryordesirabletoexploittheforegoingrights,includingwithoutlimitationtograntYouTube anditsuserstherighttohost,cache,route,index,transmit,store,copy,embed,stream,perform,communicate tothepublic,display(includinganylyrics),reformat,excerpt,analyze,synchronize(intimedrelationor otherwise),createderivativeworks(intheformofsynchronizedvideo),createmetadata,algorithmsandID files,search,catalog,editormodify(fortechnicaloroperationalpurposes),selladvertisingagainst, delivertoanyYouTube-relatedmusicservice,and/orotherwiseexploit,useandmaketheUserSubmittedContent availableontheinternet,andfromanyothertechnical,communicationortransmissionprotocolsorplatforms nowknownorhereafterdevised,discovered,ordevelopedincluding,withoutlimitation,mobilephones,tablets, IPTVplatformsandotherdevices.ThetermsofanyresultingagreementsshallbewithinAdrev’ssolediscretion. c.YouTubeTermsofService AdrevusesvarioustoolsforyoutosubmitandreceiveyourdatafromYouTube,andoccasionallyAdrevusesYouTube’sAPI. ByusingAdrev’sclienttools,youagreetobeboundbytheYouTubeTermsofService: https://www.youtube.com/t/terms 5.NoUnlawfulorAbusiveUseoftheWebsiteorServices YouagreenottousetheWebsiteorServicesforanyunlawful,fraudulent,orabusivepurpose.Youmaynot interfereorattempttointerferewiththeappearanceoroperationoftheWebsiteorServices.Youmaynottake anyactionthatimposesanunreasonableordisproportionatelylargeloadontheWebsiteoritsinfrastructure. Youmaynotattempt,norsupportothers'attempts,todecrypt,reverseengineer,circumventorotherwisealter orinterferewiththeWebsiteoranyContent.Adrevhastherighttointerrupt,suspend,orterminateServices ifitsuspectsthatYouareengaginginunlawful,fraudulent,orabusiveactivity. 6.RelationshipofParties Nojointventure,partnership,employment,oragencyexistsbetweenYouandAdrev,andnothingintheseTermsof Serviceshallbeconstruedascreatinganyjointventure,partnership,oremploymentrelationship. 7.AccountInformation InordertousetheServices,Youtoregisterandcreateanaccount.Youmaycreateanaccountbyfollowingthe instructionsprovidedontheWebsite.Youshallprotectanypasswordsandaccountinformationandtakefull responsibilityforyourown,andanythirdparty,useofanyofyouraccounts.IfYoulearnofanyunauthorized useofyourpasswordoraccount,contactAdrevimmediately.Ifyouareregisteringandcreatinganaccounton behalfofanentity,thenYourepresentandwarrantthatyouaredulyauthorizedtodoonbehalfofsuchentity andthatYouhavethelegalauthoritytobindtheentitytotheseTermsofService. 8.PaymentandFees IfYouchoosetosignupforanaccountandusetheServices,Youagreetopayandberesponsibleforall applicablechargesandfeesforsuchServices(“AdrevFees”).Youcanviewthecurrentchargesandfees associatedwiththeServicesathttp://cid.adrev.net/faq.Tothefullestextentpermittedby law,feespaidtoAdrevarenon-refundable.Inextraordinarycircumstances,Adrevmayconsiderrefundingfees paidtoAdrevbutisundernoobligationtodosoandanysuchrefundsareatthediscretionofAdrev.Nothing intheseTermsofServiceobligatesAdrevtoextendcredittoanyparty. AdrevwillpayYou80%ofthenetsumsactuallyreceivedbytheCompanyfromtheexploitationoftherightsgrantedbyyouherein. AdministratorcovenantsandagreesthattheCompanyShareoftheAdRevenuefromManualClaims(otherthantheCompanyShareoftheAdRevenue derivedfromstandardautomatedclaims)shallbepaidatarateof70%(SeventyPercent)ofthenetrevenue. Asused herein,"NetSums"shallmeangrossmoniesthatweearn,collectandactuallyreceive,orwhicharecreditedto ouraccount,fromYouTubelessContentIDFeesandanytaxes,tariffsorsimilaramountsthatwemaybelegally obligedtowithholdorpay.Adrevshallhavetherighttorelyonaccounting,usageandotherstatements receivedfromoursublicensees(includingwithoutlimitationYouTubeAnalytics)forallpurposeshereunder.You willberesponsibleforpaymentofalltaxesassessedtoyou,andforallpaymentsduetothirdparties(e.g., co-writersofCompositionsifapplicable,artists,producers,engineersorotherswhoperformedservicesin connectionwithRecordings),andherebyagreetoindemnifyandholdusharmlessfromandagainstanysumsfor whichyouareresponsible. IfAdrev,YouTubeoranyofourothersublicenseesreceivesaclaimorotherwisereasonablysuspectsthatanyof yourUserSubmittedContentviolatesanyapplicablelawortermsofservice,orthatvideoviewsorother activityrelatedtoYourChannelsoryouraccountwithusisattributabletomisrepresentation,manipulation, misconductorsimilardeceptiveorfraudulentpractices(automatedorotherwise),theninadditiontoanyother availablerightsandremedieswemaywithholdNetSumsotherwisepayabletoyouinanamountreasonably attributabletosuchconductunlessanduntilanyandallclaimsorotherconductarefavorablyresolvedtoour reasonablesatisfaction.Youwillforfeitallamountsthatwe,YouTube,ourothersublicenseesreasonably determineinourdiscretionaretheresultofanyoftheforegoingactivity,orifsodeterminedbyacourtor administrativebody. Additionally,ifAdrevinitsreasonablediscretionengagesoutsideattorneysinconnectionwiththeevaluation, investigation,enforcementordefenseofsuchmatter,thenAdrevshallbeentitledtooffsetitsresulting expensesbydeducting$500fromyouraccountwithus(whethercurrentlyorinthefutureavailable)orcharging $500(oranybalancenotdeductedfromyouraccount)toanypaymentmethodthenonfilewithus(e.g.,PayPal, creditordebitcard).Inadditiontoanyotherrightsorremedies,wemayinourdiscretiondeductorset-off anyamountsthatyouowetousfromanymoniesotherwisepayabletoyou. 9.Accounting AdrevwillprovideyoustatementsastoNetSumspayabletoyouwithin45daysaftertheendofeachcalendar quarterduringtheTerm,togetherwithpaymentofanyNetSumsduetoyoufortheprecedingcalendarquarter. ThestatementsmaybeprovidedtoYoubyemailorotherwisemadeaccessiblethroughyouraccountontheWebsite. Unlessyouprovideaspecificobjectiontothestatementwithin60daysfromthedateofthestatement,such statementsshallbebindingandYouwaiveanyobjectionstothevalidityandaccuracyofsuchstatement.You willberequiredtoprovideuswithaPaypalorotheraccountinformationtoallowustoautomaticallyremit paymenttoyouraccountwhenthebalancereachesfiveU.S.Dollarsormore. 10.UserSubmittedContent Onceyouhaveregisteredandcreatedanaccount,youwillbeabletoupload/submit/deliveryourmusicand/or otherworksofauthorship(“UserSubmittedContent”)totheWebsite.AdrevwillnotbeabletoreturnanyUser SubmittedContent. Yourepresentandwarranttousthat:(i)youhavethefullright,power,andauthoritytoactonbehalfofany andallownersofanyright,titleorinterestinandtoYourUserSubmittedContent,includingallmusical compositionsembodiedinYourUserSubmittedContent,andthatyouareauthorizedtoprovideYourUserSubmitted Contenttousfortheusesspecifiedinthisagreementandtoenterintothisagreement;(ii)youownorcontrol allofthenecessaryrightsinYourUserSubmittedContentinordertomakethegrantofrights,licenses,and permissionsherein;(iii)theuseorotherexploitationofYourUserSubmittedContentbyus,orbyLicensees, orbyanycustomersofLicensees,allascontemplatedandauthorizedbythisagreement,willnotinfringeor violatetherightsofanythirdparty,includinganyprivacyrights,publicityrights,copyrights,contract rights,oranyotherintellectualpropertyorproprietaryrights;(iv)norightsinortoanyofYourUser SubmittedContenthavebeenassignedorotherwiseprovidedtoanythirdpartythatobtainedexclusiverights; and(v)nofeesorpaymentsofanykindshallbepayabletoanythirdpartyfortheuseofYourUserSubmitted Contentascontemplatedbythisagreement. YoumayonlysubmitUserSubmittedContentthatyouownorcontroltheworldwiderightsto,andonlytothe extentofyourowninterest.Yourepresentandwarranttousthat(i)Youownallintellectualpropertyrights inanyUserSubmittedContentYousubmittotheWebsiteorthatYouhavetheappropriatelicenserightsfromthe owner;(ii)that(a)ownandcontroltheunderlyingcompositions,or(b)havesecuredamechanicallicense (whethercompulsoryornot)toallunderlyingcompositionscontainedinthesoundrecordingswhichyouupload and/orprovidetoAdrev;and(iii)Youhavecommerciallyreleasedallsoundrecordingswhichyouprovideto Adrev. Unlessotherwisespecifiedherein,Youshallobtainandpayforanynecessaryclearancesandlicensesinthe TerritoryforallLicensedMaterials.Specifically,Youshallberesponsibleforandtimelypay(a)any royaltiesandotherincomeduetoLabels,authors,co-authors,copyrightowners,co-copyrightowners,artists (featuredandnon-featured),producersandotherrecordroyaltyparticipantsfromsalesorotherusesof LicensedMaterials,(b)allmechanicalroyaltiespayabletopublishersand/orauthorsorco-authorsof copyrightedmusicalcompositionsembodiedinLicensedMaterialsfromsalesorotherusesofLicensedMaterials; (c)allpaymentsthatmayberequiredundercollectivebargainingagreementsapplicabletoLabelorthird partiesotherthanAdrev,andanyotherroyalties,feesand/orsumspayablewithrespecttotheLicensed Materials,includingwithoutlimitation,LabelContent,artwork,metadataandothermaterialsprovidedbyYouto Adrev. IfAdrevprovidesameansforYoutodesignatethatyourUserSubmittedContentisjointlyownedsuchthatYou arecapableofspecifyingthatyouownapercentagelessthana100%interestinthecopyrightfortheUser SubmittedContent,thenYoumaysubmitUserSubmittedContentforwhichyoudonotowntheentirecopyright interest.Insuchinstances,ifthereisaco-authororjointowneroftheUserSubmittedContent,thenyoumust specifywhatpercentageofthecopyrightyouowninthatsong,andonlyyourinterestwillbecoveredunder theseterms.Inaddition,ifyourUserSubmittedContentiscoveredunderanagreementwithamusicpublisheror administratororwitharecordcompany,thenYoumaynotbeabletosubmittoAdrev.IfYouenterintoanysuch agreementduringtheterm,itwillbesubjecttoAdrev’srightsherein.AdrevrecommendsthatYoucarefully reviewanyapplicableagreementsandconsultwithalawyertomakesurethatyoucansubmitworkstouswithout violatingthoseagreementsortheseTermsofService. However,ifAdrevdoesnotprovideameansforYoutodesignatethatyouownlessthana100%copyrightinterest intheUserSubmittedContent,thenyoumayonlysubmittheUserSubmittedContentifyoudo,infact,owna 100%copyrightinterestintheUserSubmittedContent.YougrantAdrevaworldwide,perpetual,irrevocable, royalty-free,transferablerightandlicensetouse,copy,modify,adapt,publish,translate,createderivative works,anddistributesuchUserSubmittedContent.However,Youkeepfullownershipinterestintheintellectual propertyrightsofyourUserSubmittedContent. 11.RepresentationsandWarranties Yourepresentandwarranttousthat(a)allinformation,dataandmaterialsthatyouprovidetousareaccurate andcomplete,includingwithoutlimitationyourstatedpercentagecopyrightinterestintheUserSubmitted ContentandyourownershiporcontrolofYourChannels,andYouwillupdatethesameduringtheTermsoasto remainaccurateandcomplete;(b)theUserSubmittedContentandYourChannelsdonotinfringeuponanyrights ofanythirdpartyorviolatesanyapplicablelawortermsofservice;(c)anysale,assignment,transfer, mortgageorlicensingorothergrantofrightsinortoyourinterestinanyoftheUserSubmittedContentshall besubjecttoAdrev’srightsundertheseTermsofService;(d)thereisnoexistingagreement,andYouwillnot enterintoanyagreementorperformanyact,thatmateriallyinterferesorisinconsistentwiththerights grantedtoAdrevundertheseTermsofService;(e)theUserSubmittedContentandYourChannelsareandshallbe freefromanyadverseclaims,liensorencumbrancesofanykindbyanypersonorentity;(f)youwillnotjoin orbecomepartytoanyclassactionagainstAdrevinvolvingtheWebsiteorServices;and(g)Youhavehadthe opportunitytoconsultwithindependentlegalcounselinconnectionwiththeseTerms;and(h)Youwillnot upload/submit/deliver(i)unlicensedremixes,(ii)soundrecordingsthathaveeverbeenavailabletoendusers underaCreativeCommonlicense,or(iii)soundrecordingsthatarecomprisedofAppleLoopsofcontentyou obtainedunderaCreativeCommonslicense. 12.ExclusivityandTerritory YougranttoAdrevthesoleandexclusiverightsduringtheTermandintheTerritorytoadminister,collectand otherwiseexploit100%ofyourworldwideright,titleandinterestinandtotheUserSubmittedContentthatyou submit. Theterritoryoftherightsgrantedtous(“Territory”)isworldwideastoallUserSubmittedContent unless(i)weallowyoutospecifyotherwise,and(ii)youspecifyotherwiseduringthesubmissionprocess. 13.IPOwnershipandNotices Adrevdisclaimsanyliabilityforanythirdpartycontentsubmittedto,orpostedon,theWebsite.IfYou believethatanymaterialsontheWebsiteinfringeyourcopyright,trademark,orotherintellectualproperty right,pleasesendawrittennotificationofyourclaimtoAdrevatthefollowingmailingoremailaddress: Adrev,adivisionofAudioMicro,Inc. TOTHEEXTENTTHATANYJURISDICTIONDOESNOTALLOWTHEEXCLUSIONORLIMITATIONOFINCIDENTALORCONSEQUENTIAL DAMAGES,THEABOVELIMITATIONSHALLAPPLYTOTHEEXTENTPERMISSIBLEUNDERAPPLICABLELAW. ADREV’SAGGREGATELIABILITYTOYOUINANYCIRCUMSTANCEISLIMITEDTOEITHERTHEAMOUNTPAIDBYYOUTOADREVOR $100,WHICHEVERISLOWER. 17.Indemnification Youagreetodefend,indemnify,andholdharmlessAdrev,itslicensors,licensees,distributors,agents, representativesandotherauthorizedusers,andalloftheforegoingentities'respectiveofficers,directors, owners,employees,agents,representatives,andassignsfromandagainstanyandallclaims,damages, obligations,losses,liabilities,costs,attorneys’fees,andexpensesarisingoutoforinconnectionwith(i) youruseoftheServicesorWebsite,(ii)yourviolationoftheTermsofService,(iii)anyservicesprovidedby ThirdPartyServiceProviderstoYou,(iv)yourviolationofanythirdpartyright,including,butnotlimited to,copyright,trademark,orprivacyright,and(v)anysubmissionbyYouthatcausesdamagetoathird party. Pendingthedeterminationofanyclaimsubjecttoindemnificationunderthisprovision,Adrevmaywithholdany sumsduetoyouinanamountreasonablyrelatedtosuchclaim.Ifnolawsuitisfiledwithin18monthsofour receiptofanoticeofapotentialthirdpartyclaim,Adrevshallreleasemoniesheldpursuanttothis provision,providedhowever,thatAdrevmay,initssolediscretion,continuetoholdsuchsumsifthereisan ongoingsettlementnegotiationorifthereisanindicationthatasuitmaybebroughtimminently. 18.RepresentationofAgeandAbilitytoAcceptTermsofService YouaffirmthatYouareeithermorethan18yearsofage,oranemancipatedminor,orpossesslegalparentalor guardianconsent,andarefullyableandcompetenttoenterinto,abideby,andcomplywiththetermsand obligationsprovidedintheseTermsofService. Notwithstandingtheforegoing,Adrevmay,initssolediscretion,terminateorsuspendyouraccessorrefuse serviceatanytime,withoutnotice,toalloranypartoftheWebsiteorServicesforanyornoreason, including,butnotlimitedto,breachoftheseTermsofService. 20.Assignment TheseTermsofServicemaynotbeassignedbyYouwithoutthepriorwrittenapprovalofAdrev.Adrevmayassign theseTermsofServicewithoutyourconsent. 21.Severability IfanyprovisionoftheseTermsofServiceisdeemedinvalidorunenforceableunderanystatute,regulation, ordinance,orbyacourtofcompetentjurisdiction,thensuchprovisionshallbedeemedreformedordeletedbut onlytotheextentnecessarytocomplywithsuchstatute,regulation,ordinance,orcourt,andtheremaining provisionsshallremaininfullforceandeffect. 22.NoWaiver ThefailureofAdrevtoenforceanyrightorprovisionintheseTermsofServiceshallnotconstituteawaiverof suchrightorprovisionunlessagreedtoinwritingbyAdrev.Inaddition,Adrev’swaiverofanybreachofthis AgreementbyYouwillnotbeawaiverofanyotherpriororsubsequentbreach. 23.NoIntegration TheseTermsofServiceconstitutethecompleteandfinalexpressionoftheentireandonlyunderstandingbetween YouandAdrevrelatingtothesubjectmatterofthisagreementandsupersedesanypriorwrittenororal representations. 24.GoverningLawandVenue TheseTermsofServiceshallbegovernedbythelawsoftheStateofCalifornia,withoutrespecttoitsconflict oflawsprinciples.AnyclaimordisputebetweenYouandAdrevthatarisesinwholeorinpartfromyouruseof theWebsiteorServicesshallbedecidedexclusivelybyacourtofcompetentjurisdictionlocatedwithinLos AngelesCounty,CaliforniaorbytheUnitedStatesDistrictCourtfortheCentralDistrictofCalifornia,and Youagreetothepersonaljurisdictionofsuchcourts. 25.OpportunitytoCure Adrevshallnotbedeemedtobeinbreachofanyofitsobligationshereunderunlesswereceivespecificwritten noticefromYouviaFedExorregisteredorcertifiedmail(returnreceiptrequested)ofanallegedbreachand Adrevfailstocuresuchbreach,ifany,within30daysfollowingourreceiptofsuchwrittennotice. 26.MediationandArbitration Beforeinitiatingalawsuitinstateorfederalcourtoraproceedingwithanyadministrativeagency,theparties agreetofirstmediateanydisputes,controversies,orclaimsinconnectionwithorarisingoutoftheWebsite, Services,ortheseTermsofServices.Ifmediationdoesnotresolvethedispute,thepartiesagreethatany disputes,controversies,orclaimsinconnectionwithorarisingoutoftheWebsite,Services,ortheseTermsof ServicesshallthenbedeterminedbybindingarbitrationinLosAngeles,Californiabeforeasinglearbitrator whoisamemberoftheAmericanArbitrationAssociation. 27.ServiceofProcess YouagreethatAdrevmayeffectuateserviceofprocessonYourelatingtoanyclaim,action,lawsuit,orother proceedingbyservingyouateitherthemailingaddressoremailthatyouprovidedupontheregistrationand creationofyouraccountorasupdatedthereafter.Suchserviceshallbedeemedtohavethesameforceand effectaspersonalservice.
