Definitions.Thesedefinedtermswillhavethefollowingmeanings: Affiliatesmeansanyentitythatdirectlyorindirectlycontrols,iscontrolledby,orisundercommoncontrolwith,YouTube,includingGoogleInc. APIClientmeansawebsiteorsoftwareapplication(includingamobileapplication)developedbyyouthataccesses,oruses,theYouTubeAPIServices. DeveloperPoliciesmeansthepoliciesrelatingtotheYouTubeAPIServicescurrentlylocatedathttps://developers.google.com/youtube/terms/developer-policiesthatyouandyourAPIClient(s)arerequiredtocomplywithinadditiontoallothertermsoftheAgreementwhenaccessing,orusing,theYouTubeAPIServices. PersonalDatahasthemeaninggiveninnationallawsofEUMemberStateimplementingtheEuropeanDataProtectionDirective95/46/EC,asmaybeupdated,amendedand/orreplacedfromtime-to-time. YouTubeBrandFeaturesmeansthetradenames,trademarks,servicemarks,logos,domainnames,andotherdistinctivebrandfeaturesofYouTube. YouTubeBrandingGuidelinesmeanstheYouTubeAPIServicesBrandingGuidelinescurrentlylocatedathttps://developers.google.com/youtube/terms/branding-guidelines. YouTubeConfidentialInformationmeansanyinformationofYouTubeoritsAffiliatesprovidedtoyouinconnectionwithyouraccessto,oruseof,theYouTubeAPIServices,butexcludinginformationthatyouindependentlydeveloped,thatwasrightfullygiventoyoubyathirdpartywithoutconfidentialityobligation,orthatbecomespublicthroughnofaultofyourown. YouTubeTermsmeanstheYouTubeTermsofServicecurrentlylocatedathttps://www.youtube.com/t/terms. 2.TheAgreement. TheAgreement. 2.1ComponentsoftheAgreement.TheAgreementiscomprisedofthefollowing: theseTermsofService; theDeveloperPolicies; theYouTubeGuidelines; thecredentialsassignedtoyouandyourAPIClient(s)byYouTubeorGoogle; theGoogleSoftwarePrinciplescurrentlylocatedathttp://www.google.com/corporate/software_principles.html;and theYouTubeTerms. 2.2ConditionofUse.BeforeyouaccessorusetheYouTubeAPIServices,pleasereadthedocumentscomprisingtheAgreementcarefullyandmakesureyouunderstandthem.IfyoudisagreewithanyaspectoftheAgreement,youdonothaveourpermissionto,andyoumustnot,accessoruseanyoftheYouTubeAPIServices. 2.3ModificationoftheAgreement.YouTubemaymodifytheTermsofServiceoranyoftheotherdocumentscomprisingtheAgreementatanytime.YouTubewillprovidenoticeofchangestotheTermsofServicebypostingthechangesathttps://developers.google.com/youtube/terms/revision-history(oranysuccessorURL),andYouTubewillnotifyyouofchangestotheseTermsofServiceinwrittenform(bysendingyouanemail,forexample)withaminimumof30calendardayspriornoticebeforetheeffectivedateofsuchchange.YouTubewillinformyouoftheeffectivedateofsuchchanges,thechangeswillnotapplyretroactively,andwillbecomeeffectivenosoonerthan30calendardaysafterposting.However,changesspecifictonewfunctionalityorchangesmadeforlegalreasonsmaybeeffectiveimmediatelyuponnotice.IfyoudonotagreetoanychangestotheAgreement,youmustterminatetheAgreement.YouTubewillinformyouaboutyourrighttoterminateandhowtodoso.Ifyoudonotexplicitlyterminate,youoryourAPIClient(s)’continuedaccessto,oruseof,theYouTubeAPIServices,includingyourcontinueddevelopmentactivitiesinconnectionwithanyYouTubeAPIServicesandyourAPIClient(s)’interactionwithanyYouTubeAPIServicesafterthechangestotheAgreementtakeseffect,willbedeemedyouragreementtoandacceptanceofsuchchanges. 2.4Precedence.IfthereisanycontradictionbetweentheseTermsofServiceandotherdocumentscomprisingtheAgreementinconnectionwiththeYouTubeAPIServices,thentheseTermsofServicewilltakeprecedence. 3.PermittedAccessandUseoftheYouTubeAPIServices. PermittedAccessandUseoftheYouTubeAPIServices. 3.1CompliancewiththeAgreement.YouandyourAPIClient(s)will(i)complywiththeAgreementatalltimeswhenaccessingorusingtheYouTubeAPIServices;(ii)onlyaccess(orattempttoaccess)theYouTubeAPIServicestodevelopandoperateyourAPIClient(s)bythemeansdescribedintheAgreement,includinginaccordancewiththedocumentationforthespecificYouTubeAPIServicesyouaccess;and(iii)ifyourAPIClientisasoftwareapplication,youandyourAPIClientwillalsocomplywiththeGoogleSoftwarePrinciples.YouTubemaysuspendorterminateyouraccessto,oruseof,anyaspectoftheYouTubeAPIServices(includinganycredentialsassignedtoyouoryourAPIClient(s)),imposeadditionalrequirementsandrestrictions,orterminatetheAgreementbetweenyouandYouTube,foranyviolationoftheAgreementbyyou,yourAPIClient(s)orthoseactingonyourbehalf. 3.2UnauthorisedPersons.YoumustnotaccepttheAgreement,oraccessorusetheYouTubeAPIServices,if(i)youarenotoflegalagetoformabindingcontractwithus,or(ii)youareapersonbarredfromusingorreceivingtheYouTubeAPIServicesundertheapplicablelawsoftheUnitedStates,thecountryinwhichyoureside,orthecountriesfromwhichyouoryourAPIClient(s)accessorusetheYouTubeAPIServices. 3.3AcceptingonBehalfofOthers.IfyouareusingtheYouTubeAPIServicesonbehalfofsomeoneelse(suchasyouremployer),youwarrantthatyouhaveauthoritytobindthatpersonorentitytotheAgreementandbyacceptingtheAgreement,youaredoingsoonbehalfofthatpersonorentity(andallreferencesto"you"intheAgreementreferstothatpersonorentity). 4.Registration Registration.ToaccessandusetheYouTubeAPIServicesyoumayberequiredtoprovidecertaininformation(suchasidentificationorcontactdetails)aspartoftheregistrationprocess,oraspartofyourcontinuedaccessto,oruseof,theYouTubeAPIServices.Wemayretainthisinformationuntilitisnolongerneededbyus,includingforcontractualandintegritypurposes.OurPrivacyPolicycurrentlylocatedathttps://www.google.com/policies/privacy/explainshowwetreatyourpersonaldataandprotectyourprivacywhenyouprovideyourpersonaldatainconnectionwithyourregistrationfortheYouTubeAPIServices. 5.CompliancewithLaws CompliancewithLaws.YouandyourAPIClient(s)will,andyouwillrequirethoseactingonyourbehalfandyourusersto,(i)complywithallapplicablelaws,rules,andregulations,and(ii)notaccessorusetheYouTubeAPIServicesinamannerthatviolatessuchlaws,rules,andregulations,orinamannerthatisdeceptive,unethical,false,ormisleading.Withoutlimitingtheforegoing,youwillnotdistribute,orprovideaccess,toyourAPIClient(s)incontraventionofU.S.exportcontrolortradelaws. 6.APIClientsandMonitoring APIClientsandMonitoring.YouTubemaymonitor,reviewandinspectyourAPIClient(s),andmonitorandaudityouraccesstoanduseoftheYouTubeAPIServices,atanytimeandwithoutfurthernoticetoyou,toensurequality,improveourproductsandservices,andverifyyourcompliancewiththeAgreement. 7.UserPrivacyandAPIClients UserPrivacyandAPIClients.WithoutlimitingSection5(CompliancewithLaws),youwillcomplywithallapplicableprivacylawsandregulations,includingthoseapplyingtoPersonalData.EachAPIClientwillprovideandadheretoapublishedprivacypolicythatclearlyandaccuratelydescribestoitsuserswhatuserinformationyouandyourAPIClientaccess,collectandstore,andhowandwhyyouandyourAPIClientuse,process,andsharesuchinformation(includingforadvertising)withusandotherthirdparties. 8.Security Security.TotheextentyouandyourAPIClient(s)arepermittedtoaccessorusedata,youandyourAPIClient(s)will,andwillrequirethoseactingonyourbehalfto,maintainreasonableandappropriateadministrative,organisational,technicalandphysicalcontrolsdesignedtoensuretheprivacy,security,andconfidentialityofYouTubedata(includingAPIData),YouTubeConfidentialInformationanduserdatacollectedbyyourAPIClient(s)(includingPersonalData)toprotectfromaccidentalorunauthoriseddestruction,accessoruse. 9.NoticestoUsers NoticestoUsers. 9.1RequiredNotice. IfyourAPIClient(s)usesanyYouTubeAPIServicestopermituserstouploadvideosto YouTubewebsites,applications,servicesorproducts,thescreenorwindowinwhichthe enduserclicksthe"upload"buttonmustdisplaythefollowingwarninginthelanguage(s) availableonyourAPIClient(s): "Byclicking'upload,'youcertifythatthecontentyouareuploadingcomplieswiththe YouTubeTermsofService(includingtheYouTubeCommunityGuidelines)at [selectandinsertappropriateURLfromfollowingparagraph].Pleasebesurenotto violateothers'copyrightorprivacyrights." Iftheuploadisperformedonapersonalcomputerorothernon-mobiledevice,the appropriateURLis https://www.youtube.com/t/terms.Ifthe uploadisperformedonamobiledevice,theappropriateURLis http://m.youtube.com/terms. SubjecttothisSections9.1(iii)and(iv)below,APIClient(s)thatenableusersto uploadvideostoYouTubewebsites,applications,servicesorproductsmustprovideeach usertheoptiontouploadthevideostotheuser'sownYouTubechannel(s).IfyourAPI Client(s)alsoallowuserstouploadvideostoyourYouTubechannel,itmust(i)provide clearnoticeofthetermsofyourlicensetothosevideosincludingaclearnoticeto usersthatyouwillnoweitherownorhaverightstosuchvideos,and(ii)ensurethatthe optiontouploadtotheuser'sYouTubechannelisfeaturedatleastasprominentlyasthe optiontouploadvideostoyourYouTubechannel. IfyourAPIClient(oranypartthereof)targetsordirectsitselftochildren(asdefined underapplicablelaw(s)includingtheU.S.Children'sOnlinePrivacy(COPPA)andE.U. GeneralDataProtectionRegulation(GDPR))(referredtohereinasa "Child-DirectedAPIClient"),(a)youandyourAPIClientmustcomplywith SectionIII.J (APIClientsDirectedtoChildren)oftheDeveloperPoliciesincludingnotifyingGoogle ofthechild-directednatureofyourAPIClient;eachChild-DirectedAPIClientnotified toGoogleasprovidedinSectionIII.J.2.boftheDeveloperPoliciesorotherwiseis referredtohereinasa"KnownChild-DirectedAPIClient",and(b)noYouTubeAPI Serviceswrite-basedactions(suchas,butnotlimitedto,uploadingcontent,commenting andcreating/sharingplaylists)takenbyusersofKnownChild-DirectedAPIClientwillbe implementedonYouTubewebsites,applications,servicesandproductspursuantto SectionIII.J(APIClientsDirectedtoChildren)oftheDeveloperPolicies.Pleasesee SectionIII.J(APIClientsDirectedtoChildren)oftheDeveloperPoliciesformore information. IfyourAPIClientisnotaChild-DirectedAPIClient,youmustimplement oneofthefollowing:(a)enableusersofyournon-Child-DirectedAPIClientto designatetheircontentasMadeforKidsviayourAPIClientbeforetheycanupload theircontenttoYouTubewebsites,applications,servicesorproducts;or(b)notifyusers ofyournon-Child-DirectedAPIClientwithinsuchAPIClientthatiftheyupload contenttoYouTubewebsites,applications,servicesorproductsthatisMadeforKids, thentheymustimmediatelygotoYouTubeondesktoptodeclaretheircontentasMadefor Kids.Seehereformoreinformationondeterminingcontentas MadeforKids. 9.2NoticetoEUUsers.ForusersintheEuropeanUnion,youandyourAPIClient(s)mustcomplywiththeEUUserConsentPolicycurrentlylocatedathttp://www.google.com/about/company/user-consent-policy.html. 10.BrandFeaturesandAttribution BrandFeaturesandAttribution. 10.1LicenceGrant.YouTubegrantsyouapersonal,non-transferable,non-assignable,non-sublicencable,non-exclusive,revocableandlimitedlicencetodisplayYouTubeBrandFeaturesthatarespecifiedintheYouTubeBrandingGuidelinesonorthroughyourAPIClient(s)onlyinaccordancewiththeYouTubeBrandingGuidelinesandtheseTermsofService. 10.2Restrictions.AlluseoftheYouTubeBrandFeatures(includinganyassociatedgoodwill)willinuretoYouTube’sbenefit.YouirrevocablyassignandwillassigntoYouTubeanyright,title,andinterestthatyouobtaininanyoftheYouTubeBrandFeatures.Youwillnot,atanytime,challengeorassistotherstochallengethevalidityoftheYouTubeBrandFeaturesortheirregistration(excepttotheextentyoucannotgiveupthatrightbylaw)andyouwillnotattempttoregisteranytradenames,trademarks,servicemarks,logosordomainnamesconfusinglysimilartotheYouTubeBrandFeatures. 10.3Attribution.AllAPIClientsmustprovideproperattributioninaccordancewiththeYouTubeBrandingGuidelinesandtheseTermsofService(whereapplicable)whenusingtheYouTubeBrandFeatures.YouTubereservestherighttodeterminewhetheryourattribution(s)anddisplayoftheYouTubeBrandFeaturescomplywiththeYouTubeBrandingGuidelinesandtheseTermsofService.YouTubereservestherighttoterminateyourlicencetodisplaytheYouTubeBrandFeaturesatanytime. 11.ProprietaryRightsNotices ProprietaryRightsNotices.Youwillnotremove,obscure,oralteranyYouTubeorGoogletermsofserviceoranylinkstoornoticesofthoseterms,oranycopyright,trademark,orotherproprietaryrightsnotices;orfalsifyordeleteanyauthorattributions,legalnotices,orotherlabelsoftheoriginorsourceofmaterial.Wheresuchnoticesdonotappearon,orarenotprovidedthrough,theYouTubeAPIServices,youagreetodisplaysuchnoticesinaccordancewiththeYouTubeBrandingGuidelinesasapplicable. 12.Third-PartyRights Third-PartyRights.YouandyourAPIClient(s)willnot,andyouwillrequirethoseactingonyourbehalfandyouruserstonot,infringeorviolatethird-partyrights,includingintellectualpropertyrightsandotherproprietaryright,confidentiality,privacyright,orrightofpublicity. 13.Publicity Publicity.YouTubemayuseyourcompanyororganisationname(orpersonalnameifanindividual),productnamesorlogosinpresentations,marketingmaterials,customerlists,financialreports,websitelistingsofcustomers,researchandmarketingcasestudies,andothermarketing-relatedactivities,includingproducinganddistributingincidentaldepictionssuchasscreenshots,video,orothercontentfromyourAPIClient(s).YougranttoYouTubeanditsAffiliatesanon-exclusive,irrevocable,royalty-free,worldwidelicencetodisplayyourcompanyororganisationname(orpersonalnameifanindividual),productnameorlogosfortheabovepurposes.Youmustnotmakeanypublicstatementsregardingyouraccessto,oruseof,theYouTubeAPIServicesthatsuggestspartnershipwith,orsponsorshiporendorsementby,YouTubewithoutYouTube’spriorreviewandwrittenapproval. 14.ModificationtotheYouTubeAPIServices ModificationtotheYouTubeAPIServices. 14.1RighttoModify.YouTubeisconstantlyinnovatingandaspartofthiscontinuinginnovation,YouTubemayalterordiscontinueanyaspectoftheYouTubeAPIServices(includinganyspecifications,protocols,ormethodsofaccessinganyaspectoftheYouTubeAPIServices)asappliedtoanyspecificYouTubeAPIServicesuserorAPIClient,categoryofusersorAPIClients,orallusersorAPIClients,atanytimeandwithoutnoticeorannouncement.YouTubewilltrytogiveyoureasonableadvancenoticeortomakeapriorannouncement. 14.2BackwardIncompatibleChanges.WhenYouTubeintendstomakebackwardsincompatiblechangestotheYouTubeAPIServices,YouTubewillannouncesuchchangeontheYouTubeDeveloperSiteandtrytocontinuetomaintainthesoftwarecodefortheimpactedversion(s)oftheYouTubeAPIServicesforsix(6)monthsfromthedatesuchbackwardsincompatiblechangesareannounced,initsreasonabledetermination. 14.3SpecialTerms.SpecialtermsapplytospecificversionsoftheYouTubeAPIServicesthatareidentifiedas"SubjectAPIServices"athttps://developers.google.com/youtube/terms/subject-api-services.YouTubewillusereasonableeffortstocontinuetomaintainthesoftwarecodefortheSubjectAPIServicesforoneyearfromFebruary10,2017, unlessYouTubeisrequiredbylaw,courtorder,orthird-partyrelationship(includingchangesinlaworrelationships)tomakethosechangesearlier; unlessdoingsocouldcreateaprivacy,securityorotherrisk,orsubstantialeconomicormaterialtechnicalburden;or exceptforanyfeaturesincludedintheSubjectAPIServicesthatarenot,ornolonger,availableon,orthrough,theYouTubeproducts,services,applicationsorwebsites(e.g.,www.youtube.com,YouTubemobileapplication)excludingtheYouTubeAPIServices. AfterFebruary10,2018,YouTubemayalterordiscontinuetheSubjectAPIServicesinaccordancewithSections14.1and14.2above. 15.UsageandQuotas UsageandQuotas.YouTubemaysetaquotaonusageofanyYouTubeAPIServicesatanytimeasappliedtoanyspecificYouTubeAPIServicesuserorAPIClient,categoryofusersorAPIClients,orallusersorAPIClients.YouandyourAPIClient(s)willnot,andwillnotattemptto,exceedorcircumventuseorquotarestrictions.YouTubemayspecifyadditionalrequirementsrelatingtouseorquotasincludingintheDeveloperPolicies. 16.NoImpliedRights NoImpliedRights. 16.1Ownership.AsbetweenyouandYouTube,YouTube,itsAffiliates,anditsandtheirlicensorsandsuppliers,retainallrightsin,titleto,interestin,andownershipof(includingallintellectualpropertyrights(e.g.,allpatent,trademark,copyright,tradesecret,andotherproprietaryrights)inandto)allYouTubeAPIServices(includingallAPIData),YouTubeBrandFeatures,theYouTubeDeveloperSite,theAgreement,YouTubeConfidentialInformation,allYouTubewebsites,applications,productsandservices,allunderlyingtechnologyandcomputerprogramming,andallderivativeworksofanyoftheforegoing("YouTubeProperty").AsbetweenyouandYouTube,youretainallrightsin,titleto,interestinandownershipofyourAPIClient(s),excludinganyYouTubeProperty. 16.2NoOtherRights.ExceptfortheexpressrightscontainedintheAgreement,YouTubegrantsyounootherrightsorlicences(whetherexpress,implied,byvirtueofestoppelorexhaustion,orotherwise)totheYouTubePropertyoranyofYouTube’soritsAffiliates’intellectualpropertyrights. 16.3NoLicencesorRightstoPatentsorContent.Withoutlimitingthegeneralityoftheforegoing,norightsorlicencesaregrantedunderanypatentsownedorcontrolledbyYouTubeoritsAffiliates,andnorightsorlicencesaregrantedtoreproduceordistributeaudiovisualcontentormakeaudiovisualcontentavailableinanymannerotherthanthroughtheuseoftheYouTubeAPIServicesinaccordancewiththeAgreement.AllrightsnotexpresslygrantedtoyouarereservedbyYouTube. 17.Non-exclusive Non-exclusive.TheAgreementisanon-exclusiveagreement.YouacknowledgeandagreethatYouTubeanditsAffiliatesmaybedeveloping,andmaydevelopinthefuture,websites,applications,productsorservicesthatcompetewiththeYouTubeAPIServices,yourAPIClient(s),oranyotherproductsorservices,andYouTubeanditsAffiliateshavenoobligationtomakeanyoftheseproductsorservicesavailabletoyou. 18.Confidentiality Confidentiality.YouTube’scommunicationstoyouandtheYouTubeAPIServicesmaycontainYouTubeConfidentialInformation.IfyoureceiveanyYouTubeConfidentialInformation,thenyouwillkeepitconfidential,notuseitexceptinconnectionwithyourpermitteduseoftheYouTubeAPIServicesundertheAgreement,andnotdiscloseittoanythirdpartywithoutYouTube’spriorwrittenconsent;however,youmaydiscloseYouTubeConfidentialInformationwhencompelledtodosobylawifyouprovideYouTubereasonablepriorwrittennotice,unlessacourtofcompetentjurisdictionordersthatYouTubenotreceivepriornotice. 19.WarrantiesandDisclaimer WarrantiesandDisclaimer. 19.1CompliancewiththeAgreement.EachpartywarrantstotheotherthatitwillusereasonablecareandskillincomplyingwithitsobligationsundertheAgreement. 19.2NoWarranties.Noconditions,warrantiesorothertermsapplytoanyservice,software,orothergoodsorservicessuppliedbyYouTubeoritsAffiliatesundertheAgreementunlessexpresslystatedsetoutintheAgreement. 19.3AdditionalDisclaimers.SubjecttoSection20.1(a)(LimitationofLiability),allimpliedconditions,warrantiesorotherterms(includinganyimpliedtermsastosatisfactoryquality,fitnessforpurposeorconformancewithdescription)areexcluded.Specifically,YouTubeoritsAffiliatesdoesnotwarranttoyouthat: theYouTubeAPIServiceswillmeetyourrequirements; theYouTubeAPIServiceswillbeuninterrupted,timely,secure,orerrorfree; theYouTubeAPIServiceswillbeaccurate,reliable,complete,continuetoexist,orbeotherwisevalid;or thatdefectsintheoperationorfunctionalityofanyaspectoftheYouTubeAPIServices,includinganysoftware,code,content(includingaudiovisualcontent),data,supportoranythingelseprovidedtoyouandyourAPIClient(s)aspartof,orinconnectionwith,theYouTubeAPIServices,willbecorrected. 19.4NoExternalWarranties.Totheextentpermittedunderapplicablelaw,andsubjecttoSection20(a)(ii),noadviceorinformation,whetheroralorwritten,obtainedbyyoufromYouTube,itsAffiliatesorrelatedparties,orthroughorfromtheYouTubeAPIServices,willcreateanywarrantynotexpresslystatedintheAgreement. 19.5APIDataContent.ThecontentprovidedaspartofAPIDataincludesvideos,audio,graphics,photos,text,interactivefeatures,software,andothermaterials,includingmusic,sounds,comments,scripts,andaudiovisualcombinations.YouTubeisaproviderofhostingservicesforcontentandYouTubeisnotresponsiblefortheavailability,accuracy,usefulness,safety,orlegalityofsuchcontent,includingcontentthatmaybeoffensive,indecent,defamatory,objectionable,orthatmayviolatethird-partyrightsorapplicablelawsorregulations.AnyAPIDataisobtainedbyyouandyourAPIClient(s)atyourowndiscretionandriskandyouwillbesolelyresponsibleforanydamagetoyouroryourusers’computersystem(s)ordevice(s),lossofdata,oranyotherdamageorinjurythatresultsfromanyaspectoftheYouTubeAPIServices. 19.6Third-PartyServices.Additionally,theYouTubeAPIServicesmaycontainlinkstothirdpartywebsitesandonlineservicesthatarenotownedorcontrolledbyYouTube.YouTubehasnocontrolover,andassumesnoresponsibilityfor,suchwebsitesandonlineservices. 20.LimitationofLiability LimitationofLiability. 20.1Limitations. NothingintheAgreementwillexcludeorlimiteitherparty’sliabilityfor deathorpersonalinjuryresultingfromthenegligenceofeitherpartyortheirservants,agentsoremployees; fraudorfraudulentmisrepresentation; obligationsunderSection21(Indemnification);or mattersthatcannotbeexcludedorlimitedunderapplicablelaw. SubjecttoSection20.1(a)above,YouTubeoritsAffiliateswillnotbeliableundertheAgreement(whetherincontract,tort(includingnegligence)orotherwise)foranyspecialor,indirectlosses,lossofprofits,lossofrevenue,orlossofopportunity,sufferedorincurredbyyou,orotherwiseforthedeletionorcorruptionofdata,theremovalormodificationoranyaspectoftheYouTubeAPIServices,orinrelationtoanycontentsubmittedtoYouTubewebsites,applications,servicesandproductsbyusersorpartners,orforthedefamatory,offensive,orillegalconductofanysuchpersonsorentities(whetherornotsuchlosseswerewithinthecontemplationofthepartiesatthedateoftheAgreement). 20.2AdditionalLimitations.TotheextentpermittedunderapplicablelawandsubjecttoSection20.1YouTube’stotalliabilityunderorinconnectionwiththethisAgreement(whetherincontract,tort(includingnegligence)orotherwise)islimitedtotheamountpaidbyyoutoYouTubetoaccessorusetheYouTubeAPIServicesforthesixmonthspriortotheeventgivingrisetotheliabilityor£1,000,whicheverishigher. 21.Indemnification Indemnification.YouwillindemnifyYouTubeanditsAffiliates,directors,officers,employeesandusersagainstallliabilities,damages,losses,costs,fees(includinglegalfees),andexpensesrelatingtoanyallegationorthird-partylegalproceeding(anyandallofwhichare"Claims")totheextentarisingoutoforrelatedto: accessto,oranyuseoftheYouTubeAPIServicesbyyou,thoseactingonyourbehalf,yourAPIClient(s),oranyofyourusers; actualorallegedviolationoftheAgreement(oranyportionthereof)byyou,thoseactingonyourbehalf,yourAPIClient(s),oranyofyourusers,includingactualorallegedinfringementofanythird-partyright(includinganyintellectualpropertyorotherproprietaryright,confidentiality,privacyright,andrightofpublicity);or anycontent,data,technologyormaterialsprovidedorcontributedby,orthrough,you,thoseactingonyourbehalf,yourAPIClient(s),oranyofyourusers,andnotbyYouTube,itsAffiliatesandrelatedparties. YouTubemayatitssolediscretion,electforyoutoassumecontrolofthedefenseoftheClaimforwhichyouarerequiredtoindemnifyYouTubeanditsAffiliatesunderthisSection21.Ifthedefenseorsettlementisassumedbyyou,YouTubemayatanytimethereafterelecttoappointitsowncounsel(atitsownexpense);orYouTubemaytakeovercontrolofthedefenseandsettlementofsuchClaim.YouwillnotsettleanyClaimwithoutYouTube’spriorwrittenconsent.BothpartieswillprovidereasonableassistancetotheotherasmayberequiredinordertodefendanyrelevantClaim. 22.InjunctiveRelief InjunctiveRelief.YouacknowledgethatthelimitationsandrestrictionsintheAgreementarenecessaryandreasonabletoprotectYouTube,andexpresslyagreethatmonetarydamagesmaynotbeasufficientremedyforyourbreachoftheAgreement.Accordingly,youagreethatYouTubewillbeentitledtoseektemporaryorpermanentinjunctivereliefagainstanyviolationorthreatenedviolationofsuchlimitationsorrestrictionsinanycourtofcompetentjurisdiction. 23.Non-assert Non-assert.Totheextentpermittedbyapplicablelaw,duringtheAgreement,andforthree(3)yearsafteranyterminationorexpirationoftheAgreementbyyouorYouTube,youagreenottoassert,orauthorise,assistorencourageanythirdpartytoassert,anypatentinfringementclaimagainstYouTube,itsAffiliates,oranyrelatedparties,totheextentsuchclaimsrelatetoanyoftheYouTubeAPIServicesthatyouoryourAPIClient(s)accessedorused.Notwithstandingtheforegoing,shouldYouTubeorGoogleInc.firstfileapatentinfringementclaiminalawsuitagainstyou(excludingapatentinfringementclaimbroughtbyYouTubeorGoogleInc.inresponsetoalawsuit,forexample,asacross-claimorcounterclaim),thenthenon-assertprovisioninthefirstsentenceofthisSectionwillbesuspendedonlyforthedurationofYouTube’sorGoogleInc’sfirstpatentinfringementclaimagainstyou(forexample,untilsuchpatentinfringementclaimissettled,withdrawn,dismissed,orotherwisedisposedof). 24.Termination Termination. 24.1TerminationbyYou.YoumayterminateyourlegalagreementwithYouTubebyterminatingyouraccesstoanduseoftheYouTubeAPIServices(includingdiscontinuingaccesstoandusebyyourAPIClient(s)andthoseactingonyourbehalf)atanytime.YoudonotneedtospecificallyinformYouTubewhenyoustopusingandaccessingtheYouTubeAPIServicesunlessotherwiserequiredbyYouTube. 24.2TerminationbyYouTube.Notwithstandinganythingtothecontrary,YouTubereservestherightto(i)suspendorterminateaccesstooruseofanyaspectsofthetheYouTubeAPIServicesbyyou,yourAPIClient(s)andthoseactingonyourbehalf),and(ii)terminatetheAgreement(oranyportionthereof),asappliedtoanyspecificuserorAPIClient,categoryofusersorAPIClients,orallusersorAPIClientsatanytime.Forexample,wemayneedtoexercisesuchrightsininstancesofyourbreachofthisAgreement,courtorder,whenwebelievetheretohavebeenmisconductorconductwhichmaycreatepotentialliabilityforYouTubeoritsAffiliates.Althoughwewilltrytogiveyoureasonablenotice,wehavenoobligationtodoso. 24.3EffectofTermination.Uponanysuspension,noticeofanydiscontinuance,ortermination(whetherbyyouorYouTube),youwillimmediatelystopaccessingandusingallYouTubePropertyanddeleteallYouTubeAPIServices(includingallAPIData)andYouTubeConfidentialInformationinyourpossessionorcontrol,includingfromyourservers.AtYouTube’srequest,youwillcertifyyourdeletionofallYouTubeAPIServices(includingallAPIData)andYouTubeConfidentialInformationinyourpossessionorcontrolinwritingthatissignedbyyourauthorisedrepresentativewhohastheauthoritytobindyou.YouTubemayindependentlycommunicatewithanyaccountownerwhoseaccount(s)areassociatedwithcredentialsassignedtoyouoryourAPIClient(s)toprovidenoticeofboththesuspensionorterminationofyouraccessto,oruseof,theYouTubeAPIServicesandthedisplayofanyadvertisementsassociatedwithyourAPIClient(s)(whereapplicable). 24.4TerminationofSupportorModificationEfforts.IfYouTubeelectstoprovideyouoryourAPIClient(s)withsupportormodificationfortheYouTubeAPIServices,thissupportormodificationmaybesuspendedorterminatedbyYouTubeatanytimewithoutnoticetoyou,asappliedtoanyspecificYouTubeAPIServicesuserorAPIClient,categoryofusersorAPIClients,orallusersorAPIClients. 24.5NoObligationtoProvide.YouTubeisundernoobligationtoprovidetheYouTubeAPIServices.ItissolelyyourresponsibilityatalltimestobepreparedtoconductyourbusinessandoperateyourAPIClient(s)withoutaccesstoanyaspectoftheYouTubeAPIServices. 24.6Survival.ThefollowingSectionsoftheseTermsofServicewillcontinuetoapplyindefinitelyevenuponanyterminationorexpirationoftheAgreementasappliedtoanyspecificuserorAPIClient,categoryofusersorAPIClients,orallusersorAPIClientsatanytime:1(Definitions),2.1,2.3and2.4(TheAgreement),3.3(PermittedAccessandUseoftheYouTubeAPIServices),8(Security)totheextentapplicabledataisintheprocessofdeletionuponterminationorexpirationoftheAgreement,10.2(BrandFeaturesandAttribution),13(Publicity),16(NoImpliedRights),17(Non-exclusive),18(Confidentiality),19(WarrantyDisclaimer),20(LimitationofLiability),21(Indemnification),22(InjunctiveRelief),24(Termination),and25(GeneralLegalTerms). 25.1EntireAgreement.TheAgreementcontrolstherelationshipbetweenyouandYouTubeandconstitutestheentireagreementbetweensuchpartieswithrespecttothesubjectmatterhereof. 25.3NoWaiver.YouTubewillnotbetreatedashavingwaivedanyrightsbynotexercising(ordelayingtheexerciseof)anyrightsundertheAgreement.AwaiverwillbeeffectiveonlyifYouTubeexpresslystatesinwritingsignedbyanauthorisedrepresentativethatYouTubeiswaivingaspecifiedtermoftheAgreement. 25.4Severability.IfitturnsoutthataparticularprovisionoftheAgreementisfoundtobenotenforceable,thatprovisionwillbemodifiedbythecourtofcompetentjurisdictiontotheextentnecessarytocreateanenforceableprovisionthatreflectstheparties'intentionascloselyaspossible.Ifthatisnotpossible,itwillbedeemeddeletedandtherestoftheAgreementwillcontinueinforceunaffected. 25.5RequestingAgreementModifications.Youmaygrantapprovals,permissionsandconsentstoYouTubebyemail,butanymodificationsrequestedbyyoutotheAgreementmustbemadeinwriting(notincludingemail)andsignedbybothYouTubeandyourauthorisedrepresentativewhohastheauthoritytobindyou(andonlyifYouTubeagreestosuchmodification). 25.6Notices.AllnoticestoYouTubemustbeintheEnglishlanguage,inwriting,andsenttoourcorporateheadquartersaddresslistedonourwebsiteviafirstclassorairmailorovernightcourier,andaredeemedgivenuponreceipt. 25.7AssignmentoftheAgreement.YouTubemaytransferorassigntheAgreement,includinganyrightsandlicencesgrantedunderit,toathirdparty,butyoumaynot. 25.8RelationshipoftheParties.YouarenotYouTube’slegalpartneroragent;thepartiesareindependentcontractors. 25.9ChangeofControl.IfyouoranypartyoperatingyourAPIClient(s)onyourbehalfexperienceachangeofcontrol(forexample,throughastockpurchaseorsale,mergerorotherformofcorporatetransaction),youwillprovidetoYouTubeawrittennoticedetailingthechangeofcontrolwithin15calendardaysafterthechangeofcontrolviathisform.YouTubewillreviewthecompletedformandifitisnotapprovedwithin45calendarafterthechangeofcontrol,yourprojectIDwillautomaticallyterminate. 25.10YouTubeApprovals.YouTubemaydenyorgrantanyconsents,approvals,orpermissionsthatareexpresslycontemplatedundertheAgreementorotherwiserequestedbyyouatourdiscretion. 25.11GoverningLawandVenue.TheAgreement,andyourrelationshipwithYouTubeundertheAgreement,willbegovernedbyEnglishlaw.Totheextentpermittedbyapplicablelaw,youandYouTubeagreetosubmittotheexclusivejurisdictionofthecourtsofEnglandtoresolveanylegalmatterarisingfromtheAgreement.Notwithstandingthis,youagreethatYouTubewillstillbeallowedtoapplyforinjunctiveremedies(orotherequivalenttypesofurgentlegalremedy)inanyjurisdiction.
