GoogleMapsPlatformLicenseAgreementThisGoogleMapsPlatformLicenseAgreement(the"Agreement")ismadeandenteredintobetweenGoogle(asdefinedinSection21(Definitions))andtheentityorpersonagreeingtotheseterms("Customer").ThisAgreementiseffectiveasofthedateCustomerclickstoaccepttheAgreement,orentersintoaResellerAgreementifpurchasingthroughaReseller(the"EffectiveDate").IfyouareacceptingonbehalfofCustomer,yourepresentandwarrantthat:(a)youhavefulllegalauthoritytobindCustomertothisAgreement;(b)youhavereadandunderstandthisAgreement;and(c)youagree,onbehalfofCustomer,tothisAgreement.IfyoudonothavethelegalauthoritytobindCustomer,pleasedonotclicktoaccept.ThisAgreementgovernsCustomer'saccesstoanduseoftheServices.1.ProvisionoftheServices.1.1UseoftheServicesinCustomerApplications.GooglewillprovidetheServicestoCustomerinaccordancewiththeAgreement,andCustomermayusetheServicesinCustomerApplication(s)inaccordancewithSection3(License).1.2AdminConsole;Projects;APIKeys.CustomerwilladministertheServicesthroughtheonlineAdminConsole.ToaccesstheServices,CustomermustcreateProject(s)anduseitsAPIkey(s)inaccordancewiththeDocumentation.1.3Accounts.CustomermusthaveanAccount.Customerisresponsiblefor:(a)theinformationitprovidesinconnectionwiththeAccount;(b)maintainingtheconfidentialityandsecurityoftheAccountandassociatedpasswords;and(c)anyuseofitsAccount.1.4CustomerDomainsandApplications.CustomermustlistintheAdminConsoleeachauthorizeddomainandapplicationthatusestheServices.CustomerisresponsibleforensuringthatonlyauthorizeddomainsandapplicationsusetheServices.1.5NewFeaturesandServices.Googlemay:(a)makenewfeaturesorfunctionalityavailablethroughtheServicesand(b)addnewservicestothe"Services"definition(byaddingthemattheURLstatedunderthatdefinition).Customer’suseofnewfeaturesorfunctionalitymaybecontingentonCustomer’sagreementtoadditionaltermsapplicabletothenewfeatureorfunctionality.1.6Modifications.1.6.1TotheServices.SubjecttoSection9(DeprecationPolicy),GooglemaymakechangestotheServices,whichmayincludeadding,updating,ordiscontinuinganyServicesorportionorfeature(s)oftheServices.GooglewillnotifyCustomerofanymaterialchangetotheServices.1.6.2.TotheAgreement.GooglemaymakechangestotheAgreement,includingpricingandanylinkeddocuments.UnlessotherwisenotedbyGoogle,materialchangestotheAgreementwillbecomeeffective30daysafternoticeisgiven,except(a)materiallyadverseSLAchangeswillbecomeeffective90daysafternoticeisgiven;and(b)changesapplicabletonewServicesorfunctionality,orrequiredbyacourtorderorapplicablelaw,willbeeffectiveimmediately.GooglewillprovidenoticeformateriallyadversechangestoanySLAsby:(i)sendinganemailtotheNotificationEmailAddress;(ii)postinganoticeintheAdminConsole;or(iii)postinganoticetotheapplicableSLAwebpage.IfCustomerdoesnotagreetotherevisedAgreement,CustomershouldstopusingtheServices.GooglewillpostanymodificationtothisAgreementtotheTermsURL.2.PaymentTerms.2.1FreeQuota.CertainServicesareprovidedtoCustomerwithoutchargeuptotheFeeThreshold,asapplicable.2.2OnlineBilling.AttheendoftheapplicableFeeAccrualPeriod,GooglewillissueanelectronicbilltoCustomerforallchargesaccruedabovetheFeeThresholdbasedonCustomer’suseoftheServicesduringthepreviousFeeAccrualPeriod.ForuseabovetheFeeThreshold,CustomerwillberesponsibleforallFeesuptotheamountsetintheAccountandwillpayallFeesinthecurrencysetforthintheinvoice.IfCustomerelectstopaybycreditcard,debitcard,orothernon-invoicedformofpayment,Googlewillcharge(andCustomerwillpay)allFeesimmediatelyattheendoftheFeeAccrualPeriod.IfCustomerelectstopaybyinvoice(andGoogleagrees),allFeesaredueasstatedintheinvoice.Customer’sobligationtopayallFeesisnon-cancellable.Google'smeasurementofCustomer’suseoftheServicesisfinal.Googlehasnoobligationtoprovidemultiplebills.PaymentsmadeviawiretransfermustincludethebankinformationprovidedbyGoogle.IfCustomerhasenteredintotheAgreementwithGCL,GooglemaycollectpaymentsviaGooglePaymentLimited,acompanyincorporatedinEnglandandWaleswithofficesatBelgraveHouse,76BuckinghamPalaceRoad,London,SW1W9TQ,UnitedKingdom.2.3Taxes.2.3.1CustomerisresponsibleforanyTaxes,andCustomerwillpayGooglefortheServiceswithoutanyreductionforTaxes.IfGoogleisobligatedtocollectorpayTaxes,theTaxeswillbeinvoicedtoCustomer,unlessCustomerprovidesGooglewithatimelyandvalidtaxexemptioncertificateauthorizedbytheappropriatetaxingauthority.Insomestatesthesalestaxisdueonthetotalpurchasepriceatthetimeofsaleandmustbeinvoicedandcollectedatthetimeofthesale.IfCustomerisrequiredbylawtowithholdanyTaxesfromitspaymentstoGoogle,CustomermustprovideGooglewithanofficialtaxreceiptorotherappropriatedocumentationtosupportsuchwithholding.IfundertheapplicabletaxlegislationtheServicesaresubjecttolocalVATandtheCustomerisrequiredtomakeawithholdingoflocalVATfromamountspayabletoGoogle,thevalueofServicescalculatedinaccordancewiththeaboveprocedurewillbeincreased(grossedup)byCustomerfortherespectiveamountoflocalVATandthegrossedupamountwillberegardedasaVATinclusiveprice.LocalVATamountwithheldfromtheVAT-inclusivepricewillberemittedtotheapplicablelocaltaxentitybytheCustomerandCustomerwillensurethatGooglewillreceivepaymentforitsservicesforthenetamountaswouldotherwisebedue(theVATinclusivepricelessthelocalVATwithheldandremittedtoapplicabletaxauthority).2.3.2Ifrequiredunderapplicablelaw,CustomerwillprovideGooglewithapplicabletaxidentificationinformationthatGooglemayrequiretoensureitscompliancewithapplicabletaxregulationsandauthoritiesinapplicablejurisdictions.Customerwillbeliabletopay(orreimburseGooglefor)anytaxes,interest,penaltiesorfinesarisingoutofanymis-declarationbytheCustomer.2.4InvoiceDisputes&Refunds.Anyinvoicedisputesmustbesubmittedbeforethepaymentduedate.IfGoogledeterminesthatFeeswereincorrectlyinvoiced,thenGooglewillissueacreditequaltotheagreedamount.Tothefullestextentpermittedbylaw,CustomerwaivesallclaimsrelatingtoFeesunlessclaimedwithin60daysaftercharged(thisdoesnotaffectanyCustomerrightswithitscreditcardissuer).NothingintheAgreementobligatesGoogletoextendcredittoanyparty.2.5DelinquentPayments;Suspension.IfCustomer’spaymentisoverdue,thenGooglemay(a)chargeinterestonoverdueamountsat1.5%permonth(orthehighestratepermittedbylaw,ifless)fromthePaymentDueDateuntilpaidinfull,and(b)SuspendtheServicesorterminatetheAgreement.CustomerwillreimburseGoogleforallreasonableexpenses(includingattorneys’fees)incurredbyGoogleincollectingoverduepaymentsexceptwheresuchpaymentsareduetoGoogle’sbillinginaccuracies.2.6NoPurchaseOrderNumberRequired.GoogleisnotrequiredtoprovideapurchaseordernumberonGoogle’sinvoice(orotherwise).3.License.3.1LicenseGrant.SubjecttotheAgreement'sterms,duringtheTerm,GooglegrantstoCustomeranon-exclusive,non-transferable,non-sublicensable,licensetousetheServicesinCustomerApplication(s).3.2LicenseRequirementsandRestrictions.ThefollowingareconditionsofthelicensegrantedinSection3.1(LicenseGrant).InthisSection3.2(LicenseRequirementsandRestrictions),thephrase“Customerwillnot”means“Customerwillnot,andwillnotpermitathirdpartyto”.3.2.1GeneralRestrictions.Customerwillnot:(a)copy,modify,createaderivativeworkof,reverseengineer,decompile,translate,disassemble,orotherwiseattempttoextractanyorallofthesourcecode(excepttotheextentsuchrestrictionisexpresslyprohibitedbyapplicablelaw);(b)sublicense,transfer,ordistributeanyoftheServices;(c)sell,resell,sublicense,transfer,ordistributetheServices;or(d)accessorusetheServices:(i)forHighRiskActivities;(ii)inamannerintendedtoavoidincurringFees;(iii)formaterialsoractivitiesthataresubjecttotheInternationalTrafficinArmsRegulations(ITAR)maintainedbytheUnitedStatesDepartmentofState;(iv)inamannerthatbreaches,orcausesthebreachof,ExportControlLaws;or(v)totransmit,store,orprocesshealthinformationsubjecttoUnitedStatesHIPAAregulations.3.2.2RequirementsforUsingtheServices.(a)TermsofServiceandPrivacyPolicy.(i)TheCustomerApplication’stermsofservicewill(A)notifyusersthattheCustomerApplicationincludesGoogleMapsfeaturesandcontent;and(B)statethatuseofGoogleMapsfeaturesandcontentissubjecttothethen-currentversionsofthe:(1)GoogleMaps/GoogleEarthAdditionalTermsofServiceathttps://maps.google.com/help/terms_maps.html;and(2)GooglePrivacyPolicyathttps://www.google.com/policies/privacy/.(ii)IftheCustomerApplicationallowsuserstoincludetheGoogleMapsCoreServicesinDownstreamProducts,thenCustomerwillcontractuallyrequirethatallDownstreamProducts’termsofservicesatisfythesamenoticeandflow-downrequirementsthatapplytotheCustomerApplicationunderSection3.2.2(a)(i)(TermsofServiceandPrivacyPolicy).(iii)IfusersoftheCustomerApplication(andDownstreamProducts,ifany)failtocomplywiththeapplicabletermsoftheGoogleMaps/GoogleEarthAdditionalTermsofService,thenCustomerwilltakeappropriateenforcementaction,includingSuspendingorterminatingthoseusers’useofGoogleMapsfeaturesandcontentintheCustomerApplicationorDownstreamProducts.(b)Attribution.Customerwilldisplayallattributionthat(i)GoogleprovidesthroughtheServices(includingbranding,logos,andcopyrightandtrademarknotices);or(ii)isspecifiedintheMapsServiceSpecificTerms.Customerwillnotmodify,obscure,ordeletesuchattribution.(c)ReviewofCustomerApplications.AtGoogle’srequest,CustomerwillsubmitCustomerApplication(s)andProject(s)toGoogleforreviewtoensurecompliancewiththeAgreement(includingtheAUP).3.2.3RestrictionsAgainstMisusingtheServices.(a)NoScraping.Customerwillnotexport,extract,orotherwisescrapeGoogleMapsContentforuseoutsidetheServices.Forexample,Customerwillnot:(i)pre-fetch,index,store,reshare,orrehostGoogleMapsContentoutsidetheservices;(ii)bulkdownloadGoogleMapstiles,StreetViewimages,geocodes,directions,distancematrixresults,roadsinformation,placesinformation,elevationvalues,andtimezonedetails;(iii)copyandsavebusinessnames,addresses,oruserreviews;or(iv)useGoogleMapsContentwithtext-to-speechservices.(b)NoCaching.CustomerwillnotcacheGoogleMapsContentexceptasexpresslypermittedundertheMapsServiceSpecificTerms.(c)NoCreatingContentFromGoogleMapsContent.CustomerwillnotcreatecontentbasedonGoogleMapsContent.Forexample,Customerwillnot:(i)traceordigitizeroadways,buildingoutlines,utilityposts,orelectricallinesfromtheMapsJavaScriptAPISatellitebasemaptype;(ii)create3Dbuildingmodelsfrom45°ImageryfromMapsJavaScriptAPI;(iii)buildterrainmodelsbasedonelevationvaluesfromtheElevationAPI;(iv)uselatitude/longitudevaluesfromthePlacesAPIasaninputforpoint-in-polygonanalysis;(v)constructanindexoftreelocationswithinacityfromStreetViewimagery;or(vi)converttext-baseddrivingtimesintosynthesizedspeechresults.(d)NoRe-CreatingGoogleProductsorFeatures.CustomerwillnotusetheServicestocreateaproductorservicewithfeaturesthataresubstantiallysimilartoorthatre-createthefeaturesofanotherGoogleproductorservice.Customer’sproductorservicemustcontainsubstantial,independentvalueandfeaturesbeyondtheGoogleproductsorservices.Forexample,Customerwillnot:(i)re-distributetheGoogleMapsCoreServicesorpassthemoffasiftheywereCustomer’sservices;(ii)usetheGoogleMapsCoreServicestocreateasubstituteoftheGoogleMapsCoreServices,GoogleMaps,orGoogleMapsmobileapps,ortheirfeatures;(iii)usetheGoogleMapsCoreServicesinalistingsordirectoryserviceortocreateoraugmentanadvertisingproduct;(iv)combinedatafromtheDirectionsAPI,GeolocationAPI,andMapsSDKforAndroidtocreatereal-timenavigationfunctionalitysubstantiallysimilartothefunctionalityprovidedbytheGoogleMapsforAndroidmobileapp.(e)NoUseWithNon-GoogleMaps.Toavoidqualityissuesand/orbrandconfusion,CustomerwillnotusetheGoogleMapsCoreServiceswithornearanon-GoogleMapinaCustomerApplication.Forexample,Customerwillnot(i)displayorusePlacescontentonanon-Googlemap,(ii)displayStreetViewimageryandnon-Googlemapsonthesamescreen,or(iii)linkaGoogleMaptonon-GoogleMapscontentoranon-Googlemap.(f)NoCircumventingFees.CustomerwillnotcircumventtheapplicableFees.Forexample,CustomerwillnotcreatemultiplebillingaccountsorProjectstoavoidincurringFees,preventGooglefromaccuratelycalculatingCustomer’sServiceusagelevels,abuseanyfreeServicequotas,orofferaccesstotheServicesundera“time-sharing”or“servicebureau”model.(g)NoUseinProhibitedTerritories.CustomerwillnotdistributeormarketinaProhibitedTerritoryanyCustomerApplication(s)thatusetheGoogleMapsCoreServices.(h)NoUseinEmbeddedVehicleSystems.CustomerwillnotusetheGoogleMapsCoreServicesinconnectionwithanyCustomerApplicationordeviceembeddedinavehicle.Forexample,CustomerwillnotcreateaCustomerApplicationthat(i)isembeddedinanin-dashboardautomotiveinfotainmentsystem;and(ii)allowsEndUserstorequestdrivingdirectionsfromtheDirectionsAPI.(i)NoUseinCustomerApplicationDirectedToChildren.CustomerwillnotusetheGoogleMapsCoreServicesinaCustomerApplicationthatwouldbedeemedtobea“Websiteoronlineservicedirectedtochildren”undertheChildren’sOnlinePrivacyProtectionAct(COPPA).(Video)GoogleMapsPlatform:BuiltfortheEnterprise(j)NoModifyingSearchResultsIntegrity.CustomerwillnotmodifyanyoftheGoogleMapsCoreServices’searchresults.3.2.4Benchmarking.Customermaynotpubliclydisclosedirectlyorthroughathirdpartytheresultsofanycomparativeorcompatibilitytesting,benchmarking,orevaluationoftheServices(each,a“Test”),unlessthedisclosureincludesallinformationnecessaryforGoogleorathirdpartytoreplicatetheTest.IfCustomerconducts,ordirectsathirdpartytoconduct,aTestoftheServicesandpubliclydisclosestheresultsdirectlyorthroughathirdparty,thenGoogle(oraGoogledirectedthirdparty)mayconductTestsofanypubliclyavailablecloudproductsorservicesprovidedbyCustomerandpubliclydisclosetheresultsofanysuchTest(whichdisclosurewillincludeallinformationnecessaryforCustomerorathirdpartytoreplicatetheTest).4.CustomerObligations.4.1Compliance.Customerwill:(a)ensurethatCustomer’sanditsEndUsers’useoftheServicescomplieswiththeAgreement;(b)preventandterminateanyunauthorizeduseoforaccesstoitsAccount(s)ortheServices;and(c)promptlynotifyGoogleofanyunauthorizeduseoforaccesstoitsAccount(s)ortheServicesofwhichCustomerbecomesaware.4.2Documentation.GooglemayprovideDocumentationforCustomer’suseoftheServices.TheDocumentationmayspecifyrestrictions(e.g.attributionorHTMLrestrictions)onhowtheServicesmaybeusedandCustomerwillcomplywithanysuchrestrictionsspecified.4.3CopyrightPolicy.Googleprovidesinformationtohelpcopyrightholdersmanagetheirintellectualpropertyonline,butGooglecannotdeterminewhethersomethingisbeingusedlegallywithoutinputfromthecopyrightholders.GooglewillrespondtonoticesofallegedcopyrightinfringementandmayterminaterepeatinfringersinappropriatecircumstancesasrequiredtomaintainsafeharborforonlineserviceprovidersundertheU.S.DigitalMillenniumCopyrightAct.IfCustomerbelievesapersonorentityisinfringingCustomer’sorEndUsers’copyrightsandwouldliketonotifyGoogle,Customercanfindinformationaboutsubmittingnotices,andGoogle'spolicyaboutrespondingtonoticesathttps://www.google.com/dmca.html.4.4DataUse,Protection,andPrivacy.4.4.1DataUseandRetention.ToprovidetheServicesthroughtheCustomerApplication(s),GooglecollectsandreceivesdatafromCustomerandEndUsers(andEndUsers’EndUsers,ifany),includingsearchterms,IPaddresses,andlatitude/longitudecoordinates.CustomeracknowledgesandagreesthatGoogleanditsAffiliatesmayuseandretainthisdatatoprovideandimproveGoogleproductsandservices,subjecttotheGooglePrivacyPolicyathttps://www.google.com/policies/privacy/.4.4.2EuropeanDataProtectionTerms.GoogleandCu protected];and(b)inthecaseofCustomer,totheNotificationEmailAddress.Noticewillbetreatedasgivenonreceiptasverifiedbywrittenorautomatedreceiptorbyelectroniclog(asapplicable).19.2Assignment.CustomermaynotassigntheAgreementwithoutthewrittenconsentofGoogle,excepttoanAffiliatewhere:(a)theassigneehasagreedinwritingtobeboundbythetermsoftheAgreement;(b)theassigningpartyremainsliableforobligationsundertheAgreementiftheassigneedefaultsonthem;and(c)theassigningpartyhasnotifiedtheotherpartyoftheassignment.AnyotherattemptbyCustomertoassignisvoid.GooglemayassigntheAgreementwithoutthewrittenconsentofCustomerbynotifyingCustomeroftheassignment.19.3ChangeofControl.IfapartyexperiencesachangeofControlotherthananinternalrestructuringorreorganization,then:(a)thatpartywillgivewrittennoticetotheotherpartywithin30daysafterthechangeofControl;and(b)theotherpartymayimmediatelyterminatetheAgreementanytimebetweenthechangeofControland30daysafteritreceivesthatwrittennotice.19.4ForceMajeure.Neitherpartywillbeliableforfailureordelayinperformancetotheextentcausedbycircumstancesbeyonditsreasonablecontrol,includingactsofGod,naturaldisasters,terrorism,riots,orwar.19.5Subcontracting.GooglemaysubcontractobligationsundertheAgreementbutwillremainliabletoCustomerforanysubcontractedobligations.19.6NoAgency.TheAgreementdoesnotcreateanyagency,partnershiporjointventurebetweentheparties.19.7NoWaiver.Neitherpartywillbetreatedashavingwaivedanyrightsbynotexercising(ordelayingtheexerciseof)anyrightsundertheAgreement.19.8Severability.IfanypartoftheAgreementisinvalid,illegal,orunenforceable,therestoftheAgreementwillremainineffect.19.9NoThird-PartyBeneficiaries.TheAgreementdoesnotconferanybenefitsonanythirdpartyunlessitexpresslystatesthatitdoes.19.10EquitableRelief.NothingintheAgreementwilllimiteitherparty’sabilitytoseekequitablerelief.19.11GoverningLaw.(a)ForU.S.City,County,andStateGovernmentEntities.IfCustomerisaU.S.city,countyorstategovernmententity,thentheAgreementwillbesilentregardinggoverninglawandvenue.(b)ForU.S.FederalGovernmentEntities.IfCustomerisaU.S.federalgovernmententitythenthefollowingapplies:ALLCLAIMSARISINGOUTOFORRELATINGTOTHEAGREEMENTORTHESERVICESWILLBEGOVERNEDBYTHELAWSOFTHEUNITEDSTATESOFAMERICA,EXCLUDINGITSCONFLICTOFLAWSRULES.SOLELYTOTHEEXTENTPERMITTEDBYFEDERALLAW:(I)THELAWSOFTHESTATEOFCALIFORNIA(EXCLUDINGCALIFORNIA’SCONFLICTOFLAWSRULES)WILLAPPLYINTHEABSENCEOFAPPLICABLEFEDERALLAW;AND(II)FORALLCLAIMSARISINGOUTOFORRELATINGTOTHEAGREEMENTORTHESERVICES,THEPARTIESCONSENTTOPERSONALJURISDICTIONIN,ANDTHEEXCLUSIVEVENUEOF,THECOURTSINSANTACLARACOUNTY,CALIFORNIA.(Video)GoogleMapsPlatform:BuiltforEnterprise(CloudNext'18)(c)ForAllOtherEntities.IfCustomerisanyentitynotlistedinSection19.11(A)(ForU.S.City,County,andStateGovernmentEntities)or19.11(B)(ForU.S.FederalGovernmentEntities)thenthefollowingapplies:ALLCLAIMSARISINGOUTOFORRELATINGTOTHEAGREEMENTORTHESERVICESWILLBEGOVERNEDBYCALIFORNIALAW,EXCLUDINGTHATSTATE’SCONFLICTOFLAWSRULES,ANDWILLBELITIGATEDEXCLUSIVELYINTHEFEDERALORSTATECOURTSOFSANTACLARACOUNTY,CALIFORNIA,USA;THEPARTIESCONSENTTOPERSONALJURISDICTIONINTHOSECOURTS.19.12Amendments.ExceptasstatedinSection1.6.2(Modifications;TotheAgreement),anyamendmenttotheAgreementmustbeinwriting,expresslystatethatitisamendingthisAgreement,andbesignedbybothparties.19.13EntireAgreement.TheAgreementstatesalltermsagreedbetweenthepartiesandsupersedesanypriororcontemporaneousagreementsbetweenthepartiesrelatingtoitssubjectmatter.InenteringintothisAgreement,neitherpartyhasreliedon,andneitherpartywillhaveanyrightorremedybasedon,anystatement,representationorwarranty(whethermadenegligentlyorinnocently),exceptthoseexpresslystatedintheAgreement.TheAgreementincludesURLlinkstootherterms(includingtheURLTerms),whichareincorporatedbyreferenceintotheAgreement.AftertheEffectiveDate,GooglemayprovideanupdatedURLinplaceofanyURLintheAgreement.19.14ConflictingTerms.IfthereisaconflictbetweenthedocumentsthatmakeuptheAgreement,thenthedocumentswillcontrolinthefollowingorder:theAgreementandthetermsatanyURL.19.15ConflictingLanguages.IftheAgreementistranslatedintoanyotherlanguage,andthereisadiscrepancybetweentheEnglishtextandthetranslatedtext,theEnglishtextwillgovern.20.ResellerOrders.ThisSectionappliesifCustomerorderstheServicesfromaResellerunderaResellerAgreement(includingtheResellerOrderForm).20.1Orders.IfCustomerordersServicesfromReseller,then:(a)feesfortheServiceswillbesetbetweenCustomerandReseller,andanypaymentswillbemadedirectlytoResellerundertheResellerAgreement;(b)Section2oftheAgreement(PaymentTerms)willnotapplytotheServices;(c)CustomerwillreceiveanyapplicableSLAcreditsfromReseller,ifowedtoCustomerinaccordancewiththeSLA;and(d)GooglewillhavenoobligationtoprovideanySLAcreditstoaCustomerwhoordersServicesfromtheReseller.20.2ConflictingTerms.IfCustomerordersGoogleMapsCoreServicesfromaResellerandifanydocumentsconflict,thenthedocumentswillcontrolinthefollowingorder:theAgreement,thetermsatanyURL(includingtheURLTerms),andtheResellerOrderForm.Forexample,ifthereisaconflictbetweentheMapsServiceSpecificTermsa
