GoogleMapsPlatformLicenseAgreementThisGoogleMapsPlatformLicenseAgreement(the"Agreement")ismadeandenteredintobetweenGoogle(asdefinedinSection21(Definitions))andtheentityorpersonagreeingtotheseterms("Customer").ThisAgreementiseffectiveasofthedateCustomerclickstoaccepttheAgreement,orentersintoaResellerAgreementifpurchasingthroughaReseller(the"EffectiveDate").IfyouareacceptingonbehalfofCustomer,yourepresentandwarrantthat:(a)youhavefulllegalauthoritytobindCustomertothisAgreement;(b)youhavereadandunderstandthisAgreement;and(c)youagree,onbehalfofCustomer,tothisAgreement.IfyoudonothavethelegalauthoritytobindCustomer,pleasedonotclicktoaccept.ThisAgreementgovernsCustomer'saccesstoanduseoftheServices.1.ProvisionoftheServices.1.1UseoftheServicesinCustomerApplications.GooglewillprovidetheServicestoCustomerinaccordancewiththeAgreement,andCustomermayusetheServicesinCustomerApplication(s)inaccordancewithSection3(License).1.2AdminConsole;Projects;APIKeys.CustomerwilladministertheServicesthroughtheonlineAdminConsole.ToaccesstheServices,CustomermustcreateProject(s)anduseitsAPIkey(s)inaccordancewiththeDocumentation.1.3Accounts.CustomermusthaveanAccount.Customerisresponsiblefor:(a)theinformationitprovidesinconnectionwiththeAccount;(b)maintainingtheconfidentialityandsecurityoftheAccountandassociatedpasswords;and(c)anyuseofitsAccount.1.4CustomerDomainsandApplications.CustomermustlistintheAdminConsoleeachauthorizeddomainandapplicationthatusestheServices.CustomerisresponsibleforensuringthatonlyauthorizeddomainsandapplicationsusetheServices.1.5NewFeaturesandServices.Googlemay:(a)makenewfeaturesorfunctionalityavailablethroughtheServicesand(b)addnewservicestothe"Services"definition(byaddingthemattheURLstatedunderthatdefinition).Customer’suseofnewfeaturesorfunctionalitymaybecontingentonCustomer’sagreementtoadditionaltermsapplicabletothenewfeatureorfunctionality.1.6Modifications.1.6.1TotheServices.SubjecttoSection9(DeprecationPolicy),GooglemaymakechangestotheServices,whichmayincludeadding,updating,ordiscontinuinganyServicesorportionorfeature(s)oftheServices.GooglewillnotifyCustomerofanymaterialchangetotheServices.1.6.2.TotheAgreement.GooglemaymakechangestotheAgreement,includingpricingandanylinkeddocuments.UnlessotherwisenotedbyGoogle,materialchangestotheAgreementwillbecomeeffective30daysafternoticeisgiven,except(a)materiallyadverseSLAchangeswillbecomeeffective90daysafternoticeisgiven;and(b)changesapplicabletonewServicesorfunctionality,orrequiredbyacourtorderorapplicablelaw,willbeeffectiveimmediately.GooglewillprovidenoticeformateriallyadversechangestoanySLAsby:(i)sendinganemailtotheNotificationEmailAddress;(ii)postinganoticeintheAdminConsole;or(iii)postinganoticetotheapplicableSLAwebpage.IfCustomerdoesnotagreetotherevisedAgreement,CustomershouldstopusingtheServices.GooglewillpostanymodificationtothisAgreementtotheTermsURL.2.PaymentTerms.2.1FreeQuota.CertainServicesareprovidedtoCustomerwithoutchargeuptotheFeeThreshold,asapplicable.2.2OnlineBilling.AttheendoftheapplicableFeeAccrualPeriod,GooglewillissueanelectronicbilltoCustomerforallchargesaccruedabovetheFeeThresholdbasedonCustomer’suseoftheServicesduringthepreviousFeeAccrualPeriod.ForuseabovetheFeeThreshold,CustomerwillberesponsibleforallFeesuptotheamountsetintheAccountandwillpayallFeesinthecurrencysetforthintheinvoice.IfCustomerelectstopaybycreditcard,debitcard,orothernon-invoicedformofpayment,Googlewillcharge(andCustomerwillpay)allFeesimmediatelyattheendoftheFeeAccrualPeriod.IfCustomerelectstopaybyinvoice(andGoogleagrees),allFeesaredueasstatedintheinvoice.Customer’sobligationtopayallFeesisnon-cancellable.Google'smeasurementofCustomer’suseoftheServicesisfinal.Googlehasnoobligationtoprovidemultiplebills.PaymentsmadeviawiretransfermustincludethebankinformationprovidedbyGoogle.IfCustomerhasenteredintotheAgreementwithGCL,GooglemaycollectpaymentsviaGooglePaymentLimited,acompanyincorporatedinEnglandandWaleswithofficesatBelgraveHouse,76BuckinghamPalaceRoad,London,SW1W9TQ,UnitedKingdom.2.3Taxes.2.3.1CustomerisresponsibleforanyTaxes,andCustomerwillpayGooglefortheServiceswithoutanyreductionforTaxes.IfGoogleisobligatedtocollectorpayTaxes,theTaxeswillbeinvoicedtoCustomer,unlessCustomerprovidesGooglewithatimelyandvalidtaxexemptioncertificateauthorizedbytheappropriatetaxingauthority.Insomestatesthesalestaxisdueonthetotalpurchasepriceatthetimeofsaleandmustbeinvoicedandcollectedatthetimeofthesale.IfCustomerisrequiredbylawtowithholdanyTaxesfromitspaymentstoGoogle,CustomermustprovideGooglewithanofficialtaxreceiptorotherappropriatedocumentationtosupportsuchwithholding.IfundertheapplicabletaxlegislationtheServicesaresubjecttolocalVATandtheCustomerisrequiredtomakeawithholdingoflocalVATfromamountspayabletoGoogle,thevalueofServicescalculatedinaccordancewiththeaboveprocedurewillbeincreased(grossedup)byCustomerfortherespectiveamountoflocalVATandthegrossedupamountwillberegardedasaVATinclusiveprice.LocalVATamountwithheldfromtheVAT-inclusivepricewillberemittedtotheapplicablelocaltaxentitybytheCustomerandCustomerwillensurethatGooglewillreceivepaymentforitsservicesforthenetamountaswouldotherwisebedue(theVATinclusivepricelessthelocalVATwithheldandremittedtoapplicabletaxauthority).2.3.2Ifrequiredunderapplicablelaw,CustomerwillprovideGooglewithapplicabletaxidentificationinformationthatGooglemayrequiretoensureitscompliancewithapplicabletaxregulationsandauthoritiesinapplicablejurisdictions.Customerwillbeliabletopay(orreimburseGooglefor)anytaxes,interest,penaltiesorfinesarisingoutofanymis-declarationbytheCustomer.2.4InvoiceDisputes&Refunds.Anyinvoicedisputesmustbesubmittedbeforethepaymentduedate.IfGoogledeterminesthatFeeswereincorrectlyinvoiced,thenGooglewillissueacreditequaltotheagreedamount.Tothefullestextentpermittedbylaw,CustomerwaivesallclaimsrelatingtoFeesunlessclaimedwithin60daysaftercharged(thisdoesnotaffectanyCustomerrightswithitscreditcardissuer).NothingintheAgreementobligatesGoogletoextendcredittoanyparty.2.5DelinquentPayments;Suspension.IfCustomer’spaymentisoverdue,thenGooglemay(a)chargeinterestonoverdueamountsat1.5%permonth(orthehighestratepermittedbylaw,ifless)fromthePaymentDueDateuntilpaidinfull,and(b)SuspendtheServicesorterminatetheAgreement.CustomerwillreimburseGoogleforallreasonableexpenses(includingattorneys’fees)incurredbyGoogleincollectingoverduepaymentsexceptwheresuchpaymentsareduetoGoogle’sbillinginaccuracies.2.6NoPurchaseOrderNumberRequired.GoogleisnotrequiredtoprovideapurchaseordernumberonGoogle’sinvoice(orotherwise).3.License.3.1LicenseGrant.SubjecttotheAgreement'sterms,duringtheTerm,GooglegrantstoCustomeranon-exclusive,non-transferable,non-sublicensable,licensetousetheServicesinCustomerApplication(s).3.2LicenseRequirementsandRestrictions.ThefollowingareconditionsofthelicensegrantedinSection3.1(LicenseGrant).InthisSection3.2(LicenseRequirementsandRestrictions),thephrase“Customerwillnot”means“Customerwillnot,andwillnotpermitathirdpartyto”.3.2.1GeneralRestrictions.Customerwillnot:(a)copy,modify,createaderivativeworkof,reverseengineer,decompile,translate,disassemble,orotherwiseattempttoextractanyorallofthesourcecode(excepttotheextentsuchrestrictionisexpresslyprohibitedbyapplicablelaw);(b)sublicense,transfer,ordistributeanyoftheServices;(c)sell,resell,sublicense,transfer,ordistributetheServices;or(d)accessorusetheServices:(i)forHighRiskActivities;(ii)inamannerintendedtoavoidincurringFees;(iii)formaterialsoractivitiesthataresubjecttotheInternationalTrafficinArmsRegulations(ITAR)maintainedbytheUnitedStatesDepartmentofState;(iv)inamannerthatbreaches,orcausesthebreachof,ExportControlLaws;or(v)totransmit,store,orprocesshealthinformationsubjecttoUnitedStatesHIPAAregulations.3.2.2RequirementsforUsingtheServices.(a)TermsofServiceandPrivacyPolicy.(i)TheCustomerApplication’stermsofservicewill(A)notifyusersthattheCustomerApplicationincludesGoogleMapsfeaturesandcontent;and(B)statethatuseofGoogleMapsfeaturesandcontentissubjecttothethen-currentversionsofthe:(1)GoogleMaps/GoogleEarthAdditionalTermsofServiceathttps://maps.google.com/help/terms_maps.html;and(2)GooglePrivacyPolicyathttps://www.google.com/policies/privacy/.(ii)IftheCustomerApplicationallowsuserstoincludetheGoogleMapsCoreServicesinDownstreamProducts,thenCustomerwillcontractuallyrequirethatallDownstreamProducts’termsofservicesatisfythesamenoticeandflow-downrequirementsthatapplytotheCustomerApplicationunderSection3.2.2(a)(i)(TermsofServiceandPrivacyPolicy).(iii)IfusersoftheCustomerApplication(andDownstreamProducts,ifany)failtocomplywiththeapplicabletermsoftheGoogleMaps/GoogleEarthAdditionalTermsofService,thenCustomerwilltakeappropriateenforcementaction,includingSuspendingorterminatingthoseusers’useofGoogleMapsfeaturesandcontentintheCustomerApplicationorDownstreamProducts.(b)Attribution.Customerwilldisplayallattributionthat(i)GoogleprovidesthroughtheServices(includingbranding,logos,andcopyrightandtrademarknotices);or(ii)isspecifiedintheMapsServiceSpecificTerms.Customerwillnotmodify,obscure,ordeletesuchattribution.(c)ReviewofCustomerApplications.AtGoogle’srequest,CustomerwillsubmitCustomerApplication(s)andProject(s)toGoogleforreviewtoensurecompliancewiththeAgreement(includingtheAUP).3.2.3RestrictionsAgainstMisusingtheServices.(a)NoScraping.Customerwillnotexport,extract,orotherwisescrapeGoogleMapsContentforuseoutsidetheServices.Forexample,Customerwillnot:(i)pre-fetch,index,store,reshare,orrehostGoogleMapsContentoutsidetheservices;(ii)bulkdownloadGoogleMapstiles,StreetViewimages,geocodes,directions,distancematrixresults,roadsinformation,placesinformation,elevationvalues,andtimezonedetails;(iii)copyandsavebusinessnames,addresses,oruserreviews;or(iv)useGoogleMapsContentwithtext-to-speechservices.(b)NoCaching.CustomerwillnotcacheGoogleMapsContentexceptasexpresslypermittedundertheMapsServiceSpecificTerms.(c)NoCreatingContentFromGoogleMapsContent.CustomerwillnotcreatecontentbasedonGoogleMapsContent.Forexample,Customerwillnot:(i)traceordigitizeroadways,buildingoutlines,utilityposts,orelectricallinesfromtheMapsJavaScriptAPISatellitebasemaptype;(ii)create3Dbuildingmodelsfrom45°ImageryfromMapsJavaScriptAPI;(iii)buildterrainmodelsbasedonelevationvaluesfromtheElevationAPI;(iv)uselatitude/longitudevaluesfromthePlacesAPIasaninputforpoint-in-polygonanalysis;(v)constructanindexoftreelocationswithinacityfromStreetViewimagery;or(vi)converttext-baseddrivingtimesintosynthesizedspeechresults.(d)NoRe-CreatingGoogleProductsorFeatures.CustomerwillnotusetheServicestocreateaproductorservicewithfeaturesthataresubstantiallysimilartoorthatre-createthefeaturesofanotherGoogleproductorservice.Customer’sproductorservicemustcontainsubstantial,independentvalueandfeaturesbeyondtheGoogleproductsorservices.Forexample,Customerwillnot:(i)re-distributetheGoogleMapsCoreServicesorpassthemoffasiftheywereCustomer’sservices;(ii)usetheGoogleMapsCoreServicestocreateasubstituteoftheGoogleMapsCoreServices,GoogleMaps,orGoogleMapsmobileapps,ortheirfeatures;(iii)usetheGoogleMapsCoreServicesinalistingsordirectoryserviceortocreateoraugmentanadvertisingproduct;(iv)combinedatafromtheDirectionsAPI,GeolocationAPI,andMapsSDKforAndroidtocreatereal-timenavigationfunctionalitysubstantiallysimilartothefunctionalityprovidedbytheGoogleMapsforAndroidmobileapp.(e)NoUseWithNon-GoogleMaps.Toavoidqualityissuesand/orbrandconfusion,CustomerwillnotusetheGoogleMapsCoreServiceswithornearanon-GoogleMapinaCustomerApplication.Forexample,Customerwillnot(i)displayorusePlacescontentonanon-Googlemap,(ii)displayStreetViewimageryandnon-Googlemapsonthesamescreen,or(iii)linkaGoogleMaptonon-GoogleMapscontentoranon-Googlemap.(f)NoCircumventingFees.CustomerwillnotcircumventtheapplicableFees.Forexample,CustomerwillnotcreatemultiplebillingaccountsorProjectstoavoidincurringFees,preventGooglefromaccuratelycalculatingCustomer’sServiceusagelevels,abuseanyfreeServicequotas,orofferaccesstotheServicesundera“time-sharing”or“servicebureau”model.(g)NoUseinProhibitedTerritories.CustomerwillnotdistributeormarketinaProhibitedTerritoryanyCustomerApplication(s)thatusetheGoogleMapsCoreServices.(h)NoUseinEmbeddedVehicleSystems.CustomerwillnotusetheGoogleMapsCoreServicesinconnectionwithanyCustomerApplicationordeviceembeddedinavehicle.Forexample,CustomerwillnotcreateaCustomerApplicationthat(i)isembeddedinanin-dashboardautomotiveinfotainmentsystem;and(ii)allowsEndUserstorequestdrivingdirectionsfromtheDirectionsAPI.(i)NoUseinCustomerApplicationDirectedToChildren.CustomerwillnotusetheGoogleMapsCoreServicesinaCustomerApplicationthatwouldbedeemedtobea“Websiteoronlineservicedirectedtochildren”undertheChildren’sOnlinePrivacyProtectionAct(COPPA).(Video)GoogleMapsPlatform:BuiltfortheEnterprise(j)NoModifyingSearchResultsIntegrity.CustomerwillnotmodifyanyoftheGoogleMapsCoreServices’searchresults.3.2.4Benchmarking.Customermaynotpubliclydisclosedirectlyorthroughathirdpartytheresultsofanycomparativeorcompatibilitytesting,benchmarking,orevaluationoftheServices(each,a“Test”),unlessthedisclosureincludesallinformationnecessaryforGoogleorathirdpartytoreplicatetheTest.IfCustomerconducts,ordirectsathirdpartytoconduct,aTestoftheServicesandpubliclydisclosestheresultsdirectlyorthroughathirdparty,thenGoogle(oraGoogledirectedthirdparty)mayconductTestsofanypubliclyavailablecloudproductsorservicesprovidedbyCustomerandpubliclydisclosetheresultsofanysuchTest(whichdisclosurewillincludeallinformationnecessaryforCustomerorathirdpartytoreplicatetheTest).4.CustomerObligations.4.1Compliance.Customerwill:(a)ensurethatCustomer’sanditsEndUsers’useoftheServicescomplieswiththeAgreement;(b)preventandterminateanyunauthorizeduseoforaccesstoitsAccount(s)ortheServices;and(c)promptlynotifyGoogleofanyunauthorizeduseoforaccesstoitsAccount(s)ortheServicesofwhichCustomerbecomesaware.4.2Documentation.GooglemayprovideDocumentationforCustomer’suseoftheServices.TheDocumentationmayspecifyrestrictions(e.g.attributionorHTMLrestrictions)onhowtheServicesmaybeusedandCustomerwillcomplywithanysuchrestrictionsspecified.4.3CopyrightPolicy.Googleprovidesinformationtohelpcopyrightholdersmanagetheirintellectualpropertyonline,butGooglecannotdeterminewhethersomethingisbeingusedlegallywithoutinputfromthecopyrightholders.GooglewillrespondtonoticesofallegedcopyrightinfringementandmayterminaterepeatinfringersinappropriatecircumstancesasrequiredtomaintainsafeharborforonlineserviceprovidersundertheU.S.DigitalMillenniumCopyrightAct.IfCustomerbelievesapersonorentityisinfringingCustomer’sorEndUsers’copyrightsandwouldliketonotifyGoogle,Customercanfindinformationaboutsubmittingnotices,andGoogle'spolicyaboutrespondingtonoticesathttps://www.google.com/dmca.html.4.4DataUse,Protection,andPrivacy.4.4.1DataUseandRetention.ToprovidetheServicesthroughtheCustomerApplication(s),GooglecollectsandreceivesdatafromCustomerandEndUsers(andEndUsers’EndUsers,ifany),includingsearchterms,IPaddresses,andlatitude/longitudecoordinates.CustomeracknowledgesandagreesthatGoogleanditsAffiliatesmayuseandretainthisdatatoprovideandimproveGoogleproductsandservices,subjecttotheGooglePrivacyPolicyathttps://www.google.com/policies/privacy/.4.4.2EuropeanDataProtectionTerms.GoogleandCustomeragreetotheGoogleMapsController-ControllerDataProtectionTermsathttps://cloud.google.com/maps-platform/terms/maps-controller-terms.4.4.3EndUserRequirements.(a)EndUserPrivacy.Customer’suseoftheServicesintheCustomerApplicationwillcomplywithapplicableprivacylaws,includinglawsregardingServicesthatstoreandaccessCookiesonEndUsers’devices.Customerwillcomplywiththethen-currentConsentPolicyathttps://www.google.com/about/company/user-consent-policy.html,ifapplicable.(b)EndUserPersonalData.ThroughthenormalfunctioningoftheGoogleMapsCoreServices,EndUsersprovidepersonallyidentifiableinformationandPersonalDatadirectlytoGoogle,subjecttothethen-currentGooglePrivacyPolicyathttps://www.google.com/policies/privacy/.(a)However,CustomerwillnotprovidetoGoogle(i)anyEndUser’spersonallyidentifiableinformation;or(ii)anyEuropeanEndUser’sPersonalData(where“European”means“EuropeanEconomicArea,Switzerland,ortheUK”).(c)EndUserLocationPrivacyRequirements.TosafeguardEndUsers’locationprivacy,CustomerwillensurethattheCustomerApplication(s):(i)notifyEndUsersinadvanceof(1)thetype(s)ofdatathatCustomerintendstocollectfromtheEndUsersortheEndUsers’devices,and(2)thecombinationanduseofEndUser'slocationwithanyotherdataprovider'sdata;and(ii)willnotobtainorcacheanyEndUser'slocationexceptwiththeEndUser'sexpress,prior,revocableconsent.5.Suspension.5.1ForLicenseRestrictionsBreaches.GooglemaySuspendtheServiceswithoutpriornoticeifCustomerbreachesSection3.2(LicenseRequirementsandRestrictions).5.2ForAUPBreachesorEmergencySecurityIssues.GooglemayalsoSuspendServicesasdescribedinSubsections5.2.1(AUPBreaches)and5.2.2(EmergencySuspension).AnySuspensionunderthoseSectionswillbetotheminimumextentandfortheshortestdurationrequiredto:(a)preventorterminatetheoffendinguse,(b)preventorresolvetheEmergencySecurityIssue,or(c)complywithapplicablelaw.5.2.1AUPBreaches.IfGooglebecomesawarethatCustomer’soranyEndUser’suseoftheServicesbreachestheAUP,GooglewillgiveCustomernoticeofsuchbreachbyrequestingthatCustomercorrectthebreach.IfCustomerfailstocorrectsuchbreachwithin24hours,orifGoogleisotherwiserequiredbyapplicablelawtotakeaction,thenGooglemaySuspendallorpartofCustomer’suseoftheServices.5.2.2EmergencySuspension.GooglemayimmediatelySuspendCustomer’suseoftheServicesif(a)thereisanEmergencySecurityIssueor(b)GoogleisrequiredtoSuspendsuchusetocomplywithapplicablelaw.AtCustomer’srequest,unlessprohibitedbyapplicablelaw,GooglewillnotifyCustomerofthebasisfortheSuspensionassoonasisreasonablypossible.5.3ForAllegedThird-PartyIntellectualPropertyRightsInfringement.IftheCustomerApplicationisallegedtoinfringeathirdparty’sIntellectualPropertyRights,GooglemayrequireCustomertosuspendalluseoftheGoogleMapsCoreServicesintheCustomerApplicationon30days’writtennoticeuntilsuchallegationisfullyresolved.Inanyevent,thisSection5.3(ForAllegedThird-PartyIntellectualPropertyRightsInfringement)doesnotreduceCustomer’sobligationsunderSection15(Indemnification).6.IntellectualPropertyRights;Feedback.6.1IntellectualPropertyRights.ExceptasexpresslystatedintheAgreement,theAgreementdoesnotgranteitherpartyanyrights,impliedorotherwise,totheother’scontentoranyoftheother’sintellectualproperty.Asbetweentheparties,CustomerownsallIntellectualPropertyRightsintheCustomerApplication,andGoogleownsallIntellectualPropertyRightsintheGoogleMapsCoreServices.6.2CustomerFeedback.IfCustomerprovidesGoogleFeedbackabouttheServices,thenGooglemayusethatinformationwithoutobligationtoCustomer,andCustomerirrevocablyassignstoGoogleallright,title,andinterestinthatFeedback.7.ThirdPartyLegalNoticesandLicenseTerms.CertaincomponentsoftheServices(includingopensourcesoftware)aresubjecttothird-partycopyrightandotherIntellectualPropertyRights,asspecifiedin:(a)theGoogleMaps/GoogleEarthLegalNoticesathttps://www.google.com/help/legalnotices_maps.html;and(b)separate,publicly-availablethird-partylicenseterms,whichGooglewillprovidetoCustomeronrequest.8.TechnicalSupportServices.8.1ByGoogle.GooglewillprovideMapsTechnicalSupportServicestoCustomerinaccordancewiththeMapsTechnicalSupportServicesGuidelines.8.2ByCustomer.CustomerisresponsiblefortechnicalsupportofitsCustomerApplicationsandProjects.9.DeprecationPolicy.GooglewillnotifyCustomeratleast12monthsbeforemakingaSignificantDeprecation,unlessGooglereasonablydeterminesthat:(a)Googlecannotdosobylaworbycontract(includingifthereisachangeinapplicablelaworcontract)or(b)continuingtoprovidetheServicescouldcreateasecurityriskorsubstantialeconomicortechnicalburden.SeeAlsoFinancialAccountingquestionsandanswersPythonProgrammingquestionsandanswersСкрипт(объявление)илипредупреждение-Страница3010.Confidentiality.10.1ConfidentialityObligations.SubjecttoSection10.2(RequiredDisclosure),therecipientwillusetheotherparty’sConfidentialInformationonlytoexerciseitsrightsandfulfillitsobligationsundertheAgreement.Therecipientwillusereasonablecaretoprotectagainstdisclosureoftheotherparty’sConfidentialInformationtopartiesotherthantherecipient’semployees,Affiliates,agents,orprofessionaladvisors(“Delegates”)whoneedtoknowitandaresubjecttoconfidentialityobligationsatleastasprotectiveasthoseinthisSection10.1(ConfidentialityObligations).10.2RequiredDisclosure.10.2.1SubjecttoSection10.2.2,therecipientanditsAffiliatesmaydisclosetheotherparty’sConfidentialInformationtotheextentrequiredbyapplicableLegalProcess,IftherecipientanditsAffiliates(asapplicable)usecommerciallyreasonableeffortsto:(a)promptlynotifytheotherpartyofsuchdisclosurebeforedisclosing;and(b)complywiththeotherparty’sreasonablerequestsregardingitseffortstoopposethedisclosure.10.2.2Sections10.2.1(a)and(b)abovewillnotapplyiftherecipientdeterminesthatcomplyingwith(a)and(b)could:(i)resultinaviolationofLegalProcess;(ii)obstructagovernmentalinvestigation;or(iii)leadtodeathorseriousphysicalharmtoanindividual.10.2.3Asbetweentheparties,CustomerisresponsibleforrespondingtoallthirdpartyrequestsconcerningitsuseandCustomerEndUsers’useoftheServices.11.TermandTermination.11.1AgreementTerm.TheAgreementiseffectivefromtheEffectiveDateuntilitisterminatedinaccordancewithitsterms(the“Term”).11.2TerminationforBreach.EitherpartymayterminatetheAgreementforbreachif:(a)theotherpartyisinmaterialbreachoftheAgreementandfailstocurethatbreachwithin30daysafterreceiptofwrittennotice;(b)theotherpartyceasesitsbusinessoperations;or(c)becomessubjecttoinsolvencyproceedingsandtheproceedingsarenotdismissedwithin90days.GooglemayterminateProjectsoraccesstoServices,ifCustomermeetsanyoftheconditionsinsubsections(a)or(b).11.3TerminationforInactivity.GooglemayterminateProjectswith30days'priorwrittennoticeifsuchProject(a)hasnotmadeanyrequeststotheServicesfromanyCustomerApplicationsformorethan180days;or(b)hasnotincurredanyFeesformorethan180days.11.4TerminationforConvenience.CustomermaystopusingtheServicesatanytime.SubjecttoanyfinancialcommitmentsexpresslymadebythisAgreement,CustomermayterminatetheAgreementforitsconvenienceatanytimewith30days'priorwrittennotice.GooglemayterminatetheAgreementforitsconvenienceatanytimewithoutliabilitytoCustomer.11.5EffectsofTermination.11.5.1IftheAgreementterminates,then:(a)therightsandaccesstotheServiceswillterminate;(b)allFeesowedbyCustomertoGoogleareimmediatelydueuponreceiptofthefinalelectronicbill;and(c)CustomerwilldeletetheSoftwareandanycontentfromtheServicesbytheterminationeffectivedate.11.5.2ThefollowingwillsurviveexpirationorterminationoftheAgreement:Section2(PaymentTerms),Section3.2(LicenseRequirementsandRestrictions),Section4.4(DataUse,Protection,andPrivacy),Section6(IntellectualProperty;Feedback),Section10(ConfidentialInformation),Section11.5(EffectsofTermination),Section14(Disclaimer),Section15(Indemnification),Section16(LimitationofLiability),Section19(Miscellaneous),andSection21(Definitions).(Video)HowtoenableGoogleMapsPlatformAPIsandSDKs12.Publicity.CustomermaystatepubliclythatitisacustomeroftheServices,consistentwiththeTrademarkGuidelines.IfCustomerwantstodisplayGoogleBrandFeaturesinconnectionwithitsuseoftheServices,CustomermustobtainwrittenpermissionfromGooglethroughtheprocessspecifiedintheTrademarkGuidelines.GooglemayincludeCustomer’snameorBrandFeaturesinalistofGooglecustomers,onlineorinpromotionalmaterials.GooglemayalsoverballyreferenceCustomerasacustomeroftheServices.Neitherpartyneedsapprovalifitisrepeatingapublicstatementthatissubstantiallysimilartoapreviously-approvedpublicstatement.Anyuseofaparty’sBrandFeatureswillinuretothebenefitofthepartyholdingIntellectualPropertyRightstothoseBrandFeatures.Apartymayrevoketheotherparty’srighttouseitsBrandFeaturesunderthisSectionwithwrittennoticetotheotherpartyandareasonableperiodtostoptheuse.13.RepresentationsandWarranties.Eachpartyrepresentsandwarrantsthat:(a)ithasfullpowerandauthoritytoenterintotheAgreement;and(b)itwillcomplywithExportControlLawsandAnti-BriberyLawsapplicabletoitsprovision,receipt,oruse,oftheServices,asapplicable.14.Disclaimer.EXCEPTASEXPRESSLYPROVIDEDFORINTHEAGREEMENT,TOTHEFULLESTEXTENTPERMITTEDBYAPPLICABLELAW,GOOGLE:(A)DOESNOTMAKEANYWARRANTIESOFANYKIND,WHETHEREXPRESS,IMPLIED,STATUTORY,OROTHERWISE,INCLUDINGWARRANTIESOFMERCHANTABILITY,FITNESSFORAPARTICULARUSE,NONINFRINGEMENT,ORERROR-FREEORUNINTERRUPTEDUSEOFTHESERVICESORSOFTWARE;(B)MAKESNOREPRESENTATIONABOUTCONTENTORINFORMATIONACCESSIBLETHROUGHTHESERVICES;AND(C)WILLONLYBEREQUIREDTOPROVIDETHEREMEDIESEXPRESSLYSTATEDINTHESLAFORFAILURETOPROVIDETHESERVICES.GOOGLEMAPSCORESERVICESAREPROVIDEDFORPLANNINGPURPOSESONLY.INFORMATIONFROMTHEGOOGLEMAPSCORESERVICESMAYDIFFERFROMACTUALCONDITIONS,ANDMAYNOTBESUITABLEFORTHECUSTOMERAPPLICATION.CUSTOMERMUSTEXERCISEINDEPENDENTJUDGMENTWHENUSINGTHESERVICESTOENSURETHAT(i)GOOGLEMAPSARESUITABLEFORTHECUSTOMERAPPLICATION;AND(ii)THECUSTOMERAPPLICATIONISSAFEFORENDUSERSANDOTHERTHIRDPARTIES.15.Indemnification.15.1CustomerIndemnificationObligations.Unlessprohibitedbyapplicablelaw,CustomerwilldefendGoogleanditsAffiliatesandindemnifythemagainstIndemnifiedLiabilitiesinanyThird-PartyLegalProceedingtotheextentarisingfrom(a)anyCustomerIndemnifiedMaterialsor(b)Customer’soranEndUser’suseoftheServicesinviolationoftheAUPorinviolationoftheAgreement.15.2GoogleIndemnificationObligations.GooglewilldefendCustomeranditsAffiliatesparticipatingundertheAgreement(“CustomerIndemnifiedParties”),andindemnifythemagainstIndemnifiedLiabilitiesinanyThird-PartyLegalProceedingtotheextentarisingfromanAllegationthatCustomerIndemnifiedParties'useofGoogleIndemnifiedMaterialsinfringesthethirdparty'sIntellectualPropertyRights.15.3IndemnificationExclusions.Sections15.1(CustomerIndemnificationObligations)and15.2(GoogleIndemnificationObligations)willnotapplytotheextenttheunderlyingAllegationarisesfrom(a)theindemnifiedparty’sbreachoftheAgreementor(b)acombinationoftheCustomerIndemnifiedMaterialsorGoogleIndemnifiedMaterials(asapplicable)swithmaterialsnotprovidedbytheindemnifyingparty,unlessthecombinationisrequiredbytheAgreement.15.4IndemnificationConditions.Sections15.1(CustomerIndemnificationObligations)and15.2(GoogleIndemnificationObligations)areconditionedonthefollowing:(a)TheindemnifiedpartymustpromptlynotifytheindemnifyingpartyinwritingofanyAllegation(s)thatprecededtheThird-PartyLegalProceedingandcooperatereasonablywiththeindemnifyingpartytoresolvetheAllegation(s)andThird-PartyLegalProceeding.IfbreachofthisSection15.4(a)prejudicesthedefenseoftheThird-PartyLegalProceeding,theindemnifyingparty’sobligationsunderSection15.1(CustomerIndemnificationObligations)or15.2(GoogleIndemnificationObligations)(asapplicable)willbereducedinproportiontotheprejudice.(b)TheindemnifiedpartymusttendersolecontroloftheindemnifiedportionoftheThird-PartyLegalProceedingtotheindemnifyingparty,subjecttothefollowing:(i)theindemnifiedpartymayappointitsownnon-controllingcounsel,atitsownexpense;and(ii)anysettlementrequiringtheindemnifiedpartytoadmitliability,paymoney,ortake(orrefrainfromtaking)anyaction,willrequiretheindemnifiedparty’spriorwrittenconsent,nottobeunreasonablywithheld,conditioned,ordelayed.15.5Remedies.(a)IfGooglereasonablybelievestheServicesmightinfringeathirdparty’sIntellectualPropertyRights,thenGooglemay,atitssoleoptionandexpense:(i)procuretherightforCustomertocontinueusingtheServices;(ii)modifytheServicestomakethemnon-infringingwithoutmateriallyreducingtheirfunctionality;or(iii)replacetheServiceswithanon-infringing,functionallyequivalentalternative.(b)IfGoogledoesnotbelievetheremediesinSection15.5(a)arecommerciallyreasonable,thenGooglemaySuspendorterminateCustomer’suseoftheimpactedServices.15.6SoleRightsandObligations.Withoutaffectingeitherparty’sterminationrights,thisSection15statestheparties’soleandexclusiveremedyundertheAgreementforanyAllegationsofIntellectualPropertyRightsinfringementcoveredbythisSection15(Indemnification).16.Liability.16.1LimitedLiabilities(a)TotheextentpermittedbyapplicablelawandsubjecttoSection16.2(UnlimitedLiabilities),neitherpartyandGoogle’slicensorswillhaveanyLiabilityarisingoutoforrelatingtotheAgreementforany(i)indirect,consequential,special,incidental,orpunitivedamagesor(ii)lostrevenues,profits,savings,orgoodwill.(b)Eachparty’stotalaggregateLiabilityfordamagesarisingoutoforrelatingtotheAgreementislimitedtotheFeesCustomerpaidundertheAgreementduringthe12monthperiodbeforetheeventgivingrisetoLiability.16.2UnlimitedLiabilities.NothingintheAgreementexcludesorlimitseitherparty’sLiabilityfor:(a)itsinfringementoftheotherparty’sIntellectualPropertyRights(b)itspaymentobligationsundertheAgreement;or(c)mattersforwhichliabilitycannotbeexcludedorlimitedunderapplicablelaw.17.Advertising.Initssolediscretion,CustomermayconfiguretheServicetoeitherdisplayornotdisplayadvertisementsservedbyGoogle.18.U.S.FederalAgencyUsers.TheServicesweredevelopedsolelyatprivateexpenseandarecommercialcomputersoftwareandrelateddocumentationwithinthemeaningoftheapplicableFederalAcquisitionRegulationsandtheiragencysupplements.19.Miscellaneous.19.1Notices.Allnoticesmustbeinwritingandaddressed:(a)inthecaseofGoogle,toGoogle’[email protected];and(b)inthecaseofCustomer,totheNotificationEmailAddress.Noticewillbetreatedasgivenonreceiptasverifiedbywrittenorautomatedreceiptorbyelectroniclog(asapplicable).19.2Assignment.CustomermaynotassigntheAgreementwithoutthewrittenconsentofGoogle,excepttoanAffiliatewhere:(a)theassigneehasagreedinwritingtobeboundbythetermsoftheAgreement;(b)theassigningpartyremainsliableforobligationsundertheAgreementiftheassigneedefaultsonthem;and(c)theassigningpartyhasnotifiedtheotherpartyoftheassignment.AnyotherattemptbyCustomertoassignisvoid.GooglemayassigntheAgreementwithoutthewrittenconsentofCustomerbynotifyingCustomeroftheassignment.19.3ChangeofControl.IfapartyexperiencesachangeofControlotherthananinternalrestructuringorreorganization,then:(a)thatpartywillgivewrittennoticetotheotherpartywithin30daysafterthechangeofControl;and(b)theotherpartymayimmediatelyterminatetheAgreementanytimebetweenthechangeofControland30daysafteritreceivesthatwrittennotice.19.4ForceMajeure.Neitherpartywillbeliableforfailureordelayinperformancetotheextentcausedbycircumstancesbeyonditsreasonablecontrol,includingactsofGod,naturaldisasters,terrorism,riots,orwar.19.5Subcontracting.GooglemaysubcontractobligationsundertheAgreementbutwillremainliabletoCu
