ThisAgreementiseffectivewhenCustomerclickstoacceptit (the"EffectiveDate").Ifyouareacceptingonbehalfof Customer,yourepresentandwarrantthat(i)youhavefulllegal authoritytobindCustomertothisAgreement;(ii)youhaveread andunderstandthisAgreement;and(iii)youagree,onbehalfof Customer,tothisAgreement. 1. ProvisionoftheServices. 1.1 ServicesUse.DuringtheTerm,Googlewill providetheServicesinaccordancewiththeAgreement,including theSLAs,andCustomermayusetheServices,andintegratethe ServicesintoanyCustomerApplicationthathasmaterialvalue independentoftheServices,inaccordancewiththeAgreement. 1.2 AdminConsole.Customerwillhaveaccessto theAdminConsole,throughwhichCustomermaymanageitsuseof theServices. 1.3 Accounts.CustomermusthaveanAccountto usetheServicesandisresponsiblefortheinformationit providestocreatetheAccount,thesecurityofitspasswords fortheAccount,andforanyuseofitsAccount.Googlehasno obligationtoprovidemultipleaccountstoCustomer. 1.4 Modifications. (a) TotheServices.Googlemaymakecommercially reasonableupdatestotheServicesfromtimetotime.Google willinformCustomerifGooglemakesamaterialchangetothe ServicesthathasamaterialimpactonCustomer'suseofthe ServicesprovidedthatCustomerhassubscribedwithGoogletobe informedaboutsuchchange. (b) TotheAgreement.Googlemaymakechangesto thisAgreement(includingtheURLTerms)andpricingfromtime totime.UnlessotherwisenotedbyGoogle,materialchangesto theAgreementwillbecomeeffective30daysaftertheyare posted,excepttotheextentthechangesapplytonew functionalityortheDataProcessingandSecurityTerms,orare requiredbyapplicablelaw,inwhichcasetheywillbeeffective immediately.Googlewillprovideatleast90days'advance noticeformateriallyadversechangestoanySLAsby(i)sending anemailtotheNotificationEmailAddress;(ii)postinga noticeintheAdminConsole;or(iii)postinganoticetothe applicableSLAwebpage.IfCustomerdoesnotagreetothe revisedAgreement,CustomermaystopusingtheServices. CustomermayalsoterminatethisAgreementforconvenienceunder Section8.4(TerminationforConvenience).Customer'scontinued useoftheServicesaftersuchmaterialchangewillconstitute Customer'sconsenttosuchchanges.Googlewillpostany modificationtothisAgreement to https://cloud.google.com/terms/. (c) TotheDataProcessingandSecurityTerms. GooglemayonlychangetheDataProcessingandSecurity Termswheresuchchangeisrequiredtocomplywithapplicable law,isexpresslypermittedbytheDataProcessingandSecurity Terms,or: (i)iscommerciallyreasonable; (ii)doesnotresultinamaterialreductionofthesecurityof theServices; (iii)doesnotexpandthescopeoforremoveanyrestrictions onGoogle'sprocessingof"CustomerPersonalData,"asdescribed inthe"ScopeofProcessing"SectionoftheDataProcessingand SecurityTerms;and (iv)doesnototherwisehaveamaterialadverseimpacton Customer'srightsundertheDataProcessingandSecurityTerms. IfGooglemakesamaterialchangetotheDataProcessingand SecurityTermsinaccordancewiththisSection1.4(c) (Modifications:TotheDataProcessingandSecurityTerms), GooglewillpostthechangeatthewebpagecontainingtheData ProcessingandSecurityTerms. (d) DiscontinuationofServices.Googlewill notifyCustomeratleast12monthsbeforediscontinuingany Service(orassociatedmaterialfunctionality)unlessGoogle replacessuchdiscontinuedServiceorfunctionalitywitha materiallysimilarServiceorfunctionality.Further,Google willnotifyCustomeratleast12monthsbeforesignificantly modifyingaCustomer-facingGoogleAPIina backwards-incompatiblemanner.NothinginthisSection1.4(d) (DiscontinuationofServices)limitsGoogle'sabilitytomake changesrequiredtocomplywithapplicablelaw,addressa materialsecurityrisk,oravoidasubstantialeconomicor materialtechnicalburden.ThisSection1.4(d)(Discontinuation ofServices)doesnotapplytopre-generalavailability Services,offerings,orfunctionality. 1.5 Software.GooglemaymakeSoftwareavailable toCustomer,includingthird-partysoftware.Customer'suseof anySoftwareissubjecttotheapplicableprovisionsinthe ServiceSpecificTerms. 2. PaymentTerms. 2.1 OnlineBilling.Attheendoftheapplicable FeeAccrualPeriodorasotherwisestatedbyGoogleintheAdmin Console,GooglewillissueanelectronicbilltoCustomerfor allchargesbasedonCustomer'suseoftheServicesduringthe applicableFeeAccrualPeriod(including,ifapplicable,the relevantFeesforTSS).CustomerwillpayallFeesinthe currencystatedintheinvoice.IfCustomerelectstopayby creditcard,debitcard,orothernon-invoicedformofpayment, Googlewillcharge(andCustomerwillpay)allFeesimmediately attheendoftheFeeAccrualPeriod.IfCustomerelectstopay byinvoice(andGoogleagrees),allFeesaredueasstatedin theinvoice.Customer'sobligationtopayallFeesis non-cancellable.Google'smeasurementofCustomer'suseofthe Servicesisfinal.Googlehasnoobligationtoprovidemultiple bills.Paymentsmadeviawiretransfermustincludethebank informationprovidedbyGoogle. 2.2 Taxes. (a)CustomerisresponsibleforanyTaxes,andwillpayGoogle fortheServiceswithoutanyreductionforTaxes.IfGoogleis obligatedtocollectorpayanyTaxes,theTaxeswillbe invoicedtoCustomerandCustomerwillpaysuchTaxestoGoogle, unlessCustomerprovidesGooglewithatimelyandvalidtax exemptioncertificateinrespectofthoseTaxes. (b)CustomerwillprovideGooglewithanyapplicabletax identificationinformationthatGooglemayrequireunder applicablelawtoensureitscompliancewithapplicabletax regulationsandauthoritiesinapplicablejurisdictions. Customerwillbeliabletopay(orreimburseGooglefor)any taxes,interest,penalties,orfinesarisingoutofany mis-declarationbyCustomer. 2.3 PaymentDisputes&Refunds.Anypayment disputesmustbesubmittedbeforethepaymentduedate.Ifthe partiesdeterminethatcertainbillinginaccuraciesare attributabletoGoogle,Googlewillnotissueacorrected invoice,butwillinsteadissueacreditmemospecifyingthe incorrectamountintheaffectedinvoice.Ifadisputedinvoice hasnotyetbeenpaid,Googlewillapplythecreditmemoamount toadisputedinvoiceandCustomerwillberesponsiblefor payingtheresultingnetbalancedueonthatinvoice.Refunds (ifany)areatGoogle'sdiscretionandwillonlybeintheform ofcreditfortheServices.NothinginthisAgreementobligates Googletoextendcredittoanyparty. 2.4 DelinquentPayments;Suspension.Late paymentsmaybearinterestattherateof1.5%permonth(orthe highestratepermittedbylaw,ifless)fromthepaymentdue dateuntilpaidinfull.Customerwillberesponsibleforall reasonableexpenses(includingattorneys'fees)incurredby Googleincollectingsuchdelinquentamounts.Further,if Customer'spaymentfortheServicesisoverdue,Googlemay SuspendtheServices. 2.5 NoPurchaseOrderNumberRequired.Customer isobligatedtopayallapplicableFeeswithoutanyrequirement forGoogletoprovideapurchaseordernumberonGoogle's invoice(orotherwise). 3. CustomerObligations. 3.1 Compliance.Customerwill(a)ensurethat CustomeranditsEndUsers'useoftheServicescomplieswith theAgreement,(b)usecommerciallyreasonableeffortsto preventandterminateanyunauthorizeduseof,oraccessto,the Services,and(c)promptlynotifyGoogleofanyunauthorizeduse of,oraccessto,theServices,Account,orCustomer'spassword ofwhichCustomerbecomesaware.Googlereservestherightto investigateanypotentialviolationoftheAUPbyCustomer, whichmayincludereviewingCustomerApplications,Customer Data,orProjects. 3.2 Privacy.Customerisresponsibleforany consentsandnoticesrequiredtopermit(a)Customer'suseand receiptoftheServicesand(b)Google'saccessing,storing,and processingofdataprovidedbyCustomer(includingCustomer Data,ifapplicable)undertheAgreement. 3.3 Restrictions.Customerwillnot,andwillnot allowEndUsersto,(a)copy,modify,orcreateaderivative workoftheServices;(b)reverseengineer,decompile, translate,disassemble,orotherwiseattempttoextractanyor allofthesourcecodeof,theServices(excepttotheextent suchrestrictionisexpresslyprohibitedbyapplicablelaw);(c) sell,resell,sublicense,transfer,ordistributeanyorallof theServices;or(d)accessorusetheServices(i)forHigh RiskActivities;(ii)inviolationoftheAUP;(iii)inamanner intendedtoavoidincurringFees(includingcreatingmultiple CustomerApplications,Accounts,orProjectstosimulateoract asasingleCustomerApplication,Account,orProject (respectively))ortocircumventService-specificusagelimits orquotas;(iv)toengageincryptocurrencyminingwithout Google'spriorwrittenapproval;(v)tooperateorenableany telecommunicationsserviceorinconnectionwithanyCustomer ApplicationthatallowsEndUserstoplacecallsortoreceive callsfromanypublicswitchedtelephonenetwork,unless otherwisedescribedintheServiceSpecificTerms;(vi)for materialsoractivitiesthataresubjecttotheInternational TrafficinArmsRegulations(ITAR)maintainedbytheUnited StatesDepartmentofState;(vii)inamannerthatbreaches,or causesthebreachof,ExportControlLaws;or(viii)to transmit,store,orprocesshealthinformationsubjecttoUnited StatesHIPAAregulationsexceptaspermittedbyanexecuted HIPAABAA. 3.4 Documentation.Googlemayprovide DocumentationforCustomer'suseoftheServices. 3.5 Copyright.Googleprovidesinformationto helpcopyrightholdersmanagetheirintellectualproperty online,butGooglecannotdeterminewhethersomethingisbeing usedlegallywithoutinputfromthecopyrightholders.Google willrespondtonoticesofallegedcopyrightinfringementand mayterminaterepeatinfringersinappropriatecircumstancesas requiredtomaintainsafeharborforonlineserviceproviders undertheU.S.DigitalMillenniumCopyrightAct.IfCustomer believesapersonorentityisinfringingCustomer'soritsEnd User'scopyrightsandwouldliketonotifyGoogle,Customercan findinformationaboutsubmittingnotices,andGoogle'spolicy aboutrespondingtonotices, at https://www.google.com/dmca.html. 4. Suspension. 4.1 AUPViolations.IfGooglebecomesawarethat Customer'soranyEndUser'suseoftheServicesviolatesthe AUP,GooglewillnotifyCustomerandrequestthatCustomer correcttheviolation.IfCustomerfailstocorrectthe violationwithin24hoursofGoogle'srequest,thenGooglemay SuspendallorpartofCustomer'suseoftheServicesuntilthe violationiscorrected. 4.2 OtherSuspension.NotwithstandingSection4.1 (AUPViolations),GooglemayimmediatelySuspendallorpartof Customer'suseoftheServicesif(a)Googlereasonablybelieves Customer'soranyEndUser'suseoftheServicescouldadversely impacttheServices,othercustomers'ortheirendusers'useof theServices,ortheGooglenetworkorserversusedtoprovide theServices;(b)thereissuspectedunauthorizedthird-party accesstotheServices;(c)Googlereasonablybelievesthat immediateSuspensionisrequiredtocomplywithanyapplicable law;or(d)CustomerisinbreachofSection3.3(Restrictions) ortheServiceSpecificTerms.Googlewillliftanysuch SuspensionwhenthecircumstancesgivingrisetotheSuspension havebeenresolved.AtCustomer'srequest,Googlewill,unless prohibitedbyapplicablelaw,notifyCustomerofthebasisfor theSuspensionassoonasisreasonablypossible. 5. IntellectualPropertyRights;Protectionof CustomerData;Feedback. 5.1 IntellectualPropertyRights.Exceptas expresslystatedinthisAgreement,thisAgreementdoesnot granteitherpartyanyrights,impliedorotherwise,tothe other'scontentoranyoftheother'sintellectualproperty.As betweentheparties,CustomerownsallIntellectualProperty RightsinCustomerDataandCustomerApplications,andGoogle ownsallIntellectualPropertyRightsintheServicesand Software. 5.2 ProtectionofCustomerData.Googlewillonly accessoruseCustomerDatatoprovidetheServicesandTSSto CustomerorasotherwiseinstructedbyCustomerandwillnotuse itforanyotherGoogleproducts,services,oradvertising. Googlehasimplementedandwillmaintainadministrative, physical,andtechnicalsafeguardstoprotectCustomerData,as furtherdescribedintheDataProcessingandSecurityTerms. 5.3 CustomerFeedback.Atitsoption,Customer mayprovidefeedbackorsuggestionsabouttheServicestoGoogle ("Feedback").IfCustomerprovidesFeedback,thenGoogleandits AffiliatesmayusethatFeedbackwithoutrestrictionandwithout obligationtoCustomer. 6. TechnicalSupportServices. 6.1 ByCustomer.Customerisresponsiblefor technicalsupportofitsCustomerApplicationsandProjects. 6.2 ByGoogle.Subjecttopaymentofapplicable supportFees,GooglewillprovideTSStoCustomerduringthe TerminaccordancewiththeTSSGuidelines.CertainTSSlevels includeaminimumrecurringFeeasdescribed at https://cloud.google.com/skus. IfCustomerdowngradesitsTSSlevelduringanycalendarmonth, GooglemaycontinuetoprovideTSSatthesamelevelandforthe sameTSSFeesasappliedbeforethedowngradefortheremainder ofthatmonth. 7. ConfidentialInformation. 7.1 Obligations.Therecipientwillonlyusethe disclosingparty'sConfidentialInformationtoexercisethe recipient'srightsandfulfillitsobligationsunderthe Agreement,andwillusereasonablecaretoprotectagainstthe disclosureofthedisclosingparty'sConfidentialInformation. TherecipientmaydiscloseConfidentialInformationonlytoits Affiliates,employees,agents,orprofessionaladvisors ("Delegates")whoneedtoknowitandwhohaveagreedinwriting (orinthecaseofprofessionaladvisorsareotherwisebound)to keepitconfidential.Therecipientwillensurethatits DelegatesusethereceivedConfidentialInformationonlyto exerciserightsandfulfillobligationsunderthisAgreement. 7.2 RequiredDisclosure.Notwithstandinganyprovisionto thecontraryinthisAgreement,therecipientoritsAffiliate mayalsodiscloseConfidentialInformationtotheextent requiredbyapplicableLegalProcess;providedthatthe recipientoritsAffiliateusescommerciallyreasonableefforts to(a)promptlynotifytheotherpartybeforeanysuch disclosureofitsConfidentialInformation,and(b)complywith theotherparty'sreasonablerequestsregardingitseffortsto opposethedisclosure.Notwithstandingtheforegoing, subsections(a)and(b)abovewillnotapplyiftherecipient determinesthatcomplyingwith(a)and(b)could(i)resultina violationofLegalProcess;(ii)obstructagovernmental investigation;or(iii)leadtodeathorseriousphysicalharm toanindividual. 8. TermandTermination. 8.1 AgreementTerm.ThetermofthisAgreement (the"Term")willbeginontheEffectiveDateandcontinueuntil theAgreementisterminatedasstatedinthisSection8(Term andTermination). 8.2 TerminationforBreach.Totheextent permittedbyapplicablelaw,eitherpartymayterminatethis Agreementimmediatelyonwrittennoticeif(a)theotherparty isinmaterialbreachoftheAgreementandfailstocurethat breachwithin30daysafterreceiptofwrittennoticeofthe breachor(b)theotherpartyceasesitsbusinessoperationsor becomessubjecttoinsolvencyproceedingsandtheproceedings arenotdismissedwithin90days. 8.3 TerminationforInactivity.Googlereserves therighttoterminatetheprovisionoftheServicestoa Projectupon30days'advancenoticeif,foraperiodof60days (a)CustomerhasnotaccessedtheAdminConsoleortheProject hashadnonetworkactivityand(b)suchProjecthasnot incurredanyFeesforsuchServices. 8.4 TerminationforConvenience.Customermay stopusingtheServicesatanytime.Customermayterminatethis Agreementforitsconvenienceatanytimeonpriorwritten noticeand,upontermination,mustceaseuseoftheapplicable Services.GooglemayterminatethisAgreementforits convenienceatanytimewith30days'priorwrittennoticeto Customer. 8.5 TerminationDuetoApplicableLaw;Violationof Laws.GooglemayterminatethisAgreementimmediatelyon writtennoticeifGooglereasonablybelievesthat(a)continued provisionofanyServiceusedbyCustomerwouldviolate applicablelaw(s)or(b)CustomerhasviolatedorcausedGoogle toviolateanyAnti-BriberyLawsorExportControlLaws. 8.6 EffectofTermination.IftheAgreementis terminated,then(a)allrightsandaccesstotheServiceswill terminate(includingaccesstoCustomerData,ifapplicable), unlessotherwisedescribedinthisAgreement,and(b)allFees owedbyCustomertoGoogleareimmediatelydueuponCustomer’s receiptofthefinalelectronicbillorasstatedinthefinal invoice. 9. Publicity.Customermaystatepublicly thatitisaGooglecustomeranddisplayGoogleBrandFeatures inaccordancewiththeTrademarkGuidelines.Googlemayuse Customer'snameandBrandFeaturesinonlineoroffline promotionalmaterialsoftheServices.Eachpartymayusethe otherparty’sBrandFeaturesonlyaspermittedintheAgreement. Anyuseofaparty'sBrandFeatureswillinuretothebenefitof thepartyholdingIntellectualPropertyRightstothoseBrand Features. 10. RepresentationsandWarranties.Each partyrepresentsandwarrantsthat(a)ithasfullpowerand authoritytoenterintotheAgreement,and(b)itwillcomply withalllawsapplicabletoitsprovision,receipt,oruseof theServices,asapplicable. 11. Disclaimer.Exceptasexpressly providedforintheAgreement,Googledoesnotmakeand expresslydisclaimstothefullestextentpermittedby applicablelaw(a)anywarrantiesofanykind,whether express,implied,statutory,orotherwise,including warrantiesofmerchantability,fitnessforaparticularuse, title,noninfringement,orerror-freeoruninterrupteduseof theServicesorSoftwareand(b)anyrepresentationsabout contentorinformationaccessiblethroughthe Services. 12. LimitationofLiability. 12.1 LimitationonIndirectLiability.To theextentpermittedbyapplicablelawandsubjecttoSection 12.3(UnlimitedLiabilities),neitherpartywillhaveany LiabilityarisingoutoforrelatingtotheAgreementforany (a)indirect,consequential,special,incidental,orpunitive damagesor(b)lostrevenues,profits,savings,or goodwill. 12.2 LimitationonAmountofLiability. Eachparty'stotalaggregateLiabilityfordamagesarisingout oforrelatingtotheAgreementislimitedtotheFees Customerpaidduringthe12monthperiodbeforetheevent givingrisetoLiability,exceptGoogle’stotalaggregate LiabilityfordamagesarisingoutoforrelatedtoServicesor Softwareprovidedfreeofchargeislimitedto $5,000. 12.3 UnlimitedLiabilities.Nothingin theAgreementexcludesorlimitseitherparty'sLiability for: (a)itsfraudorfraudulentmisrepresentation; (b)itsobligationsunderSection13 (Indemnification); (c)itsinfringementoftheotherparty'sIntellectual PropertyRights; (d)itspaymentobligationsundertheAgreement; or (e)mattersforwhichliabilitycannotbeexcludedor limitedunderapplicablelaw. 13. Indemnification. 13.1 GoogleIndemnificationObligations.Google willdefendCustomeranditsAffiliatesusingtheServicesunder Customer’sAccountandindemnifythemagainstIndemnified LiabilitiesinanyThird-PartyLegalProceedingtotheextent arisingfromanallegationthatanyServiceoranyGoogleBrand Feature,ineachcaseusedinaccordancewiththeAgreement, infringesthethirdparty'sIntellectualPropertyRights. 13.2 CustomerIndemnificationObligations. CustomerwilldefendGoogleanditsAffiliatesprovidingthe ServicesandindemnifythemagainstIndemnifiedLiabilitiesin anyThird-PartyLegalProceedingtotheextentarisingfrom(a) anyCustomerApplication,Project,CustomerData,orCustomer BrandFeatures;or(b)Customer'soranEndUser'suseofthe ServicesinbreachoftheAUPorSection3.3(Restrictions). 13.3 Exclusions.Sections13.1(Google IndemnificationObligations)and13.2(CustomerIndemnification Obligations)willnotapplytotheextenttheunderlying allegationarisesfrom(a)theindemnifiedparty'sbreachofthe Agreement,(b)acombinationoftheindemnifyingparty's technologyorBrandFeatureswithmaterialsnotprovidedbythe indemnifyingpartyundertheAgreement,unlessthecombination isrequiredbytheAgreement,and(c)inthecaseofGoogleor anyofitsAffiliatesastheindemnifyingparty,anyServices providedtoCustomerfreeofcharge. 13.4 Conditions.Sections13.1(Google IndemnificationObligations)and13.2(CustomerIndemnification Obligations)areconditionedonthefollowing: (a)Anyindemnifiedpartymustpromptlynotifytheindemnifying partyinwritingofanyallegation(s)thatprecededthe Third-PartyLegalProceedingandcooperatereasonablywiththe indemnifyingpartytoresolvetheallegation(s)andThird-Party LegalProceeding.IfbreachofthisSection13.4(a)prejudices thedefenseoftheThird-PartyLegalProceeding,the indemnifyingparty'sobligationsunderSection13.1(Google IndemnificationObligations)or13.2(CustomerIndemnification Obligations)(asapplicable)willbereducedinproportionto theprejudice. (b)Anyindemnifiedpartymusttendersolecontrolofthe indemnifiedportionoftheThird-PartyLegalProceedingtothe indemnifyingparty,subjecttothefollowing:(i)the indemnifiedpartymayappointitsownnon-controllingcounsel, atitsownexpense;and(ii)anysettlementrequiringthe indemnifiedpartytoadmitliability,paymoney,ortake(or refrainfromtaking)anyaction,willrequiretheindemnified party'spriorwrittenconsent,nottobeunreasonablywithheld, conditioned,ordelayed. 13.5 Remedies. (a)IfGooglereasonablybelievestheServicesmightinfringea thirdparty'sIntellectualPropertyRights,thenGooglemay,at itssoleoptionandexpense(i)procuretherightforCustomer tocontinueusingtheServices;(ii)modifytheServicestomake themnon-infringingwithoutmateriallyreducingtheir functionality;or(iii)replacetheServiceswitha non-infringing,functionallyequivalentalternative. (b)IfGoogledoesnotbelievetheremediesinSection13.5(a) arecommerciallyreasonable,thenGooglemaySuspendor terminateCustomer'suseoftheimpactedServices. 13.6 SoleRightsandObligations.Without affectingeitherparty'sterminationrights,thisSection13 (Indemnification)statestheparties'soleandexclusiveremedy underthisAgreementforanythird-partyallegationsof IntellectualPropertyRightsinfringementcoveredbythis Section13(Indemnification). 14. Miscellaneous. 14.1 Notices.UndertheAgreement,noticesto CustomermustbesenttotheNotificationEmailAddressand noticestoGooglemustbesent to [email protected]. Noticewillbetreatedasreceivedwhentheemailissent. CustomerisresponsibleforkeepingitsNotificationEmail AddresscurrentthroughouttheTerm. 14.2 Emails.Thepartiesmayuseemailsto satisfywrittenapprovalandconsentrequirementsunderthe Agreement. 14.3 Assignment.Neitherpartymayassignany partofthisAgreementwithoutthewrittenconsentoftheother, excepttoanAffiliatewhere(a)theassigneehasagreedin writingtobeboundbythetermsofthisAgreement,and(b)the assigningpartyhasnotifiedtheotherpartyoftheassignment. Anyotherattempttoassignisvoid.IfCustomerassignsthis AgreementtoanAffiliateinanotherjurisdictionsuchthat thereisachangeintheGooglecontractingentityasdefined at https://cloud.google.com/terms/google-entity (i) thisAgreementisautomaticallyassignedtothenewGoogle contractingentity;and(ii)iftheAffiliate’sbillingaccount isinIndiaorBrazil,theapplicabletermsofservicelinked above,andnotthisAgreement,willapplyfromthemomentofthe assignment. 14.4 ChangeofControl.Ifapartyexperiencesa changeofControlotherthanaspartofaninternal restructuringorreorganization(forexample,throughastock purchaseorsale,merger,orotherformofcorporate transaction),thatpartywillgivewrittennoticetotheother partywithin30daysafterthechangeofControl. 14.5 ForceMajeure.Neitherpartywillbeliable forfailureordelayinperformancetotheextentcausedby circumstancesbeyonditsreasonablecontrol,includingactsof God,naturaldisasters,terrorism,riots,orwar. 14.6 Subcontracting.Googlemaysubcontract obligationsundertheAgreementbutwillremainliableto Customerforanysubcontractedobligations. 14.7 NoAgency.ThisAgreementdoesnotcreate anyagency,partnership,orjointventurebetweentheparties. 14.8 NoWaiver.Neitherpartywillbetreatedas havingwaivedanyrightsbynotexercising(ordelayingthe exerciseof)anyrightsunderthisAgreement. 14.9 Severability.IfanypartofthisAgreement isinvalid,illegal,orunenforceable,therestoftheAgreement willremainineffect. 14.10 NoThird-PartyBeneficiaries.This Agreementdoesnotconferanybenefitsonanythirdpartyunless itexpresslystatesthatitdoes. 14.11 EquitableRelief.NothinginthisAgreement willlimiteitherparty'sabilitytoseekequitablerelief. 14.12 U.S.GoverningLaw. InenteringintothisAgreement,neitherpartyhasreliedon, andneitherpartywillhaveanyrightorremedybasedon,any statement,representation,orwarranty(whethermadenegligently orinnocently),exceptthoseexpresslystatedinthisAgreement. AftertheEffectiveDate,GooglemayprovideanupdatedURLin placeofanyURLinthisAgreement. 14.16 ConflictingTerms.Ifthereisaconflict betweenthedocumentsthatmakeupthisAgreement,thedocuments willcontrolinthefollowingorder(ofdecreasingprecedence): theDataProcessingandSecurityTerms,theremainderofthe Agreement(excludingtheURLTerms),andtheURLTerms (excludingtheDataProcessingandSecurityTerms). 14.17 Headers.Headingsandcaptionsusedinthe Agreementareforreferencepurposesonlyandwillnothaveany effectontheinterpretationoftheAgreement. 14.18 ConflictingLanguages.IfthisAgreementis translatedintoanylanguageotherthanEnglish,andthereisa discrepancybetweentheEnglishtextandthetranslatedtext, theEnglishtextwillgovernunlessexpresslystatedotherwise inthetranslation. 14.19 Definitions. "Account"meansCustomer'sGoogleCloudPlatformaccount. "AdminConsole"meanstheonlineconsole(s)ordashboard providedbyGoogletoCustomerforadministeringthe Services. "Affiliate"meansanyentitythatdirectlyorindirectly Controls,isControlledby,orisundercommonControlwith aparty. "Anti-BriberyLaws"meansallapplicablecommercialand publicanti-briberylaws,includingtheU.S.ForeignCorrupt PracticesActof1977andtheUKBriberyAct2010,that prohibitcorruptoffersofanythingofvalue,either directlyorindirectly,toanyone,includinggovernment officials,toobtainorkeepbusinessortosecureanyother impropercommercialadvantage.Governmentofficialsinclude: anygovernmentemployees,candidatesforpublicoffice, membersofroyalfamilies,andemployeesofgovernment-owned orgovernment-controlledcompanies,publicinternational organizations,andpoliticalparties. (b)ThepartieswilltryingoodfaithtosettleanyDispute within30daysaftertheDisputearises.IftheDisputeisnot resolvedwithin30days,itmustberesolvedbyarbitrationby theAmericanArbitrationAssociation’sInternationalCentrefor DisputeResolutioninaccordancewithitsExpeditedCommercial RulesinforceasofthedateofthisAgreement("Rules"). (c)Thepartieswillmutuallyselectonearbitrator.The arbitrationwillbeconductedinEnglishinSantaClaraCounty, California,USA. (d)Eitherpartymayapplytoanycompetentcourtfor injunctivereliefnecessarytoprotectitsrightspending resolutionofthearbitration.Thearbitratormayorder equitableorinjunctivereliefconsistentwiththeremediesand limitationsintheAgreement. (e)SubjecttotheconfidentialityrequirementsinSubsection (g),eitherpartymaypetitionanycompetentcourttoissueany ordernecessarytoprotectthatparty'srightsorproperty;this petitionwillnotbeconsideredaviolationorwaiverofthis governinglawandarbitrationsectionandwillnotaffectthe arbitrator’spowers,includingthepowertoreviewthejudicial decision.ThepartiesstipulatethatthecourtsofSantaClara County,California,USA,arecompetenttograntanyorderunder thisSubsection14.12(e). (f)Thearbitralawardwillbefinalandbindingontheparties anditsexecutionmaybepresentedinanycompetentcourt, includinganycourtwithjurisdictionovereitherpartyorany ofitsproperty. (g)Anyarbitrationproceedingconductedinaccordancewith thisSection14.12(GoverningLaw;Arbitration)willbe consideredConfidentialInformationunderSection7 (ConfidentialInformation),including:(i)theexistenceof, (ii)anyinformationdisclosedduring,and(iii)anyoral communicationsordocumentsrelatedto,thearbitration proceedings.InadditiontothedisclosurerightsunderSection 7(ConfidentialInformation),thepartiesmaydisclosethe informationdescribedinthisSubsection14.12(g)toa competentcourtasmaybenecessarytofileanyorderunder Subsection14.12(e)orexecuteanyarbitraldecision,butthe partiesmustrequestthatthosejudicialproceedingsbe conducted incamera (inprivate). (h)Thepartieswillpaythearbitrator’sfees,the arbitrator'sappointedexperts'feesandexpenses,andthe arbitrationcenter'sadministrativeexpensesinaccordancewith theRules.Initsfinaldecision,thearbitratorwilldetermine thenon-prevailingparty'sobligationtoreimbursetheamount paidinadvancebytheprevailingpartyforthesefees. (i)Eachpartywillbearitsownlawyers’andexperts’feesand expenses,regardlessofthearbitrator’sfinaldecision regardingtheDispute. AsiaPacific-Indonesia AnewSection8.6isadded: 8.6 TerminationWaiver.Thepartiesagreeto waiveanyprovisionsunderanyapplicablelawstotheextent thatacourtdecisionororderisrequiredforthecancellation ofthisAgreement. TheIndonesianversionofthisAgreementis accessible here andSection14.18isreplacedasfollows: 14.18 ConflictingLanguages.ThisAgreementis madeintheIndonesianandtheEnglishlanguage.Bothversions areequallyauthentic.Intheeventofanyinconsistencyor differentinterpretationbetweentheIndonesianversionandthe Englishversion,thepartiesagreetoamendtheIndonesian versiontomaketherelevantpartoftheIndonesianversion consistentwiththerelevantpartoftheEnglishversion.
