GeneralServiceTerms 1.Data Location.Customermayconfigurethe Serviceslisted at https://cloud.google.com/terms/data-residency to storeCustomerDatainaspecificRegionor Multi-RegionasdetailedintheCloudLocations Page,andGooglewillstorethatCustomerData atrestonlyintheselectedRegionor Multi-Region.TheServicesdonotlimitthe locationsfromwhichCustomerorCustomerEnd UsersmayaccessCustomerDataortowhichthey maymoveCustomerData.Forclarity,Customer Datadoesnotincluderesourceidentifiers, attributes,orotherdatalabels. 2. OperationsofCommunications Services.Notwithstandingany telecommunicationsrestrictionsinthe Agreement,CustomermayusetheServicesfor hostingcapacityinconnectionwithCustomer’s provisionoftelecommunicationsservicesto CustomerEndUsersif(a)Customerobtains, maintains,andcomplieswithallnecessary regulatorylicenses,registrationsorother applicablerequirementsrelatingtosuch telecommunicationsservices,and(b)Customer doesnotuseorreselltheServicestoprovide telecommunicationsconnectivity,includingfor virtualprivatenetworkservices,network transport,orvoiceordatatransmission. 3.General SoftwareTerms.Thefollowingterms applytoallSoftware: a. License.GooglegrantsCustomera royalty-free(unlessotherwisestatedby Google),non-exclusive,non-sublicensable, non-transferablelicenseduringtheTermto reproduceandusetheSoftwareorderedby Customeronsystemsowned,operated,ormanaged byoronbehalfofCustomerinaccordancewith (i)theAgreement,and(ii)ifapplicable,the ScopeofUse.Customermayauthorizeitsandits Affiliates'employees,agents,and subcontractors(collectively,“SoftwareUsers”) tousetheSoftwareinaccordancewiththis section(License),solongasCustomerremains responsible.Customermaymakeareasonable numberofcopiesoftheSoftwareforback-upand archivalpurposes.Forclarity,Softwaredoes notconstituteServices. b. Documentation.Googlemayprovide Documentationdescribingtheappropriate operationoftheSoftware,includinga descriptionofhowSoftwareisproperlyused, andwhetherandhowtheSoftwarecollectsand processesdata.Customerwillcomplywithany restrictionsintheDocumentationregarding Softwareuse. c.Compliance WithScopeofUse.Within30daysof Google’sreasonablewrittenrequest,Customer willprovideasufficientlydetailedwritten reportdescribingitsusageinaccordancewith theapplicableScopeofUseofeachSoftware productusedbyCustomeranditsSoftwareUsers duringtherequestedperiod.Ifrequested, Customerwillprovidereasonableassistanceand accesstoinformationtoverifytheaccuracyof Customer’sSoftwareusagereport(s). d.Other WarrantiesandCompliance.Eachparty representsandwarrantsthatitwillcomplywith alllawsandregulationsapplicabletoits provisionoruseoftheSoftware,asapplicable. Customerwill:(i)ensurethatCustomerandits SoftwareUsers'useoftheSoftwarecomplies withtheAgreementandtherestrictionsinthe AgreementapplyingtoCustomer'suseofthe Services;(ii)usecommerciallyreasonable effortstopreventandterminateany unauthorizedaccesstooruseoftheSoftware; and(iii)promptlynotifyGoogleofany unauthorizedaccesstooruseoftheSoftwareof whichCustomerbecomesaware.IftheSoftware containsopensourceorthird-partycomponents, thosecomponentsmaybesubjecttoseparate licenseagreements,whichGooglewillmake availabletoCustomer.Customerissolely responsibleforcomplyingwiththetermsofany third-partysourcesfromwhichCustomerelects tomigrateitsworkloadsontotheServices,and representsandwarrantsthatsuchthird-party sourcespermittheuseofSoftwaretomigrate applicationsawayfromsuchsources.Ifthe Agreementterminatesorexpires,thenCustomer willstopusingallSoftwareanddeleteitfrom Customer'ssystems. 4.Premium SoftwareTerms.Thefollowingterms applyonlytoPremiumSoftware: a. Introduction.Googlemakescertain SoftwareavailableundertheAgreementdescribed as“PremiumSoftware” at https://cloud.google.com/terms/services(“Premium Software”).CustomerwillpayapplicableFees foranyPremiumSoftwareitobtainsasdescribed attheFeesURL.PremiumSoftwareisGoogle’s ConfidentialInformation. b.Software Warranty.GooglewarrantstoCustomer thatforoneyearfromitsdelivery,Premium Softwarewillperforminmaterialconformance withtheapplicableDocumentation.Thiswarranty willnotapplyif(i)Customerdoesnotnotify Googleofthenon-conformitywithin30days afterCustomerfirstdiscoversit,(ii)Customer modifiesPremiumSoftwareorusesitin violationoftheAgreement,or(iii)the non-conformityiscausedbyanythird-party hardware,software,services,orotherofferings ormaterials,ineachcasenotprovidedby Google. IfGooglebreaches thiswarranty,thenGooglewill,inits discretion,repairorreplacetheimpacted PremiumSoftwareatnoadditionalcharge.If Googledoesnotbelievethatrepairingor replacingwouldbecommerciallyreasonable,then GooglewillnotifyCustomerand(A)Customer willimmediatelyceaseuseoftheimpacted PremiumSoftwareand(B)Googlewillrefundor creditanyprepaidamountsfortheimpacted PremiumSoftwareandCustomerwillberelieved ofanythen-currentcommitmenttopayforfuture useoftheimpactedPremiumSoftware.Without limitingtheparties’terminationrights,this section(SoftwareWarranty)statesCustomer’s soleremedyforGoogle’sbreachofthewarranty inthissection(SoftwareWarranty). c.Software Indemnification.Google’sindemnity obligationsundertheAgreementwithrespectto allegationsofinfringementofthird-party IntellectualPropertyRightsapplytoPremium Software,andCustomer’sindemnityobligations undertheAgreementwithrespecttoCustomer’s useoftheServicesapplytoCustomer’suseof PremiumSoftware.Inadditiontoanyother indemnityexclusionsintheAgreement,Google’s indemnityobligationswillnotapplytothe extenttheunderlyingallegationarisesfrom modificationstoPremiumSoftwarenotmadeby GoogleoruseofversionsofPremiumSoftware thatarenolongersupportedbyGoogle. d.Technical Support.Unlessotherwisespecifiedby Google,GooglewillmakeTSSavailablefor PremiumSoftwareforanadditionalcharge,in accordancewiththeTSSGuidelines. e. Compliance.PremiumSoftwaremay transmittoGooglemeteringinformation reasonablynecessarytoverifythatuseofthe PremiumSoftwarecomplieswiththeScopeofUse, asdescribedintheapplicableDocumentation. Customerwillnotdisableorinterferewiththe transmissionofsuchmeteringinformation. f.Updatesand Maintenance.DuringtheTerm,Googlewill makeavailabletoCustomercopiesofallcurrent versions,updates,andupgradesofPremium Software,promptlyupongeneralavailability,as describedintheDocumentation.Unlessotherwise statedintheDocumentationfortheapplicable componentofPremiumSoftware,Googlewill maintainthecurrentreleaseofPremiumSoftware andthetwoversionsimmediatelyprecedingthe currentrelease,includingbyproviding reasonablebugfixesandsecuritypatches. MaintenanceforanyPremiumSoftwaremaybe discontinuedwithoneyear’snoticefromGoogle, exceptGooglemayeliminatemaintenancefora versionandrequireupgradingtoamaintained versiontoaddressamaterialsecurityriskor whenreasonablynecessarytoavoidan infringementclaimorcomplywithapplicable law. 5.Pre-GA OfferingsTerms.Googlemaymake availabletoCustomerpre-generalavailability GoogleCloudPlatformfeatures,servicesor softwarethatareeithernotyetlisted at https://cloud.google.com/terms/services or identifiedas“EarlyAccess,”“Alpha,”“Beta,” “Preview,”“Experimental,”orasimilar designationinrelateddocumentationor materials(collectively,“Pre-GAOfferings”). WhilePre-GAOfferingsarenotServicesor Software,Customer’suseofPre-GAOfferingsis subjecttothetermsoftheAgreementapplicable toServices(orSoftware,ifapplicable),as amendedbythisSection5. Customermay providefeedbackandsuggestionsaboutthe Pre-GAOfferingstoGoogle,andGoogleandits Affiliatesmayuseanyfeedbackorsuggestions providedwithoutrestrictionandwithout obligationtoCustomer. PRE-GAOFFERINGS AREPROVIDED“ASIS”WITHOUTANYEXPRESSOR IMPLIEDWARRANTIESORREPRESENTATIONSOFANY KIND.Pre-GAOfferings(a)maybechanged, suspendedordiscontinuedatanytimewithout priornoticetoCustomerand(b)arenotcovered byanySLAorGoogleindemnity.Exceptas otherwiseexpresslyindicatedinawritten noticeorthedocumentationforagivenPre-GA Offering,(i)Pre-GAOfferingsmaynotbe coveredbyTSS,(ii)theDataProcessingand SecurityTermsdonotapplytoPre-GAOfferings andCustomershouldnotusePre-GAOfferingsto processpersonaldataorotherdatasubjectto legalorregulatorycompliancerequirements,and (iii)Google’sdatalocationcommitmentssetout intheseServiceSpecificTermswillnotapply toPre-GAOfferings.WithrespecttoPre-GA Offerings,tothemaximumextentpermittedby applicablelaw,neitherGooglenoritssuppliers willbeliableforanyamountsinexcessofthe lesserof(A)thelimitationontheamountof liabilitystatedintheAgreementor(B) $25,000.Nothingintheprecedingsentencewill affecttheremainingtermsoftheAgreement relatingtoliability(includinganyspecific exclusionsfromanylimitationofliability). Customer'saccesstoanduseofanyPre-GA OfferingissubjecttoanyapplicableScopeof Use.EitherpartymayterminateCustomer'suse ofaPre-GAOfferingatanytimewithwritten noticetotheotherparty.CertainPre-GA Offeringsmaybesubjecttoadditionalterms statedbelow. 6. Google-ManagedMulti-Cloud.The then-currentservicesdescribedas “Google-ManagedMulti-CloudServices”at https://cloud.google.com/terms/services("Google-Managed MCS")areGoogleservices,productsandfeatures thatarehostedontheinfrastructureofathird partycloudprovider(“Multi-CloudService Third-PartyProvider”).WhiletheGoogle-Managed MCSarenotServicesorSoftware,Customer’suse oftheGoogle-ManagedMCSissubjecttothe termsoftheAgreementapplicabletoServices (orSoftware,ifapplicable),asamendedbythis Section6.Inadditiontothetermsofthe Agreementandnotwithstandinganythingtothe contraryinthe“ConflictingTerms”sectionof theAgreement,Customer’suseofthe Google-ManagedMCSissubjecttothefollowing terms: a.AdminConsole.TheGoogle-ManagedMCS maynotbeavailablethroughtheAdmin Console. b.Multi-CloudServiceThird-PartyProviderRelationship. i.Tomakeuseof theGoogle-ManagedMCS,Customermustmaintain anindependentaccountandbillingrelationship withtheapplicableMulti-CloudService Third-PartyProvider.Customerisresponsible forenteringintoandcomplyingwithan appropriateagreementwiththeapplicable Multi-CloudServiceThird-PartyProvider governingCustomer’suseoftheMulti-Cloud ServiceThird-PartyProvider’sservicesandthe Multi-CloudServiceThird-PartyProvider’s processingofpersonaldataonbehalfof Customer.TheAgreementdoesnotobligateGoogle ortheMulti-CloudServiceThird-PartyProvider toprovidetheMulti-CloudServiceThird-Party Provider’sservicesthatarenecessaryforthe CustomertousetheGoogle-ManagedMCS. ii.Ifthe Multi-CloudServiceThird-PartyProvidermakesa changetoitsservicesorterms,andGoogle reasonablyconcludesthatitsprovisionofthe Google-ManagedMCSisnolongercommercially feasibleasaresultofthechange,Googlemay immediatelySuspendallorpartofCustomer's useoftheimpactedGoogle-ManagedMCS,ormake anyotherdiscontinuanceor backwards-incompatiblechangenecessaryto continuetoprovidetheGoogle-ManagedMCS. GooglewillliftanysuchSuspensiononcethe circumstancesgivingrisetotheSuspensionhave beenresolved.TotheextentGooglemaySuspend ormodifytheGoogle-ManagedMCSassetforthin thisSection,theGoogle-ManagedMCSarenot subjecttothesectionsoftheAgreement coveringdiscontinuanceand backwards-incompatiblechanges. c.DataProcessing.Processingofdataby theGoogle-ManagedMCSissubjecttotheterms oftheDataProcessingandSecurityTerms,as supplementedandamendedbytheGoogle-Managed Multi-CloudServicesDataProcessingand SecurityTermsAddendum. "Google-Managed Multi-CloudServicesDataProcessingand SecurityTermsAddendum"meansthetermsstated at https://cloud.google.com/terms/mcs-data-processing-terms. d.LimitationofLiability.NotwithstandinganythingtothecontraryintheAgreement(exceptsubjecttoanyunlimitedliabilitiesexpresslystatedintheAgreement),tothemaximumextentpermittedbylaw,eachparty’stotalaggregateLiabilityfordamagesarisingoutoforrelatingtotheGoogle-Managed MCSislimitedtothegreaterof(1)theFeesCustomerpaidfortheGoogle-ManagedMCSduringthe12-monthperiodbeforetheeventgivingrisetoliabilityand(2)$25,000. e. Disclaimers.NotwithstandinganythingtothecontraryintheAgreement,theGoogle-Managed MCS(i)arenotcoveredbyanySLAcoveringGoogleCloudPlatformServices,unlessspecificallyidentifiedunderthetermsoftheSLA,(ii)arenotsubjecttoanyobligationsforGoogletoprovideterminationortransitionassistanceorothertechnicalassistanceafterSuspensionortermination,(iii)arenotsubjecttoanybusinesscontinuityordisasterrecoverycommitments,and(iv)arenotAuditedServices,unlessspecificallyidentifiedattheAuditedServicesURLaslistedinSection2.1(Definitions)oftheDPST. f.Survival. Thefollowingsubsectionsofthese Google-ManagedMulti-CloudServiceSpecific Termswillsurviveexpirationorterminationof theAgreement:d(LimitationofLiability);e (Disclaimer);andf(Survival). 7. Benchmarking. Customermay conductbenchmarktestsoftheServices(eacha "Test").Customermayonlypubliclydisclosethe resultsofsuchTestsifit(a)obtainsGoogle's priorwrittenconsent,(b)providesGoogleall necessaryinformationtoreplicatetheTests, and(c)allowsGoogletoconductbenchmarktests ofCustomer'spubliclyavailableproductsor servicesandpubliclydisclosetheresultsof suchtests.Notwithstandingtheforegoing, Customermaynotdoeitherofthefollowingon behalfofahyperscalepubliccloudprovider withoutGoogle'spriorwrittenconsent:(i) conduct(directlyorthroughathirdparty)any TestoftheServicesor(ii)disclosethe resultsofanysuchTest. 8. Trials. CertainServicesmaybe madeavailabletoCustomeronatrialbasis.The parametersofeachtrial,includinganyScopeof Use,maybepresentedtoCustomereitherthrough theFeesURL,AdminConsole,Documentation, email,orasotherwisecommunicatedbyGoogle. UseofatrialindicatesCustomer’sacceptance ofanysuchparameters. 9.User ExperienceResearch. IfCustomer enrollsintheGoogleCloudUserExperience ResearchProgramforGoogleCloudPlatform, Customer’sparticipationwillbesubjecttothe GoogleCloudUserExperienceResearchPanel Addendumavailable at https://cloud.google.com/terms/user-experience-research or asuccessorURL. 10. PGSSI-S. Customerwillcomply withFrance'sGeneralSecurityPolicyforHealth InformationSystems(PGSSI-S)totheextent applicable. 11. UponterminationorexpirationoftheAgreement, suchcreditswillexpire. c.GoogleCloud Marketplace.IfCustomerusesCompute EnginetoolsorAPIstodeployorotherwiseuse anysoftwareorservicesfromGoogleCloud Marketplace(orGoogleCloudLauncher),then Customer’srelateddeploymentorusewillbe subjectto the GoogleCloudMarketplaceTermsofService. d.Sole-Tenant Nodes.CustomermayselectthatGoogle providetheComputeEngineServiceonphysical Googlehosthardwarededicatedtoasingle Project.WhilenootherGooglecustomervirtual machineinstancewillsharethathosthardware withCustomer’svirtualmachineinstances, ComputeEngine’svirtualizationsoftwarewill resideonthathosthardwareandcontinueto manageCustomer’svirtualmachineinstanceson thathosthardware. 2.Compute Engine,GoogleKubernetesEngine,and ContainerRegistryService-Docker Hub. IfCustomeroraCustomer EndUserrequestscontainer(s)fromtheDocker HubforitsProjectorCustomerApplication, CustomerinstructsGoogletocacheacopyof suchcontainerintheContainerRegistryfor futureuse. 3. App Engine-DataLocation. Customer mayconfigureAppEnginetostoreCustomerData intheUnitedStatesorEuropeanUnion,and GooglewillstorethatCustomerDataatrest onlyinthatlocation.TheServicedoesnot limitthelocationsfromwhichCustomeror CustomerEndUsersmayaccessCustomerDataor towhichtheymaymoveCustomerData.For clarity,CustomerDatadoesnotincluderesource identifiers,attributes,orotherdatalabels. 4.Google CloudVMwareEngine(GCVE). a.Customer SecurityObligations.Googlemaynothave accesstoCustomer'sVMwareenvironment.As such,(i)Customeracknowledgesthat, notwithstandingSection7.1.1(Google'sSecurity Measures)oftheDataProcessingandSecurity Terms,Googlemaynotbeabletoencrypt personaldatainCustomer'sVMwareenvironment and(ii)CustomerwillenablevSANencryption andtakeotherappropriatemeasurestoprotect andmaintainthesecurityofCustomerData storedonorprocessedthroughGCVE. b.Customer Responsibilities.Customerissolely responsibleforobtainingandmaintainingall licenses,rights,consents,andpermissionsthat arerequiredforCustomer'suseofanyOperating Systems,software,applications,orother contentthatCustomeruploadstoorusesin connectionwithGCVE.Forthepurposesofthis Section,"OperatingSystem"meansanyoperating systemthat(i)Customeruploadsto,hostson, orusesinconnectionwithGCVE,or(ii) CustomerinstructsGoogletopre-loadontoGCVE servers. c. VMwareCloudUniversalProgram(“VMwareUniversal”). VMware,Inc.(“VMware”)andVMware partnerssellcreditsthroughVMwareUniversal thatmaybeappliedtowardsGCVEinaccordance withCustomer’sagreementwithVMware.VMwareis anauthorizedresellerofGCVE.Customer’s purchaseanduseofGVCEthroughVMware UniversalissubjecttotheAgreementwiththe additionsandexclusionsspecifiedinthis subsection(c). (i)The Agreement’spaymenttermswillnotapply,and allfeeswillbepayabletoVMwareand determinedsolelybetweenVMwareandCustomer. (ii) DataSharingwithVMware. A.Totheextent reasonablyrequiredforGCVEtobemade availablethroughVMwareUniversal,Googlemay sharewithVMwareinformationregarding Customer’suseofGCVEandGoogleCloud Platform. B.Customer acknowledgesthat,totheextentCustomer providesanydatatoVMwareinconnectionwith GCVE,VMwaremaysharesuchdatawithGoogleto theextentreasonablyrequiredtoprovideGCVE (includingtechnicalsupport)andadminister VMwareUniversal.Customerwillnotseekto preventordelaysuchdisclosure. C.IfCustomer bringsaclaimundertheAgreementrelatedto GCVE,CustomeracknowledgesthatVMwaremay disclosetoGooglethefeesorotheramounts paidorpayablebyCustomertoVMwareforGCVE, andanyothertermsoftheagreementbetween CustomerandVMwareregarding GCVEor eitherparty’sperformanceunderthatagreement. Customerwillnotseektopreventordelaysuch disclosure. (iii) Remedies.Customerwillseekany applicableSLAcreditsandanyapplicable monetaryremediesdescribedintheAgreement fromVMware(andwillnotdosofromGoogle). (iv) Support.Googlewillprovidetechnical supporttoCustomerinaccordancewiththe Agreement.Fortheavoidanceofdoubt,support feesforGCVEmaybechargedbyVMwareto Customer. (v) FinancialCommitments.IfCustomerhas madefinancialcommitmentsinanOrderFormor addendumtotheAgreement,thenGooglemayapply Customer'sGCVEconsumption(atarate determinedbyGoogle),oraportionofthe applicablefeesGooglereceivesfromVMware,to thosecommitments. 5.BigQuery. a.ODBC/JDBCDrivers.TheODBCandJDBC driversforBigQuery(as described here) are“Software”asdefinedintheAgreementand anyuseofthemissubjecttothe“General SoftwareTerms”above.Thesedriversmayonlybe usedwithBigQueryandmaynotbeusedwithany otherproductorservice. b. AnalyticsHub(PREVIEW) (i) Introduction.AnalyticsHubisafeature ofBigQuerythathelpsusersfindandsharesets ofCustomerData(“Datasets”).Datasetsare organizedintosharedrepositories(“Exchanges”) witheachDataset’slistingscontaining(as applicable)adescription,documentation, branding,metadataorsimilarmaterials (“ListingMaterials”). (ii)Roles. CustomercanservedifferentrolesinAnalytics Hub: A. “Publishers”createandsubmitDatasets forlistingwithinExchanges. B. “Subscribers”requestaccesstoDatasets listedinExchangesfortheirownusein BigQuery. C. “ExchangeAdministrators”(1)createand administerExchanges,(2)addorremoveListing MaterialsinExchanges,(3)controlvisibility ofExchangesandListingMaterials,and(4)on behalfoftherelevantPublisher,enableor rejectSubscriberrequeststoaccessDatasets. (iii) Publishers.Publisherscanserveastheir ownExchangeAdministratorsorsubmitDatasets toExchangesoperatedbythird-partyExchange Administrators.Inthelattercase,the PublishersubmitsitsDatasettotheExchange Administratorandmustfollowanyenrollment stepsspecifiedbytheExchangeAdministrator foritsExchange. (iv)ExchangeAdministrators.Whenacting asanExchangeAdministrator,Customer must: A. Secureand maintainallnecessaryrights,consentsand permissions(includingfromanythird-party Publishers)tolist,shareortakeotheraction withrespecttotheDatasetsorListing Materials;and B.Handletakedown requests,datasubjectrequests,noticesof infringement,andanyothernoticesorrequests itreceivesregardingitsExchangeorrelated ListingMaterialsorDatasets. Forclarity, ListingMaterialsareconsideredCustomerData oftheapplicableExchangeAdministrator. (v) SeparateRelationships. A.Googleisnot responsibleforandwillhavenoliabilityto Customerinrelationtoanytermsor relationshipsbetweenCustomerandanythird partyactingasaPublisher,Subscriber,or ExchangeAdministrator.IfCustomeroffersany commitmentstoanythirdsuchpartybeyondthe commitmentsthatGooglehasmadetoCustomerin theAgreement(includingintheseService SpecificTerms),Googlewillnotbeliablefor suchcommitments. B.Publishersand ExchangeAdministratorsmustensurethatany termstheyhavewithSubscribersdonot contradicttheseServiceSpecificTermsorthe Agreement. C. Ifa PublisherorExchangeAdministratorchargesfees foraccesstoDatasets,itissolelyresponsible for(1)collectingthefeesindependentlyof GoogleandAnalyticsHuband(2)anyrelated refundsorliabilitiestoSubscribers. D. Google doesnotguaranteecontinuedavailabilityofany Datasets,andgivesnowarranty,indemnification orotherobligation,andacceptsnoliabilityor responsibility,withrespecttoDatasetsor theiruse. 6. DataStudio. a. Generally.TohaveCustomer’suseofData StudiogovernedbythisAgreement,Customermust (1)haveaCloudIdentityorganizationand(2) intheAdminConsoleforDataStudio,selectto havethisAgreementgovernCustomer’suseof DataStudio.Suchselectionwillsupersedeany termspreviouslyacceptedbyCustomerrelatedto DataStudio.IfCustomerlatersetsGoogleCloud PlatformServicesto“off”intheCloudIdentity AdminConsoleforallofCustomer’sEndUsers, thenthisAgreementwillnolongergovern Customer’suseofDataStudio(andEndUsers willbepresentedwithotherterms,whichthey mustaccepttocontinueusingDataStudio).For clarity,accesstoDataStudiowithinCustomer’s organizationiscontrolledbyadifferenton/off settingintheCloudIdentityAdminConsolefrom GoogleCloudPlatform. b. GoogleMapsVisualizations.Certain visualizationswithinDataStudioinclude featuresandcontentfromGoogleMaps(such featuresandcontent,“GoogleMapsContent”). CustomermaychoosetoprovideDataStudiowith itsGoogleMapsPlatformcredentialstoaccess theGoogleMapsContent,inwhichcase Customer’suseoforaccesstosuchGoogleMaps Contentissubjecttotheagreementunderwhich GooglehasagreedtoprovideGoogleMaps PlatformtoCustomer.IfCustomerdoesnot providesuchcredentialsandCustomeror Customer’sEndUsersaccessoruseGoogleMaps Content,Customeragreesthatuseoforaccess tosuchGoogleMapsContentissubjecttothe then-currentversionsofthe:(1)Google Maps/GoogleEarthAdditionalTermsofServiceat https://maps.google.com/help/terms_maps.html; and(2)GooglePrivacyPolicyat https://www.google.com/policies/privacy/. 7. GoogleEarthEngine a.Non-CommercialUse.Customermayonly usethenon-commercial/researchuseeditionof GoogleEarthEngineif(1)Customerisa non-profitorganization,international governmentorganization,oracademicinstitution usingGoogleEarthEnginefornon-commercial activitiesor(2)Customerisapublic governmententityusingGoogleEarthEnginefor governmentresearchactivitiesthatmeetthe followingrequirements:(A)theresearchhasa definedscopeandincludesatestable hypothesis;(B)theresearchwillbecompleted withinaspecifiedperiodoftime;(C)the researchwillresultinascholarlywork(e.g. paper,thesis,report,article,publication), publicdataset,orcodelibrary;and(D)the researchrequireslimiteduseoftheServices (i.e.theServicesarenotbeingusedfora long-termoperationalneedofCustomer). b. IncorporationintoApplications. CustomerispermittedtoincorporateGoogle EarthEngineintoCustomer’sApplicationsin accordancewiththeAgreement.Customermaynot allowEndUsersofCustomer’sApplicationsto directlyaccessorinteractwiththeGoogle EarthEngineAPIsunlessthoseEndUsershave theirownGoogleCloudPlatformAccountsand accesstotheirowninstancesofGoogleEarth Engine. c. GoogleMapsVisualizations. GoogleEarthEngineincludesintegrationsthat permitvisualizationoffeaturesandcontent fromGoogleMaps(suchfeaturesandcontent, “GoogleMapsContent”).Customeragreesthat CustomerandCustomer’sEndUsers’useofor accesstosuchGoogleMapsContentissubjectto thethen-currentversionsofthe:(1)Google Maps/GoogleEarthAdditionalTermsofServiceat https://maps.google.com/help/terms_maps.html; and(2)GooglePrivacyPolicyat https://www.google.com/policies/privacy/. d. On/OffControl.AccesstoEarth EngineonGoogleCloudPlatformwithin Customer’sorganizationisnotcontrolledbythe “on/off”settingintheCloudIdentityAdmin ConsoleforGoogleCloudPlatform.IfGoogle developsanintegrationofEarthEnginewiththe generalGoogleCloudPlatformon/offcontrolin thefuture,thenthisdevelopmentwillbe announcedviaEarthEngine'sGCPReleaseNotes (availableat https://cloud.google.com/earth-engine/release-notes orasuccessorURL). Storage 8.Cloud Storage-BucketLock.Customerwill complywithapplicablelawsandregulationswith respecttotheretentionofBucketLockCustomer Data,includingdeterminingandapplyingthe appropriateretentionandholdperiodsand,if applicable,promptlyfurnishinganyBucketLock CustomerDatainausableformat.Customeris alsoresponsibleforkeepingitsAccountingood standingduringanyretentionandholdperiod. UpondeletionofaProjectorAccount,or terminationoftheAgreement,Googlemaydelete theapplicableBucketLockCustomerData. a. Definitions. “Bucket Lock”meansthefeatureofCloudStorage thatallowsCustomertosetandlockaretention orholdperiodapplicabletoCustomerDataina CloudStoragebucket. “BucketLock CustomerData”meansCustomerDatastored inCloudStoragewithBucketLockactivated. Networking 9.Cloud Interconnect-PartnerInterconnect. Customerwillindependentlyengageanetwork serviceprovider(“CloudInterconnectPartner”) whohasagreedwithGoogletosupply connectivitybetweenCustomerandGoogleunder Google’spartnertermsforPartnerInterconnect. Customerisresponsibleforanychargesfor connectivitybytheCloudInterconnectPartner. Googleisnotresponsibleforanyaspectsof PartnerInterconnectprovidedbytheCloud InterconnectPartneroranyissuesarising outsideofGoogle’snetwork. 10.Cloud IntrusionDetectionSystem(CloudIDS). Notwithstandinganythingtothe contraryinthe“Benchmarking”sectionofthe GeneralServiceTermsoftheseServiceSpecific Terms,Customerwillnot,andwillnotallowEnd Usersto,disclose,publish,orotherwisemake publicly-availableanybenchmark,orperformance orcomparisonteststhatarerunonCloudIDS andthatareconductedbyCustomeroranEnd User(orathirdpartyauthorizedbyCustomeror anEndUser). 11.Google CloudArmor-ManagedProtectionPlus a. Generally.IfaProjectenrolledin ManagedProtectionPlusexperiencesa third-partydenialofserviceattackona protectedendpoint(“QualifiedAttack”)andthe conditionsbelowaremet,Googlewillprovidea creditequivalenttotheCoveredFees,provided thattheCoveredFeesincurredexceedthe MinimumThreshold.Loadtestsandsecurity assessmentsperformedbyoronbehalfof CustomerarenotQualifiedAttacks. b. Conditions.Customermustsubmita requesttoCloudBillingSupportwithin30days aftertheendoftheQualifiedAttack.The requestmustincludeevidenceoftheQualified Attack,suchaslogsorothertelemetry indicatingthetimingoftheattackandthe Projectsandresourcesthatwereattacked,and anestimateoftheCoveredFeesincurred.Google willreasonablydeterminewhethercreditsare dueandtheappropriateamount. c. Credits.Anycreditsprovidedto CustomerinconnectionwiththisSectionhaveno cashvalueandcanonlybeappliedtooffset futureFeesfortheServices.Thesecreditswill expire12monthsafterbeingissuedorupon terminationorexpirationoftheAgreement. d. Definitions. “Covered Fees”meansanyFeesincurredbyCustomer asadirectresultoftheQualifiedAttackfor: i.ingress dataprocessingfortheGoogleCloudLoad BalancerService; ii.Managed ProtectionPlusdataprocessingfortheGoogle CloudArmorService;and iii.network egress,includinginter-region,inter-zone, internet,andcarrierpeeringegress. “Minimum Threshold”meanstheminimumamountof CoveredFeesthatareeligibletobecredited underthisSectionasdeterminedbyGooglefrom timetotimeanddisclosedtoCustomeron request. 12.Network ConnectivityCenter(NCC). Notwithstandinganytelecommunications restrictionsintheAgreement,inAustralia, India,Japan,theUnitedKingdom,andtheUnited Statesonly,CustomermayuseNCCfor telecommunicationsconnectivity. 13. SpectrumAccessSystem a.GoverningAgreement.If Customerhaspreviouslyenteredintoan agreementwithGooglethatgovernsitsuseof SpectrumAccessSystem(“LegacySASAgreement”), thenforsolongastheLegacySASAgreement remainsinforce,theremainderofthisSection 11(SpectrumAccessSystem)willnotapplyand theLegacySASAgreementwillgovernCustomer’s useofSpectrumAccessSystem. b. AdminAccount.SpectrumAccess SystemmaynotbeavailablethroughtheAdmin Console.Ifthisisthecase,Customermayuse SpectrumAccessSystemthroughanAdmin Account. c. AdditionalCustomerObligations.Customer issolelyresponsiblefor(i) the installation,operation,maintenance,andrepair ofRegisteredCBSDs;(ii) staffing, instructing,andmanagingpersonnelperforming theinstallation,operation,maintenance,and repairofRegisteredCBSDs;(iii) ensuring thatsuchpersonnelarecertifiedbyWInnForum totheextentrequiredbyapplicablelaw;and (iv) procuringandmaintainingconnectivity withSpectrumAccessSystemtoenablethe orderingandregistrationofCBSDsandtheuse ofRegisteredCBSDs.Forclarity,Section2(b) (OperationsofCommunicationsServices)inthe GeneralServicesTermsoftheseServiceSpecific TermsdoesnotprohibitCustomerfromusing SpectrumAccessSystemincompliancewiththis Section11(SpectrumAccessSystem). d. ApplicableLaw.SpectrumAccessSystemis subjecttoFederalCommunicationsCommission (“FCC”)regulationsand,bydesign,has characteristicsdifferentfromtheother ServicesofferedundertheAgreement.Eachparty representsandwarrantsthatitwillcomplywith therulesandimplementingordersoftheFCC (including47C.F.R.Part96),theDepartmentof Defense,andtheNationalTelecommunicationsand InformationAdministration,alongwiththeduly adoptedRelease1standardsofWInnForum,in eachcasetotheextentapplicabletothat party’sprovision,receipt,oruseofSpectrum AccessSystem,asapplicable. e. NoPersonalData.Exceptforany CustomerAccountInformationthatmayinclude personaldata,Customerwillnot,throughits useofSpectrumAccessSystem,share,transfer, orotherwiseprovideanyCBSDEndpointUser Information,oranypersonaldataorotherdata subjecttolegalorregulatorycompliance requirements,withortoGoogle. f. Interference.Customeracknowledgesthe riskofpossibleinterferencefromfederal incumbentuserradaroperationsintheCitizens BroadbandRadioService. g. TransitionofCustomerAccountInformation. IfGoogleceasestoofferSpectrumAccessSystem foranyreason,thenCustomermayrequestGoogle totakecommerciallyreasonablestepsto facilitateatransitionofCustomerAccount Informationtoanotherspectrumaccesssystem serviceprovider. h. TestEnvironment.IfGoogle providesaccesstoanon-productiontest environment,thentheuseofSpectrumAccess Systeminsuchanenvironmentisdeemeda "Pre-GAOffering"subjecttothePre-GA OfferingsTermsintheGeneralServicesTermsof theseServiceSpecificTerms. i. Definitions. “AdminAccount”meanstheadministrative accountprovidedtoCustomerbyGoogleforthe purposeofadministeringSpectrumAccess System. “CBSD”or “CitizensBroadbandRadioServiceDevice” meansadevicewitharadioaccesspointthatis certifiedbytheFCCtooperateintheCitizens BroadbandRadioServicesband(3.5GHz). “CBSDRegistrationInformation”means datarelatingtothelocation,identification, operatingparameters,andotheraspectsof RegisteredCBSDs. “CBSDReportingData”meansthe anonymizedoraggregateddataandmetadata GooglereceivesfromtheRegisteredCBSDsinthe courseofCustomer’suseofSpectrumAccess System. “CBSDEndpoint”meansadevicethatmay establishwirelessconnectivitywiththe authorizationandunderthecontrolofa RegisteredCBSD.CBSDEndpointsmayinclude handsets,dongles,InternetofThingsdevices, hotspots,smartphones,ortablets. “CBSDEndpointUser”meansanindividual thatusesanyCBSDEndpoint. “CBSDEndpointUserInformation”means anyinformation,data,orcontentrelatingtoa CBSDEndpointUser,including(i) billing andusageinformation,passwords,andPINs; (ii) transmittedorreceivedcontent information; (iii) authentication informationandanyotherdemographic information;and(iv) otherinformationin connectionwithusebyaCBSDEndpointUserofa CBSDEndpointonanyRegisteredCBSDornetwork ofRegisteredCBSDs(excludinganyinformation thatmayqualifyasCBSDRegistration InformationorCBSDReportingData). “CustomerAccountInformation”means informationprovidedbyCustomerinconnection withtheregistrationofCBSDs,whichconsistof (i) contactandaccountinformationfor Customer;(ii) identificationinformation forallRegisteredCBSDsregisteredtoCustomer, asprescribedbyWInnForumstandards; (iii) identifyinginformationforall groupsofCBSDsforCustomer;and (iv) informationrelatingtoCustomer’s priorityaccesslicenses(asapplicable), includingidentificationnumbers,boundary information,protectionarea,CBSDcluster lists,groupinginformation,andanyleasesof suchpriorityaccesslicenses. “RegisteredCBSD”meansaCBSDthatis registeredwithGoogleandoperatedbyCustomer viaSpectrumAccessSystem. “WInnForum” meanstheWirelessInnovationForumorany successororganization. AIandMachineLearning 14.AI BuildingBlocks.Customerwillnot (eitherdirectlyorintentionallyviathird parties)usetheseServicestocreate,train,or improve(directlyorindirectly)asimilaror competingproductorservicetothespecific ServicebeingusedbyCustomer(andspecifically coveredbythissection).Inadditiontoany otheravailableremedies,Googlemayimmediately suspendorterminateCustomer'suseofthese Servicesbasedonanysuspectedviolationof theseterms,andviolationofthesetermsis deemedviolationofGoogle'sIntellectual PropertyRights.CustomerwillprovideGoogle withanyassistanceGooglerequeststo reasonablyconfirmcompliancewiththeseterms. InadditiontothissectionapplyingtotheAI BuildingBlocks,thissectionwillalsoapplyto anyfunctionalityrelatingtoAutoML-relatedor OptimizationAIthatisaccessibleinVertexAI. Thesetermswillsurviveterminationor expirationoftheAgreement. 15.AI PlatformTrainingandPrediction (AITP). Customerownsthemodel weightsthatCustomertrainsinAITPandcan exportsuchmodelweightsinthesupported outputoftheAITPsupportedmachinelearning libraryCustomerusedtotrainthem(e.g., TensorFlow,XGBoost,scikit-learn,PyTorch). 16. CelebrityRecognition(viafunctionalityof CloudVisionandVideoIntelligenceAPI). CustomerwillonlyuseCelebrity Recognitionfunctionality(i)with professionallyfilmedmediacontentthat Customerownsorhasadequateconsenttouse withthefunctionalityunderapplicablelawand (ii)onindividualswhoseprimaryprofession involvesvoluntarilybeingthesubjectofpublic mediaattention(“Celebrities”).Customerwill notusethisfunctionalityforany surveillance–basedpurposeoronindividualswho arenotCelebrities. 17.AutoML Tables. Customercanexporta frozenmodelgraphandrelatedfeaturesviathe formatssupportedbyAutoMLTables.Nolicense toretrainorreverseengineersuchmodelgraph isgrantedorimpliedtoCustomer. 18.AutoML VideoEdge. Customercan downloadafrozenmodelgraphandTFlitemodel andanyrelatedCustomer-providedvideolabels viatheformatssupportedbyAutoMLVideo.No licensetoretrainorreverseengineersuch modelgraphortheTFLitemodelisgrantedor impliedtoCustomer. 19.AutoML VisionEdge. Customercan downloadafrozenmodelgraphandanyrelated Customerprovidedimagelabelsviatheformats supportedbyAutoMLVision.Nolicenseto retrainorreverseengineersuchmodelgraphis grantedorimpliedtoCustomer. 20.Talent Solution. Customerwillnot (eitherdirectlyorintentionallyviathird parties)usetheServicetocreate,train,or improve(directlyorindirectly)asimilaror competingproductorservicewithoutGoogle's priorwrittenpermission.Customeragreesto adheretotheservicelimits(e.g., "queries-per-second")asdefinedwithinthe Documentation. 21. RetailSearch. a.Customerwill not(eitherdirectlyorintentionallyviathird parties)useRetailSearchoranyresults providedbyRetailSearchtocreate,train,or improve(directlyorindirectly)asimilaror competingproductorservicetoRetailSearch. Customermay configuretheServiceslisted at https://cloud.google.com/terms/data-residency tostoreandperformmachinelearningprocessing ofCustomerDatabytheServiceinaspecific Multi-Region,andGooglewillstoretheCustomer Dataatrestandperformmachinelearning processingofitbytheServiceonlyinthat Multi-Region.Forclarity,CustomerDatadoes notincluderesourceidentifiers,attributes,or otherdatalabels.TheseServicesdonotlimit thelocationsfromwhichCustomer,CustomerEnd Users,orCustomer-selectedorGooglemanaged labelingresourcesmayaccessCustomerData,or towhichtheymaymoveCustomerData. 23.Cloud Translation(v1,v2,orlater)andMedia TranslationAPI. a.HTMLMarkup andAttribution Requirements.Customer willcomplywiththeHTMLMarkupRequirements found at https://cloud.google.com/translate/markup and theattributionrequirementsfound at https://cloud.google.com/translate/attribution. b. Limitation.Customerwillnot(either directlyorintentionallyviathirdparties)(i) usethisServicetocreate,train,orimprove (directlyorindirectly)asimilarproductor service,includinganyothermachinetranslation engine,or(ii)useorretaintranslatedtextor anyotherdatafromthisServiceforthepurpose ofcreating,training,orimproving(directlyor indirectly)atranslationsystem,product,or service. 24. VisualInspectionAI:Customermay downloadfromVisualInspectionAIcontainerized SolutionArtifacts(asdescribedinthe Documentation)basedonamodelpreviously trainedbyCustomerwithintheService.Customer canuseaSolutionArtifactonlyforthemaximum duration(inmonths)andnumberofcameras identifiedbyCustomerintheAdminConsolewhen downloadingtheSolutionArtifact.Nolicenseto retrainorreverseengineerthecomponentsof theSolutionArtifactisgrantedorimpliedto Customer,andCustomerisprohibitedfromusing theSolutionArtifactbeyondthedurationand numberofcameraspreviouslyidentified.If requested,Customerwillprovidereasonable assistanceandaccesstoinformationtoverify thatCustomer'suseoftheServiceisin compliancewiththisparagraph. SecurityandIdentity 25.Assured Workloads.AssuredWorkloadsenables CustomertoapplylocationandGooglepersonnel controlsinanAssuredWorkloadsenvironmentvia theAdminConsoletosupportCustomer’s compliancerequirements.GooglewillprovideTSS forAssuredWorkloadsinaccordancewithsuch Customer-selectedcontrols.ItisCustomer's responsibilitytodeterminewhether Customer-selectedAdminConsolecontrolsare adequateforCustomer’spurposes.Google’sdata locationcommitmentsunderGeneralServiceTerms Section1(DataLocation)applytoAssured Workloads.Inaddition,AssuredWorkloads providesCustomerstheabilitytopreventGoogle personslocatedoutsidetheCustomer-selected RegionfromaccessingCustomerDatainan AssuredWorkloadsenvironment.TheServicedoes notlimitthelocationsfromwhichCustomeror CustomerEndUsersmayaccessCustomerDataor towhichtheymaymoveCustomerData. 26.Access Approval. Information.reCAPTCHAEnterpriseworks bycollectinghardwareandsoftwareinformation, suchasdeviceandapplicationdata,andsending thisdatatoGoogleforanalysis.The informationcollectedinconnectionwith Customer'suseofthereCAPTCHAEnterprise Servicewillbeusedforproviding,maintaining, andimprovingreCAPTCHAEnterpriseandfor generalsecuritypurposes.Itwillnotbeused forpersonalizedadvertisingbyGoogle. b.Privacy Policy.Customerwillprovideandadhere toaprivacypolicyforitsAPIclientthat clearlyandaccuratelydescribestoapplicable CustomerEndUserswhatuserinformation CustomercollectsandhowCustomerusesand sharessuchinformation(includingfor advertising)withGoogleandthirdparties. Migration 35. TransferAppliance Service. Inperformingthe TransferApplianceService,Googlewillattempt toprovideCustomerwiththerequestedTransfer Appliancemodel,subjecttoavailability.Google willprovidetechnicalsupportfortheTransfer ApplianceServiceonlyasdescribedinthe Documentation.GooglemayuseSubprocessors(as definedintheDataProcessingandSecurity Terms)inprovidingtheTransferAppliance Service.TheTransferApplianceMaterialsareat alltimesownedbyGoogle,withnotransferof titletoCustomer. LimitationofLiability. Notwithstandinganythingtothecontraryin theAgreement(exceptsubjecttoanyunlimited liabilitiesexpresslystatedinthe Agreement),tothemaximumextentpermittedby law,eachparty’stotalaggregateLiability fordamagesarisingoutoforrelatingtoBare MetalSolutionislimitedtothegreaterof (a)theFeesCustomerpaidforBareMetal Solutionduringthe12monthperiodbeforethe eventgivingrisetoliabilityand(b) $25,000. e. HealthcareDataEngine(HDE). a.SolutionRequirements.Customerwill complywiththesolutionrequirementsas outlinedintheDocumentation. b.Compliance.HDEmaytransmittoGoogle meteringinformationfromaggregatedCustomer Dataforbillingandcomplianceverification purposes.Customerwillnotdisableorinterfere withthetransmissionofsuchinformation, includingthroughmodificationstothesolution configurations,asspecifiedinthe Documentation. c.Deletion. IftheAgreementorCustomer’ssubscriptionto HDEterminatesorexpires,thenCustomerwill stopusingHDEanddeleteallHDEdeployment code,HDEstartermaps,andHDEdockerimages fromCustomer’sAccount.Customermayretain mappingandreconciliationconfigurations createdbytheCustomer. 39.GoogleDistributedCloudEdge a. Equipment.Googlewillmakethehardware equipmentidentifiedintheGoogleDistributed CloudEdge(“GDCE”)OrderForm availabletoCustomer (“Equipment”)tobehostedin facilitiesowned,operatedbyorlicensedtothe CustomeridentifiedintheOrderForm(the “CustomerLocation”).Customerwillbe liableforanylossofordamagetothe EquipmentwhileinCustomer’spossession. b. InstallationSupport.Googlewillbe responsibleforinstallationoftheEquipmentat theCustomerLocation.Googlemayprovide additionalinstallationsupporton-siteorvia remoteassistance.Eachpartywillprovide qualifiedpersonnelon-siteattheCustomer Locationasrequiredtoassistthroughoutthe Equipmentinstallationprocess.Customermaynot use,installorotherwiseaccesstheEquipment priortoinstallation. c. MaintenanceandRepairs.Google willberesponsibleforanymaintenanceor repairstotheEquipment.Customeragreesto provideanamedCustomerrepresentativeon-site duringrepairsandreasonablycooperatewith Googleuponrequestonanymaintenanceor troubleshootingactivitiesrelatedtothe Equipment.Googlemayrepairorreplace defectiveEquipmentatitssolediscretion. GoogleengineershaveSSHaccesstothe Equipmentinordertoremotelymonitorand maintaintheGDCEServices. d. OnsiteRequirements. i.Intheevent GoogleneedstoaccesstheCustomerLocation, Customerwill:(a)provideGoogleauthorized personnelwithpromptandreasonableaccessto theextentnecessarytoperforminstallation, maintenance,oranyotheractivitiesrequiring Googleauthorizedpersonneltoaccessthe CustomerLocation;and(b)followanywritten instructionsprovidedbyGoogleduringthe Equipmentinstallationprocess. ii. Google authorizedpersonnelwillcomplywithCustomer’s reasonableonsitepoliciesandprocedures communicatedinwritingbyCustomerpriortothe commencementoftheEquipmentinstallation process;and(b)providewritteninstructionsto Customerduringtheinstallationprocess detailinganyinstallationproceduresand activitiesforCustomertoperform. iii.Theseterms supersedeandreplaceanyterms,conditions,or agreements(“OnsiteTerms”)thatGoogle authorizedpersonnelmayberequiredtoaccept, sign,orconsenttoaspartofCustomer’s standardonsiteaccessproceduresandnoneof thoseOnsiteTermswillapplytoGoogleor Googlepersonnel.Googlepersonnelmayinclude thirdpartysubcontractors. e. TechnicalSupportServices.Googlewill provideremotetechnicalsupportservicesto Customer,whichmayinclude(asdeterminedby Google)softwareupdatesmadeavailabletothe Equipment. f. CustomerLocationAssessment.Customeris solelyresponsibleforensuringthatthe CustomerLocationissuitableinallrespectsto supporttheinstallationandmaintenanceofthe EquipmentinaccordancewiththeGDCE InstallationRequirements. g.AdditionalEquipmentUseTerms. Customer’suseoftheEquipmentissubjectto thefollowingadditionalterms: i. Prohibitions.Customermaynot: (1)sublicense,loan,sell,rent,orleasethe Equipmentoranyportionthereof;(2)intercept, capture,ormodifythecontentsofanydata, otherthanCustomerData,transmittedbetween theEquipmentandtheGoogleCloudnetwork;(3) pledgeorgrantasecurityinterestinthe Equipment,ordismantle,export,move,or otherwisere-locateEquipmentotherthanas expresslyapprovedbyGoogleinwriting,or(4) photograph,videorecord,capturescreenshots, orcreateanimageoftheEquipment,inwholeor inpart,inanyformat.Customerwillnothave thecapabilityorrighttomodify,replace,or interferewithanysoftwareinstalledonthe Equipment. ii. EquipmentOwnership.All ownershiprightsandtitleinandtothe EquipmentremainwithGoogle,oritslicensors. CustomeracknowledgesthatasbetweenCustomer andGoogle,Customerhasnoownershiprightsin theEquipmentoranypartoftheEquipmentand notwithstandinganyothertermoftheAgreement, Googleretainsexclusiveownershipandcontrol oftheEquipment. h. AmendmentstotheAgreement.GDCE ServicesarenotdeployedataGoogledata centerand,bydesign,havecharacteristics differentfromtheotherservicesofferedunder theAgreement.Asaresult,thefollowingterms apply: i. InapplicableProvisions.AnyGoogle commitmentsintheAgreement(includingtheData ProcessingandSecurityTerms(“DPST”)) orassociatedsecuritydocumentation(including whitepapers)thatdependonGoogle’soperation ofaGoogledatacenterdonotapplytoGDCE Services. ii. OtherAmendments.Otherthan thissubsection(h),notermsintheAgreement thatexpresslyamend,modify,orsupplementthe DPST(asthen-currentlyavailableat https://cloud.google.com/terms/data-processing-terms or,forpartners,at https://cloud.google.com/terms/data-processing-terms/partner) willapplytoGDCEServices. iii.Audits. GDCEServicesarenotAuditedServicesunderthe DPST,andarenotcoveredbytheSecurity Documentationorsubjecttothe“Reviewsand AuditsofCompliance”SectionoftheDPST. iv.DPST Amendments.TheDPSTisamendedas follows,solelywithrespecttoGDCEServices: A.Referencesto “Google’ssystems”inSections6.1and7.1.1 willbereplacedwith“theEquipment”. B.Section6.2is deletedinitsentiretyandreplacedwiththe following: “6.2 ReturnorDeletionattheendoftheTerm. Encryption Technologies.GooglemakesHTTPS encryption(alsoreferredtoasSSLorTLS connection)availableandallowsforencryption ofdataintransit.Googleserverssupport ephemeralellipticcurveDiffie-Hellman cryptographickeyexchangesignedwithRSAand ECDSA.Theseperfectforwardsecrecy(PFS) methodshelpprotecttrafficandminimizethe impactofacompromisedkey,oracryptographic breakthrough.Googlealsomakesencryptionof dataatrestavailable,usingatleastAES128or similar. Connection toCloudVPN.GoogleallowsCustomer toenableandconfigureastrong,encrypted interconnectionbetweentheEquipmentand Customer'sVirtualPrivateCloudusingCloudVPN throughanIPSECVPNconnection. Bound Storage.Customer'sdatastorageis boundtotheserver.Shouldadiskbestolenor copiedatrest,thecontentsofsuchdiskwill beunrecoverableoutsideoftheserver. 2. PersonnelSecurity Section4of Appendix2(SecurityMeasures)continuesto apply. 3. SubprocessorSecurity Section5of Appendix2(SecurityMeasures)continuesto apply. i. CustomerObligations.Withoutlimiting Google'sexpressobligationsrelatedtoGDCE Services,Customerwilltakereasonablestepsto protectandmaintainthesecurityofCustomer Dataandanyothercontentstoredonor processedthroughGDCEServices. j. Cooperation.Customerwill providereasonableandtimelycooperationin connectionwithGoogle’sprovisionoftheGDCE Services(includingcompliancewiththeGDCE InstallationRequirements).Googlewillnotbe liableforadelaycausedbyCustomer’sfailure toprovideGooglewithinformation,consents,or accesstoCustomerfacilities,networks,or systemsrequiredforGoogletoprovidetheGDCE Services. k.Disclaimer.GoogleanditssubcontractorsarenotresponsibleforanyofthefollowinginrelationtoGDCEServices:(i)databackup,includinganyredundancyorhigh-availabilityconfiguration;or(ii)businesscontinuityanddisasterrecoverypoliciesorprocedures. l. ReturnofEquipment.Upon terminationorexpirationoftheTerm,Customer will:(i)immediatelystopusingtheEquipment; and(ii)cooperatewithGoogle(orGoogle’s designatedsubcontractor)inanynecessary wind-downactivities,includingmakinganamed CustomerrepresentativeavailableatCustomer Locationand,ifapplicable,makingthe Equipmentavailableinitsoriginalcondition (reasonablewearandtearexcepted)forGoogle’s designatedcouriertocollectwithinthirty(30) daysoftheeffectivedateofterminationor expiration(“ReturnDate”).IfCustomer failstoabidebytheprecedingsentence,Google willhavetherightto:(A)chargeCustomerand Customerwillpaythefairmarketvalueofthe Equipment;or(B)recoverandtakepossessionof suchEquipment,andforthispurposemay,upon atleast30days’writtennotice,enterthe CustomerLocationduringnormalworkinghoursto removetheEquipment. m.Survival. SovereignControlsbySovereignPartners. a. ApplicabilityofSolution. Thissectionappliesonlytocustomerswhohave enteredintoacontractforthereceiptofa SovereignControlsbySovereignPartners solution(a“Solution”)withGoogle and/oraPartnerorReseller(asapplicable) (eachsuchcustomer,a “SovereignCustomer”).Inordertousea SolutionasaSovereignCustomer,Customermust obtaincertainservicesfromthirdparty partners(“SovereignPartners”)as describedinsubsection(b)andhaveavalid contractwiththeapplicableSovereignPartner relatingtotheprovisionofthoseservices. b. CustomerResponsibilities.Customer acknowledgesandagreesthat(1)thesovereign controlsprovidedbytheSolutiononlyapplyto thoseServiceslistedat https://cloud.google.com/terms/in-scope-sovereign-cloud, assuchURLmaybeupdatedfromtimetotime (“In-scopeGoogleServices”),and(2)the SolutionrequiresCustomer’suseofanexternal keymanagementsystemthatisnotmaintainedby Google(andwhichmaybeprovidedbythe SovereignPartnerundertermsagreedbetween CustomerandSovereignPartner)(suchsystem, the“EKM”).Customerisresponsiblefor receivingtheSovereignPartnerservicesfrom theSovereignPartner. c. ApplicabilityofTermstoIn-scopeGoogleServices.Except asexpresslyspecifiedotherwiseinthis section,therelevantpartsoftheseService SpecificTermsthatapplytoeachofthe In-scopeGoogleServiceswillalsoapplyto thoseServices. d. PartnerAccess.Customerauthorizes Googletoshare,withtherelevantSovereign Partner,Customercontactinformation,metadata, logdata,andconfigurationdatafromthe ServicesusedintheCustomerenvironment applicabletotheSolution.Googleisnot responsibleforaSovereignPartner’shandling ofsuchdata. e. KeyAccessJustifications.Customer acknowledgesandagreesthatGooglewill transmitanaccuratejustificationtotheEKM foreachrequesttoobtainkeyaccesstodecrypt CustomerDataforsupported,generally-available Services,pursuanttotermsagreedbetweenthe thirdpartyEKMproviderandGoogle(if applicable).OnceanEKMproviderreceivesa justification,theyareresponsiblefor determiningwhethertograntGooglethe requestedkeyaccess,inaccordancewiththe applicabletermsbetweenCustomerandtheEKM provider.Googleisnotresponsibleifthe operationorfunctionalityoftheServicesis impactedbecauseGooglecannotobtainakey accessneededforsuchoperationor functionality. f. SecurityControls.Googlewillimplement controlsrestrictingthelocationswhere CustomermayconfiguretheIn-scopeGoogle ServicesinaccordancewithGeneralService TermsSection1(DataLocation).Customermay usetheSolutiontopreventGooglePremiumor EnhancedSupportpersonnellocatedoutsidea selectedjurisdictionorregionfromaccessing CustomerDataintheCustomerenvironment applicabletotheSolution. Third-PartyTerms 1.Disclaimer.Google’s supplierswillhavenoliabilityarisingoutof orrelatingtotheAgreement. 2.RedHatEnterpriseLinux. Customer’suseof theRedHatEnterpriseLinuxproduct,provided byGoogleinconjunctionwithComputeEngine,is subjecttothetermsandconditionsstated at https://www.redhat.com/licenses/cloud_cssa/. 3.MicrosoftProducts. Customer’suseof theMicrosoftproducts,whichmayinclude associatedmedia,printedmaterials,and “online”orelectronicdocumentation (individuallyandcollectively,“Microsoft Products”),providedbyGoogleinconjunction withanyapplicableService(s)issubjecttothe termsandconditionsstatedat https://cloud.google.com/terms/service-terms/microsoft. 4.NVIDIADrivers. TheNVIDIAsoftware componentsusedinconjunctionwiththeServices aresubjecttothetermsandconditionsstated at https://cloud.google.com/terms/service-terms/nvidia. Inaddition,thefollowingNVIDIAsoftware componentsmaybeusedsolelywiththeServices forcomputeandofflinegraphicspurposes:GRID, TeslaDriver,CudaToolkit,cuDNN,TensorRT, NVENC,NVCUVID,NVML,andnvidia-aml. PricingandBillingTerms 1.CommittedUnits. a.Selection andCommitment.Customermayhavean optiontorequestCommittedUnitsviathe Services(forexample,intheAdminConsoleor throughaGoogleAPI)orinanOrderForm.If Googleacceptstherequest,thennotwithstanding thepaymenttermsintheAgreement,Customer willpaytheFeesforthoseCommittedUnits duringtheCommittedUnitTermselectedby Customer,whetherornottheyareused,as statedattheFeesURLfortheapplicableSKU. b. Renewal.Unlessotherwisestatedinthe AdminConsoleorotherdocumentation,attheend ofeachCommittedUnitTerm,theCommittedUnit selectionwillautomaticallyrenewforthesame CommittedUnitTermatthesamequantity throughouttheTermuntilCustomerselectsin theAdminConsoletostoprenewingoreither partynotifiestheotherpartyinwritingto canceltherenewal. c.Cancellation andExpiration.CommittedUnitpurchases maynotbecancelledorrefundedaftertheyare placed,butifGoogleservesnoticetonon-renew theAgreement,terminatestheAgreement(other thanforCustomer'smaterialbreach),or discontinuesprovidingtheServicesapplicable totheCommittedUnits,Googlewillrefund CustomeranyunusedprepaidFeesfollowingthe expirationorterminationoftheAgreement,or discontinuanceoftherelevantServices,as applicable. AnyuseoftheServicesafter cancellationorexpirationoftheCommitted UnitswillbebilledatstandardFeerates. d.NoResellor Transfer.UnlessGoogleagreesotherwise, CustomermaynotresellortransferCommitted Units. 2.SubscriptionOfferings. a.Subscription SKUs.CertainSKUsmaybeofferedona subscriptionbasis(each,a“Subscription Offering”).EachSubscriptionOfferingmaybea singleServiceorSoftwareitem,orapackageof twoormoreServicesorSoftwareitems.The detailsofeachSubscriptionOffering (“SubscriptionDetails”)willbestated(i)at theFeesURLorelsewhereintheServices,the AdminConsole,orDocumentation,or(ii)inan OrderFormorotherwrittenagreementbetween GoogleandCustomer.TheSubscriptionDetails willincludethedurationofthesubscription (“SubscriptionTerm”),theamountofpermitted usageoftheapplicableSubscriptionOffering duringtheSubscriptionTerm(e.g.,usageper month)(“SubscriptionUsage”),minimum SubscriptionUsage(ifapplicable),andthe applicablepricing.IftheSubscriptionOffering isapackageoftwoormoreServicesorSoftware items,theSubscriptionDetailsmayalsolist thedifferentcomponentspackagedintothe SubscriptionOffering.Customermayrequestto purchaseaSubscriptionOfferingviathe Services(forexample,intheAdminConsoleor throughaGoogleAPI)orinanOrderFormor otherwrittenagreementbetweenGoogleand Customer,asapplicable.IfGoogleaccepts Customer'srequesttopurchaseaSubscription Offering,thennotwithstandingtheinvoicingand paymenttermsintheAgreement,Googlewill invoiceorchargeCustomerfortheSubscription Offering,andCustomerwillpayGoogle,during theSubscriptionTerm(includingduringany renewalSubscriptionTerm)asspecifiedinthe SubscriptionDetails.Further,unlessotherwise specifiedintheapplicableSubscription Details,Googlereservestherighttoissue additionalinvoicesorchargestoCustomerin arrearsifCustomer'susageofaSubscription OfferingexceedstheSubscriptionUsage,with thepricinglistedattheFeesURLapplyingto thatexcessusage,unlessotherwiseagreedby theparties. b. Renewal.Unless(i)otherwise specifiedintheSubscriptionDetails,or(ii) eitherpartyprovidestheotherpartywith noticeofnon-renewalatleast30daysbefore theendofthethen-currentSubscriptionTerm, attheendofeachSubscriptionTerm,Customer's accesstotheSubscriptionOfferingwill automaticallyrenew,withtherenewal SubscriptionTermdurationandSubscription UsageasdescribedintheSubscriptionDetails. c. Cancellation.Unlessotherwise specifiedintheSubscriptionDetails,Customer maynotterminateaSubscriptionOfferingbefore theendoftheSubscriptionTerm.Ifa particularSubscriptionOfferingisindicatedas terminableintheSubscriptionDetails,then CustomermayterminatetheSubscriptionOffering beforetheexpirationoftheSubscriptionTerm, andGooglemaychargeaterminationfee (“TerminationFee”),asspecifiedinthe SubscriptionDetails.Further,Customermaybe requiredtogiveextendednoticebefore terminationofanySubscriptionOffering,as specifiedintheSubscriptionDetails. Notwithstandinganytermtothecontraryinthe Agreement,(i)ifCustomerhasenteredintoa GoogleCloudPlatformOrderFormunderthe AgreementforthepurchaseofServicesonan on-demandbasis,thentheSubscriptionTermwill alsoterminateimmediatelyuponterminationof suchGoogleCloudPlatformOrderForm(and CustomerwillbechargedtheTerminationFee,if applicable),and(ii)uponterminationofthe SubscriptionTerm,Customermaycontinuetouse GoogleCloudPlatform,andpricingforthe Service(s)orSoftwarethatarepartofthe SubscriptionOfferingwillbeasstatedatthe FeesURLorasotherwiseagreedbytheparties (ifavailableonanon-subscriptionbasis). 3.AdditionalDefinitions. “CommittedUnits”means(i)a specifiedquantityoftheServices(e.g.,App Enginevirtualmachineinstancehours,Compute Enginevirtualmachineinstancesorcores, BigQueryslots,etc.)designatedbyCustomer, whichmayincludeaspecifiedmachinetype, region,zone,querycapacity,andperiodoftime touse;or(ii)aspecifiedamountofcreditsto bepurchasedforexpenditureononeormore specifiedServicesduringaspecifiedtime period. “CommittedUnitTerm”meanstheperiod oftimewithintheTermduringwhichCustomeris obligatedtopayfortheCommittedUnits. “Documentation”meansthethen-current GoogledocumentationmadeavailablebyGoogleto itscustomersforusewiththeServices at https://cloud.google.com/docs. “FeesURL” means https://cloud.google.com/skus. “OrderForm”meansanorderform executedbyCustomerandGoogleoranorder placedbyCustomerviaaGooglewebsite,in eithercasespecifyingtheServicesGooglewill providetoCustomer.
