Subjectofthecontract1.1 ML6offerslicensesforGoogleCloudServicesasareseller.InthisrespectML6passesontheGooglespecificationstothecustomerunchangedwithregardtothetechnicalandoperationalspecificationsinaccordancewiththefollowingsection1.2.1.2 GoogleCloudServices:ML6offersGoogleCloudServicestothecustomer.TheTermsofServiceprovidedbyGoogleapply,whichcanbefoundontheInternetathttps://cloud.google.com/terms/.ThesetermsmaychangewithoutpriornoticetoML6orthecustomer.Thecustomerthereforeshouldcheckthesetermsconstantly.1.3 ML6isnotresponsibleforprovidingadviceonlegal,regulatory,taxoraccountingmatters.Theutilisationofthedatageneratedbythesoftwareisthesoleresponsibilityofthecustomer.1.4 ML6disclaimsallliabilityforconsequencesarisingfromtheuseorrelianceonGoogleCloudServices.2. Remuneration2.1 Theremunerationfortheservicesisstatedintherespectiveoffer.2.2 Unlessotherwiseagreed,ML6shallchargeallreasonablecostsandexpenses,includingtraveltime,travelexpensesandaccommodation,inadditiontotheremunerationdescribedinsection2.1.2.3 Unlessotherwiseagreed,theremunerationshallbecalculatedonamonthlybasisafterperformanceoftheservice.2.4 Theremunerationisnet,plustheapplicablevalueaddedtax.2.5 Invoicesaredueforpaymentwithin30daysafterinvoicedate.2.6 Thecustomerundertakestoprovideeitherofthefollowingpaymentsecuritiesincaseanagreement(“ProductScheduleAddendum”)willbeconcludedforacertainminimumterm(“CommitmentPeriod”).ML6mayrequestthetypeandamountofsecurityintheoffer.(i) Thecustomerwillmakeanadvancepaymentofadeposit.TheamountofthedepositwillbestatedintheProductScheduleAddendum.ThedepositwillbepaidbacktothecustomeraftertheendoftheAgreementminuscontractuallyowedamountswhicharestillunpaidbythecustomer;or(ii) ThecustomerwillprovideanoriginalbankguaranteeforthepaymentsdueduringtheentiretermoftheagreementissuedbyareputablemajorbankbasedintheEEC. 3. Warrantyrights3.1 ML6warrantsthatML6willprovideservicesatleastinaccordancewiththestandardscustomaryinthemarketforsuchservices.3.2 TheservicesareprovidedinaccordancewiththeGoogleTermsofService(section1.2).3.3 ML6doesnotguaranteethattheservicesserveaspecificpurposeorenabletheclienttoachievespecificresults.4. Liability;Insurance4.1 Theliabilityofbothpartiesforinjurytolife,bodyorhealthofemployeesoftherespectiveotherpartyaswellasfordamagescausedbyintentionalorgrosslynegligentconductisunlimited.4.2 Fordamagesnotcausedbyintentorgrossnegligence,theliabilityofbothpartiesislimitedtothetypicallyforeseeabledamage.4.3 Thetypicallyforeseeabledamageislimitedtotheannualcompensationunderthiscontract.4.4 Neitherpartyshallbeliableforindirectorconsequentialdamages. 4.5 CustomerisawarethattheGoogleCloudPlatformisprovidedbyGoogleIrelandLimitedandaccordingtoUSFederallawsthismayresultinarequirementofGoogleIrelandLimitedtotransferdataundercertaincircumstancestoUSauthoritiesaccordingtotheapplicablelawsapplicableattherespectivetime.ThecustomerrelievesML6fromanyduties,obligationsandliabilitiesinthisrespect.5. Noexclusivity TheserviceisprovidedbyML6onanon-exclusivebasis.Inparticular,ML6ispermittedtoprovidethesameorsimilarservicesforcompetitorsoftheclient.6. Confidentiality;DataSecurity6.1 Neitherofthecontractingpartiesisentitledtotransferconfidentialinformationoftheothercontractingpartytothirdpartieswithoutwrittenconsent.Bothcontractingpartiesundertaketouseconfidentialinformationonlyasprovidedinthisagreement.Thisalsoincludesinformationontheconditionsofthisagreement.6.2 RestrictionsmayapplyinaccordancewithSec.4.5above.7. Term7.1 ThisAgreementshallenterintoforceuponsignaturebybothparties.TheAgreementmaybeterminatedbyeitherpartyinwriting,butnotbeforetheendoftheminimumtermasstatedintheOffer("MinimumTerm").7.2 Therightofbothpartiestoterminateforgoodcauseremainsunaffected.8.
